Real Estate Contract Dos and Don’ts

Most real estate contracts are prepared by real estate agents or attorneys, but some independent-minded and expense-conscious investors prefer to draft their own contracts. As an attorney who has litigated many homemade real estate contacts, my advice is this:

DON’T draft the contract yourself. For the average person, the purchase or sale of a home is the most important transaction of your financial life, and doing it wrong can have dire consequences. If you’re bound and determined to go it alone, keep some basic principles in mind.

DO put your contract in writing. An oral contract for the sale of real estate is not enforceable in a Missouri court.

DO make sure your contract is legible. I once litigated a real estate sale contract written on a paper towel. It was really hard to read, and the parties spent thousands of dollars arguing about what it said.

DO be specific describing the property to be sold. “123 Main Street, Anytown, Missouri” is a good start, but it’s better to include the full legal description of the property from the seller’s deed.

DON’T make assumptions about what personal property goes with the real estate, because the other party’s assumptions will be different from yours. If there’s a portable shed on the property or appliances in the house, make sure your contract states specifically whether those items are included in the sale.

DO state the purchase price for the property and state in detail how it is to be paid. For example, “$100,000, with a $5,000 down payment, and the remaining $95,000 to be paid at closing.” If the buyer is making installment payments, include a payment schedule.

DO disclose the condition of the property. If it is being sold AS IS, make sure the buyer knows exactly what he is getting.

DO be clear about the condition of the title to the property. It is best to have a title company perform a title search prior to closing to determine if the seller can convey good title. If you’re the buyer, you don’t want to find out after closing that the seller’s tax liens are still attached to your new home.

DO specify a date, time, location for closing. This is typically when the purchase price is paid in full and when the seller signs a deed to the buyer. Closing usually happens at a title company or an attorney’s office.

DO decide who will be responsible for real estate taxes and put that in the contract. In most real estate contracts, the parties pro-rate the real estate taxes based on the closing date.

DON’T assume that nothing will go wrong. Instead, think about what might go wrong, and draft some language about how to deal with it. For example, the parties need to agree on what will happen if the buyer can’t get a loan to pay the purchase price, or if a storm damages the property prior to closing.

DO seek legal advice if you are uncomfortable with the contract. Spending a little money up front for some guidance will help you avoid problems and save you money later.
