Not something everyone loves, but sushi has grown in popularity over the last decade and more and more sushi purveyors are popping up around town. Although it may seem hard, you can make your own with a little effort! Below is a basic recipe, add what you want in the center such as avocado, cream cheese, salmon and more…roll and enjoy!

INGREDIENTS For the sushi
• 255g/9oz sushi rice • 55ml/2fl oz mirin • 340g/12oz sashimi quality tuna, cut into long thin strips • 5 sheets nori sushi sheets • 1 cucumber cut into 5 long pieces • 5 spring onions • 3 tsp wasabi paste • Japanese bamboo sushi mat
To serve
• light soy sauce • Japanese pickled ginger
PREPARATION METHOD
1. Rinse the rice very well under cold water. Drain thoroughly and put into a large saucepan that has a lid. Pour over 1 pint of water. Bring to the boil and allow to simmer for about 25 minutes or until nearly all the water has been absorbed. Remove from the heat, cover with a lid and allow to stand for 10 minutes. 2. Then tip the rice onto a large flat clean tray. A metallic is probably best as it will help the rice cool down quicker. Dress the rice with the mirin, turning frequently as this helps the rice to cool. Then fan with a fan or a magazine until the rice is room temperature (not essential but quite authentic). 3. To make the sushi take a Japanese bamboo sushi mat and place a sheet of seaweed on top. Have a small bowl of water to hand. Dip your fingers in the water before you touch the rice. Spread the rice over three quarters of the seaweed, take a little rice at a time and push it to the edges leaving a layer about ½ cm thick. Leave the quarter the furthest away from you plain. 4. Next smear a little wasabi in a line a little off centre nearest to your body. Follow with a layer of tuna, a spring onion and a piece of cucumber. Roll up the bamboo mat slowly, tucking in the closer end of the sushi roll to start a roll and press lightly with both hands. Remove the roll from the mat and leave to sit with the joining edges downwards. You can wrap in cling film and keep in a cool place until you are ready to serve. Don't place in the fridge as this dries out the rice. 5. To serve, using a lightly moistened sharp knife to trim the ends, then cut into 6-8 pieces. Serve with the pickled ginger and little bowls of soy sauce.

CHOOSE THE PERFECT BARBECUE Barbecues come in all shapes and sizes, from portable table-top grills to six-burner gas-powered outdoor kitchens. They also vary in price – so before you hit the shops it’s worth thinking about what you want from your barbecue to make sure you pick the perfect model for your needs. WHAT SIZE OF BBQ SHOULD YOU BUY? If you’re catering for a family (up to six people) a twoburner gas or medium-sized charcoal barbecue should fit the bill. But for larger gatherings and parties you might want to consider a three- or four-burner gas model - the grills are bigger so you can cook more food in one go. Oil drum or half barrel barbecues are the largest type of charcoal models available – you can fit a huge amount of food on the grill so they’re ideal for summer parties. But bear in mind that they use a lot of charcoal and so can be pricey to heat. Plus, a badly-designed model won’t get hot enough to cook food all the way through.

However many people you’re catering for, it’s a good idea to choose a barbecue that has a warming rack. This lets you keep cooked food warm while slowercooking food catches up. WHERE WILL YOU USE YOUR BBQ? Most freestanding gas and charcoal barbecues are designed to be used on a hard surface, such as the patio. If you want to use your barbecue on a lawn make sure the model you buy is sturdy and won’t topple over in a strong gust of wind. SHOULD YOU BUY A PORTABLE OR TABLE-TOP BBQ? Portable barbecues are smaller than freestanding models and take up less space. You can even get barbecues that are small enough to use on a garden table or bench. Both types are ideal if you want to barbecue on the go or you want a barbecue you can take on holiday. Portable gas barbecues offer more flexibility than freestanding models - they work with smaller
disposable gas canisters so you can easily take them camping or caravanning. If you choose to buy a portable barbecue make sure you check which gas canisters it uses and where you can buy them. HOW OFTEN WILL YOU BBQ? Gas barbecues give instant heat and cook quickly, so they’re ideal if you want to grill outdoors but don’t have much time – on weekday evenings or cooler days, for example. By contrast, charcoal barbecues can take a long time to get hot enough to cook on, so they’re not ideal for quick, impromptu meals. Instead, they are best suited to weekend parties and get-togethers with family and friends when you have the time to enjoy the cooking experience. ROASTING It’s possible to roast whole joints of meat on some gas and charcoal barbecues. If you like the idea of roasting food you’ll need to choose a model that has a tight-fitting hood. GRIDDLE OR HOT PLATE Increasing numbers of gas barbecues have a griddle or hot plate as well as a standard grill. This feature is great for searing steaks and frying lean cuts of meat, steak or vegetables. You can even use it to fry eggs. SIDE BURNER Some gas barbecues come with a side burner instead of a side storage shelf. This can be useful if you like to boil or steam vegetables or heat up barbecue sauces. The more cooking features a barbecue has the more expensive it’s likely to be. ASSEMBLING YOUR BBQ Some barbecues require more construction than others. If you’re not handy with a screwdriver, look out for those with pre-assembled parts – this will save you time and hassle. Ask to see the assembly instructions in the shop – if they’re not clear then putting it together back at home could prove a lengthy chore. STORING AND TRANSPORTING YOUR BBQ Freestanding charcoal grills are easy to move whenever you need them, but large gas barbecues are heavy and unwieldy to move and may be best left outside always. Look for charcoal barbecues that have sturdy wheels and handles so you can move and store them easily. ASIA-PAC HOTEL INVESTMENT HITS 5-YEAR HIGH SINGAPORE - Investing in Asia-Pacific hotels seemed the thing to do last year, with the hospitality investment market in the region hitting a five-year high on a transaction volume of US$12.83 billion (S$16.03 billion).

China was the largest market last year, followed closely by Singapore. China accounted for US$2.636 billion or 20.5 per cent of the total investment volume; Singapore came in at US$2.634 billion, with Japan third (US$2.61 billion) and Australia, fourth (US$2.271 billion). Hotel investments were more diversified across the region last year; properties were sold in emerging and non-core markets such as Cambodia, Macau and the Maldives. This year, however, Cushman & Wakefield expects the region's hospitality investment market to slow to between US$9 billion and US$10.5 billion. In the first half of this year, investment volume of hospitality assets totalled US$5.203 billion, up 9.5 per cent year on year. The core markets of Japan, Singapore, China and Australia accounted for nearly 70 per cent of that. Unsurprisingly, China saw the highest total for investments in 1H14 of some US$1.68 billion, underlining that buyers were bullish on the emerging market as well as suggesting that assets may be trading below par. However, the report went on to say that given the relative slowdown in the Chinese economy and

Singapore was second at US$1.24 million, owing to the sale of the 305-room Westin Marina Bay by asset manager BlackRock for US$369 million to Japan-based property developer Daisho Group last December. Mr Kulkarni added: "Lower hotel transaction volume is expected for Singapore this year than last year - at least in the organised institutional side. However, with the change in norms on shophouses, those that have approved hotel licences will see high guest demand." Under a new policy, the Urban Redevelopment Authority (URA) is tightening approval of new development applications for hotel, boarding house and backpackers' hostel uses. New Environmental Regulations Hit Koh Samui and Koh Phangan Off-Plan Investments – Part 2 In a previous article, this author discussed legal issues associated with investing “off-plan” in Thailand, including the importance of conducting due diligence, of establishing protective payments schedules, of obtaining Foreign Exchange Transfer Forms (“FETFs”), and of considering currency exchange risks. This article looks a bit deeper, at issues relating to the future use of an off plan investment (post-construction), which buyers should consider before deciding to invest. This article was co-written by Jeffrey Martin of the law firm Limcharoen.
Legal Access Rights The importance of securing legal access rights for land is an issue understood by even the most basic investors in Thailand (or anywhere else, for that matter). In Thailand, it is generally recommended that the target is adjacent to a public road, or if it is necessary to pass over private third-party land to access the public road from the target, that servitude/s are registered against that private third party land. With respect to off plan projects, access is often contractual. For instance, it is not unusual for the management company/service provider of a project to own the common areas of that project (including access roads), and to grant access rights to the project owners as per the estate management/maintenance agreement. Although providing less security to each owner, such a contractual arrangement is often favoured by the developer/service provider because it is seen to facilitate a concrete remedy if any owner is in breach: if an owner is in significant breach of the estate management agreement, the agreement commonly provides that the owner’s access to the common property, including access roads, can be terminated. However, both developers and buyers should be aware that there is an alternative option: servitudes can be registered against the common areas, together with a general servitude agreement registered at the land office, such that, if the servitude agreement is

breached, then remedies can be pursued by the non-defaulting party as per the registered servitude agreement. In some circumstances, this may represent a compromise, as the owners receive registered access rights, while at the same time, the estate management agreements will have “teeth” as against defaulting owners. In other cases, this arrangement may be too costly or impractical for the general level of investment – and therefore it is important for investors to seek specific advice for each investment. In a similar vein, investors should be cognizant of the manner in which electricity and water will be sourced to the project. It is possible for each unit to have independent access to utilities, although it is not uncommon for the service provider to own the utility infrastructure as part of the common property, and indeed common utilities can be more practical for most projects.
Rental Arrangements There are still a number of buyers looking for simple vacation homes, or in the case of expats, for permanent or semi-permanent living accommodations. However, a large portion of buyers in Koh Samui and Koh Phangan are looking for ROI, and therefore projects that offer rental management or a rental-pooling scheme are unquestionably popular. In a traditional rental management scheme, a management company will operate the owner’s unit as a rental property, and the owner will receive the net rental income from that unit, less deductions (such deductions generally include but are not limited to special promotion costs, service fees, the rental manager’s commissions or fees, third party commissions, common area fees, shared insurance fees, and utility charges). In a rentalpooling scheme, the entire project, or portion of the project, is collectively marketed to renters, and the net rental income from all contributing units, less said
deductions, is shared between all contributing owners on some pro rata basis. In either case, the rental management/pooling agreement can range from overly rudimentary, to an agreement similar in complexity to a branded hotel management agreement. While a document of the latter sophistication might not be necessary in every case, investors should engage a law firm, and take time to ensure that the agreement at the very least provides a comprehensive schedule, listing the duties of the service provider and limitations of the authority of the service provider; arrangements for payment of income tax, including withholding tax; the effective date and term of agreement; the circumstances which can result in termination of the agreement, and procedure for termination by the owners; disputes resolution procedures; a clear formula for calculating the net rental income payable to the investors, without room for hidden fees and deductions; amongst other terms. Investors should also consider the ongoing accountability and transparency of the rental and general management/maintenance. Are accounts available to evidence revenue and expenses? Are original invoices available? Are the owners consulted in the bidding process for major repair works? Owners should be aware that a high level of transparency does inconvenience the service provider, and owners should assess whether their expectations are reasonable in the context of any particular investment. An owners committee should be considered, which can increase the efficiency of seeking transparency from the service provider, although a full discussion of an owners’ committee is beyond the scope of this article. This article is intended to provide a general summary of the issues discussed, and should not be relied upon as legal advice for a specific investment. DEVELOPERS EYE ASEAN MARKET Asean markets will offer a vast opportunity for Thai property developers after regional economic integration kicks off late next year, but experts warn risks also lie ahead. Bangkok is seen from the Rama III Bridge over the Chao Phraya River. Experts predict Thailand's property market will be an attractive investment for foreigners after the launch of the Asean Economic Community late next year.  "Opportunities in the property sector in Asean members are admittedly large," said Sopon Pornchokchai, president of the Agency for Real Estate Affairs. "But we suggest Thai developers start with small-scale projects to minimise risks before expanding once successful." He said as of early this year, Bangkok had the largest number of residential projects among 10 Asean cities with about 1,500, followed by Jakarta (300), Manila (200), Ho Chi Minh City (150) and Phnom Penh (100). Before 1997, many Thai developers tried to do property business abroad. But many came back to stay focused on Thailand due mainly to differences in people's lifestyle, culture and many relevant regulations and laws. Prateep Tangmatitham, chief executive of SET-listed developer Supalai Plc, said Thailand was not an easy place for foreign investors to conduct property development due to barriers to foreign property ownership.
Official documents related to property and land are all in the Thai language, while local units of measurement such as wah, ngan and rai are still used, he said. "It's not easy for foreign investors to enter the Thai real estate sector, as they cannot wholly invest by themselves but need to establish a joint venture with local firms," said Apa Ataboonwongse, president of Richy Place 2002 Plc, recently listed on the SET. Nonetheless, Apichard Detpreechar, senior vicepresident and manager for housing loan products at Krungthai Bank, said provinces near the border have high potential for housing development due to the positive impact from neighbouring countries such as Laos, Cambodia and Vietnam. Of new home loans totalling 60 billion baht the bank released in the first seven months of this year, 30-40% were in the Northeast. Prof Dr Chira Hongladarom of Thammasat University urged Thai developers to be well prepared for not only funding and marketing but also human resources improvement for the Asean Economic Community. "Vocational graduates in the fields of engineering and architecture are in short supply in the Thai real estate sector," he said. "The sector should focus on human capital to drive business growth and sustain the industry. As long as our people have quality, we don't need to be afraid of anyone [in other Asean members]." There are a host of other optional services on offer such as a private chef, babysitting, pre-arrival shopping, laundry, driver or car hire, butler, island tours, personal training, massage and spa treatments, Thai cooking lessons...simply do your research and ask lots of questions when selecting your villa to see what is available to you during your stay. What brought you to Koh Phangan? Growing up in California I always had a passion for travel and exploring. After University that is what I did until 1996 when I landed on one of the most pristine and beautiful islands I had ever been to – Koh Phangan. Back then backpackers were all about finding unexplored places and I was a part of that. Swimming in the ocean I knew that the quality of life was much better on the islands than being stuck in city traffic, so I decided to find a way to make a life here. What did you do prior to Koh Phangan and were you always in Real Estate? Before moving to Koh Phangan I spent a few years teaching at Thammasat University in Bangkok. When I arrived in Koh Phangan I established the first tourist magazine for the island – Phangan Explorer – with my business partner. This was a great introduction to the island and allowed me the opportunity to meet many local people and business owners on the island. Real Estate is actually a bit of a family business so I have always had an interest in it and wanted to branch into it myself. How did SAGE Land and House come about, what was the inspiration in creating the company? While working on the island I noticed that a lot of foreigners were looking to relocate to the island and they were having trouble getting safe advice for their investments. Being half Thai myself I thought I could create a niche in the market by working with both the local Thai people and the foreigners providing Safe Advice and Good Ethics – and SAGE Land and House was born! In October this year SAGE actually celebrates its 10 year anniversary! Where are your offices located? Our office is located on the main road in Bantai, not far from the Bantai Pier. GREEN OFFICE TIPS As we spend more and more time in the office, it’s not just our homes we need to be conscious of when it comes to the environment, here are some tips to help your office go green and stay green! 1. Change your current lighting to LED’s; they are more expensive compared to other lighting solutions but they reduce power usage by as much as 80%. LED lights also last for up to 10 years so this means less replacement costs. 2. Install sky lights-Utilise free light from outside. Thermal glass used in sky lights can help maintain climate control With sky lights installed operator visibility will be improved, while also reducing power costs & improving workplace safety & productivity. 3. Install power shut down switches. These devices will allow all power to be switched off to office spaces, apart from equipment requiring power such as refrigerators. This can save large amounts of power

per year with machinery, computers and photocopiers normally using power when they are not in use. 4. Installing Solar panels on business sites such as offices, factories or warehouses makes even more practical sense than on housing; with most businesses remaining in a set location for long term periods of 20-30+ years you can ensure you get strong return on your investment. 5. Clean air filters in vehicles. A clean air filter can improve fuel consumption by up to 7%. By creating a policy that air filters must be changed every 4 months or less in vehicles, you can make significant savings in fuel consumption. 6. Add a sleep mode to all equipment. By running conveyors and other equipment at full capacity during breaks and lower usage periods your business is wasting precious energy costing them more in electricity and additionally causing their equipment to be worn out at a faster rate.
7. Install rain tanks for rain capture and use it for watering gardens, cleaning bays and even staff toilets. Stainless steel is the longest lasting material for rain tanks and can last up to 40+ years; they are the most expensive but will ensure the best return on investment if you’re expecting to stay on the same site for a long period of time (20+ years). 8. Implement recycling: organise for different waste to be delivered to different recycling programs, such as paper, plastic, tyres, oils, saw dust, batteries and scrap metal.

Additionally these double glazed windows offer more stability and safety; and eliminate the formation of black mold with their tight seals. 12. Add motion sensor lights to bath rooms, store rooms and areas that are not used continually to ensure electricity will not be wasted as these auto lights allow for light to be automatically turned off when the area or room is not in use. These savings all add up and can be significant.

LAND TITLE DEEDS IN THAILAND There are two main types of land ownership in Thailand which we should explain
RIGHTS OF POSSESSION Firstly there is the right of possession, for example, land that has been used by a family for generations to the benefit of the land and they have possession rights of the land under the civil and commercial code. Such titles are Sor Kor 1,Tor Bor 5 , 6 or Sor Por Gor 4. These titles basically are only family possession rights and generally only used for farming. These titles can not be bought or sold and no building rights or legal acts would be allowed on the land. I do know of cases where families being in possession of certain pieces of land for generations have been able to upgrade them to regular land title deeds but this is not generally the case and any serious investor would not normally give any credibility to these titles of possession.
RIGHTS OF OWNERSHIP Usually we are looking for land title deeds giving right of ownership not possession. Here there are basically three title deeds:- Chanote, Nor Sor 3 and Nor Sor 3 Gor. The most sought after titles are the Chanote and the Nor Sor 3 Gor as both these titles have legal documents of Rights of Ownership and can be sub-divided into smaller plots and planning permission and any such legal acts can be carried out immediately on the land.The only difference with the Nor Sor 3 is that although legal documents are issued for the land it has not been accurately surveyed which can lead to problems in verifying actual land area. And if any legal act is to take place on this land it must be published for at least 30 days. As we have been saying all the way through if it is not clear 100%, seek the advice of a legal professional in this field, as there are also many other issues that are important to consider such as servitude, access and rights of way.

TIPS FOR STARTING A NEW BUSINESS Are you planning to start your own business for the first time in Thailand? If so, we hope this useful information will help put your business on the right track. The simplest and easiest sort of company for foreigners to form with a small business is a Thai Limited Company. In Thailand, a Limited Company is a company with up to 100 shareholders, who share the same business purpose and is formed with a Capital divided into equal shares.
GETTING STARTED To set up a company, you must first have the memorandum that can be acquired at the registration office. To properly register, you are required to provide the authorities with details of your company and list a minimum of three shareholders (who can either be Thai or foreign nationals or both). At least seven days after you first approach the department, you can call a shareholder’s meeting to reach an agreement on the purpose of your business and set up the company’s operational rules. Having agreed on the purpose of your business, you can then apply for business registration at the same department. If you cannot agree on company rules, you can refer to those stated in the Civil and Commercial Code’s partnership and companies section.
SHARES Besides the issues of business registration, you must also make sure that your company’s shares are worth no less than 5 baht each. These shares can be transferred or even sold if the company has no regulations on this matter. Every shareholder must be given a share certificate, a document that guarantees their status as a shareholder. Should anyone wish to transfer their shares to another party; they have to fill in the share transfer form that confirms the deal between the transferor and transferee. The company also has to have in its possession a register of shareholders that contains a record of all the company’s shareholders. The book is evidence that will identify the company’s shareholders.
SHAREHOLDERS AND CHAIRPERSON A Limited Company’s shareholders can be either Thai or foreign nationals or both, but the percentage of shares held by foreign national plays a significant role in determining the nationality of your company, which may impose serious limitations on the company’s rights, such as landownership. If less than 49% of your company’s shares are held by foreigners, your company is considered a Thai company.

However, if foreign nationals hold more than 49% of the shares, your company is a foreign company. The significant differences between Thai and foreign companies operating in Thailand lie in their rights to buy and own properties or other businesses. It is therefore important, especially for those in real estate and development businesses, to know and remember that unless your company is Thai, you are restricted in the ability to possess and obtain land and property in this country without an exemption granted by the government. Foreign companies are also restricted to certain activities and to proceed with certain operations the company will have to apply for permission from the government. In such instances, applications will be considered case by case. They will also face tough scrutiny and strict restrictions on their right to operate and ability to run their business. These companies will be treated in the same way as foreign nationals seeking jobs in Thailand. If you are registered as a Thai company, you are automatically granted the right to purchase and own properties and other business and will be treated the same way as a Thai citizen. However, according to new legislation that has recently come into effect, the Land Department’s staff are now required to thoroughly investigate your Thai shareholders’ sources of income. Thai shareholders in a company wishing to purchase properties in Thailand have to declare their income and provide the authorities with evidence that proves their ability to co-invest with other foreign shareholders in the same company. Only those successful in convincing the authorities are granted the right to purchase and possess land. Companies with approval from the Land Department can then proceed with their applications for land title deeds or other certificates of use and possession.
LITTLE THINGS THAT MATTER A company limited has to have its own board of directors to act on behalf of the company. This panel will, however, act under the regulations and agreements approved by the shareholders. Appointing directors or removing any of them requires shareholders approval. At the end of the company’s financial year, within five months, it shall be the duty of the company to present the balance sheet to the Department of Business Development (DBD). If your company fails to present the balance sheet, the company will be fined up to 50,000 baht and the company’s board of directors may also be fined up to 50,000 baht. If the committee refuses to pay the fine, the police can appeal to the court for a warrant and file a lawsuit against the resilient parties. Withdrawal of the company’s business registration is also another penalty the company may face, should they not provide the authorities with the necessary statement. BUILDING REGULATIONS ON KOH SAMUI In order to build on Koh Samui you must first obtain a building permit from the municipality office and your building must meet certain requirements, depending on the location of the land on which you wish to build. There are 4 defined areas for land depending on its distance from the beach. (See diagram on opposite page)
STAGE 1. Land up to 10 Meters from the beach. The law states that no construction is permitted within this area. STAGE 2. Land up to 50 Meters from the beach. Within this area you are permitted to construct a single storey building only It’s height cannot exceed 6 Meters (including the roof) and the building cannot exceed the maximum allowed area of 75 Square Meters.
STAGE 3. Land up to 200 Meters from the beach. Within this area you are permitted to build up to a maximum height of 12 Meters (including the roof). The maximum allowed size is 2000 Square Meters.
STAGE 4. Land located more than 200 Meters from the beach. Within this area, building of up to 12 Meters in height (including the roof) can be constructed.
In addition, all buildings must now be constructed with peaked roofs, flat roofs are no longer permitted.

ENVIRONMENTAL REGULATIONS ON KOH SAMUI AND KOH PHANGAN There are defined areas relative to the distance above sea-level (i.e., reference to height above sea rather than set-back from shore-line), pursuant to the Regulations of Resource and Environment, 30th May 2557 (2014) (“Environmental Regulations”). Level 1 - Land less than 80 metres above sea level. In general, no additional rules apply in this level, subject to rules relating to hotels (50 percent of hotel land area must be left un-built on and “green”), residential projects consisting of 10+ units (must have water and waste treatment facilities), in addition to rules relating to water-dams, golf courses and airports. Level 2 - Land between 80 – 140 metres above sea level. Within this level, a single family home may be constructed on land that is 100 square wah or greater (if the land is less than 100 square wah, construction is prohibited). Structures cannot exceed 6 metres in height and must leave 50 percent of the land un-built on and “green; must have an architectural design based on traditional Thai, tropical or local aesthetics; must have a roof consisting of 80 percent of the total building area, and that matches the natural surroundings; and must include an approved water-drainage system, to prevent flooding. Level 3 – Land greater than 140 metres above sea-level. Within this level, the same rules apply as in Level 2; and in addition, structures in Level 3 cannot exceed 90 square metres. Slope Rules In all levels mentioned, where the land has a slope of between 35-50 degrees, only a single family home is permitted, which cannot exceed 6 metres in height and 80 square metres in area, and which must leave 75 percent of the land un-built on (50 percent of the un-built land area must be “green” with native trees). Furthermore, the land area must be 120 square wah or greater, otherwise construction is prohibited. If the slope is greater than 50 metres, construction is likewise prohibited.
