make the most of mosaic
M
osaic is the art of creating images with an assemblage of small pieces of coloured glass, stone, or other materials. Small pieces, mostly roughly square, of stone or glass of different colours, known as tesserae, are used to create a pattern or picture.
In the ancient days of tile installation, during the Roman and Greek periods, tile installers would painstakingly lay each tile individually. Nowadays, who has the time for this?
Using mosaic in your home is a way to create a feature wall, most popular in bathrooms and kitchens (think back-splash) but it can be applied almost anywhere, but always consider keeping a reasonable taste level.
But it is not just a matter of time; it is a matter of accurate installation. Installing hundreds of little tiles within one square foot is a recipe for crooked lines. Multiple iterations will make your kitchen or bathroom floor look terrible.
Ceramic tile tends to come in sizes of 6 inch or 12 inch square, or even larger, ranging up to 18 inches square. But when you get into the world of small 1 inch square terrazzo tiles (or even smaller), installation can be quite difficult.
The solution is to use mosaic tile sheets. Usually 144 tiles, more or less, are affixed to a fiberglass mesh sheet, which holds all of the tiles in place. This mosaic sheet represents one square foot. To put it lightly, the mosaic tile sheet is your friend!

Even though there have been improvements upon the 2000 year old technique of installing individual terrazo tiles, that does not mean that mosaic sheets are an easy installation. Here are a few tips that will make the project of mosaic tile installation much easier: Remember that even though the tiles are affixed to a single sheet, the sheets are flexible and do not necessarily keep the tiles within perfectly square. After you embed the mosaic tile sheet in the thinset mortar, you need to make sure that the tiles within the sheet are properly lined up.
If you prefer to cut the mosaic sheet from the top with scissors, it is harder to get a clean cut. You will need to slightly bend the two courses of tiles between which you are cutting. This gives your scissors room to fit. As much as possible, make sure the mosaic tile sheets are cut between tiles. It is difficult to cut individual tiles. Use a small piece of plywood (about 8 inches square) and a rubber mallet to tap down the mosaic sheet into the thinset mortar. This flattens it out, giving it a nice smooth surface. Also, it ensures that the mosaic tile sheet is firmly embedded in the mortar.

tained glass is such an interesting art form. The way the coloured glass captures the light can be quite magical. Additionally, there are endless applications of stained glass in a home. As a material stained glass is glass that has been coloured by adding metallic salts during its manufacture. The coloured glass is crafted into stained glass windows in which small pieces of glass are arranged to form patterns or pictures, held together (traditionally) by strips of lead and supported by a rigid frame. Although rarely considered in homes being built today, stained glass has an everlasting beauty to it that when used well can create an amazing effect. Here are some ways you can consider using stained glass in your home...
Windows Decorate part or all of your windows with stained glass. The purpose of the window is not to allow people to see outside, or even to admit light, but rather to control it. A stained glass window has been described an “illuminated wall decorations�.
Over Doors Why not add a little whimsy over a door? The colours you use can bounce right off the colour of your walls and is a great way to establish a tone and palette for a house.

Choose a chandelier that accentuates the rooms colour scheme, but that also fits in the room. For those of you who are gluten intolerant or choose not to eat gluten, we have provided a recipe that is just as delicious so you don't have to miss out on all the sweet stuff!

CLASSIC CUPCAKES INGREDIENTS (MAKES 12)
ICING
• 2 cups self-raising flour, sifted
• 1 1/2 cups pure icing sugar
• 3/4 cup caster sugar
• Pink food colouring, optional
• 3/4 cup milk
• 1 to 1 1/2 tablespoons water
• 125g butter, melted, cooled • 2 medium eggs • 1 teaspoon vanilla essence • Sprinkles and lollies, to decorate Preheat oven to 200°C. Grease a 12 x 1/3-cup capacity muffin pan. Alternatively, line holes with paper cases. Combine flour and caster sugar in a bowl. Make a well in the centre. Add milk, butter, eggs and vanilla to flour mixture. Using a large metal spoon, stir gently to combine. Spoon mixture into prepared muffin pan. Bake for 12 to 15 minutes, or until a skewer inserted into the centre comes out clean. Stand in pan for 5 minutes before transferring to a wire rack to cool. Now make the icing! Sift icing sugar into a bowl. Add food colouring and water. Stir until smooth and well combined. Spoon icing over cupcakes. Decorate with sprinkles and lollies.
GLUTEN FREE CUPCAKES INGREDIENTS (MAKES 12)
ICING
• 125g (4oz) butter, melted
• 2 medium egg whites
• 125g (4oz) caster sugar
• 150g (5oz) caster sugar
• 125g (4oz) gluten-free self-raising flour
• 100g (3½oz) butter, softened
• 2 medium eggs
• Few drops of vanilla extract
• 3tbsp milk
• Sprinkles
• Few drops of vanilla extract Set the oven to 190°C. Pour the melted butter into a bowl and add sugar, flour, eggs, milk and vanilla extract. Beat the mixture, preferably with an electric hand whisk, to give a smooth batter which may appear a little runnier than a usual sponge-cake mixture. Spoon mixture into the paper cases in the bun tray. Bake cakes in the centre of oven for 18-20 mins, or until they've risen and are light golden. Remove tray from the oven and leave cakes to cool for a few minutes, then transfer to a wire rack to cool completely. To make the icing - Place egg whites and sugar in a bowl over a pan of hot water. Stir until sugar dissolves completely. Remove the bowl from over the pan and whisk the egg whites until stiff. Gradually whisk in the butter and then the vanilla. The mixture may appear to separate, but keep whisking it at a high speed until it's light and fluffy - this is easiest done in a table-top food mixer, but can be done with an electric hand whisk. Swirl the icing on top of each cupcake. Scatter over the any sprinkles or decorations you have. samui phangan real estate

SO YOU WANT TO BUILD A BIRD AVIARY? Every aviary is going to be different, depending on the species of birds you keep in it, whether you are breeding birds or simply providing an outdoor play area for your pet. Some people prefer a patio or solariumstyle of aviary connected to their house. Others opt for a free-standing facility. Some aviaries resemble a greenhouse, while others look more like a barn or chicken coop.

So how big should your bird aviary be? At a minimum, the recommendation is flights be at least two or three

times the wing span of the bird for the width, six times the body of the bird for the length and at least four times the bird’s body length for the height. A flight that is 8-feet long, 4-feet wide and 8-feet tall would house a group of about 20 budgerigars (budgies or parakeets).
the foundation. After that’s down, you can build on your frame. After the frame is in place, use a galvanized, weldedwire cloth for the walls and roof. The wire spacing and gauge parameters depend on what size birds you are housing, keeping in mind the size will dictate the size of the wire and the size of the spacing, so they do not get toes or beaks caught in a restrictive space. Choose a wire that’s a heavy enough gauge that the bird can’t break it apart. Also make provisions for a shelter. Even if you put your birds outside on a nice day, weather conditions can change abruptly, in which case your birds may need protection from gusts of wind, rains or excessive heat. Make the last half or third of the flight enclosed. Do this by attaching solid hardwood, Plexiglas, shade cloth, or Filon corrugated plastic panels to the roof and two or three sides.
Ward Off Intruders A final consideration is deterring predators. A ½- by ½-inch wire will prevent rats and cats from getting through. If snakes and mice are a concern, ¼- by ¼-inch wire on the bottom half of each of the four sides and ½-inch wire for the top half will help. Additionally, building your aviary on a concrete foundation will help keep out the mice and snakes. Double wire will keep the critters from getting to the birds when they land on the outside wire. This is especially important on the roof of the aviary, but also on the sides; a raccoon will have a harder time reaching a pet bird if it has to get through two levels of wire fencing.

espite rising concerns over a property bubble, cooling measures are not needed at this stage, according to Jones Lang LaSalle, a professional services firm specialising in real estate. The Bank of Thailand recently asked commercial banks to adopt a more cautious attitude to mortgage lending, particularly to borrowers who are suspected of buying houses or condominiums for speculative purposes. ''As the Thai stock market heats up and the baht continues to strengthen, some economists in both the public and private sectors have voiced concerns over a possible bubble in Thailand's real estate market,'' said Suphin Mechuchep, managing director of Jones Lang LaSalle. ''This is probably based on an assumption that many people who have made a profit from the stock market may invest in the housing or condominium market. But there have been no clear signs of a bubble in Bangkok's condominium market so far.'' He added: ''A real estate bubble can occur when there is excess demand from speculative buyers and abundant liquidity through borrowing that drives property prices to levels well above their fundamental economic value. ''Bubble conditions can also be caused by developers themselves, undertaking development without proper market studies and planning, leading to overbuilding. However, our close monitoring of Bangkok's core and central condominium market shows that these conditions do not presently exist.'' Despite the strong growth of new supply, prices of condos in both completed buildings and off-plan projects in Bangkok continue to rise. However, price increases have been gradual and largely driven by sustained demand, improvements in product quality and offerings, and rising development costs. While it is hard to identify the actual percentage of speculators in the condo market, the consensus is that some projects by leading developers attract a considerable number. These projects include those in the upper-mid-price segment in prime locations, which show high potential to appreciate in price when construction is near completion. However, such projects are generally few and far between, as actual profits on changes in condo prices are unlikely to lure strong speculative demand. Overall, most buyers are end-users who buy the property for their own use or investors looking for an income-generating asset. Most new projects are in the mid-price segment (75,000 to 100,000 baht per square metre), satisfying growing demand from the young, middle-aged and retirees adopting an urban lifestyle. In the luxury segment, new launches have slowed in recent years, allowing the supply under construction to be absorbed by the market. PROPERTY ACQUISITION IN THAILAND: 4 KEY STEPS FOR BUYERS

With repeat visitors to Koh Samui and Koh Phangnan increasing ever year, it is no surprise that a large number of overseas visitors eventually seek to establish a second home in Koh Samui or Koh Phangnan, or retire and make Koh Samui or Koh Phangnan their permanent home. It is important for would-be property buyers in Koh Samui and Koh Phangnan to understand that the procedure to acquire property in Thailand may be considerably different to the procedure adopted in their home country. Furthermore, foreign buyers must be aware of the legal restrictions which exist in connection with the ownership by foreigners of certain types of property located in Thailand. Consequently, would-be property buyers must heed the maxim that “fools rush in” and take time to understand the legal procedure, the legal restrictions and the risks which may be associated with the transaction. Jeffrey Martin, senior associate of the law firm Limcharoen, Hughes & Glanville (Samui) sets out four key steps to follow when acquiring an interest in real estate in Thailand.
1. Choose the Right Real Estate Agent With little investigation, one will discover that there is an abundance of real estate agents in Koh Samui and Koh Phangnan, who are eager to assist would-be property buyers in the selection of their “dream” property. Real estate agents can possess different expertise, including but not limited to, types of property listed and value of property listed; and some real estate agents even cater for specific nationalities, such as Russian buyers and investors. It is important for the would-be property buyer to select a real estate agent that lists properties of a similar specification to those sought by the would-be property buyer, in terms of the type of property (whether villa, apartment or condominium), size, location and price. It is prudent to carry out enquiries to ascertain whether or not the real estate agent has a good reputation and whether or not the real estate agent has an established presence in Thailand.
2. Reserve the Property In order to secure the real estate, it is prudent to enter into a “reservation agreement” with the seller setting out the key terms of the transaction such as the property description, the agreed price and the agreed payment terms. The Reservation Agreement should also state that the seller will not agree to sell the property to anyone else during the time that the buyer will be conducting due diligence into the real estate. The buyer will usually be required to pay a small deposit to the seller to secure the property, which should ideally be retained by the buyer’s or seller’s lawyer pending the outcome of due diligence enquiries conducted by the buyer. The Reservation Agreement should at the very least stipulate that the

reservation deposit will be refundable in the event that the due diligence enquiries undertaken by the buyer yield negative results. The reservation agreement should be tailored to the buyer’s circumstances and any “extras” which you may have negotiated with the seller should be set out in the Reservation Agreement.
3. Due Diligence Once the reservation agreement has been executed, it is important to conduct comprehensive due diligence into the property. Due diligence is one of the most important legal stages when acquiring property in any jurisdiction, including Thailand. Land title due diligence in Thailand requires a professional review of the original land title documents actually physically present at the relevant land office in order to determine whether or not the seller actually owns the land upon which the property is built and whether or not there are any encumbrances registered over the land, such as leases or mortgages. The history of the land title beneath the property should be thoroughly reviewed by a legal representative and a comprehensive report should be issued with a clear opinion on the quality of the land title. It is important to establish whether or not the land has full legal rights of access both on foot and by vehicle and access to the electricity grid, water supply and drainage. Careful consideration must be given to the zoning, environmental and planning restrictions which apply to the land. Litigation checks should be conducted against the land owner (and the authorized director of the land owner if the owner is a limited company) to ascertain if there is any issue with the property or the individuals selling the property. Buyers should be aware that the existence of a number of previous owners does not automatically mean that the land has good title.
4. Contracts and Closing If the due diligence produces agreeable findings, the buyer should execute a binding contract with the seller, obligating both parties to complete the transaction. For both parties, this entails a significant economic decision. Therefore it is crucial that the relevant contracts are carefully worded to protect the buyer’s interests. The following should be considered in any contract negotiation: a) executing two separate contracts for the acquisition of land and a structure on the land, if applicable; b) including representations on behalf of the seller regarding the legality of the title, access to public roads, adherence to zoning and other regulations, and similar matters; c) including adequate default provisions, to provide remedies if a party breaches the contract; an d) including a clause that bestows your rights upon the successors, assigns, and heirs and the contracting parties. Finally, on the completion date, the buyer will likely transfer all or a portion of the contract price to the seller, and the seller will register the transfer of the legal interest to the buyer or a separate company, depending on the legal structure of the transaction. This process should carried out by legal counsel using valid Power of Attorneys for each party In following these steps, buyers are likely to avoid some of the headaches occasionally suffered by overseas buyers. This article is intended to provide a very brief overview of the steps involved to acquire an interest in land, or land and structure/s in Thailand, and is not intended as a do-it-yourself guide. “Collective leasehold structures provide owners in villa developments the legal means to have a greater say in their villa projects. Importantly, this means that owners have increased control over the renewal of their leases, thus mitigating a major risk associated with long-term leases in villa developments.”

We disagree. In our opinion, this structure creates a false sense of security for the investor—and, therefore, a poor “product” for the developer. A “collective leasehold” will not meaningfully mitigate the risk that your lease will not be renewed. To understand why, we need to cover a bit of background. Long-term leaseholds are a popular mode of investing in Thai real estate for foreigners. This is largely due to the fact that the law, with some limited exceptions, prohibits foreign freehold ownership of land in Thailand. However, under current Thai law the maximum lease term is a mere 30 years. Thus, it has become rather common for developers who are marketing to foreigners to offer a long-term lease of 30 years with two additional successive 30-year terms. Usually, the rent for all three terms is “pre-paid” (i.e. before or on registration of the first term) and the lease agreement provides that almost all of the rent is paid for the first 30-year term with the parties agreeing to some nominal amount e.g. THB 100,000 for the rent for the second 30-year term and e.g. THB 100,000 for the rent for the third 30-year term. However, as provided by Section 540 of the Civil and Commercial Code (“CCC”) any such additional term is not an “extension” of the lease—rather it is merely a “renewal” of the lease. This means the new term is essentially a new contract. The result is that if the owner of the property changes during the first lease term, the new owner will not be obliged to honor the renewal of the lease even if the lessee has already pre-paid the original owner for the renewal term. This is because the new owner never offered to renew the lease and the law does not oblige the new owner to honor an offer made by the original owner and lessor. As mentioned, in an effort to address this insecurity many developers offer you a “secured leasehold” structure or as the Article referred to it, a “collective leasehold” structure. You are promised not only a lease but also acquisition of a shareholding ownership interest in the Thai limited company that owns the land that you will lease. The other development purchasers would then do the same. And then, “collectively”, you all will control the land owning/lessor company. Purportedly, this would then ensure that all of these lessees would have their leases renewed for the

two successive 30-year terms—“guaranteeing” the full 90 years. But this structure does nothing to address the most significant risks that your lease will not be renewed. Perhaps the biggest reason why the said structure is not truly secure is the potential tax liability that the land owning/lessor company will incur. For discussion purposes let us assume that you paid THB 10 M for the first 30-year lease term and that your lease contract provides for a rent of THB 100,000 for the second 30-year term. Section 40(5) of the Revenue Code of Thailand (“RC”) authorizes the Revenue Department (“RD”) to assess any lessor for what it considers to be the reasonable value for the rent of immovable property in Thailand. There is of course an appeals process when a taxpayer is so assessed. However, under Section 31 of the RC, this appeal does not allow the assessed taxpayer to defer payment of the additional tax resulting from the assessment. Any amount not paid within the short window provided in the assessment notice, is deemed an “arrears of taxes”. Under Section 12 of the RC the RD can then immediately—i.e. without a court order—seize and sell by auction any property belonging to the delinquent taxpayer in order to satisfy the arrears tax and applicable penalty and surcharge. Coming back to our example it is obvious that if your current rental value for 30 years is THB 10 M, then THB 100,000 for a second 30-year term beginning 30 years thereafter is highly unlikely to be considered a “reasonable” amount. In fact, it is also very unlikely that even the original THB 10 M you paid for the first 30-year term would be considered reasonable 30 years from now. Thus, for the purpose of our example, we will assume a RD assessed rental value assessment for that second 30-year term of THB 20 M. The tax payable on this amount would be approximately THB 5 M. Let’s further assume that you leased in a medium size development with 20 land plots leased using the Article’s “collective leasehold” structure. The land owning/lessor company—the one that you and the other lessees obtained an interest/shares in—would then face a total rental value assessment of: 20 x THB 5 M = THB 100 MILLION. If the corporate income tax on this amount—approximately THB 25 M or almost USD 1 M—was not paid in a timely manner, the scenario above unfolds. If tax is owed, the RD can seize and sell the property by auction to a new landowner to satisfy the debt. And please note—this could easily happen well before the end of your first 30-year term if one or more plots were leased a tax year or more before you leased your plot. Unfortunately the “collective leasehold” does little if anything to address the very real insecurity that your longterm lease will not be renewed. Fortunately, however, there are far better legal means than the “collective leasehold” that do provide actual long-term lease security and without any downside to the developer. This can be achieved by securing the pre-paid renewal terms with a mortgage over the land plot in question. It is a simple and straightforward legal structure that provides security for the investor and, therefore, a marketing opportunity for the developer. But you should first engage competent legal and tax counsel in order to successfully implement this lease security structure. samui phangan real estate

Renting a villa as a family or group of friends can prove far more economical in the long run than hotel accommodation and can afford you the luxury and privacy you seek on a holiday without breaking the bank. For longer term lets, there is a multitude of options from private owners to agent lets ranging from basic to 6 star luxury – all you need to do is spend some time finding the right villa for your long-term living needs. If booking your villa from outside of Thailand, it may be wise to use one of the more established and recognised agents to ensure you are getting what you pay for. While it may seem cheaper to go directly through the home-owner, agencies usually have representatives in Samui and Phangan who can advocate on your behalf. That can include minor repairs or even moving you to another property if you’re not satisfied with your original choice. That’s something that the owner can’t help you with.
Prices can vary greatly depending on the location of the villa (closer to the beach or beach-front means you will pay for the access and view!), the size/bedroom numbers, the facilities, services and the standard of the villa - with several levels of luxury available! There are hundreds of villas available on the islands starting from basic, mid-level, luxury and beyond – it’s truly reliant on your budget and your requirements - either way, you will not be stuck for choice. Generally a deposit of 50% or more is required to secure the villa of your choice prior to your holiday and the remainder paid in full upon arrival, this may vary from agent to agent. Read the rental agreement very carefully to make sure you understand what’s provided as well as any and all conditions, exclusions, inclusions, costs and penalties.

So how did you both come to live in Koh Samui? I first moved here about 13 years ago and was actually working in real estate as well as hospitality says Kirk, and then Jono arrived about 5 years later with a wealth of his own hospitality knowledge and experience. 2014 PORSCHE PANAMERA S E-HYBRID DEBUTS AS PORSCHE'S FIRST PLUG-IN HYBRID

orsche just unveiled its first ever plug-in vehicle – the 2014 Panamera S E-Hybrid! The new hybrid vehicle builds upon the Panamera S hybrid, but adds a more powerful electric motor with a higherperformance battery. Best of all, it has the ability to be recharged from home or public vehicle charging stations. The Porsche Panamera S E-Hybrid is powered by a 416 horsepower hybrid system. The electric drive produces 95 hp,and electricity is stored in a newly developed lithium-ion battery, which at 9.4 kWh has increased capacity over the previous battery (1.7 kWh). Via the integrated on-board charging componentry

But in addition to improving the aesthetics of your home, decorative concrete is also a great choice if you're concerned about minimizing your home's impact on the environment.
1. Build your home with concrete walls.
You're probably already familiar with some of the green benefits of concrete as a building material, including

resource efficiency, durability, and thermal mass. But how do you make the most of these attributes when making your design plans? Here are eight ideas for using concrete to make your home exterior more eco-friendly.
2. Cover your roof with concrete tiles. Precast concrete roof tiles have a life span of 50 years or longer, compared with 25 years or less for standard asphalt- or fiberglass-based shingles. If they ever do need to be replaced, the old tiles can be recycled to make new tiles or other products. Because of their thermal capacity, concrete roof tiles can also reduce your home heating and cooling costs and maintain more constant indoor air temperatures. From a safety standpoint, the tiles are noncombustible and won't burn when exposed to flames or sparks. They also are available in a variety of classic styles such as barrel, shake, and slate profiles.
3. Use concrete for all your exterior flatwork. Because of their light color, concrete slabs also have higher light reflectivity than asphalt pavements, reducing urban heat-island effects.
4. Use a cement-based exterior finish. There are a number of cement-based wall finishes you can choose from to dress up your home's exterior. Traditional stucco has been used for decades as an exterior finish material for homes, but it's gaining new appreciation for its many sustainable qualities, including fire resistance, excellent weathering characteristics, low maintenance, and resistance to rot, mold and termite infestation. Another option is to cover your walls with a stampable concrete overlay, a lightweight polymer-modified decorative wall system that can be imprinted to mimic natural stone. If you like the look of traditional wood clapboard siding, consider installing cement-based cladding, a composition of cement, sand, and cellulose fiber that offers the performance benefits of stucco yet looks like wood. and weather-tightness of your home: cast-in-place concrete walls (where the forms are removed once the concrete hardens), precast panels, concrete blocks, and insulating concrete forms (ICFs). With ICF walls, the concrete is pumped between two layers of polystyrene foam insulation, so they offer superior insulating values and airtightness, dramatically reducing the amount of energy needed to heat and cool a home. ICF homes also are less drafty and maintain more even indoor temperatures.
5. Install a pervious concrete driveway. Pervious concrete, a porous paving material that captures rainwater and allows it to percolate into the soil, is an eco-friendly solution in areas where stormwater management and reducing pollution runoff are concerns. Pervious pavements will also channel more water to the tree roots and landscaping on your property, so there is less need for irrigation. aking soap at home is a satisfying, inexpensive way to provide for your family's needs or create wonderful gifts for your friends. You can make soap using a kit, but making it from scratch enables you to choose your own ingredients and customize the soap to fit your needs.
• 2 teaspoons almond oil (or your choice of nourishing oil) • 5ml - 15ml essential oils or fragrance (depending on strength of scent)
Because all soaps contain lye (you really can't call it soap if there isn't lye in it), rebatching is a great way to make your own natural soap without all the dangerous chemicals (like SLS's; sodium laurel sulfate and the like).
Grate unscented, plain white natural soap, or use natural Castile soap, and place into a Pyrex or heatresistant glass bowl. Add 1/4 cup of water. No need to stir, in fact, don't stir it no matter how tempted you may be, it adds too many air bubbles to your mix. Make a double boiler by placing Pyrex into a pot of simmering water and heat gently until melted.
Not only is it fun to make and far better for your skin than the junk in the store, but this recipe is fully customizable to suit whatever mood, flavor, scent, or property you want.
Remove from heat and add remainder of ingredients. Fold in ingredients very carefully to mix without adding any bubbles if possible.

Next step is to pour it into your mold. This is where it gets fun. You can use so many things to make your soap how you want it to look. Sure you can buy soap molds in fancy designs, but a Pringles can, or old ice cream box (smeared with petroleum jelly so it releases) works just as well. Pour soap into your mold and tap mold gently to release any air bubbles, and place in the refrigerator to set. After it is set enough to release it from the mold you can remove it and place it on a rack to dry fully (for at least 3 weeks to fully cure). After soap has cured, you can cut and wrap up your natural handmade soap to use yourself, or give as great gifts. Just remember that food colour is not suitable for making soap. You can use herbs and spices for coloring and added benefits as well as essential oils to add fabulous properties to your homemade soap. LAND TITLE DEEDS IN THAILAND There are two main types of land ownership in Thailand which we should explain
RIGHTS OF POSSESSION Firstly there is the right of possession, for example, land that has been used by a family for generations to the benefit of the land and they have possession rights of the land under the civil and commercial code. Such titles are Sor Kor 1,Tor Bor 5 , 6 or Sor Por Gor 4. These titles basically are only family possession rights and generally only used for farming. These titles can not be bought or sold and no building rights or legal acts would be allowed on the land. I do know of cases where families being in possession of certain pieces of land for generations have been able to upgrade them to regular land title deeds but this is not generally the case and any serious investor would not normally give any credibility to these titles of possession.
RIGHTS OF OWNERSHIP Usually we are looking for land title deeds giving right of ownership not possession. Here there are basically three title deeds:- Chanote, Nor Sor 3 and Nor Sor 3 Gor. The most sought after titles are the Chanote and the Nor Sor 3 Gor as both these titles have legal documents of Rights of Ownership and can be sub-divided into smaller plots and planning permission and any such legal acts can be carried out immediately on the land.The only difference with the Nor Sor 3 is that although legal documents are issued for the land it has not been accurately surveyed which can lead to problems in verifying actual land area. And if any legal act is to take place on this land it must be published for at least 30 days. As we have been saying all the way through if it is not clear 100%, seek the advice of a legal professional in this field, as there are also many other issues that are important to consider such as servitude, access and rights of way.

TIPS FOR STARTING A NEW BUSINESS Are you planning to start your own business for the first time in Thailand? If so, we hope this useful information will help put your business on the right track. The simplest and easiest sort of company for foreigners to form with a small business is a Thai Limited Company. In Thailand, a Limited Company is a company with up to 100 shareholders, who share the same business purpose and is formed with a Capital divided into equal shares.
GETTING STARTED To set up a company, you must first have the memorandum that can be acquired at the registration office. To properly register, you are required to provide the authorities with details of your company and list a minimum of three shareholders (who can either be Thai or foreign nationals or both). At least seven days after you first approach the department, you can call a shareholder’s meeting to reach an agreement on the purpose of your business and set up the company’s operational rules. Having agreed on the purpose of your business, you can then apply for business registration at the same department. If you cannot agree on company rules, you can refer to those stated in the Civil and Commercial Code’s partnership and companies section.
SHARES Besides the issues of business registration, you must also make sure that your company’s shares are worth no less than 5 baht each. These shares can be transferred or even sold if the company has no regulations on this matter. Every shareholder must be given a share certificate, a document that guarantees their status as a shareholder. Should anyone wish to transfer their shares to another party; they have to fill in the share transfer form that confirms the deal between the transferor and transferee. The company also has to have in its possession a register of shareholders that contains a record of all the company’s shareholders. The book is evidence that will identify the company’s shareholders.
SHAREHOLDERS AND CHAIRPERSON A Limited Company’s shareholders can be either Thai or foreign nationals or both, but the percentage of shares held by foreign national plays a significant role in determining the nationality of your company, which may impose serious limitations on the company’s rights, such as landownership. If less than 49% of your company’s shares are held by foreigners, your company is considered a Thai company.

However, if foreign nationals hold more than 49% of the shares, your company is a foreign company. The significant differences between Thai and foreign companies operating in Thailand lie in their rights to buy and own properties or other businesses. It is therefore important, especially for those in real estate and development businesses, to know and remember that unless your company is Thai, you are restricted in the ability to possess and obtain land and property in this country without an exemption granted by the government. Foreign companies are also restricted to certain activities and to proceed with certain operations the company will have to apply for permission from the government. In such instances, applications will be considered case by case. They will also face tough scrutiny and strict restrictions on their right to operate and ability to run their business. These companies will be treated in the same way as foreign nationals seeking jobs in Thailand. If you are registered as a Thai company, you are automatically granted the right to purchase and own properties and other business and will be treated the same way as a Thai citizen. However, according to new legislation that has recently come into effect, the Land Department’s staff are now required to thoroughly investigate your Thai shareholders’ sources of income. Thai shareholders in a company wishing to purchase properties in Thailand have to declare their income and provide the authorities with evidence that proves their ability to co-invest with other foreign shareholders in the same company. Only those successful in convincing the authorities are granted the right to purchase and possess land. Companies with approval from the Land Department can then proceed with their applications for land title deeds or other certificates of use and possession.
LITTLE THINGS THAT MATTER A company limited has to have its own board of directors to act on behalf of the company. This panel will, however, act under the regulations and agreements approved by the shareholders. Appointing directors or removing any of them requires shareholders approval. At the end of the company’s financial year, within five months, it shall be the duty of the company to present the balance sheet to the Department of Business Development (DBD). If your company fails to present the balance sheet, the company will be fined up to 50,000 baht and the company’s board of directors may also be fined up to 50,000 baht. If the committee refuses to pay the fine, the police can appeal to the court for a warrant and file a lawsuit against the resilient parties. Withdrawal of the company’s business registration is also another penalty the company may face, should they not provide the authorities with the necessary statement. BUILDING REGULATIONS ON KOH SAMUI In order to build on Koh Samui you must first obtain a building permit from the municipality office and your building must meet certain requirements, depending on the location of the land on which you wish to build. There are 4 defined areas for land depending on its distance from the beach. (See diagram on opposite page)
STAGE 1. Land up to 10 Meters from the beach. The law states that no construction is permitted within this area.
STAGE 2. Land up to 50 Meters from the beach. Within this area you are permitted to construct a single storey building only It’s height cannot exceed 6 Meters (including the roof) and the building cannot exceed the maximum allowed area of 75 Square Meters.
STAGE 3. Land up to 200 Meters from the beach. Within this area you are permitted to build up to a maximum height of 12 Meters (including the roof). The maximum allowed size is 2000 Square Meters.
STAGE 4. Land located more than 200 Meters from the beach. Within this area, building of up to 12 Meters in height (including the roof) can be constructed.
