Award season at Seeff The Seeff Annual Awards which were held on the 17th of March acknowledged the top achievers in the company for property sales and rentals in 2014 and proved to be a great success for the Southern Suburbs, Hout Bay and Llandudno agents.

The Seeff awards, always hotly contested for, saw Sean Guy and Belinda Keys of Southern Suburbs coming 1st as a partnership nationally, Sonya Garisch and Jacqui Bush coming 1st for a rental partnership nationally and the Constantia Upper team of Priscilla Young, Marie Durr, Liza Snijman and Janine Stevenson securing the top partnership of 4 nationally (all photographed on right page). A good year expected for property despite the bitter-sweet budget Not entirely unexpectedly, budget 2015 has been bitter-sweet for the property market. On the down side, personal income tax and fuel levies are up as is transfer duty on property purchases above the R2.25 million price mark. On the up side though, government has raised the threshold for the exemption of transfer duty to R750 000. This certainly makes home ownership more affordable for the middle class although they will have to find a bit of extra budget to compensate for the personal income tax and fuel levy hikes. The upping of the transfer duty above R2.25 million is both significant and worrisome considering that on transactions between R5 million and R10 million, it amounts to an effective 22-30% increase - something that is likely to make buyers think twice.

This is regrettable especially given that we are in the midst of a two-year growth spurt despite the subdued economic conditions. For the first time in years people are buying houses again with a whole economic value-chain of services benefiting - from estate agency commission to legal fees, home inspections, utility deposits and connections and tax clearance costs and transfer duty for government. Having said this buyer sentiment and confidence in the property market has seen a strong start to the year with most of the hot spots across the main centres, countryside and coastal areas continuing to report strong demand. The lower inflation and flat interest rate have been another boost for the market during the early part of this year. The still weak rand also continues to make property an attractive investment for upper income buyers. While still trading against the backdrop of a depressed economy and rising costs including the recent budget hikes, we nonetheless expect the outlook to remain stable to positive. It is still a good time to buy and for sellers especially, a good time to put their properties on the market.

the starting point of COLONIAL HISTORY The Castle of Good Hope has been the centre of life at the Cape since its inception in January 1666. It has survived many challenges in its time and was constantly under threat of being demolished for personal and materialistic gain. Sentiment in the early days whereby the then Imperial Government offered the Castle for sale for a mere £83.340, would seem to be nothing new and thanks to the military authorities they evoked a strong public reaction in favour of retaining the Castle of Good Hope. The gateway – built in 1682 – replaced the old entrance, which faced the sea. The pediment bears the coat of arms of the United Netherlands, portraying the crowned lion rampant holding the seven arrows of unity in its paw. Carved on the architrave below are the arms of Van Hoorn, Delft , Amsterdam, Middelburg, Rotterdam and Enkhuizen—all Dutch cities in which the United East India Company had chambers. Two VOC (Vereenighde Oost-Indische Compagnie) monograms flank the carvings. The two pilasters, entablature and pediment above are built of grey-blue stone, while the entrance is made of small yellow bricks called ijselstene, making it a unique example of 17th century Dutch classicism at the Cape . Sections of the moat, which previously formed part of the defence system of the Castle, were rebuilt in 1992 during restorations. The Castle of Good Hope would be referred to as ‘Kui keip’(Stone Kraal) by the Khoina. Protecting its interests against the British and French would obviously require soldiers and therefore a military presence. These soldiers served the Dutch East Indian Company and 34 | the property pages | april 2015

were remunerated for their services. This explains the military presence at the Castle of Good Hope until this day in terms of safeguarding of the facility, guard duties and military ceremonies. Built by soldiers, sailors and slaves, the walls were clad in local stone. The Castle of Good Hope was to fulfill its role as a replenishment station of the Dutch East Indian Company and to protect its logistical and financial interests along the “spice route”. One is taken back in History and life at the Cape of Good Hope. This is evident when one visits the William Fehr Collection and the Castle Military Museum. The Castle of Good Hope was a welcome sight for sailors traveling up to six months at sea and referring to Cape Town as the “Tavern of the Seas”. Welcome to my home It has been a wonderful year or so with Seeff Property Pages and I just realised that many of you in the Cape will not know about where I live. Well, about a decade ago, I moved upstream to River Lodge Farm. It’s in a quiet valley on the banks of the majestic Crocodile River, just North of Johannesburg. A lot of the 8.4ha was devoted to lush pastures except for a small garden patch around the house and an indigenous forest adjacent to the river. The plot was infested with alien, invasive species such as privet, syringa (Melia azederach), gum and poplar, all of which were listed as invasive species in South Africa. Birds helped spread the seeds. Every winter we spent removed almost every one. The garden around the farmhouse was a collection of Euro-centric plants surrounding the edges of a kikuyu lawn and an old fashioned pool. I like that it now resembles a more relaxed country garden with open vistas to the surrounding veld or grassland.

Being right near a river and low down in the valley, means we experience extreme cold, often between -10 and -14°C for many weeks during winter. We often wake to the birdbaths and our dog’s drinking bowls being frozen solid and frost so white that it looks like fairyland. We have native trees including Celtis africana, African olives and river bush willows, some of which are more than 300 hundred years old, as well as exotics including Malus floribunda, Quercus palustris and Magnolia ‘Russet’ to name just a few. Many indigenous and exotic shrubs do well. Particular favourites are the Buddleya salvifolia, Hydrangea quercifolia, and Photinia ‘Red Robin’ as well as Berberis with such striking foliage. I’ve planted as many South African native, cold hardy grass I can lay my hands on, while my trial garden is a repository for favourite roses including many David Austen’s. Wire fences have been re-purposed as homes for climbing sweet peas, in season, and rambling roses. Meandering pathways of natural light brown coloured gravel add a more natural, country feel to the grounds. Wider pathways are simply mown as walkways between and through the old pastures linking different parts of the garden. Initially the lawn and garden was “hemmed in” from the landscape vistas - perhaps for protection from wildlife, or prevailing winds and bad weather. I wanted to retain the feeling of living in a country setting with wide-open space, so we lifted the lower branches of trees, removed old shrubbery and opened the garden to the

surrounding grassland and distant trees along the river. Outlying grazing pastures have gradually been re-habilitated into natural veld grass. It’s amazing to see just how many native plants have gradually returned with Ajugas, Hypoxis and Pelargoniums growing wild. Many grass species put on a show with superb plumes in summer. In addition to hundreds of species of birds such as turquoise woodland kingfishers, woodpeckers, birds of prey and Guinea fowl, we have several mammal species including water monitors, porcupine, mongoose, hares, civet cats and genets. Restoring River Lodge to its origins is still very much a work in progress, but there’s nothing more enjoyable. Until next time, be a responsible gardener.

Obesity is a killer in humans…it can be in pets too! Just as humans suffer from obesity, so do our pets, but they place their health in our hands while our health rests on our own shoulders. FURNISHING GUARANTEES WHEN P U R C H A S I N G I M M O VA B L E P R O P E R T Y A fancy word……….Does a simple proof of funds not suffice? - BY BELINDA LEWIS In the previous edition of The Property Pages, I discussed requirements around the payment of a deposit when buying property. This month, we take a look at the next step in the process with regards to a further financial commitment required of the purchaser, namely: The furnishing of acceptable GUARANTEES to secure the purchase price . W H AT A R E G U A R A N T E E S ? A seller requires proof from the purchaser that he has the funds necessary to pay the agreed purchase price. In other words, the seller can take it as guaranteed that the funds will be available to the transferring attorney on the date of transfer. A seller needs to know that funds, whether cash or bond proceeds, have been specifically allocated and reserved for the purchase. This security and proof is achieved by way of the purchaser being required, contractually, to furnish acceptable financial guarantees to the seller’s transferring attorney shortly after concluding the Agreement of Sale. A typical time period granted for the furnishing of guarantees would be between 14 and 30 calendar days of the date of sale or date of fulfilment of any suspensive conditions therein, as the case may be. (A suspensive condition is for instance bond approval or the sale of the purchaser’s property. The deal is conditional on or “hinges” on that condition being met.) It is not only the seller or his attorney who requires proof. Before consenting to the cancellation of the seller’s existing bond, the bond holder also requires 62 | the property pages | april 2015

proof in the form of a guarantee that the outstanding balance owing on the bond will be settled in full on transfer. This proof comes in the form of guarantees obtained against the purchaser’s cash or bond proceeds (or sometimes a combination of both). W H AT F O R M M U S T G U A R A N T E E S TA K E ? The 4 most common sale of property transactions are structured financially as follows: - A 100% cash deal; - A cash and bond deal (eg 20% cash and 80% bond); - A 100% bond deal (less common and perceived to be less favourable); - A deal subject to the sale and transfer of the purchaser’s property (ie the purchase is financially linked to and dependant on the sale and transfer of the purchaser’s property); Whichever the case, the transferring attorney is obliged to ensure that either of the following guarantee “options” are met: • The purchaser obtains a bank guarantee from the banking institution which holds his funds. Bank guarantees can be costly to obtain with the banking institution most often charging a fee to issue the guarantee which is calculated on a percentage of the amount of funds being guaranteed (up to 1%). The registration of transfer of the property triggers the bank’s responsibility to pay out in terms of the guarantee. It is much like presenting a cheque for payment, except the bank guarantee will never bounce!

• Alternatively, the transferring attorney offers the purchaser the option of transferring the funds into his trust account where the cash will be invested with interest to accrue to the purchaser until the date of transfer. The attorney charges a small administration fee to administer these funds in trust which is often a lot less than the cost to the purchaser of obtaining a bank guarantee from the banking institution in question. (A viable alternative to the formal bank guarantee option). • In the case of the purchaser’s bond proceeds, the transferring attorney obtains a financial guarantee from the attorney attending to the registration of the bond, which guarantee will be conditional upon the registration of both the transfer and mortgage bond over the property. • In the case of a purchaser who has bought subject to the simultaneous transfer of his own property, the transferring attorney obtains either a letter of undertaking or more often, a financial guarantee from the attorney attending to that transfer, either of which would be conditional upon the registration of their transfer and any linked mortgage bond in that deal. (Whether an undertaking is given or a proper bank guarantee furnished depends largely on whether the seller has an existing bond to cancel). WOULD A “LETTER OF C O M F O R T ” , FA C I L I T Y LETTER” OR BANK S TAT E M E N T S U F F I C E ? We are often asked by purchasers when we send out a request for guarantees, whether the purchaser cannot simply


property law provide ourselves with a “Letter of Comfort” from their banking institution, a “Facility Letter” or a bank statement. Typically, such a letter would confirm that the bank holds funds or a banking facility to a certain amount for their client, and may even go so far as to state that the purchaser has been a long standing client of theirs who has held banking accounts with them in good order for many years. Such a letter is a “nice to have” in the interim and an indication of the financial ability of the purchaser but unfortunately, not enough. In short, a Letter of Comfort or Facility Letter does not suffice for guarantee purposes. The reason for this is twofold: 1) There is no guarantee that the funds in question have been specifically blocked off and allocated by the bank for the purchase of the immovable property in question. In a nutshell, the purchaser – the bank’s client – could in fact withdraw the funds at any given time before transfer of the property for the purpose of another large asset acquisition. The bank would not be able to stop that on the strength of their Letter of Comfort or Facility Letter issued against such funds. A stronger commitment to the deal is required of the purchaser and the 2 options of either a) a bank guarantee or b) the actual cash paid to the attorneys, apply. Most often, purchasers elect to transfer their funds into the trust account of the attorney for the reasons stated above. 2) Secondly, where a seller has an existing bond to cancel, the bondholder requires a proper bank guarantee to be furnished to them, covering the outstanding loan amount and interest accruing thereon, to date of the transfer. S E L L E R H A S O B L I G AT I O N S ELSEWHERE… To compound the issue, a seller may well have purchased elsewhere subject to transferring his property simultaneously with that new property. Sometimes the seller is forced to go in as a cash buyer where he is purchasing, to make his offer more attractive. This is obviously risky for the seller and even more so, he would need to know that his sale was “safe” and specifically that the guarantee provisions therein had been fully complied with by his purchaser.

S P E C I A L C I R C U M S TA N C E S WHERE THERE WILL B E TA I L O R I N G O F T H E GUARANTEE REQUIREMENTS TO S U I T T H E P U R C H A S E R ’ S F I N A N C I A L C I R C U M S TA N C E S In the case where a purchaser has not yet received the funds necessary for his purchase but the release of such funds to him is imminent, this needs to be specifically provided for in the Agreement of Sale and the date for the furnishing of guarantees by him must coincide with that future event. For instance, consider the following: - Purchaser expecting funds from a divorce settlement; - Purchaser to be paid out funds upon the winding up of an estate; - Purchaser expecting a pension, bonus or dividend payout, share allocation; In all of the above, the seller would need to exercise a certain amount of patience and flexibility with regards to the purchaser delivering guarantees and in turn, the seller would require of that purchaser a decent deposit payment on the table to signify commitment, good faith and financial ability in the interim. A NON-RESIDENT BUYING WITH OVERSEAS FUNDS It is a simple process to transfer funds from off shore to South Africa and exchange control permission is not required from our Reserve Bank. It takes approximately 2 – 4 working days for funds transferred from overseas to arrive in the attorney’s trust account in South Africa. We generally do not work with guarantees from overseas banks which are complicated, costly to obtain and difficult to enforce. The best practice with foreigners is for the funds to be transferred to the transferring attorney in South Africa within an agreed time period which is clearly recorded in the Agreement of Sale. What happens if a non- resident has purchased property and the purchase price is to be paid from either the sale and transfer of his property in the United Kingdom and/or the registration of a mortgage bond over a property owned by him in the United Kingdom? In such case, the Agreement of Sale would be required to provide for a fixed

date upon which the purchaser would need to make payment of the purchase price to the transferring attorney in South Africa. It would then remain the purchaser’s responsibility to ensure that the respective financial transactions overseas are managed timeously so as to meet that date. The purchaser should either commit to the deal with the seller as a cash deal where no mention is made of the linked deal(s) overseas or, if the purchaser wanted to be cautious and make the transfer of their UK property or the registration of a bond over their UK property a suspensive condition of their purchase, this would be their choice to do so but up to the seller to accept a conditional offer of this nature. TO S U M U P Purchasers can feel that having bought a property and paid a deposit, they are then placed under pressure by the transferring attorneys to deliver guarantees timeously. It can be a somewhat daunting experience. It is however an exceptionally important aspect of the purchase of property in South Africa, an accepted and necessary practice for the reasons given above and vital for the the seller to know that his purchaser is in fact and as a matter of concrete proof , “good for the money”. Human nature prevails and it is not enough to accept from the purchaser a promise to pay or a letter of comfort of any sort. Such a loose arrangement is not recommended practice at all. More importantly, with existing bond holders requiring a guarantee of funds in place to allow the cancellation of the seller’s bond on transfer, the formal approach of requiring proper guarantees is a complete necessity. Nowadays, transferring attorneys rarely work with letters of undertaking from fellow attorneys who may be handling a linked sale or mortgage bond, for this very reason.
