f you just started a business or you are thinking about starting a business in Texas, there are a few points you need to consider. You need to seek advice on the potential legal liability for you and your businesses and how to protect yourself and your business from legal claims. You need tax advice about how to minimize the tax burden for you and your business. If it is a new business, capital is always a rare commodity.
So, you need advice on how to choose the best business entity at the least costs. The costs do not end at formation of the business entity. Depending on the type of business entity you form, continued administrative costs of doing business vary. You also need to be thinking down the road. Will the business entity you form today give you the flexibility you need tomorrow? For instance, if you plan on selling your business in the future, you need to choose a business entity today that will best facilitate a future sale. The limitation of legal liability is the number one reason people choose to incorporate (form a corporation) or to form a limited liability company. The owners of corporations and limited liability companies are protected by Texas statute in case of a legal claim against the business. Only the business assets will be at risk, not the owner’s personal assets; and, this may include tax liability. The common tax problem for corporations is both you, individually as an owner (stockholder), and the corporation will be subject to IRS taxation on the same profits, both corporate tax and individual tax. This
is commonly called double taxation, but can be easily avoided by making an IRS Subchapter S tax election. You can also avoid double taxation by forming a limited liability company (whose owners share the same statutory liability protection); but, are taxed like a Subchapter S corporation. With an IRS Subchapter S election, the business takes all the allowed IRS business tax deductions; and, the net corporate profits (or the net losses) are passed directly to the business

owners to be reported on their individual tax returns. The corporation or a limited liability company pays no IRS federal tax. The least expensive business entities to form are sole proprietorships and general partnerships. That is because you do not have to do anything to start doing business as one of these entities. If you are in business on your own, you are a sole proprietorship. If you are in business with another person (one or more), your business is a partnership. It is advisable to file a doing business as affidavit with the counties where you conduct business; but, this is a relatively easy and inexpensive formality. As the owner or partner of a sole proprietorship or a partnership, generally, you will not be personally protected from legal claims against the business. Your personal assets will be at risk.
Flexibility, workability, and salability usually go hand in hand with a more formally organized entity like a corporation or limited liability company; but, these entities require more capital investment for formation and continued operation and administration costs and expenses. A competent business attorney will understand how all these factors play into your business formation decision and should advise you accordingly. What is duration,
and why should I pay attention to it? The Federal Reserve’s actions over the
next year could be important to bond markets, particularly if and when the Fed decides to increase its target interest rate. Since bond prices typically move in the opposite direction from yields, rising bond yields will translate into a decline in bond prices. If you have bonds or bond mutual funds in your portfolio, you might want to pay attention to the duration of each one. Technically, a bond or bond fund’s duration calculates the length of time it will take to receive the full true value of the investment; duration takes into account the present value of expected future payments of interest and principal.
They should not be considered financial advice. Before investing in a mutual fund, consider its investment objective, risks, fees, and expenses, which can be found in the prospectus available from the fund. Read the prospectus carefully before investing. Bear in mind that duration can work somewhat differently for specific types of bonds—for example, floating-rate bonds whose interest payments get reset. That’s also true for mortgage-backed bonds, since interest rate changes can cause homeowners to refinance their loans. However, duration’s biggest value to an investor is as a gauge of how sensitive a bond might be to changes in interest rates. The longer a bond’s duration, the more its price is likely to be affected by an interest rate change. A mutual fund’s duration can be found in its prospectus; for an individual bond, you’ll probably need to ask your broker or the bond’s issuer. To estimate the impact of an interest rate change on a specific bond holding, simply multiply its duration by the change in interest rates. For example, for a bond fund with a duration of 5 years, a 1% increase in interest rates would generally result in a 5% drop in the fund’s value (1% x 5 years = 5%). Though the Fed’s target rate is already at its historic low, the same principle would apply in reverse if interest rates were to fall. A 1% decline in interest rates would likely result in a 3% gain for a bond holding with a duration of 3 years.

Gene continues, “There are citizens who do not qualify for social service counseling or cannot afford to pay for clinical counseling— yet they, too, are in need of help and are in danger of falling through the cracks of our society. My Chaplain Inc. can provide the help they desperately need.” A 501(c)(3) nonprofit organization, My Chaplain Inc. assists people to successfully live their lives with dignity. There is no charge for the chaplainry counseling that includes skills such as pastoral listening and dialogue, spiritual screening, and an assessment to identify clients’ hopes and needs. “We use prayers and scriptures, educational and inspirational materials—based on traditions of the Christian faith,” says Gene. “All practices are directed to the identified needs and hopes, while being sensitive to the unique spirituality of each person. These methods and follow-up exercises assist in building clients’ morale and attitude while encouraging overall healthy thinking.” As needed, there is effective collaboration and cooperation between My Chaplain Inc. and any ordained clergy of the client’s choosing, as well as any physicians in the medical community. Other targeted populations for these chaplainry services include dysfunctional families and youth, active or retired veterans and law enforcement personnel, and—with the prior approval of their employers—work place professionals and on-the-jobsite workers.

A Veteran who served on active duty in the USAF Strategic Air Command, Gene is an ordained minister who has worked with churches in Texas, California, and Nevada. An experienced chaplain, his ministry has included a reserve component unit of the Armed Forces, fire departments and EMS, and homes for children nurturing abused and neglected youth. “I’ve assisted during attempted suicides and suicides, counseling survivors among the general public, law enforcement, and Armed Forces personnel,” Gene adds. “In my ministry I’ve aided victims of domestic and family violence, as well as families affected by fatal accidents. And it’s been my privilege to offer comfort to patients in the ER and in the hospital during their final days.” Gene sums up his philosophy on experience, “I’ve held ranks and I’ve earned degrees. But I’ve found that people don’t care how much you know, until they know how much you care. My Chaplain Inc. is here to let them know just that.” Gene’s son, Robin E. Brack, lives in California and works there with My Chaplain Inc. clients. His background includes service as interim minister, bible class teacher, and music and youth director. A US Army Veteran of Desert Shield and Desert Storm, Robin served
as a Crew Chief Sergeant flying with Med-Vac choppers and he volunteered as a chaplain and counselor during the Desert Storm conflict. “And back when I was employed by Boeing Aero Space at NASA’s Johnson Space Center, I suited up astronauts and escorted them to the space shuttle for take offs and met them on their return,” recalls Robin. “It was an honor to offer crew members chaplainry encouragement and counsel, both by request and on a volunteer basis.”
Currently a special security and protective agent at the Reagan Presidential Library, Robin also works with the VA and is available by request for My Chaplain Inc counseling and services. He can be contacted for appointments at 661-476-7798.

Starting guitar at age seven and building on a strong musical background in Rome at the Roman Conservatory for Guitar and at Notre Dame and Indiana Universities, Kevin is well-known for his impressive local performances and for his three solo guitar CDs, produced by his own Mirabilis Records. At his Mirabilis Studio, he teaches nearly fifty guitar students—ranging from five to seventynine years of age. Rachel, a senior at Tivy High School, is the president of Tivy’s choir program. She cantors for Notre Dame Catholic Church and she’s received training for choir competitions from her grandmother Marguerite McCormick in San Antonio. “But Nani wanted to make sure we preserved our family relationship with each other. Sometimes that can be tricky between coach and student,” explains Rachel. “So now I work with a choir director who is a friend of my grandmother’s, Irma Taute. And my vocal coach here in Kerrville is Marsha McCoy-Sebesta.” “Rachel has always enjoyed singing and she’s always had a strong sense of pitch,” continues Kevin. “She has a good musical instinct

or me, there really is nothing better to get me in the holiday spirit than putting out decorations. Getting started can be so intimidating and overwhelming—every magazine in the checkout lines are filled with all the latest trends for this year. For most of us it’s not very realistic to change our look every year, but there are some ways to update your existing decorations with the current trends. Figure out your main focal points like dining room table, entry table or mantle. You want to make groupings in odd numbers, three or five, with varying heights. Right now pedestals are all the rage, if you don’t have a pedestal you can easily put a plate on a candlestick or vase to use. Using greenery or foliage as filler around your decorations will add depth. Highlight certain pieces that either have sentimental value or just because you like them by putting in a cloche or on a tray—find a way to make it stand out as special.
Sparkly is still very hot, so add something glittery to your arrangements to give them that pop. Gem colors, especially a rich blue, are the most popular right now.

A
nother “usual suspect” is the big and beautiful goldenfronted woodpecker. Their raucous call and comedic antics make them a favorite among backyard birders. Named in 1829 from a specimen collected in Mexico but not well known in Texas until Ornithologist, Dr. Woodhouse reported in 1853 that there were an abundance of them in and around San Antonio. This impressive 9-1/2” bird has a barred black and white back with the male having a red cap, orange nap and yellow fore crown—the female lacks the red cap. The golden-fronts consume as much fruit and nuts as they do insects, with grasshoppers being their main insect diet. In Texas they can have purple-stained faces due to eating the purple fruit of the prickly pear plant. They readily come to backyard feeder stations where they heartily dine on peanuts, suet, mealworms, fruit and seeds. And boy, do they like to announce themselves! Their boisterous call can be heard from far away and they are not shy about letting you know there is no food available. You will often find this specie drinking out of your hummingbird feeders, which is a hoot to watch. Nesting begins in mid-March and in the Hill Country it is typical for them to have 1-2 broods laying 4-5 eggs each time. They tend to nest in live and dead trees and prefer old growth Mesquite trees although they will come to nest boxes. Pairs bond for several years to life and both take part in the nesting process with the male tending the nest at night. Incubation is about 12-14 days with the young occupying the nest for 30 days. It is interesting to note that about three weeks before the departure of the first brood, they will have begun on the next clutch. This is most likely why we such a copious number of these creatures in our yards come May.

EL NIÑO Definitions don’t always translate to weather conditions that make a lot of sense.
orecasters are predicting another “El Nino” year, which for some means young boy, others it means a wetter weather pattern. I, for one, like to call it more rain! Getting that extra rainfall this winter should produce an abundant display of Mother Nature’s gift of wildflowers this coming spring. With winter fast approaching and the holidays around the corner again, it is time to remember the three Ps (pets, pipes, and plants). Mulching those tender perennials about 3” deep is a good policy to ensure your plants come back up next year. Do not forget to water plants very deeply a few days before a hard freeze. This helps insulate the roots too. There are a lot of insulating fabrics you can use to help protect plants to some degree of temperature, and some that will help your potted plants to have a better chance of not freezing in the pot. Do not use plastic! Plastic can burn your plants faster than a fire. Do not forget to drain your water hoses, and wrap faucets too, a cheap alternative to fixing a frozen busted water pipe. Of course the pets are just as important as anything,

on time. Even if you are simply getting a trim, it’s still important to be on time, and to have a little conversation about it. The consultation needs to happen in front of a mirror, with your hair dry so both you and the stylist can see what your hair is doing.
Have a rough idea of what you want. I have clients that spend a few days thinking about what they want for their next cut, and others that just thought about it a moment before they walked in. Both are fine, and it is a good idea to have some concept of what you are looking for.
Reflect on the last appointment. Chat about what you liked and didn’t like from the previous appointment. Were the bangs too short? Did you want more of a face-frame? Was the shoulder grazing length perfect? Talk about those details with your stylist so she can grasp where to go next.

It’s important to understand what’s normal for the aging brain, and when you should be concerned about memory deficits. The Dietert Center offers a variety of educational programs to help you understand memory loss and how to cope as your brain ages. The Center is also part of a new group, Dementia Care Advocates of the Hill Country, which is comprised of Peterson Regional Medical Center, Peterson Hospice, Above the Clouds Memory Care and First United Methodist Church. This group has been formed to raise awareness of the needs of those with dementia, and to provide support through education and training. We’re hosting “An Evening to Remember” on Thursday, November 13, at 7p.m., featuring a concert by
international Steinway Piano Artist, Don Irwin. Don Irwin’s music ranges from the classics to show tunes and original compositions. While playing, he communicates the sentiments of his heart and tells the stories behind each selection. Don’s mother passed away from Alzheimer’s disease, and he is performing in Kerrville to raise funds for the Dementia Care Advocates’ educational programs. This intimate one-man show will be at First United Methodist Church. Individual tickets are $25, and sponsored tables of 8 are $300. Seating is limited, so call me to reserve your place. How to Manage Being Stressed and Depressed During the Holidays Stress and depression can ruin your holidays and hurt your health. Being realistic, planning ahead, and seeking support can help ward off stress and depression. Maintaining nutritional support is also a must during this time. Depression can occur during the winter which is typically termed SADD or Seasonal-Affective Depressive Disorder. Symptoms may include hopelessness, increased appetite and weight gain, increased sleep, less energy and ability to concentrate, social withdrawal, unhappiness or irritability. Vitamin D will help keep the winter blues at bay, and it will also boost your immune system and help you cope with stress. Vitamin D levels can be tested at your physician’s office. The goal level of 25(OH) vitamin D is 50-60 ng/ ml. It may take doses of 2000-10,000 IU/day to get an optimal level. Your doctor may prescribe a weekly dose of 50,000 IU or you can take a pharmaceutical grade vitamin D3 daily to keep your blood level more stable. Stress can be managed during the holidays by creating realistic goals for parties, gifts, decorations and budgets. Procrastination will inevitably lead to higher stress levels, so plan ahead. Often the care does not honor the wishes of the dying patient. How does this happen? What can we do pro-actively to make the right decisions? 1. Educate yourself on the changes in healthcare and Medicare. The best sources of education are medical news and updates, having a conversation with your insurance agent or reaching out to your local hospital with your questions .
2. Have your affairs in order. Speak with a senior planner, attorney, or financial planner about your needs in taking care of yourself.
3. Have you discussed long term care? Question your physician about life sustaining techniques and practices. After the discussion, decide what is on your “no” list and your “yes” list.

Have your choices recorded on the proper documents. Peterson Hospice can offer a “Have the Conversation” Workshop, discussing what is required in the State of Texas, discussing what you should include and supplying the proper documents. Distribute documents to the proper facilities and individuals.

Managed and staffed by Auxiliary Volunteers, the Peterson Regional Medical Center Gift Shop is readying for fall and the Holiday Season. Its attractive shelves display colorful art glass, plaques, beautiful jewelry and watches, home décor, mugs and goblets, candles, angels, crosses and picture frames.

Edie Roderick works 20+ hours per week, including weekends, in the Gift Shop.
There are trendy tops, skirts, and scarves as well as purses, and you should check out the new, patterned carry-on bags. All this in addition to thoughtful items for patients: live flower arrangements, balloons, cards, books, and many, many delightful and cuddly toys and clothes for the tiny tots. Proceeds from the Gift Shop go towards providing funds such as the da Vinci® Surgical System for the hospital, and this year the Auxiliary awarded nine nursing scholarships to deserving individuals. The Shop is open from 8:30 am-4:30 pm daily; weekends, mid-September through mid-June, 10:00 am-3:00 pm. If you would enjoy working in this delightful area while performing a great service, we would love to have you be part of our team.

A Natural Healing Therapy What It Is, How It Works
Reiki
(pronounced “RAY-kee”) is a world-wide practice that promotes relaxation and healing. Dr. Mikao Usui (18651926) coined the word as he began his practice and teaching of Reiki in Japan. Rei denotes universal energy and ki is personal energy (ki meaning the same as chi – the energy within all living things). Reiki catalyzes the body’s natural ability to heal itself with a safe, non-manipulative hands-on technique. The basis for this integrative therapy is the comfort human touch can bring, coupled with a higher vibrational energy. In this way, Reiki supports healing at multiple levels—physical, emotional, and mental. It’s important to note that Reiki “healing” is not synonymous with “curing,” though the latter indeed may be achieved. With Reiki, there is the experience of an energy shift—it may be very subtle, even imperceptible. A body with lower levels of energy, i.e., a body that is fatigued, stressed, and/or suffering disease, will struggle to heal until its energy shifts to balance at a higher level. A Reiki treatment usually generates an overall feeling of relaxation and well-being for the recipient, who also may experience a feeling of comforting warmth and even fall into a light sleep. In a typical Reiki session, a recipient lies fully clothed on a table and may be covered with a sheet or blanket. The practitioner’s hands are placed in a specified sequence of positions on the head, chest, and back for approximately five minutes each. A full Reiki session lasts about an hour and a half. What Reiki can do for you • catalyze the body’s natural ability to heal • reduce stress through relaxation—physical and/or emotional • reduce/relieve pain, especially chronic pain • stimulate the immune system • prepare for and ease recovery from surgery and physical therapy

Rose Bradshaw Helping Others Bloom
Native Texan Rose Bradshaw is a perennial bloomer. During a span of nearly forty years, over twenty organizations have been the recipient of her tireless volunteer work—both at local and national levels.
then—especially for women,” shares Rose. “I want today’s girls and young women to know there are lots of resources available now— they just need to know where to look.” Rose believes there are many scholarships that have yet to be tapped by girls. She encourages them to look for the financial help, review the criteria, and apply for the ones they qualify for. “I especially try to advocate for girls in sports. I loved playing all through school, but then age begins to creep up on us and we can’t get out there like we used to,” she explains. Rose is still “out there” on the fields and courts, however, officiating and volunteering since 1977. She remains a member of Texas Association of Sports Officials and South Texas Volleyball Officials Association, holding various offices in both organizations. Rose has been a member of American Little League Association since 1995, and she’s a past member of San Antonio Basketball Association and San Antonio Softball Officials Association. Sports organizations are just a fraction of Rose’s dynamic world. She has been a Kerrville Area Chamber Ambassador since 2005 and a recipient of two Ambassador of the Year awards. Rose is the current president of the Kerr County Women’s Chamber and she was recently elected to the Board of Kerrville Citizens Police Academy Alumni Association.
“I believe in keeping myself active,” states Rose. “I want to stay healthy and watch my grandkids grow up.” Rose and husband Steve Bradshaw enjoy twelve grandchildren between her three sons’ and his two daughters’ families. That alone would keep plenty of us busy enough. But Rose’s sphere of influence extends far beyond her family. She believes in helping all kinds of people excel. “As a single mom, I struggled to raise my sons. There weren’t a lot of opportunities back 46 │ Nov-Dec 2014 │ KCP
Involved as a volunteer for the American Cancer Society since 1992, Rose has been an active Volunteer Committee member in Relay for Life since 2005. “So many of those I love have had cancer—my husband, my mother, my grandmother, my boss, my coworkers.” Rose continues, “And I firmly believe that without the great strides made in cancer research, my fifteen year-old granddaughter would not have been here to celebrate her quinceanera this fall.” With all this and so much more on her plate, Rose also flourishes at her job as Office Manager of Kerrville’s So Fast Printing. An employee there for twenty-five years, Rose adds, “I’m truly blessed to have Wally Stanton as my boss. He’s like a brother to me and it’s great to have a family atmosphere to work in.” Please join us in giving thanks for the many blessings Rose brings to our community.
