rom the early 1920s, talk shows have been a staple of American lifestyle, providing entertainment and enlightenment for millions of radio and television fans.
RADIO FIRST Barry Gray was the first host of the call-in radio talk shows. He is sometimes referred to as the “father of radio talk show.” Larry King, CNN television talk show host, called Gray “one of the biggest influences” in his life. Gray’s shows were broadcast from a restaurant in New York City, from midnight to 3 a.m. Almost 40 years later, Gray had become radio’s longest running, highest paid and most controversial interviewer, “loathed and loved by his listeners,” according to an article from the New York Times, published in 1996 – the year Gray died. He was 80 years old. Talk Shows - Day and Night... Continued on Page 2

ming in 1970. He enjoyed challenging discussions about taboo subjects like atheism and homosexuality. Donahue was also the first talk show host to take his microphone and mingle with the audience. For more than a decade, Donahue commanded the tabloid talk show genre. Then, along came Oprah. Endearing audiences with her own personal revelations, 32-year-old Oprah Winfrey, broadcasting from Chicago, quickly surpassed Donahue’s viewership.
But television didn’t take away from radio talk. The 20th and 21st century radio talk shows are varied, from National Public Radio to Glenn Beck. The editors of Talkers Magazine, a trade publication for radio and TV talk shows, presented its list of the most important radio talk shows in America today. Rush Limbaugh was No. 1. Sean Hannity, Glen Beck, Dr. Laura Schlessinger and Lou Dobbs were among the top 10. Legendary talk show hosts Howard Stern and Don Imus got a nod as well.
The rest, they say, is history. And the Oprah Winfrey Show will be history,

Considered a morning news and talk show, the Today Show is the second longest-running show in television history. Meet the Press is No. 1. When the Today Show began in 1952, its first host was Dave Garroway. Barbara Walters, Tom Brokaw, Bryant Gumbel and Katie Couric are among those whose careers soared as hosts of the Today Show.

In the 1950s and 1960s, daytime talk shows were replicas of the late-night talk show The Tonight Show. Rarely did hosts like Mike Douglas, Dinah Shore, Merv Griffin, Doris Day and Dick Cavett discuss controversial issues. Talk shows were light and amusing.

prejudices to the forefront. Dr. Phil and Dr. Oz are spinoffs from The Oprah Winfrey Show. In her 25 years in front of television audiences every day, Winfrey created a colossal empire. As the richest African American in the world, Winfrey has taken on international issues and American politics – and is one of the most powerful women in the world. The success of the Oprah Winfrey Show spawned a slew of copycats: Regis and Kathie Lee and The Tyra Banks Show were two. Some of those that rode on the coattails of Winfrey entered new territory: trash talk. The Jerry Springer Show is probably best known for on-camera brawls and topics like wife swapping. Sally Jesse Raphael and Jenny Jones had their share of contentious guest moments as well. The Ellen DeGeneres Show has given Winfrey a run for her money. DeGeneres reflects more of the entertainment talk show: serious but light. The advent of cable television has brought more talk shows to the tube. Larry King Live, which debuted in 1985, is CNN’s most watched and longest running program. King attracts more than 1 million viewers every night. Comedy Central’s The Daily Show with Jon Stewart and the Colbert Report are wildly popular as “fake news” talk shows. HBO’s Real Time with Bill Maher is another cable talk show hit.

¾ Will Keep You Updated Regarding The Financial Health Of Your Business, And Will Provide Solutions To Help You Correct Financial Weak Spots…
Allen built the viewership without writers, adlibbing with props and guests. He hosted The Tonight Show from 1954 to 1957, when Jack Paar took over so Allen could pursue his primetime comedy show, The Steve Allen Show.

Paar hosted the Tonight Show from 1957 to 1962. Paar was not interested in participating in comedy sketches; instead, he had a flair for a nightly monologue and was keen at interviewing guests. Opinionated and emotionally charged, he was the first to mix politics with entertainment on late-night talk shows. He tackled subjects like the investigation of organized crime. When Paar invited Robert Kennedy, the then chief counsel of the senate-labor-management relations committee, on the show; Jimmy Hoffa, head of the Teamsters Union, filed a million-dollar lawsuit against Kennedy and Paar. It was eventually thrown out.

low-key, laid back style as well as his straight-man-persona and dry wit. Carson had an uncanny ability to combine his verbal prowess with a mix of facial expressions and gestures. He became known as the “master of lampooning the pretentious, salvaging the boring or sharpening a nervous guest’s performance for maximum effect” (the Museum of Broadcast Communications). Married four times, Carson’s love life was often the butt of his own jokes – and his guests. Carson was more than a late-night T.V. host. He was brilliant at keeping his pulse on American politics, trends and lifestyles. There were a lot of changes between 1962 and 1992 in the country, but for 30 years Americans knew they could come home and, as David Letterman said, be “tucked in by Johnny Carson.” On Jan. 25, 2005, Carson died at age 79 of respiratory arrest due to emphysema. Jay Leno, Carson’s successor; and latenight TV hosts David Letterman, Jimmy Fallon, Craig Ferguson and Conan O’Brien have all given credit to Carson for his influence on the format and tone of their shows.

No. It was supposed to be a ratings stunt, where Kimmel was bitten by a snake and rushed to the hospital depicted in the T.V. show Grey’s Anatomy. • Did Jay Leno author an essay on how good we have it in America, and why we shouldn’t complain? No. Author Craig Smith wrote “Made in the USA: Spoiled Brats.” Leno’s name was attached to the piece after someone cut and pasted one of Leno’s one-liners to the piece and e-mailed it. The line: “As you know, Hurricane Rita is headed toward Florida, Texas and Louisiana. It’s like the ninth hurricane this season. When Quality Counts
THE COMEBACK
W
hen Britney Spears released an album after losing her kids, her hair, and already questionable reputation, the results were brilliant. When Bret Favre retired, the returned, then proceeded to do it over and over again; even when he arrived at his old teams bitter rival at 40 years old, the results (pending) were brilliant. Let’s go even bigger. When a city was buried in dirt and water, without hope, it survived. Since then it has been rebuilt, and the city and its citizens are all stronger for it. So why is it that these stories have a happy ending? When all appears lost, and nothing is supposed to be the same ever again, there is always hope; and in these cases, a glorious return. The return is everything. People love the comeback.
Corsages & Leis
So love the Karaoke comeback at Rodz (located at Pinz Bowling Center) every Friday night. In the past, Rodz ran a successful and fun karaoke. Then, the fun faded. Now, it’s back, and primed for even greater success. Hear all the classics like, “American Pie”, “Back in Black”, “We are the Champions”, “All Star” and more, sang by your friends and neighbors. The glorious voices of the Tri-Lakes area will sparkle and show those pesky American Idols where the real talent lies - right here. The music begins at 8pm and doesn’t stop until you do. If you need a little “motivation” Rodz always has drink specials, and of course a free ride home on the FuzzBUSter (for those of you who love drink specials). When it’s all said and done there’s only one real question you have to answer… what will you sing?

EMOTIONS OF FAILURE
S
ometimes, people make attempts at success, but they find themselves “failing” time and again. Perhaps this is in business ventures, investment ventures, relationships, careers, education, or any other area in life. People who have the personality trait of ‘attempting and failing’ can learn to understand the pattern, the source of the pattern, and heal it. But many times, the personality also has a victim mentality. He or she may whine, complain, and have a ‘woe is me’ attitude. However, that person may have friends who can point out important information. Occasionally, I will work with someone who carries a strong victim mentality. He or she will claim there is nothing that can be done to change a situation or even a past situation and blame another or others. On some level, that person may understand there is a solution, but the personality of the person wants to stay in victim mode and not find the solution. Why would someone ‘want’ to be a victim?
Tim Buxton
The person may have grown up with parents who were very critical or perhaps abusive. In this type of situation, the person would grow up feeling not good enough, a failure. Sometimes, a person has such a strong sense of being a failure that he or she becomes addicted to the results of failure. The addictive response is a negative high in the brain. The person, also, will have a tendency to stay in the high beta brain wave. Staying in this type of brain wave, constantly, prevents one from feeling intuitive and deep emotions. Surface emotions might be felt, but the underlying emotions are not and the source of emotions is not felt. In fact, the emotions and the source of them are usually denied. The denial keeps one in victim mentality and martyr mentality.

The purpose of living is to enjoy life. It is to find one’s pathway and live it with passion and joy. Many people stay in survival mode and work to simply ‘earn an income’ without much joy and passion. People may like their work, but not find an abundance of joy and passion in it. Many people are stuck in fear of survival and stay in old family traditions. Some people take it further and stay stuck in victim, failure, and ‘must suffer’ mentality.

• Pizza is one of the most popular foods around the world, but in other countries it doesn’t always look the way it does when you order out here in the United States. For instance, in India you’re likely to find toppings like pickled ginger, minced mutton and a kind of cottage cheese. Brazilians like green peas on their pizzas, Costa Ricans like coconut and Pakistanis favor curry. A popular pizza in Japan has potato, bacon and mayonnaise, while eel and squid also are common toppings.
• An electronics shop in Seattle once advertised that it was selling stereos for “299 bananas.” As it turns out, 30-some odd customers showed up to take advantage of the special -- in a literal fashion. They each brought -- you guessed it -- 299 actual bananas. The local zoo ended up being the beneficiary of all the extra produce.
• The first state in the Union to declare Christmas an official legal holiday was Alabama, and it happened in 1836. *** Thought for the Day: “Travel is fatal to prejudice, bigotry and narrow-mindedness, and many of our people need it sorely on these accounts. Broad, wholesome, charitable views of men and things cannot be acquired by vegetating in one little corner of the earth all one’s lifetime.” -- Mark Twain (c) 2010 King Features Synd., Inc.

MOMENTS IN TIME THE HISTORY CHANNEL
• On Oct. 24, 1775, a British naval fleet of six ships sails up the James River to destroy the town of Norfolk, Va. Expecting the Patriots and local militia to come charging and to engage in open combat, the British were surprised to come under fire from expert riflemen, who began striking down British troops at a distance. • On Oct. 18, 1867, the U.S. formally takes possession of Alaska after purchasing the territory from Russia for less than 2 cents an acre, a purchase championed by Secretary of State William Seward. The American public believed the land to be barren and worthless, and dubbed the purchase “Seward’s Folly.” • On Oct. 23, 1921, in France, U.S. Army Sgt. Edward Younger selects from four caskets the body of the first “Unknown Soldier” to be honored among the approximately 77,000 United States servicemen killed during World War I. He marked the casket with a spray of white roses. • On Oct. 20, 1947, the notorious Red
Scare kicks into high gear as a Congressional committee begins investigating Communist influence in Hollywood. Pressured by Congress, the Hollywood establishment started a blacklist policy, banning the work of 325 screenwriters, actors and directors who had not been cleared by the committee. • On Oct. 21, 1959, on New York City’s Fifth Avenue, thousands of people line up for a debut of a bizarrely shaped white concrete building that resembled a giant upside-down cupcake, the new Guggenheim Museum. • On Oct. 22, 1965, President Lyndon B. Johnson signs the Highway Beautification Act, which attempts to limit billboards and other forms of outdoor advertising, as well as junkyards and other unsightly roadside messes, along America’s interstate highways. • On Oct. 19, 1985, the first Blockbuster video-rental store opens, in Dallas. At a time when most video stores were small-scale operations featuring a limited selection of titles, Blockbuster opened with some 8,000 tapes displayed on shelves around the store and a computerized check-out process. 10,000 STEPS A DAY KEEP THE DOCTOR AWAY
Ten thousand steps are approximately 5 miles (3.6 to 4.9 miles; 6 to 8 kilometers). How much time does this take? The walking should be brisk. That’s defined as taking 90 to 100 steps a minute. For the entire time involved, you can do the math. However, these steps don’t all have to be taken in one session. You can amass them throughout the day. A hundred steps a minute is a quick pace. You might not be up to it. It’s OK to start more slowly and gradually work your way to the 100-steps-a-minute goal, and not all the 10,000 steps have to be such fast ones. The goal of 10,000 steps is another thing that can take you a while to reach. Don’t try to do all this on the first day. Start out by taking an extra 200 steps a day, and gradually work your way to 10,000 over a couple of months.
DEAR DR. DONOHUE: I hear that taking 10,000 steps a day is all that a person needs to stay healthy. Is this so? How much time does that take? Do you count all the steps you take in a day, or are these 10,000 steps in addition to what you normally take? You can’t count these steps without -- G.D. driving yourself crazy. You need a ANSWER: The 10,000-steps-a-day pedometer, a gadget that records your program originated in the Surgeon steps. Pedometers range in cost from General’s office some years back. $17 to $80. It doesn’t always cause damage, but it can progress to something called NASH, nonalcoholic steatohepatitis -- a condition that can further progress to cirrhosis. This stage is best discovered through a liver biopsy. The first treatment for liver fat, including NASH, is weight loss. For many, it’s the only treatment needed to correct the situation. ***

Sports Snippetz Article by Robyn Graham Keller Williams Real Estate, LLC

A
n icon is worth more than gold; it is a symbol for humanity, and what a certain sect of it believes. That’s why we kept our flag raised, even in the midst of enemy fire. It’s the reason your mother bears her ring; a symbol of a love that lives forever. It’s why your father wears the silver in his hair; a reminder of a life lived, and worth living. It’s the reason survivors sport that pink ribbon; a reminder to never give up. It’s the reason you wear your sports jerseys, and designer clothing. It’s the way you look at those old photos, as if it means so much more than just a picture. The icon is everything for those who believe in anything. It represents more than we can say. It defines us.
The Rangers horse… …is an icon. It represents the thousands of alumni that once claimed “Ranger Pride”. It represents a commitment to education, athletics, and excellence. It represents a community. That is until an act of aggression threw it all out the window. LewisPalmer students came to school on Friday, October 8th to find their Ranger icon covered in Blue and Gold. I know what you’re thinking, Palmer Ridge!? Absolutely. It was the paint job heard ‘round the district. It was the beginning of a rivalry that will eventually become standard in these parts. It was so much more than a prank. It was a declaration of war. And though it was just the first of battles, Lewis-Palmer fired back in violent glory.
None other than Colton Goeas led the charge, rushing for 105 yards. He was however challenged by a tough Palmer Ridge defense who forced Goeas to run the ball 31 times, earning just a little over 3 yards a carry. The defensive effort was led by Brad Paffett, getting in on 10 tackles, and Winn Howard, getting involved in 12, as well as intercepting Ranger quarterback Ben Shaum. It wasn’t enough though, as the Bears 10-0 2nd quarter lead was diminished by halftime, and the Rangers scored 25 unanswered points to end the game. A 25-10 victory was plenty of revenge for a school whose favorite metal horse was tarnished in the morning time. What it means for Palmer Ridge is that they are a good team, but may not be ready. They are now 4-3, still with a winning record in the conference, and certainly have playoff hopes. The Bears close their home schedule taking on Canon City on Friday, October 29th. What it means for the LewisPalmer Rangers is that a surprisingly dominant season rolls onward. They have only one loss on the year, and are looking at a winnable schedule down the stretch. Be sure to catch the Rangers in their regular season closer at home against The Classical Academy on Friday, November 5th. What it means for the horse statue? Well, it’s still an icon and a symbol, but its meaning has grown. It’s now the beginning; the beginning of a new tradition. What a start it was. Should You Stay or Should You Go? Selling or Remodeling -Making the Decision Part 3 of 3
Continued from Last Week’s Article...... Step 7: Know the mortgage options for your next home purchase. The last thing you need is to be "homeless" or waste cash on rent because you sold your home too soon. If possible, hold off until you're sure you can find a new place to live. If you're looking for more space or amenities, crunch the numbers to see if you can afford a larger mortgage. Check your credit report and credit score. Talk to your current lender and others to find out what kind of mortgage terms and rates you can get. Make sure you can secure a mortgage that works with your financial goals. Step 8: Research the local housing market. Now that you've gauged your motivation, look at current market conditions. Are people buying in your neighborhood? Do research on the Internet and consult with local real estate experts. Evaluate the popularity of your neighborhood. If demand for housing in your area is high because of factors like a great school district or walkability, you may want to capitalize on that and sell at a premium.
Step 9: Consider renting out your house. If you haven't lived in your home for two of the last five years, or you have the capital to finance another move without selling your home, or if the market is slow in your area, you might want to consider renting out your home. When budgeting for a renter, be sure to include the following costs: - Mortgage payment - Property tax - Homeowner insurance (check to be sure your premiums won't change if you convert your residence into a rental property) - Homeowner association dues (if applicable) - Property management company (if applicable). This is typically 10% of each month’s rent. - House maintenance - If you have a nice yard and don’t want to trus tthe renters to keep everything alive, I would suggest hiring a yard maintenance person and pay them separately. This will cut into your profits, but it will insure that you won’t lose thousands of dollars of landscaping. Warning: Not everyone is cut out to be a landlord. Prepare yourself mentally. Realize this house is no longer your home but your rental property.

Check your winter clothing. Mittens are warmer than gloves. Go for layers instead of one heavy parka. A shirt, sweater, scarf and coat are better at keeping you warm. Don’t forget to wear a hat! Do you have non-slip footwear? Stay warm inside the house, too. A lightweight vest is perfect for that. Stock up on antiseptic wipes and use them frequently, especially on grocery-cart handles. Is your area subject to power outages? A selection of flashlights placed around the house will allow you to grab one quickly if the lights go out.

EAT RIGHT AND FIGHT NOW TO PREVENT CANCER
A
pink ribbon is the symbol worn in October for National Breast Cancer Awareness Month. A breast cancer is a malignant tumor that starts from cells of the breast. A malignant tumor is a group of cancer cells that may grow into (invade) surrounding tissues or spread (metastasize) to distant areas of the body. Tragically, more than 200,000 women will be diagnosed with breast cancer and more than 40,000 will die from it this year in America. Breast cancer occurs mainly in women, but men can get it too. Many people do not realize that men have breast tissue and that they can develop breast cancer. About 1,970 new cases of invasive breast cancer will be diagnosed among men. About 390 men will die from breast cancer. New medical research strongly suggests that you can eat and live proactively to prevent breast cancer before it strikes. Current anti-breast cancer medical efforts are aimed at critical early detection with mammograms. Early detection allows doctors to treat the cancer while it is still small and confined to the breasts. Aaron Tabor, M.D., along with Lillie Shockney, RN, have written a free book about cancer prevention entitled “Fight Now.” Shockney, an internationally recognized breast cancer nurse, has survived breast cancer twice. “Fight Now” was written for anyone who wants to reduce breast cancer risk, or the risk of cancer recurrence, with proper eating and lifestyle choices. Developed during the past two years with new medical research reviewed from leading hospitals around the world, “Fight Now” helps readers take immediate action to start lowering the chance breast cancer. “Fight Now” is available for free download at www.fightBCnow.com. Dr. Tabor’s top-10 food items to fight breast cancer include easy-to-enjoy carrots, apples and green tea. According to Dr. Tabor, “Carrots and other foods rich in beta-carotene may lower your breast cancer relative risk by up to 221 percent, and lower the risk of invasive cancer. A natural substance in raw carrots called “falcarinol” can slow the growth of cancer cells. Falcarinol is inactivated by heat or cooking, so

it is critical to eat raw carrots, too.” “A few apples a day may truly keep the breast-cancer surgeon away. Specifically, studies show that natural substances found in apples decrease the number of tumors, the size of tumors and tumor growth rates in animal models. The more apple extract the animals were fed, the greater the reduction in cancer,” said Dr. Tabor. “Green tea consumption may reduce your breast cancer relative risk by more than 50 percent. Green tea is rich in potent ‘polyphenol’ antioxidants that protect your DNA from damage and shortening, reduce inflammation, reduce estrogen and reduce breast tissue density. The recommended amount to consume is two to four cups per day, or you can take a green-tea supplement,” added Dr. Tabor. While carrots, apples and green tea are three easy anti-breast cancer food items, “Fight Now” contains a full listing of even more powerful foods to enjoy or to eliminate to lower cancer risk. High consumption of one particular group of foods may increase relative risk of breast cancer by up to 253 percent.

In order to keep everyone honest (you know who you are,) we have moved the answers and solutions to the trivia and puzzles to the next page (17). ing. “Predators” isn’t a great film by any stretch of the imagination, but it’s a solid B-movie and ripping good guilty pleasure.
New DVD Releases for Week of October 18, 2010 PICKS OF THE WEEK
“Predators” (R) -- Produced by, and based on a script by Robert Rodriguez (“Grindhouse,” “From Dusk Til Dawn”), “Predators” breathes new life into an embarrassingly awful franchise and offers up a healthy dose of cheesy good fun. A buffed-up Adrien Brody stars as the leader of a group of eight people who are mysteriously deposited on an alien planet to be hunted as sport by an alien species. Thanks to an R rating, there’s gore aplenty, but also a few laughs, a couple of shocking moments and twist end-
“Apocalypse Now Three-Disc Full Disclosure Edition” [Blu-Ray] (R) -- This collection is a must-have for fans of Francis Ford Coppola’s opus set during the Vietnam War. The threedisc collection contains “Apocalypse Now” and “Apocalypse Now Redux” in 1080p high-def and -- for the first time -- in their original aspect ratio. Included is the riveting making-of documentary “Hearts of Darkness,” which contains a commentary track with Eleanor and Francis Ford Coppola. There also are tons of new special features, including interviews with Martin Sheen and John Milius, a 48-page book with behind-the-scenes photos and too many more goodies to mention. “The Rocky Horror Picture Show 35th Anniversary Edition” (R) -- Remastered from the original negative and featuring 7.1 audio and a picture-in-picture “Shadowcast” option that gives the illusion of the Rocky Horror theatri-

begin to describe how deliciously bizarre this movie is. Trust me though, watching this movie could screw you up for life.
“Psycho 50th Anniversary Edition” (R) -- You probably could fill a library wing with all the material that’s been written about this movie, and given the many, many releases of “Psycho” on home video through the years, chances are you’ve seen most of the special features included in this version. That said, if you’re a film purist, then you’ll want this new Blu-Ray release because it’s the only video release of the movie in its original aspect ratio.
“Pee-Wee’s Playhouse” The Complete Collection
“Vampire Girl vs. Frankenstein Girl” (Unrated) -- This is the latest in the new wave of low-budget Japanese extreme schlock cinema (“Machine Girl,” “Robogeisha”), a genre that features shocking scenes of over-the-top gore and horror so extreme that it goes beyond grotesque into the realm of the ridiculous. ou may not see it posted on your calendar, but this is National Save for Retirement Week. This annual event, endorsed by Congress, is designed to raise awareness about the importance of saving for retirement — so why not take some time this week to review your own strategy for achieving the retirement lifestyle you’ve envisioned? Of course, you may wonder why we even need a National Save for Retirement Week. Unfortunately, it seems many Americans are not doing a good job of saving and planning for their retirement years. Consider these figures, taken from the Employee Benefit Research Institute’s 2010 Retirement Confidence Survey: Just 16 percent of survey respondents say they are very confident about having enough money for a comfortable retirement. 54 percent of respondents say that the total value of their household’s savings and investments, excluding the value of their primary home and any defined benefit plans (i.e., traditional pension plans) is less than $25,000.
Attention High School Juniors
Win an all-expense paid trip to Washington, D.C. or Steamboat Springs
Mountain View Electric Association is sending one student to the Annual Washington, D.C. Youth Tour in June and two students to the Cooperative Youth Leadership Camp near Steamboat Springs, Colorado in July.
Less than half of the respondents say they and/or their spouse have tried to calculate how much money they will need for a comfortable retirement. These are obviously troubling statistics — and they indicate that most of us probably need to put more thought and effort into our retirement savings. What can you do? Here are a few suggestions:
Determine how much you’ll need in retirement. Try to define the lifestyle you want during retirement. Will you travel the world or stay close to home? Will you work part time or spend your hours volunteering or pursuing hobbies? Once you know what your retirement might look like, try to estimate how much it might cost. Identify your sources of retirement income. Take into account your IRA, 401(k) or other employer-sponsored retirement plan, Social Security and other savings and investments. How much income will they provide? How much can you withdraw from these vehicles each year without depleting them? Calculate any retirement shortfall. Try to determine if your savings and investments will be enough to provide you with an income stream that’s adequate to meet your retirement needs. If it isn’t, develop an estimate of the size of the shortfall. Take steps to close savings “gap. If it doesn’t look like you’ll have enough to meet your retirement needs, you’ll have to adjust your savings and investment strategy. You may have to contribute more to your IRA, 401(k) and other retirement accounts, or you may have to adjusting your investment mix to provide more potential growth —or you may need to take both of these steps. Monitor your progress. Once you’ve put your investment strategy into place, you’ll need to monitor your progress to make sure you’re on track toward achieving your retirement savings goals. Along the way, you may have to make adjustments in response to changes in the markets, your objectives or your family situation. Taking these types of action can be challenging, so you may want to work with a professional financial advisor who has the experiences and resources necessary to help you identify and pursue your retirement goals. In any case, though, take action soon — and National Save for Retirement Week is a great time to start. This article was written by Edward Jones for use by your local Edward Jones Financial Advisor. THE LAW ACCORDING TO STEVENS by Lisa Welch Stevens, Attorney at Law P.C.
SERVING ON A NONPROFIT’S BOARD OF DIRECTORS: A WORD TO THE WISE © September, 2010, Lisa Welch Stevens, Esq.
A
non-profit corporation (and in Colorado, the only limited liability form for a non-profit organization is that of a non-profit corporation) has many similarities to a for-profit or business corporation: it has Articles of Incorporation, Bylaws, a Board of Directors, officers. However, unlike a for profit corporation, it has no “owners” or stockholders; while it may have “members” (for example, the members of a church or a club), it need not. Directors and/ or officers may be paid or unpaid. If a non-profit corporation has no owners, you may wonder who can act, in the physical sense, on behalf of it. The answer is the Board of Directors. The Board may also hire or appoint certain officers who may also have authority to act on behalf of the non-profit. A good non-profit board will have a broad representation of members of the community as directors. You will see a variety of skill sets represented – for example, an attorney, an accountant or banker, a marketing professional, a fund-raiser, etc. – that are helpful in the operations of the non-profit. You will also see a diversity of people from different geographic regions, socio-economic groups, professional or social circles, etc. Finally, you will see people who are professionals in whatever area of interest the non-profit is designed to serve. For example, a non-profit focused on mental health services might have directors from the county health department, local hospitals, local professional groups for mental health professionals, etc. Of course, one hopes that all directors of non-profits are motivated by the cause to be served; however, it is also a fact that many people participate in non-profits or become directors for business or social benefits. And that is fine, so long as they are serving the non-profit’s goals as well. However, many people jump into partic-
Marketing Idea #4-Join a trade association or organization related to your industry. Marketing Idea #5-Have a drawing for a product or a gift certificate. Use the entry forms to collect customers’ email addresses. Then email these customers regarding special offers, upcoming sales events or promotional discounts you are offering. Marketing Idea #6-Develop a brochure of services your shop offers. Marketing Idea #7-Conduct monthly clinics about a product or service you offer or schedule semi-annual seminars on related “how-to” information for your industry. Marketing Idea #8-Print a tagline for your business on letterhead, fax cover sheets, emails and invoices. Marketing Idea #9-Develop a website to showcase your products, services and location. Legally, a director of a non-profit corporation owes fiduciary duties to the non-profit itself, to its members (if any) and perhaps even to the community served by the nonprofit. A non-profit director owes a duty of loyalty to the non-profit corporation, a duty to always act in the best interests of the non-profit, even where that may required acting against his own best interests. A non-profit director also owes a duty of care to the non-profit corporation, a duty to take the same care in his actions or inactions on behalf of the non-profit corporation as an ordinary person would take on behalf of himself.
Directors of non-profits can be sued personally for violations of their fiduciary duties, by the non-profit, its members (if any), and the community it is designed to serve. Directors may also be sued personally by third parties for tort or other legal claims. Good non-profit corporations not only have indemnification provisions in their Articles of Incorporation indemnifying directors against personal liability, they also maintain liability insurance policies for officers and directors (the cost is actually very inexpensive). It is vital, if you are a director of a non-profit, that you be willing to put in the time to be familiar with the operations of the corporation, particularly its finances, and to be well-informed on all decisions you make. Licensed professionals, such as attorneys, accountants, and the like need to be particularly carefully; breach of fiduciary duties as a non-profit director may lead to loss of professional licensure. Finally, some employers bar employees from serving as a director of any entity, non-profit or otherwise, because of the potential legal liability. This discussion is not intended to discourage anyone from serving on a non-profit board of directors; however, know what you are getting into, and put the time and work in to do it right. Being on a non-profit corporation board is not and should not be a resume builder, but a commitment. This article is intended for informational purposes only, and does not constitute the proffer of legal advice. Consult your legal advisor regarding your particular situation.
