Who’s Responsible At Your Condo? Fiduciary Duty Is Mandatory For Condominium & HOA Board Members

The goal of residential Owners Association governance is to protect, maintain, and potentially increase the value of property in it.

When Florida residential Condominium and HOA Board members are elected or appointed, they automatically and immediately enter into fiduciary relationships with all property owners in the building or community. This means the Association’s Directors and Officers are obligated to put the interests of property owners (Association members) above any personal motivations or views. Words used to describe fiduciary relationships include Trust, Honesty, Loyalty, and Integrity. The fiduciary responsibility of

Board members is clearly established by both the Florida Condominium Act (Florida Statutes Chapter 718) and the Homeowners Association Act (FS Chapter 720). That’s the mandatory part.

Fiduciary Duty is defined as such: fi•du•ci•ar•y du•ty - noun phrase - 1. A fiduciary duty is a legal or ethical relationship of trust wherein a fiduciary is obligated to act in the best interests of one or more other parties (person or group of persons), often known as the principle or beneficiary. Typically, a fi-duciary duty occurs in the context of prudently managing money or other assets on the behalf of another.

While fiduciary duty is difficult to strictly or legally define, nor can a precise list of specific duties be compiled, the responsibilities addressed and actions

performed by fiduciaries are understood by both parties in the relationship. A person acting as a fiduciary (similar to a Trustee) has the responsibility to act and make decisions that are prudent and well-informed while also being financially, legally, and ethically sound. A fiduciary’s behavior and actions are expected to produce the best possible outcome for the person or people who will benefit from those actions (similar to Beneficiaries).

In very basic terms, the goal of residential Owners Association governance is to protect, maintain, and potentially increase the value of property in it. Responsible Board administration is an important part of achieving this.

Parkinson’s Disease is an age-related degenerative brain condition which causes parts of your brain to deteriorate.

Fiduciary duty is an ethical and moral concept rather than an easily defined set of tasks or actions, and usually involves making sound financial decisions for others. In practice, it is often easier to notice a violation of fiduciary duty than to describe behaviors that fulfill it.

The responsibilities that go along with being on a Board of Directors cannot be waived, paused, rejected, or abandoned. Accepting a seat on the Board doesn’t come with a “trial period” to see if newlyelected Directors really want to be fiduciaries to all Association owner/members. The relationship starts as soon as they are elected or appointed.

For their entire terms as Directors and Officers, Board members are obligated to put all Association member/owners’ interests above their own.

The primary ways for serving Directors to be released from fiduciary responsibility are to:

• Resign from the Board

• Finish an elected term without seeking re-election

• Sell their property and move out of the building or community (most Governing Docs require Directors to be property owners)

• Be removed from office by an Association recall vote

Fiduciary duty is understood and offered to all Association members when a property owner volunteers to run for a seat on the Board of Directors. That offer is acknowledged and accepted by the other owners when they elect a candidate into office as a Director of the Association. Owners who are appointed to temporarily fill a vacant seat and become Board members before the next election also accept full fiduciary responsibility to the owner/ members.

Association elections are closely regulated in Florida because the outcome results in an acknowledged, trusted relationships between new Board members and every owner/member in the Association, not just the ones who voted for that new Director because they share a particular viewpoint or opinion.

Because ALL members of the Association have entrusted Board members to act and make decisions on their collective behalf, Directors cannot give favoritism to any individual member or special interest group within the Association. They must evaluate the wellbeing of the entire Association as a whole

and make decisions accordingly. The most vocal members/owners cannot be given greater influence when it comes to Board decisions.

What might be examples of a Condo or HOA Director breaching (violating) his or her fiduciary responsibility to Association? In Florida, it could involve one or more of the following:

• Mismanagement of Association funds

• Intentionally under-budgeting for common expenses or reserves

• Not maintaining the property’s common elements/areas

• Selectively enforcing Association rules and regulations

• Making decisions without seeking expert or legal input when needed

• Making decisions outside of a properly-noticed Board meeting that owners can attend

• Conflicts of interest (personal benefit from a Board decision)

Note that some of the above actions can also be violations of Florida’s Condo-

minium or Homeowners Association Act and/or an Association’s own Governing Documents. The accepted standard for Board member behavior is full, accurate, good-faith compliance with Florida Statutes and the Association’s own Governing Documents.

Florida residential Owners Associations and their Boards often lose sight of how significantly fiduciary responsibility guides the group’s decisions, governance, and internal politics. When Board members might be seen as straying from (or openly disregarding) their fiduciary duties, it is up to the rest of the Association to remind them and get things back on track.

Unfortunately, unless there is accompanying criminal behavior or direct violation of Florida Statutes, the only remedy usually available for breach of fiduciary duty is civil litigation (a lawsuit against suspected or accused Directors). Neither Florida’s Department of Business and Professional Regulation (DBPR) nor its Division of Condominiums, Timeshares, & Mobile Homes (CTMH) will pursue claims

of fiduciary breach unless the behavior also violates specific Sections of the Condominium Act (FS Chapter 718).

HOAs are not regulated by the DBPR, so improper acts by HOA Board members often remain unchecked. Reported criminal behavior by Association Boards can be prosecuted by local and State law enforcement agencies if there is enough evidence.

While it may be somewhat difficult to specifically define Fiduciary Duty, you will definitely recognize a breach of it when one happens, so pay attention and participate in the business of running your residential Owners Association.

Get Up, Stand Up, Don’t Give Up the Fight

If America’s schools are to impart principles of freedom and democracy to future generations, they must start by respecting the constitutional rights of their students

Take the case of Lucas Hudson.

With all the negative press being written about today’s young people, it’s refreshing to meet a young person who not only knows his rights but is prepared to stand up for them.

Lucas is a smart kid, a valedictorian of his graduating class at the Collegiate Academy at Armwood High School in Hillsborough County, Fla.

So, when school officials gave Lucas an ultimatum: either remove most of his speech’s religious references from his graduation speech—in which he thanked the people who helped shape his character, reflected on how quickly time goes by, and urged people to use whatever time they have to love others and serve the God who loves us—or he would not be speaking at all, Lucas refused to forfeit his rights.

That’s when Lucas’s father turned to The Rutherford Institute for help.

In coming to Lucas’ defense, attorneys for The Rutherford Institute warned school officials that their attempts to browbeat Lucas into watering down his graduation speech could expose the school to a First Amendment lawsuit.

Thankfully for Lucas, the school backed down, and he was able to deliver his speech as written.

It doesn’t always work out so well, unfortunately.

Over the course of The Rutherford Institute’s 42-year history, we have defended countless young people who found themselves censored, silenced and denied their basic First Amendment rights, especially when they chose to exercise their rights to free speech and religious freedom.

In case after case, we encounter an appalling level of ignorance on the part of public school officials who mistakenly believe that the law requires anything religious be banned from public schools.

Here’s where government officials get it wrong: while the government may not establish or compel a particular religion, it also may not silence and suppress religious speech merely because others might take offense.

People are free to ignore, disagree with, or counter the religious speech of others, but the government cannot censor private religious speech.

Unfortunately, you can only defend your rights when you know them, and the American people—and those who represent them—are utterly ignorant about their freedoms, history, and how the government is supposed to operate.

As Morris Berman points out in his book Dark Ages America, “70 percent of American adults cannot name their senators or congressmen; more than half don’t know the actual number of senators, and nearly a quarter cannot name a single right guaranteed by the First Amendment.

Sixty-three percent cannot name the three branches of government. Other studies reveal that uninformed or undecided voters often vote for the candidate whose name and packaging (e.g., logo) are the most powerful; color is apparently a major factor in their decision.”

More than government corruption and ineptitude, police brutality, terrorism, gun violence, drugs, illegal immigration or any other so-called “danger” that threatens our nation, civic illiteracy may be what finally pushes us over the edge.

As Thomas Jefferson warned, no nation can be both ignorant and free.

Unfortunately, the American people have existed in a technology-laden, entertainment-fueled, perpetual state of cluelessness for so long that civic illiteracy has become the new normal for the

citizenry. Yet those who founded this country knew quite well that every citizen must remain vigilant or freedom would be lost. As Thomas Paine recognized, “It is the responsibility of the patriot to protect his country from its government.”

You have no rights unless you exercise them.

Still, you can’t exercise your rights unless you know what those rights are.

Education precedes action.

There is a movement underway to require that all public-school students pass the civics portion of the U.S. naturalization test—100 basic facts about U.S. history and civics—before receiving their high-school diploma, and that’s a start.

Lucas Hudson would have passed such a test with flying colors.

On graduation day, Lucas stepped up to the podium and delivered his uncensored valedictorian speech as written, without any interference by school censors.

As Lucas’s father relayed to The Rutherford Institute:

“In the end, Lucas got to give his entire speech the way he wanted to give it, and everybody was paying attention. Nobody got hurt. Nothing bad happened. It was just a young man using the First Amendment rights to speak his mind regarding his personal beliefs. [Lucas] never thought a few sentences in a speech would create such a controversy in his world, but this speech turned into a defining moment for him. He will never be the same after this experience, but this permanent change is a good thing. When it mattered, Lucas stood up for himself, and when those he stood up against tried to push him down, [The Rutherford Institute] came to his aide and backed him up to make it a fair fight. I am comforted to know you are defending the rights of the people. These fights matter. Every time you defend the rights of one person,

you defend the rights of every person. You helped my son fight for his rights against the school, and, in doing so, Hillsborough County Public Schools will think twice before infringing on the rights of future students. Your defense of Lucas became an inspiration for the students in his school and sparked a healthy and meaningful debate among the teachers, students, and parents about the value of the First Amendment and the need for limits on government control over our personal beliefs. You are fighting for good and doing important work. Don’t ever stop. Thank you, Rutherford Institute, for being there for my son when he needed you most.”

America needs more freedom fighters like Lucas Hudson and The Rutherford Institute. It’s up to us. We have the power to make and break the government. We the American people—the citizenry—are the arbiters and ultimate guardians of America’s welfare, defense, liberty, laws and prosperity.

We must act—and act responsibly. As I make clear in my book Battlefield America: The War on the American People and in its fictional counterpart The Erik Blair Diaries, it’s our job to keep freedom alive using every nonviolent means available to us.

Know your rights. Exercise your rights. Defend your rights. If not, you will lose them.

Broward County Transit (BCT) experienced a significant ridership increase in March 2024, reflecting growing community confidence in public transportation. Systemwide boardings reached 2,250,557, marking a 2.3% increase over March of 2023, and a remarkable 7.5% year-to-date increase. This surge brings BCT to nearly 89.1% of pre-pandemic ridership levels, highlighting a positive trend.

New Live Animal Exhibit Is Inching Into South Florida

Sometimes being slow, small or weak can have its advantages in Survival of the Slowest, the newest summer traveling exhibit presented by Joe DiMaggio Children’s Hospital, set to open June 7 at the Museum of Discovery and Science (MODS). Guests will get an in-depth look at the often-overlooked species that evolved to slow down as part of their survival strategy in a world where large, strong and fast animals are often at the top of the food chain. The exhibit runs through September 5, 2024.

The exhibit will feature 14 habitats with live animals (17 species) and plants. Guests will get an up-close look at wildlife with daily presentations featuring a sloth, a tarantula, tortoises, a hedgehog, a bluetongued skink and more* via wildlife educators and MODS’ Life Sciences staff. Meet animals that have survived for millions of years despite being very slow and learn about the puzzling sides of evolution and adaptation. Discover the difference between warm and coldblooded species, explore why some animals need less food than others and see the unique ways they hide from predators.

“Wildlife education and conservation is such an important aspect of learning for us at MODS and we’re pleased to introduce both new and familiar creatures to our animal collection during this limited exhibit run,” said Joseph P. Here are some interesting facts about our slow-footed (and non-footed) animal

Most slow animals, including sloths, use camouflage to avoid predation—you don’t have to run away if you can’t be seen. Other slowpokes, such as tortoises, lionfish and porcupines, have evolved armor and/or venom to deter attacks.

Did you know that sloths grow algae on their fur, which helps conceal them in their leafy habitat?

Being nocturnal helps sloths avoid their main predator, the Harpy eagle, which is a daytime hunter.

Sloths’ extreme slowness makes them vulnerable on the ground. There are only two reasons a sloth will leave a tree: to find a mate and to poop.

Sloths have the lowest relative muscle mass of any mammal. Only 25% of a sloth’s body mass is muscle, compared to 40% in humans and 58% in lions.

Some tarantulas have been reported to have gone two years without eating!

Horned frogs from central South America live in dry areas. To avoid drying out, they form a cocoon of shed skin that locks in moisture.

FPL Meteorologists Prepare for Potentially Active Hurricane Season

Growing up in Indiana and then living in Oklahoma -- the heart of tornado alley -for 15 years, Chris Kerr witnessed just how quickly skies can turn from calm to chaos. He can vividly recall the roaring winds that came with each deadly storm, especially the last EF5 (strongest classification of tornadoes) on record in the U.S. that affected his friends and coworkers in May

FPL tests readiness with simulated storm

Regardless of conditions, FPL is better prepared for hurricanes than at any time in the company’s history through its year-round improvements to make the energy grid smarter, stronger and more storm resilient. These investments, including the deployment of smart grid devices and installation of underground power lines, benefit customers by reducing outage times and restoration costs associated with severe weather events.

FPL also prepares for hurricane season by stress-testing employees with a weeklong, simulated hurricane response, typi-

cally in the early days of May just as the start of hurricane season comes into view.

While the storm is fictitious, FPL’s response is not. The training scenario feels every bit as real, in part, because of detailed weather forecasts and simulated impacts to the state.

“I put together mock scripts and simulated weather shows from our studio to imitate a real-world situation. We take lessons learned from these drills and previous storms to continue improving our response,” said Kerr.

His realistic weather updates are relayed to Distribution Operations Manager Casey Sheffield, who oversees the deployment of resources (crews, trucks, and equipment) during day-to-day operations.

“During a real storm, the command center team can pre-stage thousands of resources while allowing crews to continue working until Kerr informs us of unsafe weather conditions,” said Sheffield. “At the end of the day, the goal is to always cut down on restoration times for our customers.”

The drill is a comprehensive test of FPL’s storm response capabilities. It involves most departments within the company, such as customer service and communications, ensuring that everyone is aligned and ready to act quickly and safely in the event of a real storm.

“Being part of this drill reminds me of the responsibility we have to our customers. We want them to be prepared for anything mother nature may bring this hurricane season, just as we are,” said Kerr.

I do want to share that our City has been tackling many concerns and issues that you have brought to us over the year. I will be hosting a Town Hall meeting on June 24th at the Cultural Center at 6:30 p.m. to go over flooding intivitives, project updates and other initives that are underway in our city.
