NH Malls Eye Jackpots from Out-of-State Casino Operators

With Anchor Stores Dying, Developers Look for Replacements

Since the onset of last decade’s “retail apocalypse,” New Hampshire shopping mall owners have recruited a number of new non-retail tenants to fill empty spaces – fitness centers, healthcare clinics, restaurants and other service-industry businesses.

Some mall owners have taken even more radical steps to address their brick-and-mortar vacancy woes: replacing empty buildings with multifamily housing, offices, restaurants, entertainment venues and other amenities as part of overall mix-used redevelopment projects.

Despite the jarring changes, mall owners have largely succeeded in refilling or replacing many, though not all, of the vacant spaces caused by the rise of e-commerce over recent decades.

But finding tenants to fill the last remaining big-box spaces previously hosting larger retail tenants, such as Sears, Toys R Us or Bed Bath and Beyond, has proven more vexing.

For two malls, though, an unlikely new type of tenant has stepped into those boxshaped voids: “charitable casinos,” the oncemom-and-pop gaming operations that are now increasingly controlled by large, out-ofstate gambling companies.

Big Investors Replace Dead Anchors

In Nashua, the former Sears space at the Pheasant Lane Mall is now undergoing a major redevelopment into “The Nash,” which, with

its planned 60 gaming tables and 1,200 slot machine-like “Historical Horse Racing” (HHR) stations, will become the state’s largest gambling venue once it opens, probably early next year.

The investors – Las Vegas-based ECL Entertainment and the Toronto-based private equity firm Clairvest – are reportedly spending $250 million on the 130,000-square-foot Nash project.

Meanwhile, powerhouse local developers Joe Faro, of Tuscan Brands and Tuscan Village fame, and Sal Lupoli, the founder of the Sal’s Pizza chain and the soon-to-be co-redevel-

oper of the old Hampton Beach Casino, have proposed replacing the former Lord & Taylor space at the Mall at Rockingham Park in Salem with “Live!”

The latter duo have proposed that the 120,000-square-foot casino include 40 tables, 900 so-called HHR machines, and a number of dining and entertainment venues.

For the project, Faro and Lupoli have teamed up with the Cordish Co., builder of casinos in Philadelphia, Pittsburgh and Tampa, according to filings with the town of Salem.

How to Read The Real Estate Records

The information appearing in this newspaper is taken from deed and mortgage documents filed at each of the ten registries of deeds in the state. All property transfers with a sales price of at least $100 and all term-mortgage documents are collected. Whenever possible, we combine the separate deed and mortgage documents so that we can present one complete record of the street address, purchase price, lender and mortgage amount. When we cannot link a deed with a mortgage (and vice versa) each transaction appears individually.

Real estate records are organized alphabetically by registry, then town, then by street name.

The amount appearing on the same line as the street address is the purchase price from the deed.

We print “No Amt Given” when the amount did not appear on the document we review. “No Street Given” appears in place of the street address when it was not available.

The volume, page of the deed and filing date appear for all sales.

The mortgage lender and the amount of the mortgage used to purchase the property are shown.

Any second mortgage (Mtg2) filed at the same time as the deed will also appear here.

In communities where we have a file of all properties from the assessor’s office, we provide additional property details when available. This is done by exactly matching the address and seller name from the new sales record with the address and owner name found in the property file. No descriptive data appears whenever there is any doubt that the two records are the same property.

Sellers, It’s Time to Think About Concessions

Sometimes, homebuyers are hesitant to pull the trigger. They might love the house they found – it’s priced right and mortgage rates are coming down – but they just can’t decide whether to move forward.

So what can sellers do to sweeten the pot a bit – to get buyers to make an offer and sign a contract, especially as we head into what’s often the slowest selling season of any year?

In previous down markets, sellers have offered all kinds of incentives to seal the deal with hesitant buyers. They’ve thrown in trips to Europe, island cruises, even fancy sports cars. And they are likely to do so again, at least in the luxury sector.

Those are nice, to be sure. But let’s get real: They hold little sway with the typical buyer. (Besides, the insurance on those sports cars can be just as breathtaking as a drive down Pacific Coast Highway with the top down.)

On a more practical note, here are some incentives and concessions sellers might want to consider.

The Money, The House

First and foremost: buy-downs. The majority of builders now offer to cover the cost of lowering a buyer’s mortgage rate for the first year or two. And individual sellers can do the same. It works!

At a cost to you of roughly 1 percent of the sales price, you can cut the buyer’s rate by 0.25 percent for the first 12 months. Pay a little

more, and you can trim their rate further, and for longer periods.

According to an analysis by Zonda Home, half of all builders are willing to buy rates down to as low as 4 percent. Whether you need to go that far – or can afford to – is for you to decide. To determine the actual costs, sit down with your agent or mortgage broker and run the numbers.

Speaking of low rates, if you already have a low-rate mortgage, find out if you can pass it on to your buyer. Loans insured by the Federal Housing Administration and backed by the Department of Veterans Affairs can be assumed by another borrower, and so can some other mortgages.

Check with your lender to ascertain whether your loan can be taken over. If it can, advertise that fact. After all, a mortgage at 3 percent, 4 percent or even 5 percent is extremely attractive in today’s market.

Then, there’s the matter of what you’re trying to sell. Savvy sellers have their homes inspected – and get any flaws fixed – before putting them on the market. And savvy buyers will want their own inspections before mov ing forward. So why not offer to pay the cost of the buyer’s inspection?

If the buyer’s inspector turns up some real problems your guy missed, offer to pay for at least part of the repairs. Of course, if the sec ond exam turns up nothing, you are off the hook.

Most buyers now expect the house to come with a seller-paid warranty that lasts for a year. When the year is up, the warranty company will badger the new owner about the benefits of renewing – but by then, they’ll

have to pay the freight. So throwing in an extra year or two of coverage could be meaningful.

Get to a Deal Quickly

If you want to get to the settlement table quickly, offer a credit at closing as an incentive. On the other hand, if the buyer wants to proceed more slowly, allowing them the time they need may make a difference.

Also think about closing costs. Buyers will have to pay a slew of settlement fees and charges that add up to anywhere from 5 percent to 7 percent of the sales price. Sellers will have to

Code Change Could Unlock Thousands of New Homes, Report Says

Sprinkler requirements for new buildings and advances in fireproof materials mean states and cities could unlock tens of thousands of new housing units with a simple building code change, a new report says.

By legalizing 6-story bulidings with a single staircase – capped at 3 stories under current building code – researchers at the Joint Center for Housing Studies at Harvard University and Boston-based design firm Utile say thousands of building sites could become viable, especially for smaller-scale “missing middle” housing types that communities are more willing to accept.

The researchers used Greater Boston as a test case, and found legalizing these small, single-stair buildings could produce as many as 130,000 new housing units in the city’s densest neighborhoods that already have robust transportation infrastructure.

That would represent two-thirds of what Massachusetts estimates it needs to meet housing demand.

“While the conventional wisdom suggests that two exit stairs on a long corridor is a nonnegotiable necessity, the data suggests that single-stair buildings with four units per floor would not be any less safe,” Sam Naylor, an associate at Utile and co-author of the report, said

in a statement. “Not only do conventional twostair residential buildings drive up construction costs, they limit design opportunities because they only fit on large sites. Since single-stair buildings have smaller footprints, they can be accommodated across a wider spectrum of lot sizes. As a result, they can be an important new tool for making a dent in our housing needs.”

The report paints a picture of multifamily development chained to a small number of viable sites due to many areas’ high construction costs.

A typical single-stair building is typically built as small clusters of apartments or condominiums on each floor, instead of today’s podium buildings that string out units along long corridors. This allows for units to be more efficiently placed on smaller or odd-shaped infill lots, instead of the large, often ex-industrial sites where much of today’s large-scale multifamily development takes place.

“The double-stair plan is less efficient than the single-stair plan, and that extra stair and hallway can account for anywhere from $200,000 to $500,000 in the budget, not to mention the loss of rentable or salable square feet,” Naylor told a crowd at the report’s launch recently.

Despite being an outlier internationally in requiring new apartment buildings to have two staircases– only a handful of metro areas in the country, including Seattle and New York City allow so-called “point-access” multifam-

ily buildings – the United States has one of the highest rates of fire deaths in the developed world, researchers found. In large part, researchers attribute this high rate of fire deaths to the fact that nearly all such incidents occur in non-sprinklered buildings.

“These facts, combined with the fact that the vast majority of fires (91%) occur in buildings without working sprinkler systems, weaken the argument that redundant staircases are our best defense against fire, even in small

to medium sized buildings,” the report says. The widespread use of fire-resistant materials like gypsum board and building code mandates for sprinklers in new multifamily buildings mean that single-stair buildings can in many cases actually be safer than today’s two-stair podium apartment blocks where apartments can be over 100 feet from a stairwell door, the report argues, provided that the maximum distance from an apartment to a stairwell is capped at 20 feet.

NH Third-Quarter Home Sales Down Despite Rate Drops

Fewer single-family homes traded hands between July and September than in the third quarter of last year, even as a steady drop in interest rates appeared to help draw more homeowners to list.

According to data from The Warren Group, publisher of The Registry Review, single-family sales were down 9.43 percent in the third quarter, to 2,911. The median sale price for the period was $500,000, an 11.11 percent increase year-on-year.

Year-to-date through Sept. 30, 6,726 singlefamily homes have sold, a 7.91 percent decrease over sales through the same point in 2023. The year-to-date median single-family sale price is $485,000, up 9.66 percent from the same figure as of Sept. 30, 2023.

Why Are Casinos Replacing Mall Anchors?

Marc Falcone, a principal at ECL, made clear his company’s prior success operating the River Casino and Sports Bar and the Lucky Moose Casino and Tavern, both in Nashua, encouraged it to expand in the Granite State.

“New Hampshire is an excellent market for gaming,” said Falcone in an email. “In The Nash, we saw an opportunity to create a premier charitable gaming venue that is smaller than some of the larger casinos in Massachusetts, but larger than the typical gaming venue in New Hampshire.”

Public Wants More from Malls

Commercial real estate experts say casinos moving into vacant spaces at malls simply makes sense.

“It fits the trend of bringing in new types of tenants,” said Chris Norwood, president of NAI Norwood Group in Bedford. “Malls are no longer about retail shopping for goods. They’re now about services and entertainment. Casinos fall into the entertainment/services trend. They bring in pedestrian and car traffic.”

Andrew Robbins, a senior associate at Colliers, agrees that attracting casinos to malls, whether they’re enclosed malls or large strip malls, simply makes sense.

“Consumer preferences have shifted,” he said. “Consumers now want an ‘experience’ when they go out. Developers have embraced that shift. Shopping [malls] now include entertainment, fitness centers, restaurants, breweries. It’s not just retail. Casinos are just good way to get foot traffic into facilities.”

But some are beginning to wonder if gaming facilities are expanding too fast in New Hampshire.

In 2006, the state approved creation of socalled “charitable casinos,” originally envisioned as modest steps up from traditional church casinos and bingo operations. Over the years, casino revenues have been split three ways: 35 percent to charities, 10 percent to the state and 55 percent to operators.

But earlier this decade, the state expanded gaming options at casinos to include Historical Horse Racing machines, which look and operate much like slot machines, but whose winners are based on previously-run horse races.

And the revenue split from HHR machines differs from the old gaming-tables split – with 75 percent of revenues going to casinos and with the rest distributed to charities and the state.

This more lucrative revenue split has attracted major out-of-state gaming companies, such as Churchill Downs, owner of the Chasers Poker Room in Salem, and Delaware North, owner of the Boston Bruins and TD North Garden in Boston and the Gate City Casino (formerly known as the Boston Billiards Club & Casino) in Nashua.

There are currently 12 operating “charitable casinos” in the state, and some are clearly concerned about the spread of larger casinos, and particularly their HHR machines, across the state.

Explosion Draws Critics

Lawmakers just recently passed legislation that would allow only a handful of additional HHR licenses in the state.

tion of Realtors, during that same period 4,655 Granite State single-family homes came on the market, an 8.69 percent increase over the third quarter of 2023.

Those new homes may have come on the market in part because of falling mortgage rates. Over the course of the third quarter, the average interest rate on a 30-year, fixed-rate mortgage dropped from 6.95 percent to 6.08 percent, according to Freddie Mac.

Real estate experts have said that, while many homeowners are content to try and make their current living situations work even if their family circumstances make the home suboptimal, a few appeared to be eager to escape the “golden handcuffs” of low, pandemic-era interest rates on their home mortgages and use built-up equity to try and pay for a home that meets their needs.

But it’s an open question whether buyers who’ve been sitting on the sidelines share the same urgency

Jay Zagorsky, a professor at Boston University’s Questrom School of Business, said he hasn’t studied the New Hampshire gaming market closely – nor has he read Spectrum’s report.

Any Room for More?

But he questioned how much larger the industry can get in New Hampshire, noting how the state is surrounded by larger casinos now operating, or planning to operate, in Massachusetts, Rhode Island, Connecticut and New York. And all casinos, no matter where they’re located, are threatened by the proliferation of online sports betting across the nation, he noted.

“New Hampshire has some serious competition,” Zagorsky said. “This is a problem for smaller casinos in New Hampshire.”

Pat Abrami, chair of the commission and a former state representative, said his group is planning to issue its formal recommendations on Nov. 1, and they will likely include proposed changes to current casino revenue splits. He did not elaborate.

Abrami, who is currently running for state senator in the Seacoast’s District 24, said he and others are concerned about the recent expansion of gaming in New Hampshire and the growing dominance by major out-of-state players.

“This industry has evolved quickly,” he said. “Historical Horse Racing has changed the ballgame. The state didn’t anticipate what would happen [after the introduction of HHR]. It’s now a moving target. We’re trying to put guard rails around it.”

To be clear: Not all shopping malls are scrambling to fill vacant spaces with gaming operations. The Concord Planning Board, for instance, recently approved the demolition of much of the old Steeplegate Mall, owned by Onyx Partners Ltd., which is planning a mixed-use development that includes three new multifamily buildings and six retail buildings.

There’s been no published mention of a new casino at Steeplegate, with the project seemingly anchored by those new apartments and a large “warehouse retail” building indicated on plans filed with Concord officials.

But it’s clear some operators see jackpots, or at least dollar signs, in the state’s mall properties, not all of which have settled futures.

“As one of the largest operators of Historical Horse Racing machines in the country, we are [in] a unique position to tap into that emergent market,” said ECL’s Falcone. “Nashua is a proven market for gaming and its location is outstanding. We expect The Nash to be successful.”
