As NAR Punts on Pocket Listings Rule, NH Agents Split on ‘Clear Cooperation’

‘Fairness’ and Fair Housing Pitted Against Seller Preferences

The last thing the National Association of Realtors needs is another controversy consuming the time and energy of its members.

But less than a year after the NAR’s historic settlement of lawsuits tied to agent commissions, yet another controversy is roiling the real estate industry, this time over the NAR’s four-year-old Clear Cooperation Policy (CCP), otherwise known as the anti-“pocket listings” rule.

The CCP, which attempts to tamp down on private home sales not listed on local MLSs, was the center of controversy at the NAR’s recent annual conference, NXT, where critics once again called for abolishment of the rule and where the NAR’s governing board once again refused to take further action on the issue.

One thing was made clear by the recent intra-industry scuffle: Controversy over the NAR rule, now the target of a lawsuit filed by the upstart Top Agent Network (TAN), isn’t going away any time soon.

New Hampshire hasn’t escaped the debate over pocket listings – with both supporters and critics claiming the issue is about fairness.

To supporters of CCP, it’s about buyers and buyer agents getting a fair chance to review and bid on homes for sale. Ultimately, CCP promotes transparency and competition that ben-

efits everyone, including sellers, supporters say. But to critics of Clear Cooperation, it’s about some sellers’ right to keep transactions private, for whatever reasons, if they so wish.

How to Read The Real Estate Records

The information appearing in this newspaper is taken from deed and mortgage documents filed at each of the ten registries of deeds in the state. All property transfers with a sales price of at least $100 and all term-mortgage documents are collected. Whenever possible, we combine the separate deed and mortgage documents so that we can present one complete record of the street address, purchase price, lender and mortgage amount. When we cannot link a deed with a mortgage (and vice versa) each transaction appears individually.

Real estate records are organized alphabetically by registry, then town, then by street name.

The amount appearing on the same line as the street address is the purchase price from the deed.

We print “No Amt Given” when the amount did not appear on the document we review. “No Street Given” appears in place of the street address when it was not available.

The volume, page of the deed and filing date appear for all sales.

The mortgage lender and the amount of the mortgage used to purchase the property are shown.

Any second mortgage (Mtg2) filed at the same time as the deed will also appear here. • The

In communities where we have a file of all properties from the assessor’s office, we provide additional property details when available. This is done by exactly matching the address and seller name from the new sales record with the address and owner name found in the property file. No descriptive data appears whenever there is any doubt that the two records are the same property.

The “Use” is based on the code the assessor assigns to each building on a parcel. Whenever there is more than one use code or more than one building on a parcel, we flag these as “Multi-use” and “Multi-bldg” respectively.

These deeds transfer title to the lender after the mortgage is foreclosed (unless there is a higher bidder at the auction.) The amount in these transactions is usually the amount of the outstanding mortgage that was foreclosed.

• Prior sale data appears only when the address of the new sale matches exactly with the address of the older sale in our database.

One Mortgage Banker’s Plan to Fix the Housing Crisis

When lawmakers come back to Washington early next year to tackle the country’s housing crisis, they will argue over various proposals to fix affordability, high mortgage rates and the lack of inventory. They will debate ideas such as gifting $25,000 to first-time homebuyers, cutting regulation costs and releasing millions of acres of federal land.

But Mark Milam, a mortgage banker and loan originator in Atlanta, said those proposals are like “swallowing an aspirin next year for a headache you have now.”

Demand is not the problem, nor is it a lack of homebuilders, he wrote in a LinkedIn essay this summer. (An updated version of the piece was also posted on HousingWire this fall.)

“As an owner of a mortgage company and a 20-year housing veteran,” he wrote, “I can tell you there’s no shortage of people who want to buy, just as there is no shortage of builders who want to build.”

Milam has a three-point plan to address the housing crisis. It won’t cost the government one red cent; in fact, it may increase Uncle Sam’s revenue and perhaps even help cut the deficit. The trouble is, it isn’t particularly sexy, it can’t be reduced to sound bites and it isn’t easy to explain.

Like a voice in the wilderness, Milam doesn’t know how to get his plan before the powers that be in Washington. He tickled my interest when we ran into each other at an industry conference in Denver. His plan sounded plausible, so I told him I’d give it some ink.

The first plank of his plan involves the lack of inventory. While the number of houses for sale has been ticking up recently, there still aren’t enough to go around, and definitely not enough to outpace demand and reduce prices.

Free Up Investor-Owned Units

To boost inventory, Milam would temporarily halve the capital gains tax on the sale of investment properties. This one step, he believes, would untether millions of houses held by small-time investors.

According to BankRate, investors own more than 20 million single-family properties in the U.S.

“That’s a lot of front doors,” Milam wrote, and most of them are owned not by Wall Street hedge-fund types, but by smaller “mom-andpop” operations.

These individual investors have owned their rentals for years, but are now getting a little long in the tooth. Many would presumably like to cash in and enjoy their later years free of any landlord obligations.

So, Milam asks, what if the capital gains tax on the sale of investment properties was cut in half – even just for six months? During that window, if you would normally pay 20 percent based on your tax bracket, you’d pay just 10 percent, for example.

Add a Prepayment Penalty

Milam calls this “a huge win-win-win” for the country, investors and homebuyers. The country would receive tax revenue it wouldn’t otherwise, investors would save big money upon selling highly appreciated assets, and homebuyers would have more properties to choose from, likely bringing prices down across the board.

Currently, lenders lose money on the mortgages they write until the loans are on the books for roughly six months. But today’s buyers are impatient, jumping at the chance to refinance as soon as rates tumble even a tad. Consequently, lenders price their loans higher to compensate for the possible loss in revenue.

Milam said he’s sent packing more than one client who was planning to refinance as soon as possible because he would have ended up losing money on the deal.

“Guess what?” he wrote. “Lenders aren’t in business to lose.”

To prevent that, Milam would add a prepayment penalty – he calls it a “premium recapture” – that would fine a borrower for pay-

payment amount, the length of the loan, the borrower’s credit history, etc.

“In the 20 years I’ve been lending,” wrote Milam, these price adjustments have “expanded, worsened, expanded more and worsened more. They are cash cows for Fannie Mae and Freddie Mac.”

Here’s an example: Under the current regulations, a borrower with a credit score of 740 and a 20 percent down payment – not a risky bet, as borrowers go – is hit with a 0.875 percent price adjustment. If that charge were removed, the borrower’s overall mortgage rate would drop by 0.875 percent, cutting the monthly payment on a $400,000 loan by more than $200 a month.

“Instant help with affordability,” said Milam.

Next, Milam would address lender profits.

How Tariffs, Deportations Could Affect Housing Costs

Americans hand over a huge chunk of their paycheck for a roof over their heads. Policymakers are looking out for indications of what President-elect Donald Trump plans to do to ease housing costs next year after an election where voters were laserfocused on the economy.

Housing accounted for 32.9 percent of consumers’ spending in 2023, making it the largest share of consumer expenditures, according to the most recently available data Bureau of Labor Statistics. And that was an increase of 4.7 percent from 2022.

This year, many Americans still struggle to find affordable housing, whether they choose to rent or buy a home.

There’s a lot economists and housing advocates still don’t know about what to expect from a second Trump term. It’s unclear which campaign promises will find their way into administrative rules or  legislation, even with a Republican trifecta – the GOP will control the White House and both chambers of Congress.

But policy experts, researchers, and economic analysts are looking at Trump’s record, his recent remarks on housing, and  Project 2025 – the conservative Heritage Foundation’s 900-page plan to overhaul the executive branch – for a glimpse of what may lie ahead.

But housing economists and other experts say that could be bad news for building more affordable housing.

Selma Hepp, chief economist for CoreLogic, a financial services company, said tariffs are one of her main concerns about the effects of a second Trump term.

“One of the biggest concerns is not just lumber [costs], but the overall cost of materials, which have been going up,” Hepp said.

Kurt Paulsen, professor of urban planning in the department of planning and landscape architecture at the University of Wisconsin at Madison, said building costs are already high from tariffs on Canadian lumber that Trump first imposed and that the Biden administration kept and increased.

“It used to be in construction that you would get a bid from a contractor or a subcontractor or supplier and it would be good for 60 days. Now, the bids are good for like five days because you don’t know where prices are going to be,” he said.

“There is the cost of labor as well, if we do indeed have all these deportations. That’s a big, big concern,” she said. “A large share of labor in the construction industry obviously comes from immigrants. That is a huge issue for new construction and particularly new construction as it relates to affordable housing.”

Foreign-born construction workers made up 3 million of the 11.9 million people who work in the construction industry in 2023, according to the latest American Community Survey data.

Trump’s ‘Not in My Backyard’ Rhetoric

The former president hasn’t always been clear on where he stands with zoning regulations and making way for more affordable housing in a wide variety of neighborhoods.

NH Agents Split on Pocket Listings

To an extent, some MLSs are caught in the middle of warring factions within the industry.

The NAR’s anti-pocket-listings rule applies to all NAR members and MLS NAR owns through its local Realtor associations.

Technically, PrimeMLS Inc., based in Concord, is an independent company that supports listings throughout New England and much of New York. But it’s owned by a group of regional NAR-tied boards – and so it is complying with CCP.

“We do enforce the rule,” said Chad Jacobson, chief executive of PrimeMLS. “It’s the law of the land.”

That law of the land may command PrimeMLS’s allegiance to CCP. But Jacobson

said his organization is fully aware of the controversy the rule has stirred within the industry.

“It’s a very divisive issue, no doubt,” he said. “There are two ends of the [argumentative] spectrum – it’s about leveling the playing field for all buyers and it’s about sellers’ rights.”

Supporters Cite Fairness, Fair Housing

Joanie McIntire, president of the New Hampshire Association of Realtors and an agent at Coldwell Banker J. Hampe Associates, said the rule is indeed about fairness to buyers and their agent representatives.

“It makes them feel they’re getting a fair chance at buying a home,” she said. “It makes sure everyone is treated fairly.”

In a July Bloomberg interview, Trump spoke critically of zoning regulations and said that they drive up housing costs. But Trump also has a record of tending toward a “not in my backyard,” or NIMBY, approach to housing that maintained some of these zoning regulations. The Trump administration moved to roll back an Obamaera regulation that tied HUD funding to assessing and reducing housing discrimination in neighborhoods.

“He’ll talk about reducing regulations on developers, but he’ll also use this NIMBYism talking about protecting suburbs from low-income housing and you really can’t have it both ways,” said Sarah Saadian, senior vice president of public policy and field organizing at the National Low Income Housing Coalition.

Paulsen said Project 2025 embraces a pushback against anti-NIMBY approaches to expand multi-family housing.

And being treated fairly isn’t just a sentiment. It’s also about complying with federal fair housing laws meant to crack down on discrimination against Blacks and other others who historically have suffered from bias within the real-estate industry.

But McIntire stressed that CCP doesn’t help just buyers and buyer agents. The rule also benefits sellers, who get more perspective buyers to bid on their homes and potentially drive up home-sale prices.

“What I read in the Project 2025 documents is a clear statement that says every local community and neighborhood should be able to choose the housing it wants to accept or not. The challenge of that is that if every community in every neighborhood can veto housing, then we just don’t get enough housing and prices go up and prices and rents go up,” he said.

A More Punitive Approach to Homelessness

Last year, homelessness rose to its highest level recorded since the U.S. Department of Housing and Urban Development began collecting this information in 2007. The ending of pandemic safety nets that gave some households better financial stability and a lack of affordable housing supply contributed to the number of unhoused people, the report explained.

Trump has been outspoken on his view that homeless people should be “off our streets.” The president-elect has also proposed putting unhoused people with mental health issues into “mental institutions.”

“There’s a movement that I think is largely reflected in Project 2025 that says, actually, cities need more coercive policy tools to enforce public order and to require that someone who’s camping take a shelter placement even if they don’t want it,” Paulsen said.

Saadian said that given the U.S. Supreme Court ruling in Grants Pass v. Johnson, which makes it easier to criminalize unhoused populations for sleeping outside, she’s worried about a changing political environment where policies that prioritize stable housing over policing fall out of favor.

“I think all of that just shows a culture shift in the political dynamic here that we’re definitely worried about,” she said.

In the end, Morrissey said there’s just too many scenarios in which the CCP isn’t practical, thus making the rule enforceable in too many instances.

In the end, sellers always have the option of “doing what they want” when it comes to keeping sales private – and that may include not feeling obligated to list sales on MLSs, she said.

While saying he can see both sides of the CCP debate, Morrissey of Allison James Estates & Homes in Nashua said he generally opposes the rule if it means reducing the rights of some sellers to keep sales private.

“You have to have some leeway,” he said. “Sellers do have rights.”

Critics Say Sellers’ Rights at Stake

Such sellers tend to be more affluent and want their home sales to be kept more exclusive –without a lot of potential buyers trouping through their houses or condos. Sometimes, sellers are also well-known public figures who simply want to keep their sales as private as possible for as long as possible.

There are also circumstances in which deals, for whatever reasons, come together fast – before there’s even a chance to list a sale on an MLS, Morrissey notes.

Many others across the country agree with Morrissey’s sentiments, most famously the CEO of big residential brokerage Compass Inc., Robert Reffkin, who has blasted CCP as an anti-seller rule.

Prosecutors Hover in the Background

Hovering in the background of the debate over Clear Cooperation is the issue of transparency – and the U.S. Justice Department’s recent crackdown on real-estate agent commissions.

One of the key charges against the old commission system was that it was non-transparent and monopolistic by nature.

The last thing the NAR wants is yet another controversy involving accusations of non-transparency, this time over exclusive homes sales deliberately kept secret from the vast majority of buyers and their agents, industry officials say.

Another issue informing the CCP debate, at least in this part of the country: the nature of New Englanders.

“I think the rule kind of sticks in the craw of independent-minded Yankees,” said PrimeMLS’s Jacobson. “They don’t like being told what they can and can’t do.”
