LEGAL MATTERS CORNER
MIRIAM MC GILLICUDDY ANSWERS YOUR LEGAL QUERIES
Ryan is an all-Ireland boxer and has recently completed his Personal training and Nutrition course and would like to start a business.
Ryan is in good shape and has gained a big following on social media, he was constantly being asked from friends and followers what is his secret, how he does he maintain his physique. This encouraged him to attend the course and become qualified as a personal trainer so he could make a few bob from the advice and guidance he offers people hoping to get into good shape. Ryan has been successful in his boxing career so he has enough money behind him to start a business but despite having potentially a strong clientele he worries should the business fail, he will lose the money he has worked so hard for. His uncle tells him he should register the business as a Private Limited Company (PLC), this sounds like double Dutch to Ryan and wonders should he just operate as a sole trader, he imagines a company would need a big team to operate and he would need a lot more money to start a company.
Ryan’s concern is what will happen if his business is not successful, if that was the case it would generally mean the business has found itself in debt, we will assess the situation according to if he was a sole trader or if the business was a private limited company. Had Ryan chosen to operate as a sole trader, he would be personally liable for any losses made by the business, this has the same effect of a person getting a loan form the credit union and not paying it back, the institution could issue proceedings and if he has assets, they could be
possessed to cover the debt. It would also be more difficult to keep profits in the business as a sole trader because all profits will be taxed at either 20% or 40% depending on how much he earns compared to the 12.5% corporate tax limited companies pay and on the topic of tax, a director of a company would have higher tax credits than a sole trader. Ryan would not necessarily need a big team to have the business operate as a company, as private limited companies are permitted to have a minimum of one shareholder and minimum of one director. He would however be required to appoint a company secretary which must not be himself. As director of the company, he would manage all its affairs and as a shareholder he would own the shares of the company. This way the company is a separate legal entity and Ryan will not be liable for its debts, as a sole director he must decide the salary the company will pay him and when he will receive dividends, he might choose to keep the money in the company to grow it and whatever money he does receive as a shareholder and director he can purchase assets in his own name which should the business fail could not be possessed over the company’s debt.
Although a company can be more difficult to set up, Ryan does not need to worry as we can do that for him with the company’s registration office. We can also advise him on his powers and duties as a director of a company and ways he can inject capital into his business.

CHEW AGAIN WITH CONFIDENCE
Dental implants are a popular and effective solution for replacing missing teeth. They are small, biocompatible titanium posts that are surgically placed into the jawbone, where they fuse with the bone to create a strong and stable foundation for a replacement tooth or teeth.
One of the biggest advantages of dental implants is their natural look and feel. Unlike other tooth replacement options, such as dentures or bridges, dental implants are designed to mimic the look, feel, and function of natural teeth. They are custom-made to match the color and shape of your existing teeth, and because they are anchored securely in the jawbone, they feel just like your natural teeth. Another advantage of dental implants is their durability. With proper care, dental implants can last a lifetime, making them a cost-effective long-term solution for tooth replacement. They also don't require any special maintenance or cleaning beyond regular brushing and flossing, unlike dentures or bridges, which require extra care and attention. Dental implants also offer several health benefits. When a tooth is missing, the surrounding teeth can shift out of place, causing problems with your bite and potentially leading to further tooth loss. Dental implants help to prevent this by filling in the gap and providing support for the surrounding teeth. Finally, dental implants can also improve your overall quality of life. With a full set of teeth, you can enjoy your favorite foods again and feel more confident in your smile. Plus, because dental implants are so durable, you don't have to worry about embarrassing slips or shifts that can occur with dentures or bridges.
Overall, dental implants are an excellent choice for anyone looking to replace missing teeth. With their natural look and feel, durability, and health benefits, they offer a long-lasting and effective solution for restoring your smile and your confidence.

A MILLIONAIRE WANTS HIS DAUGHTER TO MARRY...
So he decideds to host a competition for a small town nearby. “To any man who can swim across this Piranha infested pool of water unharmed, may have my daughter’s hand in marriage.” 20 men line up next to the pool and stand there to scared to move. Suddenly a man jumps into the water and is swimming with all his might. Finally he comes out of the water on the other side unharmed. “That was incredible,” said the millionaire,”I am a man of my word, so you may marry my daughter.” The man turns to him and says,”Look I don’t give a damn about your daughter, I just want to know the name of the bugger who pushed me in.”
I TOLD MY FRIEND THAT “LAST NIGHT THERE WAS A REAR-END COLLISION IN MY CAR PARK
. After that, the drunk guy that hit the car gave me 800 euro and drove away”. My friend asked me “Is that enough to fix it?”
I said “I don’t care, it wasn’t my car.”-

LAWYERS SHOULD NEVER ASK A GEORGIA GRANDMA A QUESTION IF THEY AREN’T PREPARED FOR THE ANSWER...
In a trial, a Southern small-town prosecuting attorney called his first witness, a grandmotherly, elderly woman to the stand. He approached her and asked, ‘Mrs. Jones, do you know me?’ She responded, ‘Why, yes, I do know you, Mr. Williams. I’ve known you since you were a boy, and frankly, you’ve been a big disappointment to me. You lie, you cheat on your wife, and you manipulate people and talk about them behind their backs. You think you’re a big shot when you haven’t the brains to realize you’ll never amount to anything more than a two-bit paper pusher. Yes, I know you.’
The lawyer was stunned. Not knowing what else to do, he pointed across the room and asked, ‘Mrs. Jones, do you know the defense attorney?’ She again replied, ‘Why yes, I do. I’ve known Mr. Bradley since he was a youngster, too. He’s lazy, bigoted, and he has a drinking problem. He can’t build a normal relationship with anyone, and his law practice is one of the worst in the entire state. Not to mention he cheated on his wife with three different women. One of them was your wife. Yes, I know him.’ The defense attorney nearly died.
The judge asked both counselors to approach the bench and, in a very quiet voice, said, ‘If either of you idiots asks her if she knows me, I’ll send you both to the electric chair.

‘Zero VAT rate on Solar Panels is a permanent change ‘- Norma Foley
Minister for Education and Kerry TD, Norma Foley, has announced that households can now expect to save an average of €1000 with the installation of solar panels thanks to a new zero VAT rate. The change has been made permanent by Finance Minister, Michael McGrath, and is aimed at helping families and businesses cope with high energy prices and the cost of living.
The amendment to the Finance Bill 2023 was approved by the Government, and will come into effect from May 1, 2023. The Department of the Environment, Climate and Communications estimates that this will reduce the cost of installing solar panels from an average of €9000 to €8000 per household.
Minister Foley has welcomed this
cost-saving change, noting that it will help households in reducing energy costs, moving towards more affordable and sustainable energy sources. Additionally, the removal of planning requirements surrounding solar panels is another step towards supporting renewable energy sources.
This change in the VAT rate is a permanent one, and Minister McGrath has secured Government agreement to give effect to the proposal. A Financial Resolution and an amendment at Report Stage of Finance Bill 2023 will be brought forward by Minister McGrath. Overall, this is a positive step towards making solar panel installation more accessible and affordable for households in Ireland.
