MY BUSINESS Google has launched its new tool designed for small business – Google My Business – a one-stop shop that brings together Search, Maps and Google+ in one place. The free platform allows businesses to add a ‘virtual tour’ function for customers to see the interior of their business, as well as a space to share news, events and other important updates from your Google+ page. Rich Flanagan, Google’s Head of SMB Marketing, said that the platform is the result of collating feedback from small business owners around the world. “Business owners around the world told us they want a very simple way to make their presence known online, and essentially to be found. Whether that’s across search, maps or desktop or on phones – they want an easy way to be located and to

let the world know about their product or services,” Flanagan said. “We also heard that they wanted it to be free – so we took the best of Google+ for businesses, and bring the best of what other products had to offer, but enhance it and increase the ability to manage it when you’re on-the-go from your phone.” Signing up to Google My Business also means businesses can be located with a red ‘drop pin’, which is useful in sharing a business’ location. “These days, most small business owners realise that a strong online presence can be rocket fuel for their business, and to take advantage of it. You don’t need to know anything about technology, or work with an agency to use Google My Business, and it entails spending less than 10 minutes filling out a pretty basic form about your business and Google does the rest,”
Flanagan says. When it comes to ensuring websites rate well in search results, there are a number of things businesses should be doing. The content you’re putting online is representing your business in the same way as in a shop front. “You want to have your products displayed in a visually pleasing way, you want to have a clear description of your services that’s very transparent – and the same principals that make for good business in the real world translate into the online world,” Flanagan said. “Small businesses that make the most of the internet grow twice as fast as those that don’t. It’s like not being listed in the phonebook a couple of decades ago,” Flanagan said.

Your Business Name What You Really Need to Know About
Choosing your business name is an important part of the start-up process. It is often the first hurdle many budding entrepreneurs need to jump as they try to find a business name that is clever, memorable and relevant to their industry. Once you decide on your business name the next step is to register it with ASIC (as either a business name or company), then purchase your domain name. You can then start building your website and produce your stationery and supporting marketing collateral. You are then ready to officially launch the business, however, out of the blue, you receive a notice claiming that you are breaching someone’s registered trademark. How can this happen when you registered your business with the governing body, ASIC?
6
VNMMAGAZINE | SEPTEMBER 2014
Unfortunately registration with ASIC doesn’t give you exclusive rights over use of the business name. ASIC doesn’t track what type of business activity you conduct and it doesn’t give you any proprietary rights, particularly in relation to goods or services/activity using that name. It’s only when you register your trademark with Intellectual Property (IP Australia) that those rights become yours. By registering a trademark for your business you are able to register the business activity associated with that name and/or logo. In other words, IP Australia is protecting the business activity that is associated with the name and logo. The cost of registering a trademark in Australia starts at around $1,000 including all Government and professional fees. The actual price will depend on the range of products or services you wish to protect
under your trademark and registration lasts for 10 years Australia wide. The obvious question is, how much will it cost to not register your trademark? You need to weigh up the value of stopping others using similar names/brands or logos and the possibility of you inadvertently infringing an existing trademark. Unfortunately, ASIC’s system is not linked to IP Australia’s and they will still register your business name irrespective of whether it has already been registered as a trademark with IP Australia. If a name (or similar name) is already a registered trademark, the owner has a right to do business under that name and may prevent you from using the name. To avoid any surprises with your business name we recommend you follow these five steps:
1. Search the ASIC website for the availability of your chosen business name at: https://connectonline.asic.gov.au/ RegistrySearch/ 2. Search the IP Australia website for your business name at: http://www.ipaustralia.gov.au/get-the-right-ip/trade-marks/ search-for-a-trade-mark/ 3. Ensure the domain name is available, plus all derivations such as .net, .com, .org and any overseas countries you might expand into by visiting: http://www. ausregistry.com.au/tools/domain-availability 4. Register the name with ASIC and the business name as a trademark with IP Australia. 5. Finally, register all the similar domain names (and hold onto the ones you won’t use) to protect your name from copy cat businesses.
“
Trademarks Can Add Value to your Business. Once registered, you can display your trademark with a registered trademark symbol (e.g. XYZ Builders®). Customers see the trademark symbol and associate it with a business that has gone through a regulatory process and may gain the impression that it is a long standing or large enterprise. You can also generate additional income by licensing your trademark to others for a fee and prospective buyers of your business know that a business sold inclusive of registered trademarks will be able to continue to trade without infringing the rights of others in this country. Registering your preferred business name together with the trademark and domain name is an important part of the start-up process. Failure to cover all these bases could prove costly and it might be prudent to even have a backup business name in reserve in case you hit a hurdle.

TRAVELING There are a lot of things we as business people can learn from elite athletes. Footy players (whatever the code) are dedicated, committed and successful. Here are five habits of elite athletes that promote success in business too.
1. Learn from somebody with relevant experience Athletes rarely succeed without a good coach. Successful small business owners and franchisees often work with a business mentor who functions in a similar capacity. This person can be a friend, fellow businessperson, an old colleague, or another franchisee. The ability to seek guidance from someone with experience and perspective is invaluable. Consider seeking advice from specialised ‘coaches’ for different parts of your business too – in the AFL, players receive guidance from forward coaches, defensive coaches and strength and conditioning coaches as well as the assistant and head coaches.
2. Have a solid support network Athletes seek advice from a whole team of professionals, including sports doctors, physios, nutritionists and teammates. Similarly, small business owners and franchisees should have a solid support network. Talk to business consultants, financial experts and owners of similar businesses to make sure you are on the right track. Don’t forget family and friends either – A personal support system is critical to get you through the tough times and help you celebrate accomplishments.
3. Learn from mistakes Professional athletes spend time studying past games and thinking about what worked and what went wrong. Business people can adopt the same habit, learning lessons from past mistakes to make better decisions in the future. You’ll often see football teams in the stands watching their next opponent the weekend before. This applies to business too – a bit of recon on competitors never hurts.
4. Recognise that everything won’t always go your way Elite athletes participate in many events and consequently face failure on a regular basis. The same can be said for business owners and franchisees who understand failure is part of life. You must be equipped to deal with failure and take it in your stride as you strive for success. Footy teams don’t get to the Grand Final by giving up when they fail, and you won’t be a successful business owner by throwing in the towel either.
5. Celebrate your victories – Think Mad Monday When the hard work does pay off, athletes take the time to celebrate their wins before throwing themselves into the next challenge. It’s important to acknowledge all the hard work and dedication you put into achieving success. Remembering the moments that make it all worthwhile will help you continue to aim high for success in future endeavours.

The great Australian dream may now include owning your own business according to a report released by The Global Entrepreneurship Monitor. It claims that more than 10% of the Australian adult population are either in business or planning to start a business. The entrepreneurial spirit is incredibly high amongst Generation Y with 83% indicating they are keen to become their own boss. These are staggering statistics but probably not surprising given Australia was recently voted the fourth easiest country in the world to start a business out of the 189 countries who were analysed.
THINKING OF BUYING A BUSINESS IN 2014?
For some, the business journey starts with a simple idea while others look to buy a franchise because it is perceived to be a safer option with the branding, support and systems all provided by the franchisor. Over the next few years, buying an existing business will grow in popularity as the baby boomer generation flood the market with businesses for sale and transition into retirement. If you are planning to buy a business there are some important things to consider before you invest thousands of dollars in someone else’s business. Firstly, most successful entrepreneurs are passionate about their business and their industry which prompts the question - what is your passion? You must love what you are doing because as a business owner you will generally work longer hours and in the initial stages you will probably be the manager, marketer, sales person, bookkeeper, webmaster and strategist. Wearing all those ‘hats’ is more time consuming than simply being an employee. As a consequence, you need to narrow the field of opportunities into areas of personal interest. Being an area of interest you probably already have product knowledge, understand the competing brands, know the market prices and understand the consumer’s frustrations. Evaluate Your Skills and Experience While knowledge is power, a passion for the industry isn’t enough to guarantee success in business. You should conduct an honest evaluation of your past and present skills before you potentially invest in someone else’s business. You might require an understanding of accounting, inventory control, marketing, websites, social media, human resource management, product development and sales. There are numerous courses available for new business owners but once you take control of the business you might find time is limited because of the administrative burden. Finance First We like to use the phrase ‘finance first’ with prospective business buyers. All the planning, knowledge and experience is worthless if you can’t get funding to buy the business. From a bank’s perspective, they are taking a risk by investing in you so you need to prove the business will work. Your business plan including a cash flow budget and marketing plan must convince them the business is a worthy investment.
12
VNMMAGAZINE | SEPTEMBER 2014
Your bank or financier will generally require financial statements for the last three years to ascertain the level of profitability, value of the business and your ability to service the borrowings. The financials will also help identify any financial trends and serve as the starting point for your cash flow budget. Your challenge is to produce strategies that can improve the bottom line. What new marketing initiatives will you introduce and include as part of your marketing plan? Will you introduce social media, give the business website a makeover, re-brand or simply increase prices? Know Your Market You need to conduct extensive market research before you buy a business. Is the location saturated with similar businesses in the area? Are new competitors opening up in the same area or is there a major development planned that could restrict access to the business for an extended period of time? You should also search the business’ local reputation on websites including www.womo.com. au or www.yelp.com.au. Most importantly, is there potential for growth? Is there new technology or products on the horizon that could impact on the industry? The past is no guarantee of the future and just look at what happened to Borders and Kodak as examples of why you need to adapt to technological change. Understand your competitors and their point of difference. What additional services or value could you offer customers if you proceed with the purchase? In summary, sourcing the right business to buy at the right price can be challenging but rewarding. In the process you need to conduct an honest assessment of your skills, industry knowledge and financial resources before you head down the acquisition pathway. Research your market and the reputation of the business and have a plan on how you can grow the business

There is a common exercise conducted by teachers in marketing schools to prove a point to students. Projected onto the screen, the teacher will display each letter of the alphabet. Instead of reciting the letters though, the students are asked to recite the brand of the letter’s typeface. Like clockwork, from A-Z, the brand names roll off the tongues of students. The exercise is an unnerving example of just how powerful and engrained visual branding can be in a person’s psyche. While achieving the instant brand-recognition associated with Coca-Cola for example would be unlikely, a strong visual brand can help businesses connect with their target markets, drive engagement and ultimately achieve growth. The best visual representations accurately and concisely reflect the overall brand message. But getting it right is no easy task. You must create a visual brand image that is simple, easily recognisable, unique, and easy to relate to. Dan Ratner, MD of uberbrand, affirms that creating a successful visual brand identity is not as simple as designing an attractive logo. “Everything needs to link back to and support both the business and the brand’s intention. While there is no magic formula for getting a brand’s visual identity right, there are elements that successful brands consistently use. People say ‘never judge a book by its cover’, but in branding, the cover certainly contributes.” When developing a brand’s visual identity, Ratner believes in six key ingredients:
features and benefits. Features are product specifications, while benefits are about fulfilling needs. For example, the features of slimming underwear would be the superior materials and colour. The benefits would be a slimmer silhouette and feeling more confident and sexy. Reflecting these benefits in your product creates an association between the benefits and the brand in the minds of your customers. 4. Symbols For some brands, symbols can be a simple but clever way to create shortcuts that evoke feelings or represent a brand’s attributes. For example, the deceptively-simple Amazon logo has an arrow pointing from the A to the Z, creating a subtle representation that they have everything you could need. The arrow also forms a smiley face, suggesting customers will be happy they chose Amazon. There are lots of hidden symbols in some of the world’s most iconic brands. The Guild of Food Writers subtly inserts a spoon in the negative space created by its pen logo, perfectly summing up what it does. Yoga Australia uses the negative space created by a yoga posing woman to create a map of Australia, while Toblerone has a bear symbol in the mountain representing the city of Berne in Switzerland where Toblerone is produced. 5. Characters For some, having a brand mascot can be a great way to bring a brand to life – giving it personality and lifting it up from obscurity. This can work well for brands that otherwise might seem dry. Starbucks famously uses a twin-tailed mermaid in their logo to represent the strong seaport roots of the Seattle company and to provide an alluring mystery around the brand.
1. Understanding the audience One of the greatest challenges of visual branding is creating something that evokes the right feelings about your brand in your audience. Your brand is their perception; ultimately the sum of every impression your customers receive from you. What evokes a positive reaction with one group might have the opposite reaction in another, so an accurate representation and understanding of your audience is vital for brands when developing a new logo or visual identity. Understanding your customers is the most fundamental step in building your brand’s visual identity, but it’s often overlooked. 2. A singular message While evoking that “right feeling” through your visual identity is vital, it is important not to represent too many messages at once or you risk diluting the image. Ask yourself what is the single most important idea you want your customer to ‘get’ when they look at you, then design a visual identity that truly represents that idea. This helps to provide a targeted design objective and makes briefing your designer much easier. 3. Clear brand attributes and benefits If you are designing a visual for a product then think about the specific benefits it provides. It is important to differentiate between
14

Android software is represented by a friendly-looking robot, suggesting its ease of use and fun apps. Lacoste uses a mascot in their logo effectively. They, as well as other fashion brands, choose to subtly change their image every year, ensuring that while the core brand visual remains easily recognisable customers still want to come back and buy the latest range. Characters can be effective but it is important to choose or create a character that is suitable for your audience. For example, childish characters are unlikely to work with some adult audiences. 6. The right typefaces and colours Different colours and fonts elicit different responses. So again, they should reflect the message you are trying to convey. For example a children’s brand might use softer, rounder fonts while a brand looking to convey strength might use sharper lines. Uppercase typefaces can look like they’re yelling, lowercase seems more accessible. Serifs (eg. the little flicks on Times New Roman) can give the impression of maturity, where Sans serifs (e.g. Arial) can appear more contemporary. Similarly, colours can also elicit certain feelings towards a brand. Yellow may be perceived as cheery and blue as clean and calm, while orange can be seen as energetic. Many colours are strongly linked to the brand they represent, such as ‘Cadbury purple’ or ‘Coca-Cola red’.

Running a small business was it tougher 5 years ago

VNMMAGAZINE | SEPTEMBER 2014
A survey conducted in the US by email marketing company Constant Contact suggests that 59% of small business owners believe it’s harder to run a business today than it was five years ago.
Only 12% said it’s easier to run a business today than it was five years ago. Of that group of small business owners, 89% cited online marketing tools as the reason it has become easier (and less expensive to market their business).
When asked what the biggest changes are in how they do business today versus how they did business five years ago: • 84% said using, or using more online marketing tools. • 59% said general economic uncertainty. • 27% said using, or using more automated business solutions (payroll, inventory, etc.). Although email marketing has been and remains an important tool (64% used email marketing five years ago; 98% use it today), the big change has been the use of social media marketing with 87% of small businesses surveyed today using social media marketing versus 10% five years ago. Why? Because social media amplifies word of mouth referrals. What’s Harder, What’s Easier and What Hasn’t Changed? Some concerns of small business owners have remained the same over the last five years. Compared to five years ago: • 75 percent said their top concern today is finding new customers (compared to 78 percent five years ago); • 65 percent said having enough time to do everything needed to run their business (61 percent in 2008); and • 58 percent said retaining existing customers (49 percent in 2008). Of the 59% of survey respondents who said it’s harder to run a business today compared to five years ago, 55% said the economy has hit their business hard, 49% said it’s become harder to keep pace with technology and 40% said there’s more direct competition.

Do you want to get top dollar when you cash in your business chips? Then think ahead. Are you older than 45? Will you be selling your business over the next ten years? If so, you are not alone. The majority are from this age group and they are all thinking like you.
the how, what and why of
selling your bus
As many experts have pointed out, Australia will be swamped by SME sell offs as baby boomers dispose of their businesses to spend more time with the grandkids, travel the world – even take a part time job. The theory goes that, with so many businesses flooding the market, it will be hard to sell at the price and time you want.
Fortunately, you can take steps now to make sure you are properly rewarded for your years of hard work and sacrifice when the ‘For Sale’ board finally goes up. In a highly competitive marketplace, those who prosper at sale time are those who are prepared. This means investing time now in making your business attractive to buyers; knowing your worth; understanding the tax implications; and becoming familiar with the sale process. This six-part series is designed to help. First of all: is your business ready to sell? Plan, Plan, Plan An owner who takes a strategic approach to selling is better placed than one who doesn’t. All SMEs are affected by factors outside their control, such as economic fluctuations and social trends. A carefully thought-out plan protects the value of your business against the vagaries of external forces and many internal ones, particularly if you need to sell quickly.
18
VNMMAGAZINE | SEPTEMBER 2014
The long term financial consequences of a poor sale price could be significant for you and your family. A St George Bank study last year found that one in five SME owners expects to sell their business to fund full or partial retirement. A further 54 per cent are doing no succession planning, with a sale their most likely exit strategy.
Selling your business is one of the biggest financial decisions you will ever make. Yet in my experience, most people put more effort into maximising the value of their home than they do into preparing their business for sale. Getting your business ready will take up to five years of planning. That is a small investment of time to ensure you live your final 20 to 30 years in comfort. First steps Groom your business: Consider how to make your business more attractive. Revitalise a stagnant customer base? Upgrade financial systems? Put together a plan to identify and implement business improvements. The sale price will be driven by the strength of your business so,
siness.. just as you would spruce up your house for auction, ensure your business is in top shape. Otherwise your prospective buyer will use any negatives to negotiate the sale price down. By contrast, a business in peak condition will stand out and attract a good price. Plan your marketing strategy Think about potential buyer groups for your business. A larger industry player, a smaller competitor, overseas investors, family members and private equity buyers are just a few possibilities. What is the best way to create maximum interest and obtain multiple offers? A trade sale, share market float, management buyout and family transition are all possible. Once you have a marketing strategy, you can decide how to attract the right buyer. Know your worth To negotiate confidently, you or your advisor must clearly articulate what your business is worth to each prospective buyer. Not just the standalone value but the strategic value to the buyer. Strong profits, a future growth path and no further capital investment are plus points for most buyers. Potential synergies in areas such as distribution channels and product lines are other common benefits.
Think like a buyer – what would you look for? How much working capital is required? Understand tax implications: Ask your advisor to explain the taxation implications of selling and work out a tax minimisation plan. This may mean putting in place new structures. Prepare yourself: Selling your business is an emotional process. The more you understand it, and the more you plan, the more in control you will feel. Think about your role during the sale and afterwards. Will you remain with the business in any capacity? Could you stay on for a transition period? What will happen to any family members you employ? Over the next few issues I will cover all these topics and more.

New franchise registry to enhance credibility of
Australian franchising Australia’s first franchise registry has been launched with the aim of enhancing the credibility of Australian franchising, improving franchisor compliance and providing a resource for anyone looking to invest in a franchise.
“
More than 200 franchise systems are already listed on The Franchise Registry
Officially launching The Franchise Registry, Billson said the initiative would aid decision-making in the franchising sector. “Federal Government has long had an appetite for better indicators of stability in franchising and we welcome any initiative that can generate more meaningful data that we can use to enhance our support of the sector,” Billson said. Franchise Council of Australia (FCA) Chairman Michael Paul added that the registry would highlight credibility and strength in the $131 billion sector. “We welcome the registry and its ability to generate broad and insightful data on our sector, allowing us to enhance the representation of our members by putting issues into context and proactively promoting our strengths,” he said. Darryn McAuliffe, CEO of FRANdata Australia, which administers The Franchise Registry, said the registry allowed franchisors to protect and enhance the reputation of their industry. “An information gap exists between the positive economic performance of franchising and the way people view individual franchise brands, but the publicly accessible registry gives responsible franchisors the opportunity to strengthen the credibility in franchising,” he said.
The Franchise Registry promotes greater transparency in the sector, which boasts over 1,100 franchise systems and 70,000 franchised businesses. It requires franchise brands to provide a current Disclosure Document and current Franchise Agreement each year and to also confirm that these documents comply with the Franchising Code of Conduct. Successfully registered franchise systems receive a unique franchise registration number, to be used in all dealings. The registry will provide people looking to enter franchising, and their advisors, with a base level of assurance in identifying genuine and responsible brands, helping disperse the cloud of uncertainty that persists over the industry as a result of recent Government inquiries.

Online marketing
growing your business Every day, more and more people are turning to the internet to search for goods and services and the traditional methods of finding clients just aren’t working any more. Often I hear from business owners that money’s tight or that sales are hard to get; I believe the real problem is that these businesses are just looking in the wrong place. To really succeed you need a marketing advisor who will work hand-in-hand with you to achieve the desired goals of your business. Gaining the right marketing advice and combining it with an effective implementation strategy is essential. There is no point in having new leads come to your business if you don’t have the correct elements in place to be able to convert them to sales. The best SEO experts get businesses new leads, help them turn those leads into sales and then help to turn those sales into lifelong customers. To sum it up, it’s their job to make your business money. The first stage of client engagement should be a one-to-one discussion with the advisor so that both parties have a
clear understanding of their current position and where they want to be in the future. Working together, the advisor and client should map out a strategy to achieve the client’s goals, in a measurable manner to track your results. Once an effective strategy is in place the relationship should continue to allow the client to adapt to market change over the medium to long term. An SEO expert will aim to get more exposure than simply leads from search engines. When it comes to the success of your business there is no ‘one size fits all’. One of the biggest problems with struggling businesses today is that they are trying to copy and emulate what other businesses are doing. The problem with that is that if nine out of 10 businesses are struggling and you copy them, then you will surely get the same result! Rather than relying on others who are equally uninformed, the small-business owner needs to gain support from industry experts who understand target markets and how to reach those target markets directly and do a week’s worth of sales in a day.
There is no point in having new leads come to your business if you don’t have the elements in place to convert them to sales. SEPTEMBER 2014 | VNMMAGAZINE

Businesses losing $8 billion a year through dodgy customer service
24
VNMMAGAZINE | SEPTEMBER 2014
Aussie businesses are losing a massive $8 billion a year due to bad customer service, according to new research from NewVoiceMedia. NewVoiceMedia surveyed more than 2,000 adult consumers from across the country and found that 58 per cent are taking their business elsewhere as a result of inadequate cutomer service – and of those, 92 per cent have switched at least once or twice in the last year.
With respondents spending an average of $807 before leaving, it is estimated that $8 billion is lost by businesses in Australia each year – not including the significant cost of replacing lost customers and the impact of negative word of mouth. Faced with a poor experience, 58 per cent of customers would never use that company again and would tell friends and colleagues to avoid said business.
According to the study, 55 per cent are so put off from calling a business for fear of being kept on hold, that they will switch to a competitor without even attempting to resolve a problem. According to NewVoiceMedia, the top frustrations causing consumers to walk away from a business are:
As further evidence that complaints can’t be kept quiet in the digital age, 16 per cent of consumers admit they would take out their revenge online by posting a review or complaining via social media. Among the 16-34 yearolds, this figure soared to 53 per cent.
Lack of appreciation from a business (46%); Unhelpful/rude contact centre staff (38%); Being passed around multiple agents (32%).
The research also indicated that 16-24 year-olds are the most tolerant when it comes to bad interactions, while 35-44 year-olds are the least tolerant.
