Irrespective of whether you are contemplating retirement or have many years ahead of you in business, every business owner is curious about just how much their business is worth. For every business that sells for an attractive price, there are many that struggle to sell, let alone fetch an attractive price. With the average age of business owners increasing and fewer new entrants looking to buy existing businesses, the sale price of many businesses is likely to come under pressure.

This is what a buyer is prepared to pay for. If a buyer has a reasonable certainty of profits and free cash flow in the future, then this is worth something. What influences business value and what will people pay for? 1. A history of profits, profits, and more profits 2. Returns on capital invested better than 30% 3. Strong growth and growth prospects 4. Brand name and value 5. A business not dependent on the owners 6. A strong customer list

When you come to sell a business the first question is – what are you selling? In most cases, this is fixtures and fittings, plant and equipment, stock on hand, and the goodwill of the business. Generally, a buyer won’t want to purchase your liabilities or your business structure, nor will they want to collect your outstanding debtors. Most business sales become a sale of business assets. These assets are relatively easy to value with the exception of the goodwill. The value of plant and equipment, and trading stock, can generally be agreed. The tension is usually around the value of the goodwill. This is because goodwill is made up of many intangible assets, things that you can’t readily quantify. This can include the value of: the business name; the customer list; the income stream generated by the business; your location and lease on premises; your brand value; franchise or distribution rights; your operating systems; advertising; and, supply agreements. And the list goes on. We can all agree that there is value in these assets but the question is, how much? Goodwill is basically the value of the future free cash flow of the business. Based on how your business is structured, it is the value of the profits the business can generate in the future.

It is possible to get a price that is widely different from the norm. Unique businesses, unique circumstances, and unique opportunities can always produce ‘an out of the box’ price. If you can build something special, then you may achieve a price beyond normal expectations. At the end of the day, the market will set the price. If you are planning to sell your business, be aware of who your buyers might be. There could be someone out there who is prepared to pay a big premium to own your business. And, even if you are not thinking about selling your business, the reality is that one day you will be. If you build your business with this in mind, then you should be looking to do those things that will grow your business value from year to year. The majority of purchasers, when they assess the value of a business will look for established trends. This means seeing business performance reflected in the financial statements over a number of years. Most buyers and their advisers will want to review the financial performance of the business for at least the past three years. So, if you are making changes to enhance the business value then ideally these changes will show themselves over a sustained period.

SECRET OF SUCCESS The likes of Mark Zuckerberg and Bill Gates or Steve Jobs however make us think that genius is a key ingredient and also that, entrepreneurial brilliance only strikes at a young age. The truth is the majority of entrepreneurs are middle-aged and have used their experience and simple, everyday inspiration to invent a product or service into a business. Ideas often start out as solutions to problems you may encounter during your everyday life. Take Charlie Strite for example. He was really angry that the office cafeteria where he worked, continually burnt his toast!

So here are some tips about finding that next big idea. 1. Be attentive – inspiration may arise at anytime! Keep your eyes and ears open. 2. Start where you are – Have a look at your own life or workplace and find ideas in the things you deal with on a daily basis

CHINA CULTURE OF BUSINESS

THERE IS A PHRASE WHICH GOES “EAST IS EAST AND WEST IS WEST�. THAT IS AS TRUE NOW AS WHEN IT WAS FIRST COINED. THERE ARE SIGNS, IN MANY WAYS SAD ONES, THAT THE GAP BETWEEN EASTERN AND WESTERN CULTURES WILL BECOME MINIMAL WITHIN A GENERATION OR TWO. Chinese society is changing very fast, especially in the younger generation, who are increasingly integrating with the rest of the world. But right now, there is still a yawning chasm between the two cultures. However, contrary to a widespread perception, the Chinese are very easy to get to know. They are warm, generous, interesting, curious, wise and thoroughly rewarding people to have as friends and business contacts. You will find that you will be asked quite a lot of personal information, such as: Are you married? How old are you? How much do you earn? The Chinese do not share

the western reticence to indulge in such topics of conversation. It is important not to be offended by such enquiries. However, the generally accepted rule of avoiding the topics of religion and politics do apply. No matter what preconceived ideas we in the west may have about Chinese politics, do not raise the issues of Taiwan or Tibet. It can only sour the atmosphere. To deal successfully with Chinese businesses demands an appreciation of the culture of China, in both the social and business settings. At the very least, the western enterpreneur should make the effort to understand and respect the Chinese approach to business

The toughest aspect of understanding people is to understand their ethics, values, etiquette and protocol. As outsiders, we miss the very subtle nuances operating within a culture and often we do not clearly understand what influences and drives a successful business relationship. It may be argued that there is an equal onus on the Chinese business person to adapt to western ways. However, this is simply not going to happen in the short and medium term. In any case, in the west we do say: “When in Rome, do as the Romans do!” So, we face a simple choice. Do it the Chinese way or be prepared for delays, disappointments, misunderstandings and, worst of all, mistrust. So, why bother at all? China has a low wage, low price economy which is growing rapidly. This is bringing enormous opportunities for western companies. Of course, it simultaneously creates profound challenges for the world. Most western businesses will feel the effect of this process in some way at some stage. But, the incentives are huge and the potential rewards make the effort worthwhile. And the effort required is not as daunting as it may appear. The paramount point to appreciate is that, although China may seem to be in a hurry, the Chinese business person is not. Patience really is a virtue. You will need time to build up a relationship with your potential partner. This relationship is called ‘guanxi’. HELD BACK THE ECONOMIC ARGUMENTS FOR GENDER EQUALITY ARE OVERWHELMING - BUT STEREOTYPES KEEP GETTING IN THE WAY OF PROGRESS

Women have never been in a stronger position to lead, change and shape the economic, social and political landscape. The 21st century has seen a dramatic shift in “traditional” family dynamics and greater recognition of gender in legislation has helped pull apart gender-role divisions. As a result women are far more economically independent and socially autonomous, representing 42% of the workforce and 55% of university graduates. Yet women are still less likely than men to be associated with leadership positions: they account for 22% of MPs and peers, 20% of university professors, 6.1% of FTSE 100 executive positions, and 3% of board chairpersons. This stark inequality is consistently reflected in pay gaps, despite the introduction of the Equal Pay Act in 1975. In recent reports 2.4 million unemployed women said that they want to find employment, and nine out of 10 people want to see men and women equally represented in leadership positions. If the intention to change is there, and basic social and political frameworks support women in the workforce, then we need to look beyond facts and figures to establish what other factors contribute to the gaping hole in gender equality. While statistics offer insights into current patterns and behaviours, they do not address why the skills and talents of women are not being fully utilized.

A relatively neglected factor is the role of stereotypes, reinforced by social and cultural norms, which underline certain expectations about gender. Decades of research has shown that stereotypes about men and women have a huge impact on our beliefs about how they should (or should not) behave. Consequently gender stereotypes reinforce social status and gender hierarchies: for example, surveys and experiments show that women are generally perceived as more “communal” and “loyal”, whereas men are described more as “protectors” and “competent”. Of course not everyone subscribes to these stereotypes, but there is evidence that men and women who behave in ways that contrast with these traditional stereotypes, such as career women or stay-at-home dads, are likely to be evaluated negatively by others. A lifetime of exposure to what women should be, how they should behave and who they should represent drives and reinforces unconscious and unseen biases. Unconscious bias is particularly important as it arises from the implicit assumptions and unspoken attitudes, beliefs and expectations that we all have about others. Study after study has highlighted that both men and women have unconscious gender biases.
