Cari amici e colleghi, i motivi principali per cui vi scrivo queste poche righe sono due: presentare il nuovo listino prezzi per la stagione 2022/2023 e ringraziare tutti quanti voi per la vostra fiducia.

Ormai da più di due anni l’umanità intera è costretta ad affrontare la pandemia dovuta a Covid-19, che purtroppo ha colpito profondamente il mondo del lavoro in tutti i suoi aspetti. Negli ultimi mesi questa già complicata situazione è stata aggravata ulteriormente dallo scoppio della drammatica guerra che ha colpito l’Ucraina e che sta continuando a peggiorare lo stato del nostro pianeta da molteplici punti di vista. L’aumento sconsiderato dei costi dell’energia, del gasolio e, in generale, di tutte le materie prime indispensabili per il nostro lavoro che anche il nostro settore ha subito e che non accenna a fermarsi ci ha costretti – nostro malgrado – a rivedere il listino prezzi che troverete qui allegato. Per la Giorgio Tesi Group è stato necessario intervenire al fine di riuscire a garantirvi gli stessi standard di qualità e servizio che contraddistinguono l’azienda e per poter continuare a produrre e a investire. Vorrei ringraziare voi clienti, il cui fondamentale ed insostituibile supporto ci ha permesso di crescere anche durante il difficile periodo in cui il Covid-19 si è diffuso a livello planetario, impedendo per mesi e mesi le relazioni sociali e i rapporti commerciali e bloccando sostanzialmente il mercato. Nonostante la recente piccola flessione registrata a causa del conflitto in atto e delle complesse circostanze geo-politiche e socio-economiche che ne derivano, tramite il vostro appoggio stiamo continuando a migliorare e guardiamo al futuro con speranza, credendo fermamente nella realizzazione di importanti progetti volti non solo alla promozione di un mondo più green, ma anche al sostegno del territorio, della sua comunità, della cultura, del turismo e dello sport. Grazie, dunque, a tutti voi, che ci avete permesso di arrivare dove siamo oggi e che siete ormai parte integrante della nostra grande famiglia. les raisons principales qui me poussent à écrire ces quelques lignes sont au nombre de deux : présenter le nouveau catalogue des prix pour la saison 2022/2023 et vous remercier de votre confiance.

Los principales motivos por los que escribo estas líneas son dos: presentar la nueva lista de precios para la temporada 2022/2023 y agradecerle su confianza.

Depuis plus de deux ans désormais, toute l’humanité doit faire face la pandémie en raison du Covid-19 qui, malheureusement, a frappé profondément tous les aspects du monde du travail. Au cours des derniers mois cette situation déjà compliquée s’est aggravée ultérieurement en raison de la guerre qui a frappé l’Ukraine et continue d’empirer l’état de notre planète à bien des égards. Notre secteur a subi l’augmentation inconsidérée des coûts de l’énergie, du gasoil et, en général, de toutes les matières premières indispensables pour notre travail et qui ne semble pas s’arrêter, ce qui nous a contraints– malgré nous– de revoir notre catalogue de prix que vous trouverez ici ci-joint. Pour Giorgio Tesi Group il a été nécessaire d’intervenir pour vous garantir les mêmes niveaux de qualité et de service qui caractérisent l’entreprise et pour pouvoir continuer à produire et à investir.

Desde hace más de dos años la humanidad entera se ha visto obligada a afrontar la pandemia de COVID-19, que lamentablemente ha afectado profundamente al mundo del trabajo en todos sus aspectos. En los últimos meses, esta situación —ya de por sí complicada— se ha visto agravada por el estallido de la dramática guerra en Ucrania, que sigue empeorando el estado de nuestro planeta desde muchos puntos de vista. El aumento exorbitante de los costos de la energía, del gasóleo y, en general, de todas las materias primas indispensables para nuestro trabajo, que también ha afectado a nuestro sector y que no da señales de detenerse, nos ha obligado —muy a nuestro pesar¬¬¬— a actualizar la lista de precios que se adjunta. Era necesario que Giorgio Tesi Group tomara medidas con el fin de poder garantizar los estándares de calidad y servicio que desde siempre caracterizan a la empresa, y para poder seguir produciendo e invirtiendo.

J’aimerais remercier les clients, dont le soutien fondamental et incontournable nous a permis de nous développer même durant la période difficile pendant laquelle le Covid-19 s’est répandu au niveau planétaire, en empêchant pendant des mois les rapports sociaux et les rapports commerciaux et en bloquant sensiblement le marché. Malgré le récent petit fléchissement enregistré en raison du conflit en cours et des circonstances géopolitiques et socio-économique complexes qui en découlent, à travers votre soutien nous continuons à améliorer et nous tournons vers le futur avec espoir, en croyant fermement dans la réalisation de projets importants visant non seulement à la promotion d’un monde plus green, mais également au soutien du territoire, de sa communauté, de la culture, du tourisme et du sport. I am writing these few lines for two main reasons: firstly, to introduce the new price list for the season 2022/2023 and secondly, to thank you all for your trust in us.

ich schreibe Ihnen diese wenigen Zeilen vor allem aus zwei Gründen: um Ihnen die neue Preisliste für die Saison 2022/2023 zu präsentieren und um Ihnen für Ihr Vertrauen zu danken.

For over two years now, all humanity has been forced to face the pandemic caused by Covid-19, which, unfortunately, has deeply affected the overall world of work in all its aspects. In recent months, this situation, which was already complicated enough, was further aggravated by the outbreak of the dramatic war that hit Ukraine, and is continuing to worsen the state of our planet from many points of view. The reckless increase in the costs of energy, diesel oil and, in general, all raw materials deemed essential for our work, has also adversely affected our sector and shows no signs of slowing down. This has forced us, in spite of ourselves, to review the price list you will find enclosed herewith. It was necessary for Giorgio Tesi to take such action to maintain the same standards of quality and service that distinguish our company and also to continue producing and investing.

Seit mehr als zwei Jahren ist die gesamte Menschheit gezwungen, sich mit der Covid-19-Pandemie auseinanderzusetzen, die leider auch die Arbeitswelt unter allen Aspekten schwer getroffen hat. In den letzten Monaten hat sich diese ohnehin schon komplizierte Situation durch den Ausbruch des dramatischen Krieges in der Ukraine zusätzlich verschärft, der den Zustand unseres Planeten in vielerlei Hinsicht weiter verschlechtert. Der rücksichtslose Anstieg der Kosten für Energie, Diesel und generell für alle für unsere Arbeit unentbehrlichen Rohstoffe, dem auch unsere Branche ausgesetzt und der nicht aufzuhalten ist, hat uns gezwungen, die beiliegende Preisliste - gegen unseren Willen zu überarbeiten. Die Giorgio Tesi Gruppe musste handeln, um Ihnen die gleichen Qualitäts- und Servicestandards garantieren zu können, die das Unternehmen auszeichnen, und um weiterhin produzieren und investieren zu können.

I would like to thank all of you, dear customers, for your fundamental and irreplaceable support, which allowed us to keep growing even during the difficult period of the worldwide spread of Covid-19 that caused disruption to all types of social and commercial relations for months on end, blocking the market to a large extent. Despite the recent slight decline due to the ongoing conflict mentioned earlier and the ensuing intricate geo-political and socio-economic circumstances, we are able to continue improving and looking to the future with hope, thanks to your support. We firmly believe that important projects aimed not only at promoting a greener world, but also at supporting the territory and its community as well as culture, tourism and sport in general, will be successfully achieved. Therefore, I wish to thank all of you for allowing us to reach our current position. We consider you as an integral part of our large family, and as such, your visit is always welcome. Bu satırları yazmamın başlıca iki nedeni var: 2022/2023 sezonunun yeni fiyat listesini sunmak ve hepinize güveniniz için teşekkür etmek.

Уже более двух лет все человечество борится с пандемией, вызванной Covid-19. В последние месяцы эта и без того сложная ситуация еще более усугубилась из-за начала драматической войны в Украине, которая продолжает ухудшать состояние нашей планеты во многих отношениях. Стремительное повышение стоимости энергии, дизельного топлива и, в целом, всех необходимых для нашей работы сырьевых материалов, от которого зависит наш сектор и которое не подает признаков остановки, заставило нас вопреки самим себе - пересмотреть прейскурант, который вы найдете в приложении. В связи с этой всей ситуацией, GIORGIO TESI GROUP необходимо было принять меры, чтобы гарантировать те же стандарты качества и обслуживания, которые характерны для компании и возможность продолжать как производство так и инвестиции.

Son aylarda, zaten karmaşık olan bu durum, Ukrayna’yı vuran ve gezegenimizin durumunu birçok açıdan daha da kötüleştirmeye devam eden dramatik savaşın patlak vermesiyle daha da ağırlaştı. CONDIZIONI DI VENDITA 1)VALIDITA’. La vendita dei nostri prodotti avviene alle seguenti condizioni di vendita generale, che annullano e sostituiscono le precedenti. 2) PREZZI. I prezzi stabiliti nei cataloghi, listini ecc, si intendono riferiti ai rivenditori, franco partenza ed al netto di ogni imposta , che sarà applicata sulla base delle aliquote in vigore al momento della fatturazione ed essendo inteso che qualsiasi altra spesa o onere sarà a carico del Compratore. I prezzi si ritengono validi per quantità minima di 10 pezzi della stessa varietà e forma consegnati in una sola volta. La venditrice si riserva la facoltà di non confermare ordini il cui valore sia inferiore a Euro 2.500. I prezzi indicati in fattura, se non diversamente previsto sulla stessa, si intendono validi per pagamento alla consegna ed al netto di sconti. Per pagamenti dilazionati, la venditrice si riserva la possibilità di addebitare sull’acquirente gli interessi in ragione del 1% mensile come pure ogni ulteriore spesa per emissione e negoziazione di titoli di credito nonché ulteriori spese bancarie. I pagamenti si intendono validi se effettuati all’indirizzo della sede legale della venditrice; 3) ACCETTAZIONE. Ogni ordine ricevuto da un cliente presuppone accettazione diquanto descritto nelle condizioni di vendita pubblicate sul sito ufficiale nonché sul catalogo. Qualunque deroga o differente condizione per essere valida deve avere approvazione scritta Le ordinazioni, una volta conferite, non potranno essere annullate né ridotte. Tutte le aggiunte saranno fatte quando ciò non implichi ritardo dell’ordine precedente. Se l’aggiunta pervenisse dopo l’avvenuta preparazione della commissione precedente essa sarà considerata come una ordinazione distinta ed eseguita separatamente. Le ordinazioni vengono eseguite secondo il loro ordine di arrivo ed il più rapidamente possibile. L’accettazione di ogni ordine è comunque subordinata all’avvenuto totale pagamento delle consegne relative alla precedente stagione e si intende revocabile se, da informazioni assunte dalla venditrice, l’acquirente non risulta essere in condizioni finanziarie tali da garantire la piena solvibilità o comunque se a carico del cliente risultano precedenti problemi relativi agli incassi. 4) TERMINE DI CONSEGNA. La venditrice si impegna a consegnare la merce nel termine stabilito sull’ordine, ma non si ritiene responsabile di ritardi dovuti a cause di forza maggiore o comunque indipendenti dalla sua volontà, compresi pioggia, gelo, siccità ed altre similari calamità naturali. Non si considera altresì imputabile alla venditrice l’eventuale ritardo dovuto a atti o omissioni del Compratore, quali, a puro titolo esemplificativo, la mancata comunicazione di indicazioni necessarie alla fornitura dei prodotti. Eventuali termini fissati per le consegne si ritengono solamente indicativi e nessun reclamo o rifiuto della merce è consentito per anticipo o ritardo nell’invio che venga eseguito in epoca favorevole. 5) CARATTERISTICHE DEI PRODOTTI. In caso di eventuale indisponibilità di varietà di piante previste sull’ordine, salvo espresso divieto di cui sia fatta regolare menzione in ciascun ordine distinto, la venditrice si riserva la possibilità di sostituire quanto mancante con varietà affini per qualità, quantità e dimensione a quelle varietà richieste che fossero eventualmente esaurite, il cui prezzo sia più vicino possibile a quanto ordinato. 6) IMBALLAGGIO. Ogni tipo di imballaggio verrà fatturato al costo all’acquirente e non verrà accettato il ritorno. 7) SPEDIZIONE E LIMITI DI RESPONSABILITA’. Il Compratore è tenuto ad indicare con esattezza il luogo previsto per la consegna, indicando altresì il mezzo di trasporto voluto e il luogo cui appoggiare la spedizione. In mancanza di tali indicazioni la venditrice si regolerà secondo la maggiore convenienza declinando ogni responsabilità. Il compratore è altresì tenuto a provvedere allo scarico con la massima cura ed urgenza per evitare problemi alle piante ricevute. Salvo accordi speciali le spedizioni sono sempre eseguite Ex works, secondo la clausola Incoterms 2020 (oppure: in porto assegnato e cioè con la spesa di trasporto da pagarsi all’arrivo da parte dell’acquirente). Gli imballaggi sono eseguiti in base alle caratteristiche delle piante ed alla distanza che debbono percorrere. La merce viaggia sempre a rischio e pericolo dell’acquirente anche se venduta franco destino e trasportata sui mezzi del venditore. Pertanto ogni responsabilità della venditrice cessa con la consegna delle merci al vettore o a chi effettua il trasporto. In caso quindi di ritardi, avarie,

mancanze, scambio o manomissione di colli ecc. i conseguenti reclami debbono essere effettuati direttamente dal destinatario ed esclusivamente verso chi ha effettuato il trasporto. In ogni caso la merce deve essere ritirata poiché, rifiutandone lo svincolo, l’acquirente verrebbe a perdere ogni diritto verso l’assuntore del trasporto, restando ugualmente obbligato verso il fornitore per il valore della merce e per tutte le spese e conseguenze. 8) GARANZIA DI ATTECCHIMENTO. Poiché l’attecchimento delle piante dipende da molteplici fattori, anche concomitanti, quali le attente cure al momento dell’arrivo, la preparazione del terreno, la piantagione e gli accorgimenti nel periodo immediatamente successivo alla mesa a dimora delle piante stesse, oltrechè dalle condizioni climatiche e meteoriche della zona dove è effettuata la piantagione, tale attecchimento non viene mai garantito dal fornitore. 9) RECLAMI E RESI. Data la particolare deperibilità della merce, che viaggia a rischio e pericolo dell’acquirente, eventuali reclami si ritengono validi alle seguenti condizioni: preventiva e obbligatoria segnalazione scritta da indicare sul documento di trasporto (C.M.R. o equivalente) relativa a piante mancanti o rotte o comunque con difetti direttamente riscontrabili allo scarico; in ogni caso reclami relativi a ulteriori vizi apparenti rilevabili al momento della consegna dovranno a pena di decadenza essere notificati alla Venditrice a mezzo lettera racc. a.r. o posta certificata (PEC) con allegata idonea documentazione fotografica o filmata recante data certa, entro il termine di tre giorni dal ricevimento della merce a pena di decadenza e ciò in espressa deroga a quanto stabilito dall’art. 1495 c.c eventuali reclami relativi a difetti non individuabili mediante un diligente controllo al momento del ricevimento (vizi occulti) dovranno essere notificati a mezzo lettera racc. a.r. o PEC con le stesse modalità e nello stesso termine di cui sopra a decorrere dalla data della scoperta e comunque non oltre otto giorni dalla consegna. In ogni caso la parte acquirente dovrà tenere a disposizione la merce ai fini delle necessarie verifiche sulla correttezza del reclamo e comunque in condizioni di corretto mantenimento. Ogni ritardo nei termini sopra indicati o mancata segnalazione su C.M.R. non sarà ritenuto valido. Si precisa che ad ogni effetto non costituiscono vizi occulti difetti relativi alle radici, trapianti e qualità della zolla che saranno soggetti a verifica immediata a cura dell’acquirente al momento della consegna. E’ inteso che eventuali reclami o contestazioni non danno diritto al Compratore di sospendere o comunque ritardare i pagamenti dei prodotti oggetto di contestazione, né tanto meno di altre forniture. In caso di contestazione documentata, il cliente avrà diritto alla rettifica del prezzo con relativa nota di credito sulla fattura. Mentre gli accordi per sostituzione merci sono considerati ordini a parte. L’acquirente non potrà mai chiedere un indennizzo per “mancato guadagno”; in ogni caso il danno non potrà mai essere superiore al valore della merce. 10) RISERVA DI PROPRIETA’. La merce venduta rimane comunque di proprietà del venditore fino al totale pagamento della stessa, restando a carico dell’acquirente ogni eventuale danno derivante alla stessa in tale periodo se rimasta nella disponibilità dell’acquirente originario. La riserva di proprietà si estende ai prodotti venduti dal compratore a terzi ed al prezzo di tali vendite, entro i limiti massimi previsti dalla legge del Paese del Compratore che regola la presente clausola. 11) Trattamento dei dati I dati dell’acquirente sono trattati conformemente a quanto previsto dalla normativa in materia di protezione dei dati personali 12) FORO COMPETENTE. Le nostre vendite sono assoggettate solo alla legge italiana con esclusione di ogni altra disposizione normativa anche di origine convenzionale. Ogni controversia che dovesse insorgere in merito alla fornitura o comunque ad essa connessa sarà previamente risolta a mezzo di conciliazione presso la Camera di Commercio di Pistoia. In caso di mancato accordo, sarà competente il Tribunale di Pistoia. La riproduzione, anche parziale e su qualsiasi supporto, incluso quello elettronico, di testi e foto del catalogo è riservata Ogni informazioni relativa alla caratteristica delle pinte contenute in questo catalogo, anche se curate con scrupolo e attenzione, non comportano specifiche responsabilità per eventuali involontari errori ed inesattezze.

CONDITIONS DE VENTE 1) VALIDITÉ. La vente de nos produits a lieu aux conditions de vente suivantes qui annulent et remplacent les précédentes. 2) PRIX. Les prix dans les catalogues, listes, etc. s’adressent aux concessionnaires, franco départ et net de tout impôt, qui sera appliqué sur la base des taux en vigueur au moment de la facturation et alors même que tout autre frais ou obligation sera à la charge de l’Acheteur. Les prix sont valables pour une quantité minimale de 10 pièces de la même variété et forme livrées en une seule fois. La vendeuse se réserve le droit de ne pas confirmer les commandes dont la valeur est inférieure à 2 500 euros. Les prix indiqués sur la facture, sauf indication contraire sur cette dernière, sont valables pour le paiement à la livraison et nets de tous rabais. Pour les paiements échelonnés, la vendeuse se réserve la possibilité de débiter à l’acheteur les intérêts à hauteur de 1 % par mois, comme également toute dépense ultérieure pour émission et négociation de titres de crédit ainsi que les frais bancaires supplémentaires. Les paiements sont valables s’ils ont eu lieu à l’adresse du siège social de la vendeuse ; 3) ACCEPTATION. Chaque commande reçue de la part d’un client implique l’acceptation de ce qui est décrit dans les conditions de vente publiées sur le site officiel ainsi que sur le catalogue. Pour être valable, toute dérogation ou condition différente doit avoir une approbation écrite. Les commandes, une fois attribuées, ne pourront pas être ni annulées ni réduites. Tous les ajouts seront faits quand ceci n’implique pas un retard de la commande précédente. Si l’ajout devait parvenir après la préparation de la commande précédente, il sera considéré comme une commande distincte et traité séparément. Les commandes sont exécutées selon leur ordre d’arrivée et le plus rapidement possible. L’acceptation de chaque commande est, quoi qu’il en soit, subordonnée au paiement total des livraisons relatives à la saison précédente et est considérée comme étant révocable si, selon des informations prises par la vendeuse, l’acheteur ne se trouve pas dans des conditions financières susceptibles de garantir l’entière solvabilité ou, quoi qu’il en soit, s’il existe des problèmes relatifs aux encaissements à la charge du client. 4) DÉLAI DE LIVRAISON. La vendeuse s’engage à livrer la marchandise dans le délai prévu sur la commande, mais ne s‘estime pas responsable des retards découlant de force majeure ou, en tout cas, indépendants de sa volonté, y compris la pluie, le gel, la sécheresse et d’autres calamités naturelles similaires. L’éventuel retard dû à des actes ou des omissions de l’Acheteur comme, à simple titre d’exemple, l’absence de communication des indications nécessaires à la fourniture des produits. D’éventuels délais fixés pour les livraisons sont fournis à simple titre indicatif et aucune réclamation ou refus de la marchandise n’est consenti par avance ou retard dans l’envoi qui est effectué à une époque favorable. 5) CARACTÉRISTIQUES DES PRODUITS. En cas d’éventuelle indisponibilité des variétés de plantes prévues sur la commande, sauf interdiction expresse qui a été mentionnée dans chaque commande distincte, la vendeuse se réserve la possibilité de remplacer ce qui manque par des variétés proches par qualité, quantité et dimensions des variétés requises qui sont éventuellement épuisées et dont le prix est le plus proche possible de ce qui a été commandé. 6) EMBALLAGE. Chaque type d’emballage sera facturé au coût et ne sera pas accepté pour le retour. 7) EXPÉDITION ET LIMITES DE RESPONSABILITÉ. L’Acheteur est tenu d’indiquer exactement le lieu établi pour la livraison, en indiquant également le moyen prévu pour la livraison, le moyen de transport voulu et le lieu où placer l’expédition. A défaut de ces indications la vendeuse décidera en se basant sur une plus grande commodité en déclinant toute responsabilité. L’acheteur est également tenu de procéder au déchargement avec soin et urgence pour éviter des problèmes aux plantes reçues. Sauf accords spéciaux, les expéditions sont toujours exécutées Départ usine, selon la clause Incoterms 2020 (ou bien : en port avancé, à savoir avec les frais de transport à l’arrivée à la charge de l’acheteur). Les emballages sont effectués selon les caractéristiques des plantes et la distance qu’elles doivent parcourir. La marchandise voyage toujours aux risques et périls de l’acheteur même si elle est vendue franco de port et transportée sur des engins du vendeur. Par conséquent, toute responsabilité de la vendeuse cesse en remettant les marchandises au transporteur ou à celui qui effectue le transport. En cas de retards donc, d’avaries, de manques, d’échange ou de manipulation de colis etc. les réclamations consécut-

ives doivent être effectuées directement par le destinataire exclusivement à celui qui a effectué le transport. En tout cas la marchandise doit être retirée car, en en refusant la décharge, l’acheteur perdrait tout droit vers le garant du transport, tout en restant quand même obligé vers le fournisseur pour la valeur de la marchandise et pour les frais consécutifs. 8) GARANTIE D’ENRACINEMENT. Car l’enracinement des plantes dépend de multiples facteurs, même concomitants, comme des soins attentifs au moment de l’arrivée, la préparation du terrain, la plantation et les mesures au cours de la période immédiatement successive à la plantation, ainsi des conditions climatiques et météoriques de la zone où la plantation a eu lieu. Cet enracinement n’est jamais garanti par le fournisseur. 9) RÉCLAMATIONS ET RETOURS. Compte tenu de la particulière nature périssable de la marchandise, qui voyage aux risques et périls de l’acheteur, d’éventuelles réclamations sont valables aux conditions suivantes : signalisation préventive et obligatoire par écrit à indiquer sur le document de transport (C.M.R. ou équivalent) relative à des plantes manquantes ou cassées ou, en tout cas, comportant des défauts pouvant être constatés directement au moment du déchargement ; en tout cas des réclamations relatives à des vices apparents ultérieurs pouvant être relevés au moment de la livraison devront être notifiées sous peine de déchéance à la Vendeuse par lettre recommandée a.r. ou courrier certifié (PEC) avec une documentation photographique jointe appropriée ou filmée portant une date certaine, dans un délai de trois jours à compter de la réception de la marchandise sous peine de déchéance et ceci par dérogation expresse avec les dispositions de l’art. 1495 CC. Les éventuelles réclamations concernant des défauts ne pouvant être détectés par un contrôle diligent au moment de la réception (vices occultes) devront être notifiées par lettre recommandée a.r. ou PEC avec les mêmes modalités et dans le même délai susvisé à compter de la date de la découverte et, en tout cas, pas plus de huit jours à compter de la livraison. Quoi qu’il en soit, la partie acheteuse devra tenir la marchandise à disposition en vue des vérifications nécessaires sur les raisons de la réclamation et dans des conditions de bonne conservation. Chaque retard dans les délais susvisés ou le manque signalisation sur C.M.R. ne sera pas estimé valable. Il faut préciser, à toutes fins utiles, que les défauts relatifs aux racines, greffes et qualité de la motte ne constituent pas des vices occultes sujets à une vérification immédiate aux bons soins de l’acheteur au moment de la livraison. Il est entendu que les éventuelles réclamations ou contestations ne donnent pas le droit à l’Acheteur de suspendre ou de retarder les paiements des produits faisant l’objet de contestation sans parler d’autres fournitures. En cas de contestation documentée, le client aura droit à la rectification du prix avec la note de crédit correspondante sur la facture. Tandis que les accords pour le remplacement des marchandises sont considérés comme des commandes à part. L’acheteur ne pourra jamais demander une indemnité pour « manque à gagner » ; en tout cas le dommage ne pourra jamais être supérieur à la valeur de la marchandise. 10) RÉSERVE DE PROPRIÉTÉ. La marchandise vendue reste en tout cas la propriété du vendeur jusqu’au paiement complet de celle-ci, restant à la charge de l’acheteur tout éventuel dommage dérivant à celle-ci durant cette période si elle est restée à disposition de l’acheteur d’origine. La réserve de propriété s’étend aux produits vendus par l’acheteur aux tiers et au prix de ces ventes, dans les limites maximales prévues par la loi du Pays de l’Acheteur qui règlemente cette clause. 11) Traitements des Données les données de l’acheteur sont traitées conformément à la règlementation en matière de protection des données personnelles 12) TRIBUNAL COMPÉTENT. Nos ventes sont soumises uniquement à la loi italienne à l’exception de toute autre disposition règlementaire même d’origine conventionnelle. Tout litige au sujet de la fourniture ou en tout cas qui y est lié sera préalablement résolu par voie de conciliation auprès de la Chambre de Commerce de Pistoia. En cas de non accord, le Tribunal de Pistoia sera compétent. CONDICIONES DE VENTA 1) VALIDEZ. La venta de nuestros productos se realiza en las siguientes condiciones generales de venta, que anulan y sustituyen a las anteriores. 2) PRECIOS. Los precios indicados en los catálogos, listas de precios, etc., se entienden referidos a los revendedores, franco fábrica y netos de impuestos, que se aplicarán según las alícuotas vigentes en el momento de la facturación, quedando establecido que cualquier otro gasto o gravamen será a cargo del Comprador. Los precios se consideran válidos por una cantidad mínima de 10 unidades de la misma variedad y forma, entregadas en una sola vez. El Vendedor se reserva la facultad de no confirmar pedidos cuyo valor sea inferior a 2.500 euros. Si no se prevé lo contrario en la factura, los precios indicados en esta última son válidos para pago a la entrega y netos de descuentos. Para los pagos aplazados, el Vendedor se reserva la posibilidad de cobrar al Comprador un interés del 1 % mensual, además de cualquier otro gasto relativo a la emisión y negociación de títulos de crédito, así como otros gastos bancarios. Los pagos son válidos si se realizan a la dirección de la sede legal del Vendedor. 3) ACEPTACIÓN. Cada pedido recibido de un cliente supone la aceptación de las condiciones de venta publicadas en el sitio web oficial y en el catálogo. Para ser válida, cualquier derogación o condición diferente debe contar con aprobación escrita. Una vez aprobados, los pedidos no se podrán anular ni reducir. Todos los agregados se realizarán cuando ello no implique un retraso del pedido anterior. Si el agregado llega después de la preparación del pedido anterior, se considerará como un pedido diferente y se ejecutará por separado. Los pedidos se realizan según su orden de llegada y lo más rápidamente posible. La aceptación de cada pedido está siempre subordinada al pago total de las entregas de la estación anterior y puede ser revocada si, según la información obtenida por el Vendedor, el Comprador no está en condiciones financieras que garanticen su solvencia o si el cliente ya ha tenido problemas relacionados con los pagos. 4) PLAZO DE ENTREGA. El Vendedor se compromete a entregar la mercancía en el plazo establecido en el pedido, pero declina toda responsabilidad por retrasos debidos a causas de fuerza mayor o independientes de su voluntad, como lluvia, hielo, sequía u otras calamidades naturales similares. El Vendedor tampoco será responsable de retrasos debidos a actos u omisiones del Comprador como, a título de ejemplo no limitativo, la no comunicación de indicaciones necesarias para el suministro de los productos. Los plazos eventualmente establecidos para las entregas se consideran indicativos; no está permitida ninguna reclamación o rechazo de la mercancía por anticipación o retraso de los envíos que se realicen en períodos favorables. 5) CARACTERÍSTICAS DE LOS PRODUCTOS. En caso de no disponibilidad de variedades de plantas previstas en el pedido, salvo expresa prohibición debidamente indicada en cada pedido, el Vendedor se reserva la posibilidad de sustituir el material faltante con variedades afines por calidad, cantidad y dimensiones a las variedades solicitadas que se hayan agotado, y cuyo precio sea lo más cercano posible al del material solicitado. 6) EMBALAJE. Todos los embalajes se facturarán al costo y no se aceptará su devolución. 7) ENVÍO Y LÍMITES DE RESPONSABILIDAD. El Comprador está obligado a indicar exactamente el lugar previsto para la entrega, indicando asimismo el medio de transporte deseado y el lugar en el cual colocar el envío. En ausencia de estas indicaciones, el Vendedor procederá de la forma que estime conveniente, declinando toda responsabilidad. El Comprador también está obligado a descargar con el máximo cuidado y rapidez, para evitar problemas con las plantas recibidas. Salvo que se acuerde lo contrario, los envíos son siempre Ex Works, según la cláusula Incoterms 2020 (o bien: a porte debido, es decir, con gastos de transporte a cargo del Comprador, a pagar a la entrega). Los embalajes se preparan en función de las características de las plantas y de la distancia que deben recorrer. La mercancía viaja siempre a cargo y riesgo del Comprador, incluso si ha sido vendida franco de porte y transportada en vehículos del Vendedor. En consecuencia, cualquier responsabilidad del Vendedor cesa con la entrega de la mercancía al transportista o a quien realiza el transporte. En caso de retrasos, averías, falta de material,

cambio o alteración de bultos, etc., las reclamaciones correspondientes deben ser realizadas directamente por el destinatario y exclusivamente a quien ha realizado el transporte. La mercancía debe ser recibida siempre ya que, en caso de rechazar el despacho, el Comprador perdería todo derecho ante el transportista, quedando igualmente obligado ante el proveedor por el valor de la mercancía y por todos los gastos y consecuencias. 8) GARANTÍA DE ENRAIZAMIENTO. Dado que el enraizamiento de las plantas depende de múltiples factores concomitantes, como el cuidado en el momento de la llegada, la preparación del terreno, la plantación y las precauciones en el período inmediatamente posterior al trasplante de las plantas, así como de las condiciones climáticas y meteorológicas de la zona en la que se realiza la plantación, dicho enraizamiento no puede ser garantizado por el proveedor. 9) RECLAMACIONES Y DEVOLUCIONES. Considerando la perecibilidad de la mercancía, que viaja por cuenta y riesgo del comprador, las eventuales reclamaciones se consideran válidas si se cumplen las siguientes condiciones: previa y obligatoria indicación escrita en el documento de transporte (CMR o equivalente) sobre plantas faltantes, rotas o con defectos visibles durante la descarga; en todo caso, las reclamaciones por otros defectos aparentes, visibles en el momento de la entrega, deberán ser notificadas al Vendedor, bajo pena de caducidad, por correo certificado con acuse de recibo o por correo electrónico certificado (CEC), adjuntando idónea documentación fotográfica o fílmica con fecha clara, en el plazo de tres días a partir de la recepción de la mercancía, en derogación de lo establecido por el art. 1495 del Código Civil italiano. Las eventuales reclamaciones relativas a defectos no identificables mediante un atento control en el momento de la recepción (vicios ocultos) deberán ser notificadas por correo certificado con acuse de recibo o por CEC, en las mismas formas y en el plazo antedicho a partir de la fecha de su descubrimiento, y hasta un plazo máximo de ocho días desde la entrega. En todo caso, la parte Compradora deberá conservar la mercancía en buenas condiciones de mantenimiento, poniéndola a disposición para los necesarios controles sobre la pertinencia de la reclamación. Eventuales retrasos en los plazos indicados o la no indicación en el CMR comportarán la invalidez de la reclamación. Se recuerda que, a todos los efectos, no constituyen vicios ocultos aquellos defectos relativos a las raíces, trasplantes y calidad del terrón, que serán controlados inmediatamente por el Comprador en el momento de la entrega. Queda establecido que las eventuales reclamaciones o impugnaciones no dan derecho al Comprador a suspender ni a postergar los pagos de los productos objeto de reclamación ni de otros suministros. En caso de reclamación documentada, el cliente tendrá derecho a la rectificación del precio, con la correspondiente nota de crédito sobre la factura. Los acuerdos para la sustitución de mercancía se consideran pedidos aparte. El Comprador nunca podrá solicitar una indemnización por “lucro cesante” y en ningún caso el daño podrá ser superior al valor de la mercancía. 10) RESERVA DE PROPIEDAD. La mercancía vendida sigue siendo propiedad del Vendedor hasta su pago total, siendo el Comprador responsable de cualquier daño producido a la misma durante dicho período, si esta ha quedado a disposición del comprador original. La reserva de propiedad se extiende a los productos vendidos por el Comprador a terceros y al precio de dichas ventas, dentro de los límites máximos previstos por la ley del país del Comprador que regula la presente cláusula. 11) Tratamiento de los datos. Los datos del comprador son tratados de acuerdo con la normativa en materia de protección de los datos personales. 12) TRIBUNAL COMPETENTE. Nuestras ventas están sujetas a la ley italiana, quedando excluida cualquier otra disposición normativa, incluso de origen convencional. Cualquier controversia que surja en cuanto al suministro o relacionada con el mismo será resuelta previamente por conciliación en la Cámara de Comercio de Pistoia. En caso de no llegarse a un acuerdo, será competente el Tribunal de Pistoia. Queda reservada la reproducción, incluso parcial y por cualquier medio, incluido el electrónico, de los textos y fotografías del catálogo. VERKAUFSBENDINGUNGEN 1)GÜLTIGKEIT. Der Verkauf unserer Produkte erfolgt zu den nachfolgenden allgemeinen Verkaufsbedingungen, die die vorhergehenden aufheben und ersetzen. 2) PREISE. Die in den Katalogen, Preislisten usw. angegebenen Preise verstehen sich für Verkäufer, ab Werk und ohne Steuern, die auf der Grundlage der zum Zeitpunkt der Rechnungsstellung geltenden Steuersätze erhoben werden, wobei alle weiteren Kosten oder Gebühren zu Lasten des Käufers gehen. Die Preise gelten für Mindestmengen von 10 Stück der gleichen Sorte und Form, derselben Lieferung. Der Verkäufer behält sich das Recht vor, Bestellungen unter 2.500 Euro nicht zu bestätigen. Sofern nicht anders auf der Rechnung angegeben, gelten die auf dieser angegebenen Preise, bei Zahlung per Nachnahme und ohne Skonto. Bei gestaffelter Zahlung behält sich der Verkäufer das Recht vor, dem Käufer Zinsen in Höhe von 1 % pro Monat sowie alle zusätzlichen Kosten für Schuldtitelausgabe und -handel plus zusätzliche Bankgebühren zu berechnen. Zahlungen gelten als gültig, wenn sie an die Adresse des Geschäftssitzes des Verkäufers geleistet werden; 3. ANNAHME. Jede Bestellung eines Kunden setzt die Annahme der Verkaufsbedingungen voraus, die auf der offiziellen Webseite und im Katalog veröffentlicht sind. Jede Ausnahme oder abweichende Bedingung ist nur nach schriftlicher Genehmigung gültig. Einmal erteilte Aufträge können nicht storniert oder reduziert werden. Ware kann nur hinzugefügt werden, wenn dies keine Verzögerung der vorhergehenden Bestellung zur Folge hat. Geht die Auftragsergänzung nach der Ausführung der Bestellung ein, so ist sie als separate Bestellung zu betrachten und gesondert auszuführen. Aufträge werden in der Reihenfolge ihres Eintreffens und so schnell wie möglich ausgeführt. Die Annahme jeder Bestellung ist von der vollständigen Bezahlung der Lieferungen der Vorsaison abhängig und widerruflich, wenn der Verkäufer in Erfahrung bringt, dass die finanziellen Verhältnisse des Käufers keine Gewährleistung der Zahlungsfähigkeit garantieren, oder wenn zu Lasten des Kunden bereits Inkassoprobleme vorliegen. 4) LIEFERFRISTEN. Der Verkäufer verpflichtet sich, die Ware innerhalb der auf dem Auftrag vereinbarten Frist zu liefern, ist aber nicht für Verzögerungen aufgrund von höherer Gewalt oder unvorhersehbarer Umstände, einschließlich Regen, Frost, Dürre und ähnliche Naturkatastrophen, haftbar. Ebenso wenig können dem Verkäufer Verspätungen aufgrund von Handlungen oder Unterlassungen des Käufers, wie z. B., ohne Anspruch auf Vollständigkeit, zur Lieferung der Produkte fehlende, notwendige Angaben, angelastet werden. Eventuell festgelegte Lieferfristen gelten nur als Richtwerte. Die Reklamation oder Ablehnung der Ware wegen vorzeitiger oder verspäteter Lieferung in günstigen Zeiten ist unmöglich. 5) PRODUKTEIGENSCHAFTEN. Falls Pflanzensorten des Auftrags nicht verfügbar sind, und dies nicht ausdrücklich in jedem einzelnen Auftrag ausgeschlossen wurde, behält sich der Verkäufer die Möglichkeit vor, die fehlenden Pflanzensorten durch in Qualität, Quantität und Größe ähnliche Sorten, wie die bestellten und eventuell nicht verfügbaren Sorten, deren Preis dem der Bestellten so nah wie möglich liegt, zu ersetzen. 6) VERPACKUNG. Jegliche Art von Verpackung wird zum Selbstkostenpreis in Rechnung gestellt und nicht zurückgenommen. 7) VERSAND UND HAFTUNGSBESCHRÄNKUNGEN. Der Käufer ist verpflichtet, den Bestimmungsort der Lieferung genau, zudem das gewünschte Transportmittel und den Ort, an dem die Ware entladen werden soll, anzugeben. Falls diese Angaben fehlen, entscheidet der Verkäufer nach seinem Gutdünken und übernimmt keine Haftung. Der Käufer ist für die Entladung verantwortlich, die mit größter Sorgfalt und innerhalb kurzer Zeit erfolgen muss, damit die erhaltenen Pflanzen keinen Schaden erleiden. Falls keine besonderen Vereinbarungen getroffen wurden, erfolgt der Versand immer, gemäß Incoterms 2020, ab Werk (oder: unfrei, d.h. die Frachtkosten sind bei Ankunft vom Käufer zu zahlen). Die Verpackung erfolgt entsprechend den Eigenschaften der Pflanzen und der zurückzulegenden Strecke. Die Ware wird immer auf eigene Gefahr des Käufers versandt. Dies gilt auch, wenn sie frei Haus verkauft und auf Unternehmensfahrzeugen transportiert wird. Die Verantwortung des Verkäufers endet mit der Übergabe der Ware an den Frachtführer oder das Transportunternehmen. Bei Verspätungen, Schäden, fehlender, Austausch oder Manipulation von Packstücken usw. müssen Beschwerden direkt vom Empfänger und nur an den Frachtführer gerichtet werden. Auf jeden Fall muss die Ware angenommen

werden, da der Käufer durch die Annahmeverweigerung der Ware alle Ansprüche gegenüber dem Frachtführer verliert und trotzdem dem Lieferanten gegenüber für den Warenwert und alle Ausgaben und Folgen verantwortlich wäre. 8) ANWACHSGARANTIE. Da das Anwachsen der Pflanzen von zahlreichen, auch gleichzeitig auftretenden Faktoren abhängt, wie z.B. von der sachgemäßen Pflanzenbehandlung bei der Entladung, der richtigen Vorbereitung des Bodens, der Anpflanzung selber und all den Vorkehrungen, die in der Zeit unmittelbar nach der Anpflanzung der Pflanzen selbst getroffen werden, sowie den Klima- und Witterungsbedingungen des Gebiets, in dem die Anpflanzung vorgenommen wird, haftet der Lieferant nicht für das Anwachsen der Pflanzen. 9) REKLAMATIONEN UND RÜCKSENDUNGEN. In Anbetracht der besonderen Verderblichkeit der Ware , die auf Risiko und Gefahr des Kunden reist, werden Reklamationen unter folgenden Bedingungen anerkannt: präventiver und obligatorischer schriftlicher Vermerk auf dem Transportdokument (CMR oder gleichwertig) bezüglich fehlender oder gebrochener Pflanzen oder in jedem Fall von Mängeln, die direkt bei der Entladung festgestellt werden können; in jedem Fall müssen Reklamationen bezüglich weiterer offensichtlicher Mängel, die bei der Lieferung festgestellt werden können, innerhalb von drei Tagen nach Erhalt der Ware per E schreiben mit Rückschein oder zertifizierter elektronischer Post (PEC) unter Beifügung einer geeigneten fotografischen oder gefilmten Dokumentation, die ein bestimmtes Datum trägt, dem Verkäufer gemeldet werden, sonst erlöscht, in Abweichung von Art. 1495 it. ZGB, der Erstattungsanspruch. Evtl. Reklamationen, die sich auf Mängel beziehen, die bei einer sorgfältigen Kontrolle zum Zeitpunkt des Erhalts nicht feststellbar sind (versteckte Mängel), müssen per Einschreiben mit Rückschein oder PEC auf die gleiche Weise und innerhalb der gleichen Frist wie oben angegeben, ab dem Datum, an dem sie entdeckt wurden, und in jedem Fall nicht später als acht Tage nach der Lieferung, angezeigt werden. In jedem Fall hat der Käufer die Ware zum Zwecke der notwendigen Überprüfung der Richtigkeit der Reklamation in ordnungsgemäßem Zustand bereitzuhalten. Jede Nichteinhaltung der oben genannten Fristen oder der fehlende Vermerk auf dem CMR bewirkt, dass die Reklamation ihre Gültigkeit verliert. Es wird betont, dass Mängel die die Wurzeln, Umtopfungen und Qualität des Wurzelballens betreffen, keine “versteckten” Mängel darstellen, da der Käufer bei Erhalt der Ware dies sofort zu prüfen hat. Es versteht sich, dass eventuelle Reklamationen oder Beanstandungen den Käufer nicht dazu berechtigen, Zahlungen für die betreffenden Produkte oder für andere Lieferungen auszusetzen oder zu verzögern. Im Falle einer dokumentierten Beanstandung hat der Kunde Anspruch auf eine Preisberichtigung mit relativer Gutschrift auf der Rechnung. Während der Ersatz der Ware als gesonderter Auftrag betrachtet wird. Der Käufer kann niemals einen Ausgleich für “Einkommensverlust” verlangen und der Schaden kann niemals den Warenwert übersteigen. 10) EIGENTUMSVORBEHALT. Die verkaufte Ware bleibt bis zur vollständigen Bezahlung Eigentum des Verkäufers. Eventuelle Schäden an der Ware, die entstehen, während diese dem Erstkäufer zur Verfügung steht, gehen zu dessen Lasten. Der Eigentumsvorbehalt erstreckt sich auf die vom Käufer an Dritte verkaufte Produkte und auf den Preis dieser Verkäufe, innerhalb der vom Gesetz des Landes des Käufers vorgesehenen Höchstgrenzen, das diese Klausel regelt. 11) Verarbeitung personenbezogener Daten Die Daten des Käufers werden entsprchend der Rechtsvorschriften für den Schutz personenbezogener Daten verarbeitet. 12) GERICHTSSTAND. Unsere Verkäufe unterliegen ausschließlich dem italienischen Recht unter Ausschluss jeglicher anderer gesetzlicher Bestimmungen, auch konventioneller Herkunft. Alle Streitfälle, die sich bezüglich der Lieferung oder in irgendeinem Zusammenhang mit dieser ergeben könnten, werden im Voraus durch ein Schlichtungsverfahren bei der Handelskammer von Pistoia beigelegt. Kommt eine Einigung nicht zustande, ist das Gericht von Pistoia zuständig. Jede, auch nur auszugsweise, Wiedergabe mit jedem, auch elektronischem Mittel, von Texten und Fotos des Katalogs bedarf der Genehmigung. Der Verkäufer kann für eventuell unbeabsichtigte Fehler oder Ungenauigkeiten in den Angaben zu den Eigenschaften der in diesem Katalog aufgeführten Pflanzen, die sehr sorgfältig vermerkt wurden, nicht haftbar gemacht werden.

SALES CONDITIONS 1)VALIDITY. Our products are sold under the following general sales terms and conditions, which cancel and supersede all previous negotiations. 2) PRICES. The prices set forth in our catalogues, prices lists, etc., are understood as referring to resellers, delivered ex-works and net of taxes, which shall be applied based on the rates in force at the time of invoicing, it being understood that any other expense or charge shall be borne by the Buyer. The quoted prices apply for a minimum order quantity of 10 pieces of the same variety and shape, delivered all at once. The seller reserves the right to reject any order with a value less than Euro 2,500. The prices stated in the invoice, unless otherwise provided, shall be deemed valid for payments on delivery and net of discounts. As for deferred payments, the seller reserves the right to charge interest on the buyer at a monthly rate of 1%, including any additional charge related to the issuance and negotiation of debt securities, including any additional bank charge. Payments shall be deemed valid only if made to the seller’s registered office address; 3) ACCEPTANCE. Each order placed implies the client’s acceptance of every provision set forth in the sales terms and conditions published both in our official website and catalogue. Any departure from or change to such provisions shall be deemed valid only if approved in writing. Once placed, orders cannot be cancelled and the order amount cannot be reduced.Any additions shall be accepted as long as they do not imply a delay in the previous order. Any addition made after the previous order has been processed, shall be deemed as a separate order, and as such, executed separately.Orders are executed according to their order of arrival, within the shortest time possible. In any case, acceptance of each order is subject to the total payment of the consignments related to the previous season and shall be deemed revocable if, based on information obtained by the seller, the buyer’s financial conditions are such as to entail an insolvency risk or if said buyer has a history of collection issues. 4) TERMS OF DELIVERY. The seller agrees to deliver the goods within the deadline stated in the order. However, the seller shall not be held responsible for any delay due to force majeure events or, in any case, for reasons beyond the seller’s control, including heavy rain, frost, drought and other similar natural disasters. Likewise, the seller shall not be held responsible for any delay due to the buyer’s acts or omissions, including, by way of example, failure to communicate the necessary indications related to the supply of the products. Any delivery term shall be deemed merely indicative and no complaint or rejection of goods shall be accepted for early or late dispatch carried out at a favourable time. 5) PRODUCT CHARACTERISTICS. In case of unavailability of the ordered plant varieties, unless expressly forbidden and regularly stated in each distinct order, the seller shall reserve the right to replace any such unavailable items with a similar variety in terms of quality, quantity and size and at a similar price to the maximum extent practicable. 6) PACKAGING. Each type of packaging shall be invoiced at cost price and no returns of packaging material shall be accepted. 7) SHIPPING AND LIMITATION OF LIABILITY. The Buyer is required to indicate the exact delivery address, including the selected transport means and collection point . Failure to provide such information shall cause the seller to take the appropriate action, who shall disclaim any and all liability in such regard. In addition, the Buyer is required to unload the goods with the utmost care and urgency to avoid causing damage to the plants upon delivery. Unless otherwise specifically agreed, goods are always delivered ex works according to the Incoterms 2020 clause, or otherwise, carriage forward, i.e. shipping costs are to be paid by the buyer upon delivery. The type of packaging shall be chosen based on the characteristics of the plants and the distance they have to travel. Goods always travel at the buyer’s risk and peril even if sold under the Free on board destination clause. As such, the sellers’ liability ends once the goods are handed over to the carrier or to the person in charge of transportation. Therefore, in the event of delay, breakdown, failure, accidental exchange or tampering with the goods, any complaint arising therefore must be made directly by the recipient against the person in charge of transportation. In any case, the goods must be collected upon delivery,

as refusing to release them would cause the buyer to lose any rights towards the carrier, while remaining liable towards the supplier for the value of the goods and all charges and consequences arising therefrom. 8) GUARANTEE OF SUCCESSFULL PLANT ROOTING. Plant rooting success depends on multiple factors, simultaneous at times, such as attentive care upon the arrival of the plants, soil preparation, plantation area, up to the necessary precautions that need to be taken following planting. Equally important are the climatic and weather conditions in the plantation areas, and as such, successful rooting can never be guaranteed by the supplier. 9) COMPLAINTS AND RETURNS. Due to the perishable nature of the goods, which travel at the risk and peril of the buyer; any complaints shall be accepted only under the following conditions: advance notice stated in writing in the consignment note (CMR or equivalent document) related to missing or damaged plants, or plants bearing immediately recognizable defects during unloading; in any case, complaints relating to further apparent defects. detectable at the moment of delivery, shall be duly notified to the Seller, under penalty of forfeiture, by registered letter with return receipt or certified mail (PEC), accompanied by photographic or video -recorded documentation with registered date, within three days from the date of receipt of the goods, under penalty of forfeiture, notwisthanding, in any respect the provisions of art. 1495 c.c. Any complaints related to defects that are not discoverable by reasonable inspection at the moment of reception (latent defects) shall be notified by registered letter with return receipt or PEC according to the same modes and terms decribed above, starting from the date of discovery of the defect, and in any case, no later than eight days from the delivery date. In any case, the buyer shall keep the goods at the seller’s disposal to enable the latter to verify the validity of the complaint and proper conservation of the goods. Any notification submitted after the foregoing deadlines or not stated in the C.M.R. shall not be accepted. It should be noted, for all purposes and intents, that any defect related to roots, transplants and root ball quality, subject to immediate visual inspection by the buyer upon delivery, do not constitute latent defects. It is understood that any complaint or objection shall not entitle the Buyer to suspend or delay payment neither of the goods object of the complaint nor any other supply. In the case of a documented complaint, the buyer shall be entitled to a price adjustment with the issuance of a credit note relative to the invoice. Although it is agreed that replaced goods shall be considered as separate orders, the buyer shall not be entitled to ask for compensation for “loss of earnings”; in any case, the damage must never exceed the value of the goods. 10) RETENTION OF TITLE. The seller retains legal ownership of the goods sold until they are paid for in full, whereas, in case the goods are kept by the original buyer during such period, any damage suffered by the seller shall be charged to the buyer. The retention of title also extends to any product sold by the buyer to third parties and to the price of such sales within the limits provided for by the law in force in the Buyer’s country that governs this clause. 11) Data processing The buyer’s data are processed in accordance with the provisions of the personal data protection legislation. 12) PLACE OF JURISDICTION. Our sales are subject exclusively to Italian law with the exclusion of any other regulatory provisions, including those of conventional origin. Any dispute that may arise regarding the supply or, in any case, connected to the same, shall be resolved beforehand by conciliation by the Pistoia Chamber of Commerce. ДЕЙСТВУЮЩИЕ УСЛОВИЯ. Продажа наших товаров происходит на следующих основных условиях, которые отменяют и заменяют предыдущие. ЦЕНЫ. Цены в каталогах, прайс-листах и т.д., указаны для розничной торговли, при системе «франко – фабрика» и без учета налога, которые в свою очередь будут начисляться на момент фактурирования, а также все любые другие расходы ложатся на Покупателя. Цена действительна за минимальное количество 10 шт. одного сорта и формы при единичной поставке. Продавец держит за собой право не принимать заказы в объеме ниже 2.500,00 евро. Цены в инвойсе, если не указано другое, относятся к оплате перед поставкой и без скидок. При оплате в рассрочку, продавец оставляет за собой право взимать 1% месячных интересов, а также за любые дополнительные расходы на ведение переговоров по долговым ценным бумагам и за дополнительные банковские сборы. Оплата считается произведенной, если поступила на юридический адрес продавца. ПРИНЯТИЕ УСЛОВИЙ. Каждый заказ, полученный от клиента, считается одобренным, если оговорены условия продажи, которые опубликованы на официальном сайте и в каталоге. Любой отказ или инное условие, должны быть одобрены в письменном виде, чтобы иметь силу действия. Заказы, которые подтверджены к погрузке, не могут быть отменены или уменьшены. Все дополнительные заявки будут сделаны, если они не задерживают процесс подготовки и погрузки предыдущего заказа. Если дозаказ поступил после того, как предыдущий уже готов, то он будет рассматриваться отдельной заявкой. При обработке нового заказа, предыдущая поставка должна быть полностью оплачена. В случае задолженности, новый заказ может быть отменен, а также если из полученной информации продавцом, установленно, что у покупателя есть какие либо финансовые трудности, не позволяющие гарантировать полную платежеспособность. СРОК ПОСТАВКИ. Продавец обязуется доставить товар в оговоренный срок, и не несет ответственности за задержку в силу форс – мажорных обстоятельств, и других независимых от его воли стихийных бедствий, таких как дождь, мороз, засуха. А также, продавец не несет ответственности за какие – либо задержки или бездействия покупателя по доставке товара. Любые оговоренные сроки отправки товара являются ориентировочными, и в случае задержки или предварительной доставки, вне форс -мажорных обстоятельств, рекламации или отказ от товара не принимаются. ХАРАКТЕРИСТИКА ТОВАРА. В случае отсутствия запрашиваемых сортов растений, за исключением четко оговоренных в каждом отдельном заказе, продавец оставляет за собой право заменить растения альтернативными сортами по качеству, количеству и размеру, цена которых может не значительно отличаться. УПАКОВКА. Каждый тип упаковки будет оплачиваться по цене себестоимости и не подлежит возврату. ДОСТАВКА И ОГРАНИЧЕНИЯ ОТВЕТСТВЕННОСТИ. Покупатель обязан указать вид транспортного средства и точный адрес выгрузки. При отсутствии информации, продавец будет действовать с минимальной ответственностью. Покупатель обязан обеспечить разгрузку товара с максимальной осторожностью, чтобы избежать проблем с поставленными растениями. За исключением специальных соглашений, поставки всегда выполняются на условиях EXW на условиях Incoterms 2020 ( или указано место, при расчете стоимости перевозки, которая должна быть оплачена покупателем по прибытию груза). Упаковка осуществляется в соответствии с характеристиками растений и расстоянием места доставки. Перевозка товара происходит на риск и опасность покупателя, даже если осуществляется за счет продавца. Поэтому, всякая ответственность продавца прекращается с передачей товара перевозчику или лицу,осуществляющему перевозку. В случае задержек, сбоев, повреждения, обмена или фальсификации упакованного товара и т.д., все

последующие жалобы должны поступать непосредственно от получателя и исключительно тем, кто осуществлял перевозку. В любом случае товар должен быть принят покупателем потому, что отказавшись от товара, покупатель потеряет все права действовать против перевозчика, оставаясь обязаным перед продавцем за стоимость товара и все расходы. 8) ГАРАНТИЯ ПРИЖИВАЕМОСТИ. Поскольку приживаемость растений зависит от многих факторов, включая сопутствующие, такие как осторожная разгрузка растений, подготовка почвы, высадка и меры ухода за растениями после высадки и в период приживаемости, а также, не мало важный, климатический фактор территории на которой происходила высадка. За все эти действия продавец не несет ответственности. 9) ПРЕТЕНЗИИ И ВОЗВРАТ. Учитывая специфику скоропортящегося товара, любые претензии считаются действительными при соблюдении следующих условий: акт, составленный в письменном виде с обязательной отметкой на транспортном документе ( C.M.R. или эквивалентом), относящийся к недостаче или поломке растений, или дефекты, обнаруженные непосредственно при разгрузке, в любом случае жалобы, связанные с явными дефектами, обнаруженными во время доставки, должны быть отправлены Продавцу заказным письмом с распиской о получении или сертифицированной электронной почтой (PEC) с приложением необходимой документации или съемкой с указанной датой, в течении трех дней с момента получения товара, иначе он потеряет право на возмещение, в соответствии с положениями ст.1495 Гражданского кодекса Италии. Любые рекламации, связанные с дефектами, которые не могут быть идентифицированы при проверке во время получения товара ( скрытые дефекты) должны быть предоставлены заказным письмом с распиской о получении или по PEC на таких же условиях и в те же сроки, что выше расписаны, начиная с даты обнаружения таких дефектов, не позднее восьми дней с момента доставки. В любом случае покупатель должен хранить товар в надлежащих условиях и показать его при проверке. Любая задержка выше указанных сроков или нестача информации отчета по C.M.R., рекламация не будет считаться действительной. А точнее, не будут учитываться скрытые дефекты корневой системы, пересадка и качество кома, которые должны проверяться непосредственно покупателем в момент получения товара. Любые претензии и рекламации не дают права задержки или приостановки оплаты спорного товара или последующей поставки. В случае документированной жалобы, клиент имеет право на корректировку цены или выставление кредит ноты по инвойсу. В то же время, замена товара с дефектами будет считаться отдельным заказом. Покупатель никогда не сможет потребовать компенсации за «потерю прибыли»; в любом случае ущерб никогда не может быть выше стоимости товара. 10) ИМУЩЕСТВЕННЫЕ ПРАВА. Проданный товар остается собственностью продавца до полной его оплаты, и за счет покупателя будет возмещаться ущерб, полученного товара, в период который он остается в наличии в первоначального покупателя. Сохранение права собственности распространяется на товары, проданные покупателем третьим лицам, и по цене таких продаж, в максимальных пределах, установленных законодательством страны Покупателя, которое регулирует данный пункт. 11) КОМПЕТЕНТНЫЙ СУД. Наши продажи регулируются только итальянским законодательством, за исключением других общепринятых нормативных положений. Любой спор, который может возникнуть с поставкой или все что связано с ней, будут решаться путем переговоров в Торгово – промышленной палате города Пистоя. В случае недоговоренности, споры будут рассматриваться в суде города Пистоя.
