When buying or selling real estate, details matter, right down to the deed.

In most real estate transactions in Missouri, the purchaser takes title to the real estate via a general warranty deed. A typical general warranty deed contains language that the “Grantor” “grants, bargains and sells” to the “Grantee” an “indefeasible estate in fee simple” of the real estate conveyed; that the real estate is “free from all encumbrances” except as specifically set forth in the deed; and that the Grantor will “warrant and defend the title” to the real estate “against the lawful claims of all persons.”

Missouri law requires that the deed recite the marital status of the Grantor, so the deed would state, “John Doe, a single person;” “Jane Doe, a married person;” or “John Doe and Jane Doe, husband and wife.” The marital status of the Grantee is not required, but is most often stated in the deed, because it is key to understanding how multiple Grantees take title to the real estate.

For example, a deed to Grantees “John Doe, a single person, and James Roe, a single person” conveys the real estate to John Doe and James Roe as tenants in common, meaning that each of them is getting a one-half interest in the real estate. survivorship”, they still each have a one-half interest in the real estate, but if John Doe dies, then James Roe will own the property outright, or vice versa.

When “John Doe and Jane Doe, husband and wife” take title to real estate, they take it as tenants by the entirety. The law treats the entirety as a single unit, and the consent of both spouses is required to convey the property to someone else. Tenancy by the entirety also affords each spouse some protection from creditors. For example, if John Doe has debts in his name only, John Doe’s creditors cannot collect those debts from property held by John Doe and Jane Doe as tenants by the entirety.

Once we know who the Grantors and the Grantees are, the next step is to convey the property. Missouri law requires that a general warranty deed contain the language “grant, bargain, and sell,” and gives that language a specific meaning. When a Grantor “grants, bargains, and sells” the property to a Grantee, he covenants to the Grantee that he is “seized of an indefeasible estate, in fee simple,” in the property. Put simply, the Grantor is representing that he actually owns the property that he is conveying to the Grantee.

With the language “grant, bargain, and sell,” the Grantor is also making a covenant to the Grantee that the real estate is “free from encumbrances”, meaning that no one else has an interest in it, except as set forth in the deed. For example, if the local electric utility has a power line that runs through the property, the deed should mention that fact, often in general language such as “subject to easements and restrictions of record.” Another example of the encumbrance is a lien. If the Grantor has pledged the property to Hometown Bank as collateral for a loan, and that loan will not be paid off as part of the sale transaction, the deed should recite that he is conveying title to the Grantee subject to the lien of Hometown Bank.

Sellers of real estate sometimes do not know whether the property they are selling is subject to encumbrances, which is why it is essential for a buyer to perform a title search before purchasing the property. Although “encumbrances of record” will have been recorded with the county recorder of deeds, they may not be easy to find, so it is often advisable to have a reputable local title company perform the title search.

The words “grant, bargain and sell” mean still more, specifically that the Grantee will receive any afteracquired title to the property that the Grantor acquires, that the Grantor covenants that the Grantee will have “quiet enjoyment” of the real estate, that the Grantor will make further assurances of good title, and that the Grantor will “warrant and defend” the Grantee’s title against any breaches of the covenants in the deed. These covenants are important if problems arise after the real estate transaction is complete.

If the Grantor did not have good title to the property at the time of the transaction, but later acquires good title, that good title is automatically conveyed to the Grantee. When a Grantor makes a covenant of “quiet enjoyment,” he is representing to the Grantee that no one with a better right to possession of the real estate will interfere with the Grantee’s possession. For example, if a Grantor has leased the property to a tenant, and fails to disclose that relationship to the Grantee, the Grantor will have breached the covenant of quiet enjoyment and will be obligated to remedy the problem, either by evicting the tenant or by paying money damages.

The language “make further assurances of good title” and “warrant and defend Grantee’s title” means exactly what it says. In practice, this comes up when a longforgotten or heretofore undiscovered problem surfaces years after the sale transaction is complete. By way of example, if some past owner of the real estate was married and conveyed the property to the next owner without having his spouse sign the deed, all subsequent owners of that property have a title problem. Under the terms of general warranty deed, it is up to the Grantor in our recent transaction to fix that problem, perhaps by getting a quitclaim deed from the omitted spouse, so that the Grantee has good title to the property. As a practical matter, this is why many real estate contracts contain a provision for the purchase of title insurance, to cover problems that neither the Grantor nor the Grantee could have foreseen.

Sometimes sellers of real estate with title problems or with an unclear title history will convey title to the property with a quitclaim deed. Quitclaim deeds are also used to clean up title defects, such as problem with the omitted spouse mentioned above. The operative language of a quitclaim

deed is the Grantor “remises, releases, and forever quitclaims” the property to the Grantee. With this phrase, the Grantor is conveying whatever interest in the property he actually has to the Grantee, and no more. The Grantor of a quitclaim deed is not guaranteeing that he has any interest in the property, so a quitclaim deed may convey good title, defective title, or no title at all. Quitclaim deeds do not offer the same protections to Grantees as general warranty deeds, so anyone taking title to real estate by quitclaim should proceed with caution.

Any deed needs to contain the legal description of the property conveyed. While the common description of the property may be 123 Main Street, Anytown, Missouri, the legal description is completely different and precision is required. For example, the legal description of 123 Main Street may be “Lot 3 of Block 1, XYZ subdivision, as per the recorded plat thereof,” and the deed needs to recite that description exactly. The best place to find the exact legal description is the deed the Grantor received when he got the real estate.

A deed needs to be signed by all Grantors, and the written acknowledgment of a notary public must be included in the deed. Any reputable notary public will require that the Grantors sign

the deed in her presence. Anyone signing a deed or any other any legal document should never sign for someone who is not a notary public, but promises that he will have the signature notarized later. This practice is at best reckless, and at worst is an invitation to fraud. Finally, a deed needs to be recorded in office of the recorder of deeds of the county where the real estate is located. The purpose of recording is to put the world on notice of the transaction and that the Grantee is the new owner of the property.

The details of deeds are familiar to real estate professionals, but may be daunting to the uninitiated. An error, omission or misrepresentation in a deed can cause difficult and expensive problems long after real estate transaction is complete. Consulting a real estate attorney to review and troubleshoot a transaction before it closes can save both buyers and sellers time, money, and headaches.
