T

he Code of Ethics: Honoring Over 100 Years of Professionalism in Real Estate

This year marks the 103rd anniversary of the NAR Code of Ethics and Standards of Practice. The Code outlines the professional responsibilities and expectations of the one million plus members of the National Association of Realtors® (NAR) in regards to their clients, customers, fellow Realtors® and the public. In 1908, the National Association of Real Estate Exchanges was founded in an effort to standardize real estate practices; and this group later formed the National Association of Realtors® (NAR). The organization’s main goals were to establish universal, ethical standards, allow for the exchange of qualified real estate information and verified statistics, and to develop sound public policies on real estate matters. On July 29, 1913, the revolutionary Realtor® Code of Ethics was born, making it one of the oldest and most respected codes of ethics for any trade group in the United States. The Code is often considered “the Gold Standard” for defining ethical business practices due to its strict moral guidelines, essentially defining the manner in which Realtors® must conduct their business in both performance and service. It is also the written assurance of dealing with a professional who has the client’s best interest in mind. The Code has been amended 37 times and is considered a living document that protects sellers, buyers, landlords, tenants and others who place their trust in Realtors®. “The code of ethics sets Realtors® apart from all other licensees. Realtors® adhere to a higher standard, customers know Realtors® are not only the most professional practitioners, but also the most ethical.” Tom Salomone, 2016 NAR President. Many are surprised to learn that not all real estate licensees are Realtors®. According to NAR, there are currently more than 1.84 million active licensed real estate professionals in the U.S., of which 1 million are members of NAR and can call themselves Realtors®. However, NAR membership separates Realtors® from real estate agents who do not subscribe to a code of ethics or have access to the 6

educational, business and market information advantages of their Realtor® counterparts. “Our members wear the title of ‘Realtor®’ proudly, they understand its profound significance,” said Kathy Roberts, RASM CEO. “This document binds the Realtor® community together. It’s a promise to protect their clients’ best interests throughout the entire real estate transaction.” Realtors® are subject to disciplinary action and sanctions if they violate the duties imposed by the Code of Ethics. When necessary, hearings and arbitration proceedings are held at the RASM office. These hearings determine whether ethical standards have been violated, and provide for discipline, if required. Last year, RASM established an Ombudsman Program, designed to act as an intermediary branch of the process in determining possible ethics violations. An Ombudsman is appointed by RASM to help identify and resolve misunderstandings and disagreements before disputes turn into charges of unethical conduct. Many times issues can be resolved through proper communication and avoid formal adjudication. RASM has nine trained Ombudsmen available. Every two years, Realtors® are required to complete a Code of Ethics training class. The deadline for the current cycle is around the corner, Dec. 31, 2016. NAR requires a 2.5-hour training every two years as a condition of membership. The training must meet specific learning objectives and criteria established by NAR. If Realtors® have not completed ethics training, their Realtor® membership and related services will be suspended until they are in compliance. New Realtor® members must complete similar training when they first join. A new member who has completed the New Member Code of Ethics Orientation is not required to complete additional ethics training until the next twoyear cycle. nder all is the land. Upon its wise utilization and widely allocated ownership depend the survival and growth of free institutions and of our civilization. REALTORS® should recognize that the interests of the nation and its citizens require the highest and best use of the land and the widest distribution of land ownership. They require the creation of adequate housing, the building of functioning cities, the development of productive industries and farms, and the preservation of a healthful environment. Such interests impose obligations beyond those of ordinary commerce. They impose grave social responsibility and a patriotic duty to which REALTORS® should dedicate themselves, and for which they should be diligent in preparing themselves. REALTORS®, therefore, are zealous to maintain and improve the standards of their calling and share with their fellow REALTORS® a common responsibility for its integrity and honor. In recognition and appreciation of their obligations to clients, customers, the public, and each other, REALTORS® continuously strive to become and remain informed on issues affecting real estate and, as knowledgeable professionals, they willingly share the fruit of their experience and study with others. They identify and take steps, through enforcement of this Code of Ethics and by assisting appropriate regulatory bodies, to eliminate practices which may damage the public or which might discredit or bring dishonor to the real estate profession. REALTORS® having direct personal knowledge of conduct that may violate the Code of Ethics involving misappropriation of client or customer funds or property, willful discrimination, or fraud resulting in substantial economic harm, bring such matters to the attention of the appropriate Board or Association of REALTORS®. Realizing that cooperation with other real estate professionals promotes the best interests of those who utilize their services, REALTORS® urge exclusive representation of clients; do not attempt to gain any unfair advantage over their competitors; and they refrain from making unsolicited comments about other practitioners. In instances where their opinion is sought, or where REALTORS® believe that comment is necessary, their opinion is offered in an objective, professional manner, uninfluenced by any personal motivation or potential advantage or gain. The term REALTOR® has come to connote competency, fairness, and high integrity resulting from adherence to a lofty ideal of moral conduct in business relations. No inducement of profit and no instruction from clients ever can justify departure from this ideal. In the interpretation of this obligation, REALTORS® can take no safer guide than that which has been handed down through the centuries, embodied in the Golden Rule, “Whatsoever ye would that others should do to you, do ye even so to them.” Accepting this standard as their own, REALTORS® pledge to observe its spirit in all of their activities whether conducted personally, through associates or others, or via technological means, and to conduct their business in accordance with the tenets set forth below.

otpourri of HOA/Condomunium Association Issues and Best Practices

If ever the adage “the document speaks for itself ” applies to a situation, it applies with exactitude to Community Association (“HOA”) documents and their interpretation. Condominium Declaration and HOA (collectively, “Association”) Covenants and Restrictions are truly documents which define a way of life. Florida Law requires condominium documents to be delivered to the Buyer by the Seller and gives the Buyer a 3 day rescission period. The fact that a rescission period exists is proof of the importance of these documents. HOA documents have no rescission but should be requested (during the inspection period or before) by a prospective Buyer. What are some other issues that a Realtor® shall be mindful of? a) Parking, Carports and Storage Areas: It is important to review the Association documents to determine what comes with your unit in terms of parking spaces or carports and storage areas. Checking with the Association office is important to insure that the parking/storage space transfers with the unit without problems. Some Associations allow the sale of parking/storage spaces from one owner to another. b) Disclosures: Realtors® need to use the Seller’s Disclosure form and either the HOA or condominium riders for deals in a HOA or condominium. It is important that the Seller completes this form carefully and completely. The complete and latest Association documents should always be obtained and examined by the Buyers for owner’s maintenance responsibilities, restrictions, governance, etc. It is a good practice for Realtors® to obtain receipts of all documents by Buyer to evidence that they received the Association documents. Budgets should be reviewed to determine if and how reserves for repairs and maintenance exist and work and, to see how financially sound an Association is since some Associations reserve money for repairs and maintenance and some Associations just assess for items needed. Remember there may be multiple Associations and the same due diligence applies in all Associations. For example, the number of vacant or investor owned units will dictate how difficult it might be to finance purchases of such units now or in the future. All of these items should be a part of a Buyer’s due diligence. Associations must make available estoppel certificates. Remember, regardless of whether the

Contract is “As Is”, the Seller of a residential property is required to disclose to the Buyer any known defects in the property or issues that materially affect the value of the property. If the Seller knows of a defect or issue and fails to disclose, the Seller may face possible legal issues. c) Foreclosure, REO Sales and Unpaid Assessments: An important aspect from a Buyer’s perspective is how large an arrearage is due to the Association after a foreclosure of a property, and who will have to pay this arrearage. The Florida Statutes provide that a unit owner who takes title owes all the unpaid assessments due from the prior owners. The only exception to this rule is where the first mortgagee itself takes title as a result of foreclosure. Their liability is limited to the prior 12 months assessments or one percent of the original mortgage debt, whichever is less. A potential Buyer maybe obligated for the balance. A search should be done to advise the Buyer of what their exposure will be. d) HOA Foreclosures: Real Estate Owned Sales (REO): REO sales often begin with the Buyer receiving an addendum from the bank to sign which disclaims everything and puts almost all financial obligations and risks on the Buyer. It is an “AS IS”sale with the Buyers having no bargaining power beyond selecting the purchase price. An Attorney should be consulted. e) Association Foreclosures: Realtors® should advise clients to be very careful in the purchase of any property which is owned by an Association through a foreclosure brought by the Association. There are almost always mortgages or other liens still existing on these properties that are not removed by the Association foreclosure. f ) Restrictions and Rules: Finally, be aware of the power that Restrictions and Covenant rules have. Restrictions and Covenants can regulate from the physical construction, color, styles, landscaping, leasing, pets, and the parking of trucks and boats on the property, just to name a few. Certainly, a Buyer must know that all these issues could affect quality of life. FIRPTA Withholding Increased from 10% to 15% February 16, 2016

W

hat Realtors® NEED to Know?

On December 18, 2015 as part of the Protecting Americans from Tax Hikes Act of 2015 (PATH Act, H.R.2029) Congress included an increase in the FIRPTA withholding rate from 10 percent to 15 percent of the gross sales price on the sale of all foreign-owned U.S. real property, effective February 16, 2016. The new FIRPTA withholding law considers three levels of real property transfers: 1. A personal residence of $300,000 or less: No FIRPTA tax is required, providing the buyer or their family member plans to reside at the property at least 50% of the number of days the property is used during each of the first 2 years following the date of transfer and the buyer is willing to sign an affidavit to that effect. 2. A personal residence worth more than $300,000 but less than $1 million: The previous 10 percent FIRPTA withholding still applies, providing the buyer plans to meet the 50%-use and affidavit criteria described above. Otherwise, up to 15 percent withholding is required. 3. Properties purchased for $1 million or more: FIRPTA withholding up to 15 percent is applicable for property transfers after February 16, 2016. In this $1 million-plus category, it does not matter whether the property will be used for personal purposes as a residence. The buyer’s planned 50% use requirement is easier to qualify for than many realize: When counting the number of days the property is in use, do not to count the days the property will be vacant. (IRS.gov) For example: If the buyer intends to rent the property out for 3 months of the year and either the buyer or a member of the buyer’s family have definite plans to reside at the property 4 months of the year. The property will be vacant for the remaining 5 months of the year. In this example, the property is in use for 7 months of the year. Since the buyer or

a family member intend to reside at the property for personal purposes for 4 months out of the 7 months that the property is in use, this meets the 50% test. (kbgrp.com) Withholding Certificates: If the actual tax on the sale is significantly less than the 15% withholding (or 10% as applicable), the seller may apply for a Withholding Certificate from the IRS to allow the lesser amount to be withheld at closing. This alternative has not been affected by the new rules. New Forms: The Florida Realtors® / Florida Bar forms and the CRSP FIRPTA Addendum are currently being updated to reflect up to 15% withholding as applicable. Buyer Obligation: The burden is on the buyer to be sure the tax is withheld or they can become liable. Realtor® Obligations: (a) A real estate agent or Broker representing either the buyer or seller of real property subject to FIRPTA withholding can be held liable for the tax (up to the amount of their commission) that should have been withheld by the buyer for failure to notify the buyer if the seller presents a certificate to the buyer that they are not a foreign person and not subject to FIRPTA withholding and the real estate agent or Broker knows that certificate is false. (b) A real estate agent or Broker, if acting as the “withholding agent”, can be held liable for the full FIRPTA withholding amount. ome Prices Continue to Rise During Seasonal Sales Dip

The end of 2015 witnessed record-breaking sales for both Sarasota and Manatee counties. January sales reflected the expected seasonal dip as a result of reduced buying activity during the holidays, even as median prices continued to rise. “Our slice of paradise is catching its breath a bit after our very busy fourth quarter,” said Linda Formella, RASM President, “and while sales are slowing down slightly, we are confident that our real estate community will continue to see steady, sustainable growth in the first quarter of 2016.” For the month of January, Sarasota County experienced a slight 1.2 percent rise from last year in total sales for single family homes at 520 sales, while condos were down 5.2 percent with 217 closed sales. In Manatee County, single family homes were down 5.4 percent from last year to 385 total sales, but condo sales rose 2.6 percent with 156 closed sales. sales (foreclosures and short sales) signals another sign of health in the market. F

uture of Commercial Real Estate in 2016 Slower but Still Very Bright

By Tony Veldkamp, CCIM, 2016 CID President In talking with area commercial real estate brokers, the common story is that our market has been on a steady upward trajectory since 2011, and 2015 saw some pretty fast paced growth. While we do anticipate 2016 being another good year for commercial real estate, the growth is anticipated to slow down toward a much more manageable level. It may even take a dip as Tony Veldkamp it has historically done during the 2016 CID election cycle. For some reason President decision makers agonize over who the next President will be and CRE decisions tend to get put on hold. However, at the end of the day it does not matter who is President. We all have to get up on November 9th, go to work, and try to make money. If they needed more office space before the election, they will still need it after. The Sarasota-Bradenton commercial real estate market has really seen some tightening across all product types. While industrial space has gotten very scarce over the past 2 years, 2016 also saw a decrease in vacancy rates in the office market, and rents beginning to rise. In fact land for office is finally getting some attention and developers and business owners are contemplating building for investment or their needs once again. This trend is also being observed across the country. According to the authors of an annual report published jointly by Situs Real Estate Research Corporation (RERC), Deloitte and the National Association of Realtors® (NAR), commercial real estate activity is forecast to gradually grow this year with demand for space holding steady across all commercial sectors. While commercial property values and price gains are expected to flatten after surpassing 2007 peaks in some major markets, investors will still benefit from strong income flows generated from new and existing leases. “Historically low interest rates, especially in treasuries, combined with commercial real estate’s stable prices and value make this asset an attractive investment,” says Ken Riggs, president of Situs RERC. “Looking into 2016, the

commercial real estate market should moderate, which could stabilize prices.” The report goes on to state that vacancies are expected to continue declining slightly in 2016 for all property types except the apartment sector, where they’re forecast to increase modestly by the end of the year as more new project completions come onto the market. Continued job growth, demand exceeding supply and limited new construction (outside of multifamily) should lead to rising rents and steady investor returns, which overall will shift away from capital appreciation as price growth levels off in many markets. To keep abreast of things going on in the market and the overall economy, the CID has informative meetings on the third Tuesday of every month. At the January CID meeting we had a presentation by an Atlanta developer regarding the Whole Foods planned for University Parkway at Honore Avenue. This was very informative as we heard about the “Whole Foods Effect” on surrounding properties. The Whole Foods was approved by the Sarasota County Commission by the way. Then after the Whole Foods presentation we had a great panel discussion by commercial lenders lead by Charlie Brown, CEO of Insignia Bank. The panel did a very good job of telling our commercial practitioners about what commercial lenders are looking for in the way of CRE loans, what is getting approved and what is not, to help us do our jobs better. In February we were fortunate to once again hear from Dr. Ted Jones, the chief Economist for Stewart Title. We were able to see how our observations of the local real estate market mentioned above, compare with the NAR report, and compare with a major national economist’s views of the market. Always very informative to see how we compare and measure up to what is going in the rest of the United States. For March we are planning an off-site meeting to tour and learn more about IMG Sports Academy in Bradenton. We hope to see you there! With more than 30 local seats within Sarasota and Manatee Counties up for grabs, it’s important these positions be filled with those who best align with our Adam Davis Governmental Public Policy positions. Affairs Director We all understand the importance 941-952-3410 of a great Commander-In-Chief, but the same importance, if not more, should be placed at the local/state level. Their actions in office hit closer to home and can have a more direct impact on your day-to-day livelihood. Pictured to the right is a list of offices up for election in 2016. Mote Ranch & Palm Aire By Michelle Crabtree, Broker Associate Premier Sotheby’s International Realty Mote Ranch & Palm Aire are neighboring communities in Manatee County just north of University Parkway & west of I-75. Old Farm Road connects Whitfield Ave (the main drive through Palm Aire) to Honore Ave in Mote Ranch.

Mote Ranch Mote Ranch, named for William Mote, the namesake of Mote Marine Laboratory, is a community of 777 traditional single family homes in nine neighborhoods: Arbor Lakes, Arbor Lakes Estates, Chaparral, Copper Ridge, Grand Point, Meadowlake, Misty Lake, Riverbend and River Park. Mote Ranch borders the Braden River and there is a community dock, kayak/canoe launch, playground, recreation center, and swimming pool. HOA fees are under $600/year. The first homes were built in 1989, mostly by Lennar and building continued through 2004 with Morrison Homes. The community is currently expanding with a new neighborhood to the north off Honore. Homes range in size from just under 1600 sq.ft. to over 3000 sq.ft. and prices range from mid $200K’s to over $500K. Homes east of Honore have a 34201 zip code, with University Park as the legal address and to west of Honore, homes have a 34243 zip code with a Sarasota address. All of the main streets are lined with white fencing and street lights. Numerous homes offer views of ponds & conservation areas with a few on the river. Many residents enjoy driving their golf carts to Palm Aire Golf & Country Club.

The newest neighborhood, Treymore, is gated and was built by Lee Wetherington and Arthur Rutenberg Homes between 1998 & 2003 and HOA fees are just over $1000/year. The single family neighborhood of Carlyle has a community pool and tennis courts. Golf Pointe neighborhood is a combination of condos, villas and maintenance-free single family homes, with community pools. Avalon, a neighborhood of smaller, villa style homes has a community pool and is gated. There are a multitude of condos, villas and single family neighborhoods throughout Palm Aire. At the entrance of the community off University Parkway, there is a small commercial center and a couple of rental neighborhoods. Mote Ranch and Palm Aire are wonderful, established communities without age restrictions or CDD fees. Located just 15 minutes to the Sarasota/Bradenton airport, close to downtown Sarasota or Bradenton, the University Parkway corridor also provides easy access to I-75, the new UTC Mall and a plethora of restaurants and shopping.

Palm Aire Palm Aire Country Club was originally called The Desoto Lakes Golf Club and opened in 1957. There are two 18-hole private golf courses, a tennis center and fitness center. Membership choices range from social, seasonal to full golfing and tennis. The community is located in the 34243 zip code and has a Sarasota address. Palm Aire has an array of living choices, from one bedroom condos under $100K, to villas, to traditional single family neighborhoods. The largest listed is over 4200 sq.ft. and priced in the high $600K’s. The first homes were built in 1958 in the Desoto Lakes Country Club and have no HOA fees.

may have food for the weekend. It is our hope to raise awareness of F.E.L.T. and Women’s Council as well as to collect funds for this most worthy cause (we will donate 50% of proceeds). The Women’s Council of Realtors®, Sarasota had their second meeting of the year on February 12, 2016 at the Bird Key Yacht Club. Justin Nelson, a Peak Performance strategist with the Tony Robbins organization, was teaching us how to “Turn Action into Results!” Justin also provided us with strategies to use immediately to measurably enhance our professional and personal lives! A good time was had by all and if you missed this program, you missed one of our best yet! Our March 11th, 2016 program will be back at the Bird Key Yacht Club for our third program of the year. This program will feature Mr. Stever Queior, the CEO of the Greater Sarasota Chamber of Commerce. The Chamber is a bridge that links businesses, organizations and residents together with innovative programs that strengthen Sarasota’s long-term economic vitality, business success, job creation and quality of life.
