She is responsible for the education programs developed and presented by these committees, including the Leadership Academy. A 29-year veteran of Realtor® real estate education, Catherine held similar positions at the Orlando Regional Realtor® Association and the Florida Association of Realtors® before joining RASM in 2005. Originally from Jamaica (West Indies, not New York), Catherine is a graduate of the University of Central Florida with majors in French and English. I Got Sued for What?!? Broker’s Liability for a Seller’s Non-Disclosure Morgan R. Bentley, Esq. and Jamie N. Pasquali, Esq.
Some things in life seem unfair. Getting sued for passing along information that someone else told you is one of those things. But in the world of real estate agents and nondisclosure claims, that is often the case. In the context of the sale of real property, Florida law demands that sellers make a full disclosure of all known facts which “materially affect” the value of the property and which are not readily observable or known to the purchaser. Johnson v. Davis, 480 So. 2d 625 (Fla. 1985). The duty to disclose announced in Johnson v. Davis has been extended to both agents and brokers by case law. Rayner v. Wise Realty, 504 So. 2d 1361 (Fla. 5th DCA 1987). While it seems unfair to most brokers, there is a logic to it. This extension of liability derives from agency law principles. A principal is civilly liable for the tortious acts of his agent that are within the scope of the agent’s employment, even where the agent’s acts or representations are fraudulent or deceitful. Goodman v. Rose Realty West, Inc., 193 So. 3d 86, 87 (Fla. 4th DCA 2016). Conduct is within the scope of an agency relationship if it is motivated by a purpose to serve the principal. Id. The Fourth District Court of Appeals considered an agency relationship with a twist in the Goodman case, where the seller of the home was also his own real estate agent on the transaction, and was affiliated with the Defendant broker, Rose Realty. The Fourth DCA found that there was an agent/ principal relationship, explaining that “if the seller/agent withheld material information, this was during his work as a real estate agent to facilitate a sale, which was in the interest of the principal/broker, who would earn a commission.” Id. at 88. The Court rejected the broker’s argument that the seller/ agent was acting outside the scope of his agency because he was engaged in fraudulent conduct, and remanded the case to trial court for further proceedings as to the broker’s liability. In Kjellander v. Abbott, 199 So. 3d 1129 (Fla. 1st DCA 2016), the First DCA considered a Johnson v. Davis claim where the buyers agreed in their contract to rely solely on representations of the sellers and third-parties other than the agents for verification of the home’s condition. However, the paragraph of the contract containing that agreement also stated that “This Paragraph will not relieve [the brokers] of statutory obligations.” The Court held that this clause did not relieve brokers and agents of their statutory obligations to disclose all known facts that materially affect the value of the property and are not readily observable, from the duty not to make misleading, deceptive or fraudulent representations in any transaction, or from the duty of honest and fair dealing. So, while they tried, the brokers were still in the line of fire. A seller’s agent or broker may also be liable to a buyer under theories including negligence and fraudulent misrepresentation when defects are not appropriately disclosed. Syvrud v. Today Real Estate, Inc., 858 So. 2d 1125, 1129 (Fla. 2d DCA 2003); Rayner at 1361. The Syvrud Court opined that while “asis” clause could potentially limit the duty of care the listing broker owed to the buyers, “as-is” language does not waive the obligation to disclose known latent defects. Thus, the Syvrud
Court held that in the context of an action for negligence against a listing broker, the effect of a disclaimer (like an as-is clause) is a question of fact subject to the jury’s determination of what was reasonable under the circumstances. Id. In short, an as-is clause doesn’t necessarily work either. But things might be changing, as at least one broker has successfully implemented disclaimer provisions. The Fifth District Court of Appeals recently considered a lawsuit by a purchaser of two residential subdivision lots against a broker, alleging fraudulent misrepresentations concerning the ability to construct private boat docks and regarding the purchase price of other lots in the subdivision. The contract at issue in Billington v. Ginn-La Pine Island, Ltd., LLLP, 192 So. 3d 777 (Fla. 5th DCA 2016) contained a section for “Broker Agency Disclosure… and Disclaimer of Representations.” This section contained several disclaimer clauses which stated that the broker specifically disclaimed any responsibility for any statements, promises or representations, acknowledged that the broker did not have authority to make representations in conflict with or in addition to the information in the contract and community documents, acknowledged that the purchasers did not rely on any representations by the broker, and waived any rights or claims by the purchaser arising from any representations by the broker. The Court held the disclaimer clauses at issue to be as “clear and conspicuous as they are comprehensive” and upheld the express waiver of a right to base a claim on pre-contract representations, affirming the lower court’s dismissal of the purchasers’ complaint. The Billington Court also certified several questions of great public importance to the Florida Supreme Court because it has not addressed the effect of disclaimer clauses in this context in nearly 75 years, and its last pronouncement in Oceanic Villas, Inc. v. Godson, 4 So. 2d 689 (Fla. 1941) has resulted in conflicting interpretations. As such, there may be developments forthcoming in this area of the law which will bind all five District Courts of Appeal within the State of Florida. To limit misrepresentation liability, brokers, agents and their staff should consider the use of clear, conspicuous and comprehensive exculpatory language in the purchase and sale contract like the broker in Billington. Each seller should be required to fill out a seller disclosure form documenting the seller’s sources of information and use of professionals, including inspectors and repair personnel. As an added layer of protection, agents and brokers should consider having the seller certify in writing that he or she has disclosed all defects to the listing agent. Finally, if a defect is discovered during the inspection process and the seller hires a contractor to correct the problem, the buyer should have the repairs inspected by a third party. If nothing else, by doing all this, you will keep out of the Courthouse. Please see page 30 for details on an upcoming seminar with Morgan R. Bentley. The Public Policy Committee of the Realtor® Association of Sarasota and Manatee is working hard to bring you the resources you need to best live, work and play. RASM on the Road is a series of local events with a “touring town hall” theme, focusing on community education and the open exchange of ideas. Each series presents a different topic related to your public policy needs. RASM on the ROAD has kicked off with the Meet Your Mayor series, connecting Realtors® with the Mayor in each of our cities and surrounding communities. Sales Increase as Season Winds Down
According to the recent numbers compiled by Florida Realtors® from My Florida Regional MLS, March 2016 proved to show strength in both Sarasota and Manatee County. The combined closed sales for condos and single family in the twocounty area increased by 6.2 percent from March of 2016. Sarasota condo sales increased by 13.5 percent from last year, while single family homes increased by 2.6 percent. Manatee single family home sales increased by 11.7 percent, while condos were down by 4.4 percent from 2016. “It’s common to see an increase in sales when we near the end of our season,” explains Xena Vallone, 2017 President of the Realtor® Association of Sarasota and Manatee. “And the bump in pending sales in March will likely lead to more closed sales in April and May.” Pending sales are the number of listings that went under contract and can be an indicator of future closed sales. In the two-county area, pending sales increased by 6.1 percent over last March, unlike the slight drop that occurred in February. Pending sales for Sarasota condos increased by 21.8 percent, while single family homes increased by 7.6 percent. However, Manatee condos experienced a 6.4 percent decrease, while single family homes increased by 0.3 percent. The inventory of active listings continues to improve over levels last March, up 12 .2 percent in the two-county area. Inventory increased across both counties in March, with single family homes increasing by 13 percent in Sarasota and by 10.5 percent in Manatee. Condo inventory increased by 18 percent in Sarasota and by 4.1 percent in Manatee. Median sales prices also continue to rise in both counties.

Median prices for Sarasota single family homes increased to $262,621, up 7.6 percent from 2016, while Manatee single family increased to $290,000, an increase of 7.4 percent. Condo median sales prices increased by 17.3 percent to $230,000 in Sarasota, and by 9.4 percent to $175,500 in Manatee County. “Typically, there are more homes available above the respective median price point for each county. With a lower supply of single family homes listed under $300,000, we see that the median time to contract is shorter for these homes than it is for the homes listed in the higher ranges,” explains Vallone. “Buyers are quicker to jump on a sale when they know their supply is limited.” When breaking down the current listings, there are more single family homes for sale in the $200,000 - $299,999 price range in Sarasota with 739 homes. While in Manatee, there are more homes listed in the $300,000 – $399,999 range with 579 listings. As for condos, we see the more listings in the $100,000 -$199,999 range in both counties with 467 properties in Sarasota and 265 properties in Manatee. With the exception of the Manatee condo market taking a slight dip from last month, the months’ supply of inventory continues to gradually push toward a balanced market. In Sarasota County, the month’s supply of condos is at 6, indicating a buyer’s market, while single family homes remain at a 5.1-month supply. Manatee County is at a 4.8-month supply for condos and a 4.7-month supply for single family.

Commercial Investment Division Lions, Tigers, and Taxes
Did you know that the Florida Realtors® and the Florida Legislature have worked together for more than 100 years? How about the fact that the National Association of Realtors® is the largest trade organization in the United States? That is a lot of history and a tremendous amount of political clout! The Realtor® Association of Sarasota and Rico Boeras 2017 CID President Manatee (RASM) recently attended three days in Tallahassee known as The Great American Realtor® Days. Approximately 30 local Realtors® from Sarasota and Manatee attended. Our goals are to help “protect property rights, remove barriers to homeownership, create one of the strongest affordable housing programs in the nation, and enact laws and regulations that protect both buyers and sellers.” I used to think that if I voted, I was doing my part politically. The fact is that voting is just a small part of what we need to do to really make our government officials know what we want and to represent us. When their constituents speak up about what is important, our officials listen. They may not always vote our way, but I learned firsthand that we could change the way they vote! There are a number bills currently working their way through the legislature that will have a big impact on our industry. Here is a recap: A bill to reduce the business rent sales tax. Thousands of Florida businesses pay a sales tax on rent. Some company owners rent space “from themselves” to lower liability or for other tax benefits. Florida is the only state that charges a sales tax on rent! And that is a double taxation for the property owner that rents from himself because they also pay sales tax on the real estate taxes and insurance. Lowering or eliminating this tax will allow these business owners to invest more in their companies, hire more employees and other things that will stimulate the economy. Cap fees charged by community association management companies for estoppel certificates. “Florida law allows association management companies to charge a “reasonable” fee to prepare an estoppel certificate, which is essentially a payoff letter.” Some associations have turned this into a way to make extra money, and it’s hitting buyers or sellers at the last minute before they close on a property. Locally we have seen a fee up to $500 and in other parts of the state, up to $1000 just for them to provide an estoppel letter. The bill being proposed would cap the fee at $250. Increase funding of the housing trust funds. There is currently more than $300 million available for down payment assistance. Our housing values have increased so much that young people and those on modest incomes are finding it more and more difficult to find housing. It used to be that if you couldn’t afford a home, you could rent one at a reasonable rent. A long history of short supply and big demand have skyrocketed rents across the nation and especially in our area. Support a permanent property tax cap on second homes and businesses. “In 2008, Florida voters approved Amendment 1, which created a 10% cap on the annual increase of property taxes for all non-homestead properties. This amendment included a sunset provision that goes into effect on Jan. 1, 2019, unless renewed by a majority vote of the electors in the 2018 general election”. We all know that there is a cap on 24

homesteaded properties and thanks to the current law, on nonhomestead properties as well. If the legislature were to allow this law to sunset or end, I suspect that those properties that no longer had a cap would have skyrocketing real estate taxes that could severely impact the real estate industry, not to mention all of the individual owners of second homes and companies. 1031 Exchanges or Like-kind sales. As part of the current administration’s plan to simplify the tax system, 1031 exchanges are threatened to be eliminated or reduced. The plan is to replace it with immediate expensing, which has some benefits regarding depreciation, but it falls short when land is a big part of the cost or value of a property. I have had several clients state that if it were not for the availability of 1031 exchanges, that they would have been “stuck” with the old property and would not have bought the new investment. The buyers often purchase properties that need renovation, bring jobs to our community and much more. Other benefits to our community are that real estate taxes generally increase after a sale and in some cases, the relinquished property (one being sold) is from other states and are relocated to Florida because that’s where many retire and because of the no income tax status of our state. So in conclusion, voting is not enough. We have to be involved politically. As Realtors®, the very least thing we can do is to contribute to RPAC! Beyond that, write, email and event text your local representatives! And WHEN you see these issues come up, speak up, do your part! “The Mission Statement of the Global Business Council for RASM is to further enhance the professionalism of Realtors® serving International and US customers involved in global real estate business by providing education, information, and networking.” So, up-north what is the actual meaning of Global? Of course, we all have access to the internet and one of the definitions for Global on www.Dictionary. com, is: pertaining to the whole world; worldwide; universal. Some of the synonyms are: international, cosmopolitan, and unlimited. How can you gain more knowledge to help your Global clients? How can you understand them better and help them understand our market? Those are questions that we tackle every month, at the Global Business Council, and we help each other continually by sharing information to better assist our international clients. We all know that the Sarasota-Manatee area is known for world-renowned beaches, boating, golfing, tennis, dining, arts, international sports events, and so much more. Because of our great community, and of course, beautiful weather, more and more people are moving to our area. Some are coming to escape the frigid winter up north for a few months, some are moving here permanently and a lot of those moving here are from other countries. To know how to do business with international buyers and sellers sometimes has its challenges; different cultures, languages, time zones can appear to be a negative to help a foreign customer. Modern technology is one of your best friends with e-mail, Facebook, Twitter, Skype and Whatsapp just to name a few apps that can help you keep in touch with them. Not every country allows their citizens to use social media and communication freely like we are used to. According to the Census, 12.4% of the population in Manatee county and 13.2% in Sarasota county is foreign born. Some of our Council members belong to other RASM Committees and there is great communication between the committees. This helps us to get a lot of information about our area to pass on to you.
The diversity of nationalities, languages, customs, and foods (who does not like to taste dishes from different parts of the world?) makes our area a wonderful place to travel to from all over the world. For us as Realtors® this means to be able to interact with people from all walks of life, from every part of the world. Do you know that in the U.S. more than one-third of all Americans are minorities? This is one of the questions in one of our upcoming classes (AHWD). Would you like to know much more about Global? We will discuss constructive and actual knowledge of the Seller for disclosure purposes and what ramifications the Seller could anticipate for withholding information. By Jody Shinn, GRI, Realtor®, Michael Saunders & Company Harbour Isle is a resort style community consisting of new coach homes and condominiums built by Minto Communities on 220 acres. It is located near Bradenton on Perico Island overlooking the Anna Maria Island Sound and is just minutes over the bridge to the famous Gulf beaches of Anna Maria Island. Homes in the 220-acre development range in size from 1,487 square feet to 2,960 square feet. Pricing for the condominiums ranges from the high $400s to the high $500s. The pricing of the coach homes ranges from $600s to $1.1M. Harbour Isle has projected 686 residences at buildout and is currently about halfway completed. They are in the final phase of building the coach homes with 13 new buildings under construction with 39 residences. The mid-rise condominium buildings are the newest phase and are projected to have 132 condos, of which currently 30 are sold. The condominiums can be purchased as an investment opportunity since they can be rented on a weekly basis. This is truly a resort-style complex with a very socially active lifestyle. A weekly newsletter is sent out to all the homeowners and many social events are planned. Most are held at the beautiful private clubhouse, the 23,000 square feet Waterfront Beach Club, including a resort style pool and spa, sandy beach, cabana bar, fitness center, yoga lawn and sky bar. There is also a 2.5-mile hiking trail around the 38-acre lagoon and a kayak launch. Also included in the community are three neighborhood pools with cabanas, fire pits, and kayak launches.

The Manatee Network of Women’s Council of Realtors® is dedicated to providing networking opportunities, the giving and receiving of referrals, and offering programs that enhance the very foundation of our businesses: education. Our mission is to assist you in taking your business to the next level. On Saturday, April 1st, we hosted our 2nd annual Walk for F.E.L.T. (Feeding Empty Little Tummies). It was a very successful event and allowed us to provide F.E.L.T. with over $,1000, plus backpacks to assist with their efforts in feeding over 500 homeless children in Manatee County, who would otherwise not have food to eat on the weekends or during the Summer months. During the week of May 15th to May 20th, several of us will attend the National Realtors® Legislative Conference and Trade Expo in Washington, D.C. Not only will we have the opportunity to participate in the meetings of NAR, but also in those specifically designed for the members of the Women’s Council of Realtors®. We will network with WCR members throughout our State and our Country. What better way to establish a referral network? You are cordially invited to attend our next business resource meeting on Thursday, May 11th at Pier 22. Registration and networking begin at 11:00, lunch and meeting at 11:30. This year’s theme is “Sustainable Growth through the Power of 1”. Essentially, this means that Realtor® should strive to provide each business partner with at least one referral throughout the year, and in return, that business partner provides the Realtor® a referral.
