Welcome to the latest edition of the Breeders Update Dear Members,
The yearling sales season has begun with a promising outlook. Increasingly, we are witnessing that NSW is the breeding ground of top end bloodstock, as the globalisation of bloodlines continues partly driven by the surge in prizemoney in NSW.
The popularity of the online sales has understandably grown in numbers and revenue which has given the tried horse market a huge lift. In many cases this has given horses that may have retired earlier another opportunity to perform in lesser grade.
It was wonderful to see the Stallion parades back on the farms, bringing people together in person to see Australia’s top Sires lining up in NSW. New sires to the state come from a variety of sirelines and include Acrobat, Captivant, Home Affairs, Palace Pier, Portland Sky, Profiteer, St Mark’s Basilica, Standout, Stay Inside, Tiger of Malay, Victor Ludorum and Wild Ruler.
In particular, St Mark’s Basilica – from a burgeoning sireline in Siyouni - is the first European Horse of the Year to stand at stud in NSW in over 20 years.
The breeding season ran unrestricted by Covid, with rain lingering for most of the season spring which seemed to make a slow arrival, many farms reporting mares foaling late and/or taking several covers to fall pregnant. Anecdotally, it sounds like the wetter end of winter and Spring has meant stronger grass growth with the later than usual sunshine meaning stallions and mares taking longer to get going.
Backing continued from NSW State Government Education Department, broadening our education programs across the state for the NSW thoroughbred workforce development project. Valued at over $2 million inclusive of course fees, facilitators, trainers/ assessors, and wage subsidies. Over 600 new and existing staff have now received free training, to help with the industry’s future workforce and sustainability.

In particular her work in broadening and strengthening educational and welfare initiatives means she leaves this side of the industry in a much better place than when she started.

While the all-conquering I Am Invincible was next-best with four Australian G1s, he could claim some bragging rights in the fact they came from as many different horses. Home Affairs took the Lightning Stakes, Marabi the Oakleigh Plate, Lombardo won The Goodwood, and In Secret toyed with her rivals in the Coolmore Stud Stakes.
Godolphin took the honours among NSW G1 breeders with no fewer than eight. Their quintet through Anamoe was supplemented by the Blue Diamond success of Daumier (by the now-exported Epaulette), the Caulfield Guineas victory of Golden Mile - who gave Darley’s potential slow-burner of a sire Astern his first top-tier win - and in the penultimate G1 of the year, Perth’s Winterbottom Stakes, via Paulele, son of their former shuttler Dawn Approach.
The old adage says it’s hard to compare different eras, but there can’t have been many better years to be involved with Australia’s oldest racing jurisdiction - New South Wales - than 2022.
Crowds returned to racetracks and - partly due to the pandemic that had kept them away - not only did surging revenue help NSW prizemoney reach more dizzying heights, yearling prices shot upwards as well, presenting a boon to a national industry led by Australia’s first state.
And what a year of results celebrated by the state’s breeding scene?
Of the 74 Group 1 races across the country, 51 were won by Australian-bred horses. And of those, 36 went to gallopers bred by NSW interests, with 39 won by horses with sires standing in the state.
Aside from that, Australia’s richest race - the $15 million Everest - was claimed by Giga Kick, whose sire Scissor Kick stood in the Hunter Valley, at Arrowfield Stud, before being exported.
Those 39 Group 1s were shared by 19 different sires, with a dead heat for first.
If the year belonged to Godolphin’s Anamoe, then it was also a bonanza for his Darley sire Street Boss, with the pair adding five top-tier wins to their CVs.
The 18-year-old son of Street Cry shared top billing with Vinery’s All Too Hard, who brought up his five via two different vessels: Alligator Blood, who made a stunning return from back surgery to land three G1s, and Forbidden Love with her two in the rain-soaked Sydney autumn. Mind you, All Too Hard could also claim two more top level victories due to star Hong Kong sprinter Wellington.
Gerry Harvey claimed a hat-trick thanks to Alligator Blood’s stirring treble for new trainers Gai Waterhouse and Adrian Bott - the Stradbroke Handicap, Underwood Stakes and Cantala Mile. Coolmore concern Katom also had three G1 wins thanks to Choisir mare Snapdancer in the Robert Sangster and Memsie Stakes, and Madame Pommery - by Coolmore’s former shuttler No Nay Never - in the Thousand Guineas.
After a series of near things - with three straight seconds to Snitzel on the Australian general sires table followed by another to Written Tycoon - 2022 was the year I Am Invincible finally claimed the title, along with the three-year-old sires’ laurel.
Yarraman Park’s colossus, who’d lost to Written Tycoon on earnings despite beating him comfortably by winners in 2020-21, won on both counts in 2021-22. His 185 winners eclipsed second-placed Written Tycoon’s 178. His progeny’s $19.87 million earnings - more than $2 million higher than his previous best - was some $550,000 clear of So You Think’s.

With Home Affairs his highest earner, at a touch more than $2m, I Am Invincible had 17 stakes winners of 25 stakes races, for the season. While a mighty achievement, it was still one fewer on both counts for the 2021-22 season than Snitzel.
Amid such consistent returns across all ages and both genders for the stallion - who landed with a bang as Australia’s champion first-season sire in 2013-14 and has kept on going - little wonder Yarraman raised his service fee from $220,000 to $247,500 for last spring. It was a remarkable year for So You Think. He was equal-fourth behind I Am Invincible among NSW-based G1-winning sires, with three. And all of them came during a golden 80 minutes at Randwick on April 9: Knights Order, the former shuttle sire’s Irish-bred stayer racing for Waterhouse-Bott, took the Sydney Cup; Kerry Parker’s Think It Over claimed his second top-tier success when Nash Rawiller plotted a daring course along the grandstand fence in the Queen Elizabeth Stakes; and Matthew Smith’s outstanding mare Nimalee completed the astounding treble in the Queen Of The Turf. With the 16-year-old’s stock seemingly growing better with age, Coolmore enacted two straight boosts to So You Think’s Australian fee - from $38,500 in 2020, to $77,000, then to $93,500 in 2022.
One race before that hat-trick, El Patroness won the ATC Oaks to also complete three G1s for the year for Shamus Award, another durable, distance-getting stock have been blossoming in the past 18 months. Though the stallion is now in Victoria, both El Patroness and Duais (Australian Cup and Tancred Stakes) were bred when Shamus Award stood at Widden in the Hunter. The son of Snitzel left NSW in 2019 with his service fee only $11,000. Thanks to offspring headed by these two mares and his other most notable NSW-conceived offspring Incentivise, it’s now $88,000.
While four-time champion sire Snitzel went without a G1 through calendar 2022, his Arrowfield barn mate Maurice flew the flag in Australia for the globally surging Japanese brand. He was another with three top-level successes via Hitotsu (Australian Guineas/ATC Derby) and Mazu (Doomben 10,000), which made him a runaway winner on the second-season sires table for 2021-22.
And there was a changing of the guard in terms of service fees, with Newgate Farm’s son of Not A Single Doubt, Extreme Choice, shooting to the top nationwide after some outstanding percentages from his first three racing crops offset the nine-year-old’s well known fertility problems. Near the end of 2022, the Blue Diamond winner had sired eight stakes winners from just 54 runners - a 14.8 per cent stakes winners to runner ratio. After standing for private fees under arrangement in 2021, he was listed again for his sixth season in 2022, at $275,000.
Hitotsu (Maurice x Love Is Fickle)
It coincided with his second and third G1 successes in 2022. Both came via Anthony Cummings’ filly She’s Extreme, whose VRC Oaks victory followed her ATC Champagne Stakes win in the autumn, which denied the two-year-old Triple Crown for Gary Portelli’s Fireburn. The Golden Slipper winner’s two G1s sparked a move from Victoria to Widden NSW for her sire Rebel Dane.
Newgate also celebrated as Russian Revolution was crowned champion first season sire for 2021-22, in what was yet another powerhouse season for NSW thoroughbred breeding.

Predicting stallion trends at yearling sales can be a notoriously testing business, but aside from the more obvious picks some interesting names are poised to step forward in 2023, at an intriguing time for Australian breeding.
There are the time-tested pillars who are the easy picks.
I Am Invincible’s offspring will be as keenly sought as ever after he took his first general sires title last season - and led the counting by winners in mid-December on that table, plus the two- and three-year-old lists. The Yarraman super stallion’s average yearling price soared to a career-high $563,000 in 2022, up from $124,000 in 2016.
Similarly, Arrowfield’s Snitzel - whose yearlings averaged $540,000 last year - will be in strong demand, as ever, as will proven rivals in Widden’s Zoustar and his fellow speed sire, Darley’s Exceed And Excel, and Coolmore legend, Fastnet Rock.
However, a few sires who’ve emerged more recently can be expected to be hotter property this year.
After posting some extraordinary stats for stakes winners in the past 12 months, Extreme Choice’s average yearling price soared from $154,000 two years ago to $337,000 last year. With the Newgate stallion’s offerings limited, from a 2021 crop of just 41 live foals, some hefty prices may ensue.
Harry Angel got off to a strong start - two winners from four first-season runners by mid-December - and so is likely to lead the way for shuttle sires in 2023. Trapeze Artist’s two-year-olds also showed some early toe, and with his stock famously good types, they are likely to be keenly sought.
Russian Revolution was champion first season sire of 2021-22, usually a guarantee of hot prices the following yearling sale season. That could be brought into question by his relatively slow start for two-year-olds in his second season, but in a notoriously fickle landscape, that’s nothing a run of New Year winners can’t fix. A similar watching brief could be in place concerning The Autumn Sun.
By contrast, Hellbent has gathered momentum after a slow start, and his stock should prove popular, while still economical.
As for first-season sires, strong reports have emerged over the offspring of Cosmic Force - (whose dad and Newgate barnmate Deep Field will no doubt be popular again in the mid-price range) - as well as Widden’s Zousain, whose 138 live foals gave him a bigger first crop than anyone.
Darley’s Microphone also drew impressed nods through early yearling inspections, while Coolmore’s Yes Yes Yes had many admirers.
While speed remains king, there are signs of a subtly shifting landscape. Newgate’s recent addition of State Of Rest - the Cox Plate winner known for his 2000m prowess - recognises that many of Australia’s richest races are over at least that far, and that after years of relying on imports it could be time to breed our own, improved, distance horses.

In that sphere, buyers may be more inclined to purchase now and wait for later, when it comes to sires such as Coolmore’s So You Think - after his career-high second place on the general list last term - and Arrowfield’s Dundeel.
Vinery’s All Too Hard, who in 2022 had more Group 1 wins than anyone, is another whose offspring have been rewarding patient owners in spades of late, especially through his flagbearer Alligator Blood, successful at up to 1800m.

The 2022 foal crop is on the ground, and as our photo gallery shows, there’s no shortage of beautiful babies from first season sires among them.
It’s one of the hottest perennial questions in breeding: Which first-season sires will be the most popular come yearling sale time? If the numbers are any guidethose chosen the most by discerning mare owners and pedigree buffs - some appear extremely well placed to start with a bang.
King’s Legacy - who fulfilled his $1.4 million yearling sale price by winning the Group 1 ATC Sires ProduceChampagne Stakes double - was Australia’s mostpatronised first season sire of 2021. Coolmore’s $33,000 stallion covered 212 mares for 130 live foals, with a fertility rate of 80.5 per cent.
Newgate Farm’s North Pacific, an $800,000 yearling who won a G3, came in next with 202 covers at $22,000, for 131 live foals.
Considering service fees, 2020 Golden Slipper winner Farnan was in high demand, covering 192 mares at $55,000 for Kia Ora stud, with 125 live foals. Widden Stud’s G3 and Listed winner Anders left 121 live foals from 184 covers at his $16,500 fee, Vinery’s dual toplevel victor Ole Kirk yielded 113 live foals from 170 covers and his initial $55,000 fee, and Darley’s $66,000 first year sire Bivouac had 119 foals from 157 matings. Amid so much anticipation around new stallions, it’s interesting to look back on the early years of some of the stud stars of today.
I Am Invincible was already initially well-patronised, for a horse who never won a G1, at his modest starting fee of $11,000, with 96 live foals from his 2010 debut spring. But that rose to 163 from his 2018 season, when his fee had reached $192,500, before its current peak of $247,500.
Four-time champion sire Snitzel came from relatively humble beginnings, from 87 live foals off a $33,000 first season charge in 2006, peaking at 185 offspring six years later at the same fee, before averaging 122 foals when his fee reached a new high of $220,000 in 2018-19. His Arrowfield barn mate, Japanese sire Maurice, has grown from an initial crop of 83 live foals in 2017 to 122 on the ground in 2022, while another shuttler - Darley’s Street Boss - has risen from just 46 offspring from his 2009 debut (albeit injury-affected) to 91 in 2022.

TBNSW Awards Presented at Run To The Rose Charity Race Day Event, In Support for Thoroughbreds Competing Off The Track
Thoroughbred Breeders’ New South Wales Annual Awards were presented at the Australian Turf Club’s Run To The Rose Day in September at Rosehill Gardens celebrated by breeders, sponsors and their guests.
The awards once again showcased that the majority of Australian racing’s champions are sourced from the prime breeding regions in New South Wales. TBNSW President Hamish Esplin introduced the awards, with winners announced by Bred To Win’s Caroline Searcy. TBNSW sponsors presented the trophies to a wideranging group of award winners with representatives on hand from HQ Insurance, Horsepower Feeds and Supplements, G1 Goldmine, IRT, Carrazzo Consulting and the Australian Turf Club.
The NSW President’s Breeder Of The Year Award, sponsored by Carrazzo Consulting was won by Matthew Irwin who from less than five mares bred stakeswinners Duais (Shamus Award) and Baccarat Baby (Casino Prince). Their dam, Meerlust (Johannesburg) was bought by Matthew at the 2009 Scone Yearling Sale for $22,000 and according to the successful small breeder is, “the gift that just keeps on giving!” Matthew says “for each “breed to race” horse she’s produced, you don’t want to miss being there for the win!”
The G1 Goldmine NSW Champion Broodmare of The Year was awarded to Mull Over (So You Think) dam of 2022 Golden Slipper winner Fireburn (Rebel Dane). The award was accepted by Laurel Oak Bloodstock’s Louis
Mihalyka who bought the mare from her breeder Think Big Stud in 2018. Mull Over’s first foal also won the Group 1 ATC Sires’ Produce Stakes and was crowned 2022 Champion two-year old.
The IRT Champion NSW Broodmare Sire title went to Redoute’s Choice (Danehill) the award accepted by Alison Brassil of Arrowfield Stud. Redoute’s Choice died in 2019 but his legacy lives on through his stallion descendants such as Snitzel, The Autumn Sun and King’s Legacy. His daughters produced racetrack stars the past season that included Anamoe, Hitotsu, Profondo, Regal Power and more. Redoute’s Choice was also named Champion Australian broodmare sire for the third time.
The Horsepower NSW Champion First Season Sire award was won by Russian Revolution (Snitzel) who stood his first season at Newgate Farm in the Hunter Valley. That season produced 47 runners and 15 winners, including 2 stakes winners. Progeny include G2 winner Revolutionary Miss, Magic Millions Classic 2nd Russian Conquest and G3 winner Rise of the Mases. His overall progeny earnings totalled over $1.8 million. Newgate Farm’s Leanna Packard proudly accepted the award on behalf of the stallion team.

and excited by the future of the sire who is now based at Widden Stud. Rebel Dane had only 5 runners in the season with the standout stakes-winner the Golden Slipper and ATC Sires’ Produce stakes-winner, Fireburn.
The HQ Insurance Champion NSW Sire award was presented to Yarraman Park’s I Am Invincible (Invincible Spirit) “Vinnie” is a regular in the top three on the national sires-list and sired 359 runners including 185 winners of 314 races last season. With progeny earnings of over $19 million I Am Invincible’s top earners were Home Affairs and Lombardo.
Fundraising after the awards’ presentation raised money for the Thoroughbred Sport Horse Association for prizemoney at equestrian events held in NSW with more than $16,000 raised thanks to auction items donated by Coolmore Stud, Godolphin Stud, Vinery Stud and Silverdale Farm.
Thoroughbred Breeders’ New South Wales congratulates all the winners and looks ahead to more racetrack success from NSW breeders in the current season.

Thoroughbred Sport Horse Association’s Inaugural National Championships
While horse racing’s regulatory bodies in each state and territory of Australia grapple with the best ways to rehome our thoroughbreds, one New South Wales based organisation is simply getting on with the job.
Former Australian World Cup show jumper Krissy Harris is a pocket dynamo - the energy she produces in her quest to improve the takeup of thoroughbreds in the equestrian world could power a country and the results are there for all to see.
In November 2022 Krissy and her Thoroughbred Sport Horse team hosted the inaugural TSHA National Championships at the venue she built with late husband Heath Harris at Mangrove Mountain about an hour north of Sydney. The Stonewall complex, which has been likened to the magnificent Aachen in Europe, played host to a number of competition rings full of thoroughbreds, from ex-racehorses to unraced horses, former broodmares, race horses currently in race training and more.
The range of competitions was the finale of several years of fine-tuning events offered at TSHA competitions, initially in New South Wales but now held in many states of Australia.
From 80cm show jumping up to 1 metre 30, TSHA events cater from the younger or less experienced rider and horse to some of Australia’s elite Olympic show jumpers and three-day eventers such as Vicki Roycroft, Shane Rose and Shenae Lowing.
Current and ex-jockeys are also hugely supportive of TSHA with Jeff Penza a blue ribbon regular along with his wife Michelle. Kathy O’Hara and her partner Charlie Duckworth, the foreman for Chris Waller Racing are also enjoying this off track competition, Rachel Murray, Elaine Robl and other well-known racing names are also a major part of the TSHA model.
However, it’s not only about elite jumping riders. The numbers of entrants for the dressage classes have also taken off and there are fun led events, as well as high class showing categories there’s the “Fashions On The Field” event which gives less confident horsemen and women the chance to show off their thoroughbred without the pressure of being a high level competitor.
Krissy’s aim is to reward everyone in the equestrian world with an exciting level of competition but importantly with financial and other prizes, thereby

incentivising people to look seriously at taking on the thoroughbred over other breeds of competition horses.
Everyone in the thoroughbred world doesn’t need any convincing of the quick brain and reflexes of the thoroughbred and their high level of sensitivity to a rider makes them ideal off track mounts. As with any breed there is a level of coaching and re-training required but Krissy has a wide range of proven coaches (including herself!) to call on and assist those new to the sport and to the breed.
Competitions also included the two “Teams” events the Maiden Team Challenge and the Racing Team Challenge while the six bar show jumping competition was a thrilling event eventually won by outstanding young eventer Charlie Richardson, son of former Olympians Blair and Nikki Richardson (nee Bishop).
So where does the prize money come from?!

• Analysis of the collected information showed that there is a distinct relationship between heat stress events and a reduction in stallion fertility rates, with some stallions more susceptible to the effects of heat stress than others.
• In susceptible stallions, the research showed that as temperatures and relative humidity increase, stallion libido, fertility and sperm quality decline.
• The data also showed that stables retain heat and maintain a higher temperature, even at night when paddock temperatures drop. This is of particular significance as fertility seems to be most affected by night time temperatures.
• Heat stress was observed to damage the DNA in sperm, which could lead to an increased risk of pregnancy losses and developmental issues in foals.
Implementing the recommendations
3. Monitor stallion fertility – Ongoing monitoring of all stallions will identify those sires that experience reduced fertility due to heat stress.
• Install temperature and humidity loggers in stables and paddocks. Loggers should be installed out of direct sunlight, and calibrated before use.
• Collect weekly dismount samples from all stallions during the breeding season. Ensure samples are snap frozen immediately and stored for future assessment.
• Continually review fertility data against environmental conditions, for all stallions. Reviews should include the current week’s temperature and humidity data, plus the three previous week’s. This should provide stud managers with an understanding of which stallions are most at risk of decreased fertility due to heat stress.
• Tailor management practises in line with the needs of specific stallions.
Based on the findings the researchers identified three simple management strategies for stallion owners and stud managers to implement to reduce the ill effects of heat stress on the fertility of stallions:
From racing to retirement — study investigates industry misconceptions
In stark contrast to public perception, a detailed investigation into Australia’s thoroughbred racing industry has found more than 90 per cent of horses retiring from racing go on to enjoy life outside the industry as pleasure or companion horses or broodmares. Significant attention has been directed at the industry recently regarding the fate of thoroughbreds retiring from racing.

1. Alter grazing routines – In order to reduce the incidence of heat stress allow stallions to graze at night and stable them during the day. Alternatively, stallions can graze outdoors between 7am-11am and 4.30pm-9pm daily, providing eight hours of daily paddock time. Grazing during these times (or stabling from 11 am - 4.30 pm) will limit exposure to high ambient temperatures.
2. Ensure access to adequate shade – Stallions should have access to adequate shade in paddocks, either through man-made structures (tarpaulins, shade cloth), or under the canopy of trees. Trees should be dense-leafed, around 5 metres in height and planted strategically to provide all-day protection from the sun.

NSW THOROUGHBRED WORKFORCE DEVELOPMENT PROJECT UPDATE

The New South Wales Thoroughbred Workforce Development initiative is aimed at providing training and education opportunities for workers in the thoroughbred industry.
The goal is to support the growth and sustainability of the industry by ensuring that its workforce has the necessary skills and knowledge to meet the demands of a rapidly evolving workplace environment. The initiative includes programs such as high school internships, traineeships, and professional development courses, as well as support for SMEs. The initiative is supported by the New South Wales government and the thoroughbred industry and is part of a broader effort to strengthen the state’s economy and create jobs.
As Australia’s largest state of thoroughbred breeding stud farms, the workforce shortages require a stronger concentration and with the covid chain of events there could not have been a better time to initiate a Workforce development project.
The focus was placed on creating a training pathway to attract trainees, train new and existing staff and support retention by upskilling the existing workforce.
Phase One (2020 – 2021) the team secured over $1,000,000 in State Government funding, helping to provide free training for pilot programs in the Hunter Valley breeding region.
Following the measured outcomes, participants feedback exceeded the project group expectations.
A series of virtual excursions from studs to racing stables, revealed opportunities to high school teachers, students and their parents. Leading to the ‘Thoroughly Schooled’ work experience program. Students aged
15-17 were hosted in the Hunter, staying with local families and transported through a whirlwind week of breeding and racing industry activities, discovering careers and pathways to consider.
Industry partakers attended Seminars, and accredited Supervisor and Leadership courses; commenting on feeling appreciated just by being offered training by their employers. Embracing their opportunity for professional development, showed a changed perception and willingness to train and mentor the next generation. In turn this progressed into numerous gates being opened to school leavers entering Certificate III Horse Breeding traineeships and school holiday internships.

Phase Two (2021 – 2022) set off with expansion to broader NSW, resulting in a further million dollars in free training course, multiple High School Student and Trainee programs all being refined and attracting a larger volume of interest. Leadership courses went on a roadshow at five locations across the state.
A high priority was set for retention and offering professional development training to the existing workforce not only for retention, but to evolve a mentor style culture for new entrants. This ultimately serves and supports all newcomer programs from NSW Thoroughly Schooled (High School), HTBA EquiStart, Cert II & III Traineeships (School Leavers), Silverdale Farm and Godolphin Internships, TBA’s Fast Track and TIC Explorer Cadetships.
By willingly sharing ideas and cooperating with neighbouring states and all industry sectors. Collaboration became the new focus with affiliating alignments of Training Services (NSW Gov), Thoroughbred Breeders Australia, Agrifutures Australia, Racing NSW, Hunter Thoroughbred Breeders and Thoroughbred Breeders NSW all mutually interested in seeing the success of the project, support was received both in kind and financially.
The project results have proven to boost new entrant numbers, increase retention and has the training pathway set as a permanent fixture for the sustainability of the NSW Breeding and Racing industry.

TAX TIPS FROM INDUSTRY PROFESSIONALS
“The New Horse Loss Rules” – Updated tips for ruling applications
It has been a few years now since the new horse loss rules for high income earners were introduced and our office has lodged and reviewed many of the applications required to have these losses approved.
Reaching the point where I’m in an ideal position to share with the industry some of the specific issues our office has encountered when applying for these rulings, many coming to the surface only once the ATO has been challenged to interpret the meaning and spirit of these new rules.
Issue 1 – A horse business that has made a tax profit cannot apply under the “Nature Of Activity” ground
Under these rules, a person (alone or in partnership), cannot claim an immediate loss for their breeding and/or racing losses if they have an “adjusted taxable income” (ATI) in excess of $250,000.
Where the $250,000 income test is failed, the only way the person can claim the loss is if they apply to the ATO to exercise its discretion to allow the loss in either of the following two circumstances:
• Circumstance 1 – The business was (or will be) affected by special circumstances beyond the control of the operators of the business (e.g., a fire, flood, drought, diseases affecting livestock or crops (e.g. EI), a pest plague or a hailstorm; or
• Circumstance 2 – The business, because of its nature (read “Nature Of Activity”), is not expected to become commercially viable until some time after it has commenced. Horse Breeding and many primary
production activities very much fit into this category. What must be noted is that the latter Nature Of Activity (“NOA”) ground is available to assist start up businesses that due to their inherent nature, can take many years to generate a tax profit.
Accordingly, a business that has already generated a tax profit in its earlier years cannot seek to apply under the NOA ground, as they have already made a profit within the accepted industry lead time period.
Example
Maxine is a high income earning breeder who has been breeding horses for 5 years (i.e. since 1 July 2005) and in the 2010 tax year incurs a tax loss of $100,000.
The 2008 tax year was the “ray of light” for Maxine as a nominal tax profit of $5,000 was derived, due to the enormous price received for a foal out of a mare acquired “in-foal”. However, all other years have generated losses and realistic projections indicate that the business will only

again be profitable in the 2013 tax year, some 8 years after the activity commenced (being within the accepted industry 8 year lead time for a breeding business).
In this example, Maxine could not apply under the NOA ground for the tax years 2010-2012 losses to be accepted as a profit (albeit a nominal profit) has already been derived in the 2008 tax year, this being within the 8 year lead time period.
The only ground that Maxine could apply to have her 2010 loss deducted is via the stricter “Special Circumstances” ground.
Issue 2 – ATO not considering a NOA application where business has generated income only, even though a profit has never been made
Our office found this problem more so in the early days of these applications being processed, but be aware that the ATO can take a while to get their case officers properly trained!
This problem was created when the ATO thought that an activity could not apply under the NOA ground if it commenced to generate income within the 8 year lead time period. Regrettably, they confused the concept of “income” and “tax profit”.
Bottom line – if the ATO refuses to process your NOA application using this wrong rationale, you very much have the law on your side!
Example
Gerry is a high income earning breeder who commenced his breeding activity on 1 July 2008.
Gerry’s private ruling projections indicated that he would make a tax profit from his activities during the tax year ended 30 June 2014, within the 8 year lead time period. However, during the 2010 tax year, Gerry lost a valuable foal via a paddock accident and received an insurance payout of $100,000. This was his only income for that year, however it still did not cover expenses and a tax loss was still incurred in the 2010 tax year.
The ATO tried to argue that as he had generated some income prior to his application and within the lead time period, a NOA application could not be considered. Gerry’s diligent accountant successfully argued that the ATO were confusing the concept of “income” and “tax profit” and his NOA application was duly processed.
Issue 3 – Make sure your financial projections are realistic
These private ruling applications must include financial projections indicating that your business will generate a tax profit within a “commercial” time frame.
We are finding that the ATO can be very unpredictable in the way they assess these projections. For instance, if the activity has generated heavy losses within the early years, they can be very sceptical if projections are lodged indicating a tax profit can be made, no matter
how credible they may be. Some areas I would pay special attention to:
• If foals are part owned, ensure only your share of estimated sale proceeds are included;
• Factor in that your mares may not generate a foal every year (n.b. average live foal rate is 61% for mares covered); and
• If your expenses decrease over time, yet stock number remain relatively constant, explain to the ATO why this is occurring. For instance, service fees maybe decreasing as stallion shares have been acquired and you are taking up your service entitlements that you need not pay for.
To play it safe, I would have a financially savvy expert specifically verify the accuracy of your projections, ensuring the expert is independent of your horse affairs.
Issue 4 – ATO are taking the lead time period from the time the “business activity” commenced, not from the time that the applicant commenced the business
This approach was something the tax community definitely did not see coming!
If you consider ATO rulings and facts sheets on these new rules and the actual way in which these laws are drafted, it would be very reasonable to assume that the lead time for the breeding activity commences at the time the applicant commences the activity. Not so. The ATO consider the lead time period to commence from the time the “business activity” originally started, regardless of who or what entity was running the business at that time.
This is a crucial issue as the activity needs to become “commercially viable” within a “lead time” acceptable for that industry for the ATO to rule in your favour and allow the immediate deduction of the loss.
Example (adapted from a previous Carrazzo media release)
Fred the horse breeder owns a property in the Hunter Valley where a breeding business has been operated by himself since 1 July 2002.
Fred died on 30 June 2008 and the business was passed to his wife, Dorothy. For a number of reasons, the breeding business has never made a profit for the entire period 1 July 2002 to 30 June 2011, some 9 tax years.
Dorothy is a high income earner and is forced to apply for a private ruling to be able to deduct her horse breeding losses for the tax years 2011 to 2014 inclusive.
In her application, Dorothy’s projections note that a profit will first be made in the FY 2015. This profit has been supported be expert reports that indicate that the lead time for her to make a profit is “8 years”. As Dorothy commenced the business in her own right on 1 July 2008, a profit by FY 2015 is within this 8 year “lead time” period. Though the ATO accepted the “reasonableness” of her

projections, they said she was outside the lead time of 8 years as the business activity had actually started with Fred back on 1 July 2002! Using this older start date, the “lead time” for generating a profit is now increased to 13 years (based on a FY 2015 profit) and this now puts the business well outside the accepted 8 year lead time and Dorothy’s application to claim the losses was unsuccessful.
Issue 5 – ATO very strict on what is a “special circumstance”
As noted above, the ATO can exercise its discretion to allow the loss if “special circumstances” impact on the ability of the activity to make a profit.
If applying under this ground, it seems that every bit of bad luck that occurs with a horse is not “special” or “abnormal” to the ATO, even though it is “outside the control” of the breeder or owner. These include:
• Mare abortions;
• Foals failing scope tests after sale;
• Paddock and track accidents; and
• Foals dying at birth.
Per ATO rules, “Special circumstances” are those circumstances “which are sufficiently different to distinguish them from the circumstances that occur in the normal course of conducting a business activity.”
The special circumstances must be outside the control of the operators of the business activity. Such circumstances are specifically defined to include drought, flood, bushfire or some other natural disasters. In other words, they are “unusual”, “uncommon” or “exceptional”. In the case of other events, failure for no adequate reason to adopt practices commonly used in an industry to prevent or reduce the effects of special circumstances may point to the special circumstances not being outside the control of the operator. Unfortunately, this is how the ATO are currently viewing the occurrences I have outlined above.
Be warned, if seeking the ATO’s relief using “special circumstances”, the onus is on you to prove that not only did they prevent you from making a profit in the tax year (preparing an adjusted P&L supporting this is highly recommended), but that they are “outside the normal course” of horse industry activities.
Issue 6 – Industry lead time for horse breeders is not strictly “six years”
Our office and others have successfully argued 8 years as the lead time for profitability within the breeding industry, this being evidenced by successful private rulings lodged with the ATO. These rulings can be accessed publically via the ATO register of private binding rulings.
When the ATO began processing these applications a few years ago, it seemed that they were very fixed on “6 years” being the lead time for breeding activity profitability, however further external evidence put to them via the industry and these applications has thankfully changed this position
Don’t let the ATO intimidate you on this issue!
Please also note that the ATO ruling on these new rules does give the applicant the scope to argue for an extension to the generally accepted lead time if there are, in their words “…special circumstances outside the control of the operators of the business activity have meant that there is no longer an objective expectation that within the period that is commercially viable for the industry concerned the activity will …produce a tax profit”.
