PRESIDENT’S REPORT Welcome to the latest edition of the Breeders Update Dear Members, For those of you (many that you were) who attended our annual Awards lunch held at Rosehill Racecourse you would’ve undoubtedly enjoyed yourselves. More importantly you would’ve learnt something from me during my speech. Admittedly, everything you would’ve learned was pilfered by me from the Racing Australia Fact Book for 2022 which is available publicly. It contains some statistics worthy of your attention. To wit - in the 10 years to 2022 nationwide– prizemoney rose by 73%; the foal crop dropped by 16%; the number of races dropped by 3.5%; broodmare sales receipts lifted 240%; 2yo sales receipts rose 109%, weanling sales receipts increased by 240% and yearlings by 144%; the number of imported horses was up 111%; stallions at stud dropped 34%, shuttle stallions dropped 40%, broodmare numbers fell 27%, foal numbers decreased by 16%; the fertility rate for mares increased 9.5%. What’s all that mean? Well 10 years on, we race roughly the same number of times for 75% more prizemoney, we sell yearlings for 140% more, mares for 240% more, we import twice as many horses, we breed to a 1/3rd fewer stallions with a ¼ fewer mares but with a 10% better chance of producing a foal. Or more broadly - the breeding industry is smaller, denser, wealthier, more parochial, more efficient but definitely more expensive. Ruminate on that for a minute. Anyway, on the ground the 2023 breeding season has begun with a promising outlook. Increasingly, we are witnessing that NSW is the breeding ground of top end bloodstock, as the globalisation of bloodlines continues partly driven by the surge in prizemoney in NSW. The popularity of the online sales has understandably grown in numbers and revenue which has given the tried horse market a huge lift. In many cases this has given horses that may have retired earlier another opportunity to perform in lesser grades. Stallion Parade week always inserts a buzz around the industry, and it is a catalyst to bring NSW Breeders together to see Australia’s top Sires lining up in NSW. New Sires to the state come from a variety of sire lines and include Anamoe, Artorius, Best of Bandeaux, Daumier, Ellsberg, Jacquinot, State of Rest, In the Congo, Hitotsu. The Workforce Development Program and the affiliated group of industry cohorts are ensuring the continual funding from the new NSW State Government Education Department. Fee Free accredited courses have been popular again in the last few months. TBNSW again produced the very informative and well received pre-season seminars. Some presentations are recorded for future resources to members via our website. Our thanks to the veterinarians of Scone Equine who again very generously gave up their time for these informative seminars.

Whichever way you look it, 2022-23 was another bumper season for New South Wales - in prizemoney, revenue, and most importantly, for the state to show it remains head and shoulders above the rest as the heart of nation’s breeding scene. Of the 75 Group 1 races conducted in the season, 47 were won by horses bred in Australia. And of those 47, no fewer than 33 came from the country’s oldest state. That was up from 30 in 2021-22, when there was one less G1. And of those 75 top tier events of last season, no fewer than 40 were won by horses whose sires stood in NSW in the spring of 2022, with New Zealand accounting for 18 and Victoria six. The NSW figure was a stark increase on 30 the previous season. Aside from that, Australia’s richest race - the $15 million Everest - was claimed by Giga Kick, whose sire Scissor Kick stood in the Hunter Valley, at Arrowfield Stud, before being exported. Those 40 G1s for NSW sires were shared by 18 stallions, with Darley’s Street Boss taking the lion’s share of six, thanks to his superstar son Anamoe and his stunning successes in the Winx, George Main, Might And Power, Chipping Norton and Ryder Stakes, and of course his crowning achievement in the Cox Plate. Next came a very even spread of honours, with five sires dead-heating for second with three G1 wins each. Coolmore boasted two in So You Think and Pride Of Dubai, while there was also Yarraman Park’s secondtime champion sire I Am Invincible, Vinery’s All Too Hard, and Arrowfield’s Dundeel.

All Too Hard’s came through the one imposing vehicle - Alligator Blood - who took the Underwood and Futurity Stakes at Sandown, and the Champions Mile at Flemington, while the other four dead-heaters had a pair of G1 winners each. I Am Invincible’s flag was flown by In Secret’s wins up the Flemington straight in the Coolmore Stud Stakes and Newmarket Handicap, and by the flying Imperatriz in Moonee Valley’s William Reid. Dundeel had his two-year-old CV further boosted by Militarize’s victories in the ATC Sires’ Produce and Champagne Stakes, and his staying blood borne out by Dunkel in the South Australian Derby.

There were two G1s each to Highclere Stud Australia through Coolangatta, Segenhoe/Saconi with In Secret, and Lightning Thoroughbreds via Think About It. The nation’s champion sire was again I Am Invincible, who’s now followed three successive second placings on the general sires’ table with back-to-back titles. This time, Yarraman’s 19-year-old titan raised his first “quadrella” of blue ribbons - prize money, stakeswinners, stakes wins, and winners.

So You Think swooped with a late rush. All of his three G1s came at the Brisbane winter carnival as emerging sprint star Think About It took the Kingsford Smith CupStradbroke double, and Palaisipan the Tatts Tiara. His Coolmore barnmate Pride Of Dubai may qualify on a slight technicality, as two of his top-level successes came via Dubai Honour - the northern raider he sired as a shuttler to Ireland. Dubai Honour took the Ranvet and Queen Elizabeth Stakes, while the home-grown Bella Nipotina claimed the MVRC Manikato.

After his runners earned $19.87 million in 2021-22, ‘Vinnie’ topped the table with $23.44m. And while his first championship win was close - by only around $550,000 over So You Think - this time he comfortably beat the same stallion, by around $4.5 million. NSW sires filled eight of the top 10 spots by earnings. In Secret, with $2.72m, was the highest earner of the season for I Am Invincible, who also broke through the 200-winner mark with 202 - up from his chart-topping 185 a year before, and 16 clear of another NSW sire, Widden Stud’s Zoustar, in second. By stakes winners, I Am Invincible improved on his 2021-22 tally of 17 - which put him one behind Snitzel with 22 for season 2022-23, reversing the placings over Snitzel’s 15. Stakes wins was a one act affair, with Vinnie recording 28, and Snitzel second on 18.
Golden Mile
Thanks mostly to Anamoe, Godolphin took honours as the leading NSW breeder of G1 winners, with eight. Aside from Anamoe’s half dozen, Sheikh Mohammed’s empire celebrated the Caulfield Guineas win of Golden Mile - son of their break-out stallion Astern - and the WATC Winterbottom Stakes triumph of Paulele, by their Irish shuttler Dawn Approach. Gerry Harvey was on the next line of top tier NSW breeders thanks to Alligator Blood’s hat-trick, level with Coolmore’s Katom with its trio by three different stallions: their own late Choisir, via Snapdancer’s Memsie Stakes; their former shuttler No Nay Never in Madame Pommery’s MRC Thousand Guineas; and through Arrowfield sire Snitzel for Golden Slipper winner Shinzo. So You Think (11) and Newgate Farm’s Deep Field and Darley’s Exceed And Excel, with nine each, gave Hunter stallions the top five ranks for stakes winners. UKbased Frankel was next, also with nine (separated by stakes wins), with two more NSW sires in the top 10 in Zoustar and the late Sebring.
Russian Revolution followed his first-season title of 2022 with the second season crown, leading Yarraman Park’s Hellbent on prize money ($7.6m to $5.4m), winners (68 to 55), wins (109 to 83) and stakes wins with seven to two, which put Hellbent in a five-way tie for second.
Snitzel flipped the quinella on the two-year-old sires’ table as Shinzo hoisted the 21-year-old to the top of the earnings, comfortably clear of his great rival Vinnie, who’s highest earner was Blanc De Blanc.
After their continued successes, it was little wonder I Am Invincible and Snitzel’s service fees reached personal highs. Vinnie soared to a nation-topping $302,500 for the 2023 spring, by which time he’d chalked up 98 stakes winners worldwide, with Snitzel commanding $247,500, having reached 136 stakes winners globally.
I Am Invincible, however, topped the juvenile table on stakes winners, with six to the four of Snitzel, who was joint-second with Newgate’s Russian Revolution. The aforementioned, formerly NSW-based Scissor Kick took the three-year-old sires’ title thanks to Giga Kick’s Everest win, ahead of I Am Invincible, whose best earner was In Secret. It was a NSW top seven, completed in order by Astern, Snitzel, Zoustar, Deep Field and Russian Revolution. Snitzel, however, had a boom year for three-year-old stakes winners, topping that category with 10 ahead of the six of the second-placed Vinnie. The Yarraman star tied for first on the score of three-year-old winners with Zoustar, though his 74 from 115 runners shaded the Widden stallion’s 74 from 122. Coolmore claimed the first season sires’ crown through US shuttler Justify, whose star progeny Learning To Fly helped him to a tick under $2m in earnings, almost $800,000 up on second-placed Queenslander Encryption, who was just ahead of Darley’s impressive debutant shuttler Harry Angel.
Extreme Choice, Newgate’s fertility-challenged star, was the second-highest priced stallion in the country at $275,000 per cover in the spring of 2023, by which time he had 10 stakes-winners from just 72 Australian runners. Zoustar, who sired his first three British stakes winners with two crops running as a shuttler, was another to reach a personal high Australian fee, passing the double hundred for the first time at $220,000. After the slightly crazy 2022, this year was the secondbest on record for bloodstock sales nationwide, and NSW breeders were at the sharp end of that. The top 13 priced yearlings sold in the country this year - and 19 of the top 20 - came from NSW farms, headed by the $2.7 million I Am Invincible - Anaheed colt sold from Segenhoe’s draft to Coolmore’s Tom Magnier at the Magic Million Gold Coast sale, and Widden’s $2.6m full sister to Sunlight, by Zoustar, bought by Yu Long at the same sale.

Million-dollar colt King’s Legacy, Bivouac and Ole Kirk are set to make a splash as stallions when their maiden crops go under the hammer at the 2024 yearling sales. While known entities such as I Am Invincible, Snitzel, Zoustar and Russian Revolution are sure to create familiar excitement, with others such as Dundeel and So You Think likely to record upswings, King’s Legacy, Bivouac and Ole Kirk can be expected feature prominently amongst the clamour for first season sires. Bought for $1.4 million by prominent colts’ buyer James Harron at the 2019 Magic Millions Gold Coast yearling sale, King’s Legacy became a dual two-year-old Group 1 winner in taking the ATC Sires’ Produce-Champagne Stakes double in 2020. The son of Redoute’s Choice recouped his hefty purchase price many times over in a deal to stand at Coolmore Stud, then became the most patronised first-season sire in Australia, covering 213 mares off a $33,000 service fee. With 132 live foals at fertility of 75.5 per cent, and with his weanlings well found - his 15 at the Inglis Australian sale sold at 20 percent above the auction’s overall average - his yearlings are expected to be well in demand. Darley’s dual G1 winner Bivouac, with 120 live foals off a $66,000 fee, is a quiet tip to deliver perhaps the strongest yearling average price next year, having drawn a high-quality book of mares in his first spring. He had the top two first-season lots at the Gold Coast National Weanling sale this year, in a colt from an Irish Invincible Spirit mare who fetched $275,000, and a $230,000 son of the G1-placed O’Rachael. The stock of Vinery’s Golden Rose-Caulfield Guineas winner Ole Kirk (118 live foals at $55,000) are keenly expected, with effusive reports of a range of quality yearlings and strong weanling sale results, so too Kia Ora Stud’s Farnan (123 live foals at $55,000). Winner of the first leg of that 2020 two-year-old Triple Crown in the Golden Slipper, Farnan had the highest firstseason lot at the Australian weanling sale, a colt from a daughter of G1-winning mare Unearthly, who fetched $180,000.
North Pacific
A son of Snitzel in Russian Revolution can be expected to sell strongly after he followed his first-season sires’ title of 2022 with the second season title last term, topping all categories. His seven stakes winners including a first G1 victor in Randwick Guineas hero Communist - was five more than second-best. Dundeel will almost certainly record a yearling sales rise after his underrated two-year-old siring credentials were proven again via Sires-Champagne winner Militarize - who backed that double by taking the Golden Rose in the spring. And So You Think’s averages are also likely in for a bump after he not only ranked second to I Am Invincible on the general sires’ table for the second year running, but had his versatility shown through burgeoning sprinter Think About It.
Newgate Farm’s North Pacific (126/$22,000) and Widden’s Anders (120/$16,500) will also be well represented, while Kingstar Farm’s Time To Reign (61/$9,000) is expected to offer quality yearlings at the value end of the market. I Am Invincible’s stock continues to only surge after his second general sires’ title in 2022-23, and likewise the evergreen Snitzel after he was leading two-year-old sire with his second Slipper winner this year in Shinzo. And the ever-powerful Zoustar’s runs are on the board, backed by his second-placing by winners last season.

A new crop of foals means a new selection of first season sires are off and running, and from our photo gallery we can see there’s a host of beautiful babies and potential champions among them. It’s always one of the hottest questions in breeding: Who will be the most popular first season sires come yearling sale time - in this case, in 2025. And judging by the numbers, or the “votes” of the nation’s most discerning breeders booking in for coverings in the Hunter Valley last year, a handful of first season sires are very well placed to kick off strongly. Blistering sprinter Home Affairs was the most patronised first season sire in the spring of 2022. Coolmore’s dual Group 1 winner, standing at an initial service fee of $110,000, covered a bulging book of 203 mares. A few of his first croppers in particular will draw plenty of attention, such as a filly who’s the third foal of triple G1-winning sprinter Sunlight, and the first-foal colt of dual G1 victor Shout The Bar. Newgate Farm’s Stay Inside covered 189 mares at a fee of $77,000, and as one of the first sons of the remarkable Extreme Choice to go to stud, the Golden Slipper hero’s first crop will be in keen demand. Among others, blending speed and stamina it includes a colt from the mare made famous as the last horse to beat Winx, 2015 ATC Oaks winner Gust Of Wind. Acrobat - winner of the Inglis Nursery at his only start and now standing alongside his sire Fastnet Rock at Coolmore - drew impressive first-season patronage with 188 covers at $13,750.

Newgate’s G1 Moir Stakes winner Wild Ruler - bringing new North American blood through his five-time stakeswinning dam Gypsy Robin - made a strong start with 175 mares at $38,500. And his studmate and another son of Extreme Choice - Tiger Of Malay - served 164 at $16,500. And another of Coolmore’s first season sires of particular interest - the five-time G1-winning former European horse of the year St Mark’s Basilica - is set to have a strong representation at the sales of 2025. He was the most patronised first-season shuttler of 2022, covering 159 mares at $44,000.

Thoroughbred Breeders New South Wales Annual Awards were presented at the Australian Turf Club Run to The Rose Day on September 9 at Rosehill gardens celebrated by ATC Board, breeders, sponsors and guests. Once again, the awards highlighted that the majority of Australian’s racing champions are bred in NSW. TBNSW President Hamish Esplin introduced the awards with newly appointed ATC Board Member, Bred to Win founder and event host Caroline Searcy, ensuring the day ran smoothly. TBNSW sponsors presented the trophies to a wideranging group of award winners with representatives on hand from HQ Insurance, Horsepower Feeds and Supplements, G1 Goldmine, IRT, Carrazzo Consulting and the Australian Turf Club. The IRT Champion NSW Broodmare Sire title went to Redoute’s Choice (Danehill). The award was accepted by Jon Freyer, Arrowfield Stud’s Bloodstock Manager and presented by Edward Feddies IRT Sydney Operations Manager. Redoute’s Choice died in 2019 but his legacy lives on through his stallion descendants such as Snitzel, The Autumn Sun and King’s Legacy. His daughters produced racetrack stars the past season that included Anamoe, Hitotsu, Profondo, Regal Power and more. Redoute’s Choice was also named Champion Australian broodmare sire for the 4th time. New sponsor to TBNSW in 2023 is Breedr and in line with the concept and vison of Breedr, a newly appointed award for Innovation was given to Inglis Digital. The award was presented by Breedr Director Tom Seymour to Inglis Digital Business Manager Nick Melmeth. Inglis Digital has changed the format of traditional bloodstock sales. Launched in 2017 it offers vendors and buyers a simple and convenient service for trading all facets of bloodstock through a trusted name with a wealth of experience. Both vendors and buyers alike can take comfort out of the fact that the new online selling format is backed by the tried-and-true services of a regular Inglis sale. Racing NSW Introduces Equimillion — an equestrian extravaganza where the stakes are sky-high, with a breathtaking minimum of $1 million in prize money. It’s a celebration of athleticism, versatility, and the indomitable spirit of our equine counterparts, set across the riveting disciplines of Eventing, Show Jumping, Dressage and Show Horse. Taking place on the October long weekend at SIEC this event shined a spotlight on Thoroughbreds transitioning from the racetrack to the arena, demonstrating their successful adaptation to various disciplines. Thoroughbred Breeders NSW took immense pride in sponsoring the following three riders-horse duos for the prestigious Equimillion event. Shai Dever- Red Roger (Mawingo x Lady Writer) With a profound connection to the equestrian world and a career entrenched in the thoroughbred breeding stud industry, Shai had the privilege of witnessing the aweinspiring journey this industry offers—from inception to culmination. These horses are more than racing heroes; they are performers of unparalleled grace and power. Among them, the Off-the-Track Thoroughbreds (OTTs) hold a special place in my heart. Their unrivalled trainability and indomitable spirit are awe-inspiring. Currently, I have the privilege of caring for a stunning chestnut gelding affectionately known as “Reggie.” Reggie embodies the quintessential Thoroughbred spirit—gentle, adaptable, and determined. He’s been my steadfast companion, not just in equestrian pursuits but also in the world of cattle mustering and providing safe rides for kids. The journey with Reggie began when I discovered him during my tenure at a stud, where he was enjoying a well-deserved spell. From that moment, Reggie’s transformation began. In a mere 14 months, he transitioned from a seasoned racehorse to an Eventing competitor at 95 and a showjumping marvel at one metre. His story is a testament to the boundless potential of these noble

creatures, dispelling any notion that racehorses become ‘useless’ after their time on the track. Reggie’s journey, like so many OTTs, serves as a beacon of hope, challenging preconceived notions and inviting society to see beyond stereotypes. However, it’s disheartening to observe how these athletes are sometimes overshadowed by their warmblood counterparts, leading many to underestimate their true potential. The Equimillion event—a beacon of hope for retired racehorses and a resounding call to action for those who doubt the Thoroughbreds in the competition arena. This event, where Thoroughbreds compete against their own kind, serves as a pivotal platform to elevate their status as formidable competition horses. As a final-year veterinary science student at Charles Sturt University in Wagga Wagga, Taylor always nurtured a deep-seated passion for horses. My journey began in primary school, where I forged a bond with horses. Upon completing high school, my desire to immerse myself in the thoroughbred industry led me to Rheinwood Pastoral Company, where I dedicated two breeding seasons to learning the intricacies of equine care. HQ Insurance’s Bloodstock Manager, Dean Morley, is reminding breeders not to overlook their foal insurance with the 2023 crop hitting the ground. Morley urged breeders to get in touch with their brokers or to contact HQ Insurance now and not wait until foals are born. “The issue we find every year is breeders often forget to notify their insurance broker or to request a quote until the foal drops. It’s best to organise your foal cover early so it incepts from 24 hours of age, pending a clean Vet Certificate with IgG over 800 mg/dl and blood pathology if required by the insurer. This ensures your foal is on cover as soon as possible and negates any potential loss you may encounter. It’s also an extremely busy time for studs and staff and we find the delay in paperwork or emails can cause issues between brokers and their clients.” The foal crop in 2023 is expected to be in the range of 13,000 and with foals from first season sires like Home Affairs and Jonker about to be seen for the first time, it’s vital breeders cover their valuable progeny.
Morley stated, “we see losses every year during the first few delicate months of a foal’s life with causes of loss ranging from pneumonia to septic joints and paddock accidents amongst others. Unless the cause of loss is a pre-existing condition, which would result in a policy exclusion, there is very little fine print in bloodstock policy wordings meaning claims are paid at a significantly high rate to those lodged, subject to requirements of post-mortem reports and payment of premiums being met.” When insuring your foal/s and deciding what the sum insured should be, Morley guided breeders into a simple rule, “between one and two times the stallion’s service fee is a good starting point. Also think about your year one costs and research whether any of the foal’s siblings, either half, ¾ or full, are stakes performers, whilst always referring to your broker about a sensible value.”

The New South Wales Thoroughbred Workforce Development initiative is aimed at providing training and education opportunities for workers in the thoroughbred industry. Feedback following the course was enlightening and the students gained some valuable insights to future pathways in the industry. “Be able to see what goes on behind the scenes of places and how there is a lot more to the horse racing industry than I thought there was”
The goal is to support the growth and sustainability of the industry by ensuring that its workforce has the necessary skills and knowledge to meet the demands of a rapidly evolving workplace environment. The initiative includes programs such as high school internships, traineeships, and professional development courses, as well as support for SMEs. The initiative is supported by the New South Wales government and the thoroughbred industry and is part of a broader effort to strengthen the state’s economy and create jobs.

Thoroughly Schooled The Thoroughly Schooled Program was conducted in September 2023 for a group of 14 senior high school students. The course had over 65 applicants for the program. The weeklong camp style program was held in Scone in collaboration with TAFE NSW, Training Services NSW, Hunter Thoroughbred Breeders and Racing NSW.

The preseason seminar took place in collaboration with HTBA and Scone Equine Hospital providing valuable information for industry middle managers leading into the breeding season. Accredited training in Leadership run by Forsythes Training is always a popular course and feedback form participants is overwhelmingly positive. The course aim is to embrace the opportunity for professional development with a high priority for retention and offering professional development training to the existing workforce not only for retention, but to evolve a mentor style culture for new entrants. TAX TIPS FROM INDUSTRY PROFESSIONALS
ATO RULES A BUSINESS FOR BREEDERS Whether a horse activity is a ‘business or hobby’ for income tax purposes has long been a subjective and difficult dilemma for tax advisers. Obviously, our office has had extensive experience in this area, but this is not the case for the overwhelming majority of tax advisers. If, per the ATO ‘self-assessment’ guidelines, advisers are uncertain in making a call on this issue, they can seek a definitive opinion from the ATO via the “Private Ruling” system. The ATO publishes these decisions on its web site and is not bound by an edited private ruling version published in the ATO rulings Register in relation to any taxpayer. An edited version is not intended to provide taxpayers with advice or guidance, or a publication approved in writing by the Commissioner. However, a tax case has established that private rulings were “useful” in illustrating the way in which the ATO has applied the relevant legislation and authoritative case law. Though these rulings are specific to a taxpayer’s situation, they are indeed “useful” in gauging the ATO’s current opinion on this ‘business or hobby’ issue. I regularly trawl the ATO rulings register to see if a racing related ‘business or hobby’ ruling has been recently issued; especially if the applicant is successful! In this article I share details, and my comments, relating to the best and most recent private ruling I have come across on this topic (ATO Ruling Authorisation Number: 1051382550813), to do with a husband and wife partnership who were successful in demonstrating that their horse breeding activity was an income tax ‘business’. Pay special attention to the facts and arguments raised if you are uncertain as to your particular status! This case is especially interesting as the taxpayer was also hoping to have their associated “racing” activities approved as a ‘business’. THE RELEVANT RULING QUESTIONS 1. Do the horse breeding activities conducted by Mr AX and Mrs BX (“the Taxpayers”), constitute the carrying on of a business? 2. If the horse breeding activities constitute the carrying on of a business, will the horse racing activities constitute part of the horse breeding business?
1. RELEVANT FACTS AND CIRCUMSTANCES BACKGROUND Mr AX and Mrs BX (“the Taxpayers”) are husband and wife. The Taxpayers have an interest in a horse called Horse A. After its racing career was over, Horse A became a stallion. The Taxpayers and the other part owners of Horse A entered into a standing agreement with a Stud Farm Z which manages the day-to-day breeding activities of the horse. Although most of the decisions in respect of the breeding activities of Horse A are made by Stud Farm Z, the Taxpayers still have active involvement as they need to be consulted on major decisions and have a right to clarify any financial issues. The Taxpayers each applied for an Australian Business Number (“ABN”) as they were operating an enterprise of horse breeding due to the receipt of income from Horse A’s service activities. Each of the Taxpayers returned their share of income so generated from their respective shares of Horse A. The Taxpayers took the view that for the initial income year they were not carrying on the ‘business’ of horse breeding. To protect the future income generation of Horse A as a stallion for the horse breeding activities, the Taxpayers retain a Mortality Insurance Policy for their share in Horse A – a strong indicator of profit intention. For the next tax year, the taxpayers reassessed their activities as to whether they were in fact carrying on the business of horse breeding and came to an affirmative conclusion based on the scale and regularity of conduct of the horse breeding activities at that time. Significantly, the taxpayers have a Business Plan (a strong ATO business indicator) which outlines strategies for making the horse breeding activities profitable into the future and contains the following elements: a) A description of the horse breeding activities is given in that it consists of income generated from stallion fees through the ownership interest in Horse A. It also outlines how the horse breeding activities will diversify its income stream by selling progeny from its band of high-quality broodmares that have been recently acquired.

b) It sets out the markets through which the Taxpayers propose to sell and realistic estimates of quantity and volume of sales. In respect of the ownership interest in Horse A, the Taxpayers are in the market of providing a quality stallion for mare owners looking to produce quality foals. Income has already been generated as in the most recent two breeding seasons. c) In an attempt to diversify their income stream, the Taxpayers have acquired a high quality band of broodmares in order to cater for the market of horse purchasers looking for quality foals. The business plan sets out realistic expectations of quantity and volume of sales. It is the intention of the Taxpayers to sell all yearlings whenever it is possible and commercially sensible to do so. The first of these was in year three, with more yearlings planned for sale in the next income years, in line with expected increase of the broodmare portfolio. d) The business plan also sets out a reasonable estimate of the income expected to be generated from the band of broodmares. Apart from serving the broodmares with Horse A, the Taxpayers also intend to have them served by some of Australia’s leading stallions. e) Although the Taxpayers did not acquire their own breeding barn, they have acquired the use of a Horse Farm to conduct the breeding activities of the broodmares owned. This Horse Farm is held in high regard within the Australasian Thoroughbred Industry, attracting international buyers and record high priced yearlings. 2. TAXPAYERS’ ACTIVITIES The Taxpayers devoted themselves fulltime to horse breeding activities. In the first two income years, income was principally generated from stallions’ fees from Horse A. In addition to the stallion fees the Taxpayers have generated income from the sale of Horse A’s progeny. This progeny includes weanlings and yearlings in the first few years. A selling mentality is obvious with these activities.

The Taxpayers acquired the broodmares with the intention that they will generate an additional income stream to that generated from Horse A. The breeding stock have been bought outright and in partnership with others. The ATO especially noted that the fact the Taxpayers have controlling ownership over most of their stock provides them with an ability to control how the horse will be used now or in the future in the most profitable manner. The Taxpayers have produced progeny by paying the stallion service fees of Horse A to service their broodmares and keeping the resulting foals. To diversify and minimise risk, in the latter years broodmares have been serviced by a varied array of Stallions. A Bloodstock Agency was initially appointed to assist the Taxpayers to provide ongoing advice and assist in the management of the Taxpayers’ share in Horse A. Use of consultants and experts is a strong business indicator. The reliance on the advisory services of the bloodstock agency expanded to include the wider breeding activities being undertaken by the Taxpayers’ band of broodmares and this arrangement continues to date. Any new acquisitions of broodmares for use within the breeding activities are jointly decided by the Taxpayers and typically involve the attendance of both of them at the sales auction house. The Taxpayers jointly undertake numerous visits throughout the year to assess the status and progress of the horses. Keeping of proper records is present as the taxpayers have a joint bank account into which income generated from the horse breeding activities is deposited and from which expenses and capital outlays are paid. The Taxpayers maintain books of account in their joint names and minutes of meetings are kept. Excuse my ‘victory lap’, but the ATO also noted: “They employ an accounting firm to review their record keeping and produce a BAS each quarter and a tax return each year. Having a recognised accounting system and practices in place give an indication that the activities are more than what is expected of someone who is merely a keen follower of horse racing.”
WWW.TBNSW.COM.AU The breeding and racing activities are integrated, the racing activities forming part of the breeding. Whilst it is the intention of the Taxpayers to sell the new foals sired by Horse A whenever possible, there will be times when it is deemed appropriate to retain and race a foal to ultimately breed from it in the future. The successful performance on the racetrack of the progeny builds Horse A’s future career as a stallion by enhancing demand for his services, thus supporting the service fee income stream. The fact the Taxpayers have controlling ownership over most of their stock provides them with an ability to control how the horse will be used now or in the future in the most profitable manner.
In addition, TR 97/11 states that the following three items, present in this ruling request, are factors that support the main indicators: - A business plan exists; - Commercial sales of product; and - Taxpayer has knowledge and skill Where the activity being considered is that of horse breeding TR 2008/2 sets out further specific indicators which must also be addressed in determining whether the activity constitutes the carrying on of a horse breeding business, including: - Quality and number of horses;
Should a colt bred by Horse A from one of the Taxpayers’ broodmares be gelded for any reason but retained for racing, this will always be done with the intention of increasing the value of the horse for future sale. This is sound rationale for keeping geldings as part of an integrated breeding and racing business – too often I hear ‘pub talk’ that the ATO will never accept geldings in a business!
- Whether the taxpayer is selling stock, for example yearling sales, to generate cash flow;
3. REASONS FOR DECISION – ATO ANSWERS
The indicators outlined above are taken into consideration below in weighing-up whether all the indicators as a whole establish that the Taxpayers were carrying on a business of horse breeding.
QUESTION 1 Yes, it is a breeding ‘business’
- Whether the mares are being serviced; - Whether the taxpayer is using their stallion rights; - Whether the taxpayer maintains geldings, barren female horses or other horses which are inappropriate for breeding – excluding horses that are being raced.
The ATO concluded that from the information the Taxpayers have provided the overall general impression of a ‘business’ after considering all the factors in Taxation Ruling TR 97/11: am I carrying on a primary production business? and TR 2008/2 Income tax: various income tax issues relating to the horse industry, including whether racing, training and breeding activities (carried out as stand-alone activities or in combination) amount to the carrying on of a business is that from inception the Taxpayers have been carrying on the business of horse breeding.

- Seeking advice from experts in the industry in which you intend to operate;
The existence of a business is a matter of fact and degree. It will depend on the number of indicia, which must be considered in combination and as a whole. No one factor is necessarily determinative. Relevant factors include, but are not limited to, the existence of profit making purpose, the scale of activities, the commercial character of the transactions, and whether the activities are systematic and organised, often described as whether the activities are carried out in a business-like manner.
A taxpayer needs to be able to provide evidence showing that the activity is carried out for commercial reasons and in a commercially viable manner. It is particularly linked to the size and scale of the activity, the repetition and regularity of the activity and the profit indicators. Evidence of proper research into the activity to establish its commercial viability is also important, and might include: - Drawing up a business plan;
- Obtaining any technical data relevant to the industry; - Consideration of whether a market exists for the activity and the evidence of research into potential markets; - Proper analysis of the capital required for the activity and how it will be obtained and used; - Ensuring that research can properly conclude that profits can be expected taking into account the market and expected running costs; and - Ensuring that the size and scale of the activity is sufficient for a commercial enterprise. The ATO noted that just owning a stallion share was in itself “already quite substantial” in terms of scale of activity. N.B. It was a real positive that mares were regularly serviced and the numbers were increasing every year.

The Taxpayers are already making a profit and intend to make further profits from the horse breeding activities; ii. The Taxpayers are incurring significant revenue and capital expenses but have a plan in place to show how further profits will be made; iii. There is repetition and regularity of sales; iv. The horse breeding activities are being carried on in the same manner as other similar businesses in the horse breeding industry; v. There is a system in place to allow profit to be produced in the conduct of the activity; vi. The horse breeding activities are being carried on, on a large scale in relation to Horse A. The horse breeding activities in relation to the band of broodmares started on a small scale but have expanded and will expand further into the future; and vii. All foals produced from the horse breeding activities are made available for sale at all the leading sales. QUESTION 2 Yes, the racing activities are an integral part of the breeding business If any progeny derived from the breeding of Horse A with the broodmares are retained by the Taxpayers for the purpose of racing to improve breeding stock and are later used in the breeding business, the racing activities of these horses will be an integral part of the horse breeding business. Detailed reasoning Whether a taxpayer’s activities of racing horses may, of themselves amount to the carrying on of a business is a question of fact, having regard to all the relevant indicia set out in TR 97/11 and TR 2008/2.
As outlined in paragraph 28 of TR 2008/2 it is inherently more difficult to prove that the racing of horses as a stand-alone activity amounts to the carrying on of a business because it is considered that one or more of the following significant non-business features would be present: i. The significant element of chance meaning that whether or not profit is made will depend very largely on considerations other than system and organisation of the taxpayer; and ii. The activities are no more than the mere pursuit (albeit vigorous in many cases) of a hobby, recreational pursuit or pastime. Initial intention – Horse bred initially from Horse A with any of the broodmares and held for racing activities but with an intention for later use in breeding business to improve value of breeding stock. The racing activities of any horse bred and initially held for racing activities, rather than for sale, will be part of the breeding business provided that the intention is to improve the value of the breeding stock for future sales and to use the horse in the breeding business. The Taxpayers have the intention of selling the new foals produced from the breeding of Horse A with any of the broodmares whenever possible, however there may be times when they wish to retain a horse either to support the breeding activities of Horse A and the broodmares or to ultimately use that horse in the breeding business. While thoroughbred breeders continue to bring the next generation of racehorses to life, there’s also far more focus in recent times on what happens to these horses away from the racetrack, whether they raced or not. based equine therapy program that assists both horses and humans. Caroline Searcy’s national thoroughbred rehoming program, Thoroughbreds Are Go returns to our screens on Sky Thoroughbred Central (Foxtel Ch 528) in late October, now into its fourth year and fully funded by the breeding and racing industry.

The show has become a regular fixture for racing owners wanting to know how best to rehome their thoroughbreds and it’s also enormously popular, particularly on social media, in the equestrian world, with new thoroughbred owners picking up tips on caring for their horses from leading experts from around the world.
Thoroughbreds Are Go continues to support shows providing great prizemoney for thoroughbred competitors – having sponsored Thoroughbred Sport Horse Association, the Sydney Royal Easter Show, Nowra show and others in the past few years.
Coming up in series 2 of Thoroughbreds Are Go are a number of practical stories as well as, as the title of the show suggests, some great stories of elite riders such as Olympian Shane Rose who is aiming for the Paris Olympic Games with several young thoroughbreds. One of Australia’s greatest competitors on board the breed, triple Olympian the legendary Merv Bennett and his son John, both licensed trainers at Nowra in southern NSW, will feature some great insights into how far thoroughbreds can progress in both Thoroughbreds Are Go Returns In Spring
In 2023 TAG funded a young rider, Leah Beth Anderton on her son of Rip Van Winkle, Only Tiger as they took part in the inaugural Racing NSW Equimillion. In a great story the love Leah has for her off track thoroughbred shines through as they prepare for the event – but after competing on the weekend they are unable to compete in the show jumping as the horse’s welfare is put first after signs of lameness. More stories will come from the Thoroughbred Sport Horse Association’s National Championships along with a very special story from Queensland about “Life With Horses,” a Queensland

“ The thoroughbred breeding industry is not a healthy garden bed to try and grow innovation” … This line came from a presenter at the recent ‘From Here On’ seminar and pretty much sums up where we are as an industry at present and why more action is urgently required in this space. Held last month in Scone, the seminar, presented by Breedr in collaboration with the TBNSW, was the first of its kind as we collectively set out to increase the appetite for change within the industry. To achieve this, the seminar focused on building awareness as to the far-reaching benefits innovation can bring to the entire breeding community. The seminar was attended by a broad range of TBNSW members and featured a mix of non-industry keynote speakers, complimented by presentations from stakeholders already offering products or services to the breeding community. It was a great blend of talent and provided the audience a great insight into Artificial Intelligence (AI), the power of data and the roles new technology will play in the future. The day included some incredibly thought-provoking workshops and to wrap the day, an insight how AgriFutures spend industry levies. The audience engagement was so encouraging, and all presenters found the enthusiasm and willingness to participate, a very rewarding experience. A massive thank you to all those who supported the day. Now the challenge shifts to building on that momentum to
create a garden bed where innovation can prosper and can attract new investment and smarter minds to the industry.
