The Board of Directors of PVR Limited (PVR) and the Board of Directors of INOX Leisure Limited (INOX), at their respective meetings held recently, have approved an all stock amalgamation of INOX with PVR. The amalgamation is subject to approval of the shareholders of PVR and INOX respectively, stock exchanges, SEBI and such other regulatory approvals as may be required. Upon obtaining all approvals, when the merger becomes effective, INOX will merge with PVR. Shareholders of INOX will receive shares of PVR in exchange of shares in INOX at the approved share exchange (“swap”) ratio. Merger Terms Post the merger, the promoters of INOX will become co-promoters in the merged entity along with the existing promoters of PVR. Upon effectiveness of the scheme, the Board of Directors of the merged company would be re-constituted with total board strength of 10 members and both the promoter families having equal representation on the Board with 2 board seats each. Ajay Bijli would be appointed as the Managing Director and Sanjeev Kumar would be appointed as the Executive Director. Pavan Kumar Jain would be

Sriram Sistla Gets a Welcome Back at Harkness Screens

The combined entity will be named as PVR INOX Limited with branding of existing screens to continue as PVR and INOX respectively. New cinemas opened post the merger will be branded as PVR INOX SSPA & Co, Chartered Accountants and Drushti Desai, Registered Valuer, Partner at Bansi S. Mehta & Co., the Independent Valuers appointed by PVR and INOX respectively, have recommended a share exchange ratio, which has been accepted by the respective Boards. Axis Capital Limited provided a Fairness Opinion to PVR on the share exchange ratio while Ernst & Young Merchant Banking Services LLP provided the Fairness Opinion to INOX. Accordingly, INOX shareholders will receive 3 shares in PVR for 10 shares of INOX. Post the merger, PVR Promoters will have 10.62% stake while INOX Promoters will have 16.66% stake in the combined entity. Alia Bhatt's 'Gangubai Kathiawadi' enters 100 crore club

Filmmaker Sanjay Leela Bhansali's latest film "Gangubai Kathiawadi", starring Alia Bhatt in the lead, has breached the 100 crore mark at the box office. Filmmaker Sanjay Leela Bhansali's latest film "Gangubai Kathiawadi", starring Alia Bhatt in the lead, has breached the 100 crore mark at the box office. Based on a chapter from writer S Hussain Zaidi's book Mafia Queens of Mumbai', the biographical drama features Bhatt in the title role of one of the most powerful, loved and respected madams from Mumbai's Kamathipura neighbourhood during the 1960s. Movie theatre company PVR signed an agreement with real estate firm M3M India to set-up an 8-screen multiplex at 65th Avenue, the recently delivered largest luxurious retail project in Gurugram. M3M India's 65th Avenue is a luxurious retail property, located near M3M Golfestate and Trump Towers, at prime Golf Course Road, Gurugram. It is spread across 14 acres, with one million square feet of retail space and built with a top line of 4,000 crore. "As part of our expansion plan, we have been looking to set-up an ultra-modern and stateof-the-art 8-screen multiplex at a prime property in Gurugram. The 65th Avenue has impressed us a lot in terms of architecture and designing and also the location," said Sanjeev Bijli, Joint Managing Director of PVR. "It has a huge potential and is expected to cater to about half a million population in the vicinity. We have gone ahead and signed the agreement and looking forward to presenting the best of movie experience. I am sure, with time 65th Avenue will prove to be one of the finest and most sought-after destination for not just movie lovers but also for shoppers and dining audience." Christie CP4450RGB Powers PVR Cinema's New Drive-In Theatre in Mumbai

Christie is pleased to announce that PVR Cinemas, the market leader in terms of screen count in India, has deployed its CP4450-RGB largeformat RGB pure laser projection system for a new drive-in theatre in Mumbai. Terming luxury formats as more experiential in nature,

PVR Joint Managing Director Sanjeev Kumar Bijli said it is the need of the times so that people come out of their homes to watch movies in cinemas after the pandemic. "PVR currently has 12 per cent of its total screen portfolio allocated to the luxury screen formats. We are keen to grow this share of screen portfolio to 20 per cent as we open new cinemas in the near future," said Bijli. PVR, as per its strategy to grow the luxury screen format, recently announced to sign agreement realty firm M3M India to set up an eight-screen multiplex at 65th Avenue, a luxurious retail project in south Gurugram. "Our eight-screen multiplex in M3M India's 65th Avenue will also host luxury formats such as LUXE, 4DX and a premium P[XL] auditorium with an extra-large screen, Bijli added.

The primary allure of the theatre is its larger-than-life picture and immersive sound, enjoyed sans interruptions of advertisements and channel surfing. Hence, while designing a theatre, primary importance should be given to the picture and sound, without compromising on design or quality.

Sound - Get Immersed The history of sound in movies has been an interesting transformation from mono to analog stereo to highdefinition, multi-channel, digital sound that is either channel-based with 5.1/ 7.1 surround or object-based immersive sound. There are three immersive sound formats available in the industry with their respective cinema processors. Object-based technology is fast gaining acceptance to becoming the industry standard for premium sound and the 64 output configurations are the most popular. In a well-designed cinema auditorium,

the audience should be able to appreciate high fidelity sound from every channel. To achieve this, the right specifications should be used to configure the theatre. Recommended tools should be used to help decide on the model of the speakers and amplifiers and position them accurately by inputting the measurements of the auditorium and screen. The selection of the speaker system depends on both the budget and the quality desired. The stage speaker starts from 2-way passive systems to 4-way quad amplification systems.

With the given dynamic range in digital audio, the audio system should be capable of handling 105 dBc per circuit/channel. Thus, the minimum requirement is the 2-way bi-amp configuration. Tier A and prime cinemas opt for 3 or 4-way tri-amp stage speaker systems. Line Array systems which are predominantly used in the touring and ProAudio segment are finding their way into cinemas as well. Long auditoriums, screens with steep seating or balconies can opt for such systems. The higher cost due to more speakers and amplifiers is compensated for by an even distribution of audio across the entire space. The best practices for configuring equipment include the following: a minimum headroom clearance of 3 dBc for the speaker and amplifier circuit and 6 dBc for the subwoofer, to help the system comfortably handle peak sound levels without distortion or component failure. Behind the screen, the stage speakers should be positioned with their acoustic centre at two-thirds the height of the screen. In case the screen width exceeds 60 feet, additional left- and rightcentre speakers are recommended for smooth panning of sound across the screen. The distance between the screen and the speakers should be not more than six inches. The surround speakers should be positioned as per the design tool or manufacturer's recommendation. • TECHNICAL • and position vary according to the format and theatre size, that of the stage speakers remain constant across all formats. Space behind the screen should be at least 3.5 feet to 5 feet to provide access for the installation and maintenance of stage speakers. A baffle wall is recommended behind the screen for the best sound reproduction. While mounting the surround subwoofers, the mechanical vibration transmitted to the wall or ceiling should be minimised to reduce its spread to the adjacent auditorium. The low-frequency effect should be even across the auditorium. This requires some trials in clustering or decoupling of the sub speakers before their final installation. Finally, good acoustic treatment is essential for experiencing quality sound in the theatre. Without it, even the sound from premium audio systems will be poor.

Picture - Get Impressed Picture quality and resolution have leapfrogged as cinema has adopted digital technologies. E-Cinema has 1080p images, uniform brightness and adequate security, while D-Cinema delivers crystal clear, 4K images with a high dynamic range, and high level of security. Adoption of the DCI compliant, D-Cinema gives theatres access to 2K/4K content from Indian, Hollywood and international distributors. For the light source, there are lampbased and laser-based technologies. Despite the higher initial investment,

laser has a longer lifespan, lower maintenance, and steady brightness, in comparison to the lamp which has a shorter life and its brightness tapers off towards the end of its life, thus reducing the projected image quality. While lamp-based systems have only one light source, laser can have a single blue light source with phosphor wheel, double laser blue and red-light sources with phosphor wheel called Smart Laser or three light sources, one for each primary colour, called True RGB Laser system. These laser projectors produce higher dynamic range pictures and are gaining popularity in tier A and B centres. There are tools that can help choose the right projector and lens by providing the screen size and the throw distance. In existing cinemas, the throw distance, screen size and lens have to be balanced. The screen material is determined based on the content to be played and the 3D system to be used. To play 2D content a good quality matte screen is sufficient. But for 3D content, either high gain or matte screens should be used, based on the system selected. There are active and passive 3D systems available. Passive systems use either polarizers or color separation technology, while active systems work on electronic blanking technology. Screens are available with different gain factors. High gain, 3D silver screens are not the best for watching 2D content. However, advancements in screen coating technology offer better 2D viewing even on a 3D screen.

The optics of digital projectors support the flat screen or 1.89 aspect ratio. High gain 3D screens should have a curvature with a cord depth of not more than 5% of the width of the screen. Screen perforation is important for optimising the sound from speakers behind the screen. While normal screens have standard perforations, smaller auditoriums with shorter viewing distances should opt for mini/microperforations so that they are not seen as black dots on the screen. The aspect ratio of the screen should be 2.39:1 for scope and 1.89:1 for flat. While most of the screens go for 2.39:1, some PLF formats opt for 1.89:1 ratio for an immersive movie experience. Porthole glass should be made of distortion-free and tint-free glass, with a non-reflective coating. Special porthole glasses are available in the market with mounting frames. The porthole glass should be mounted at an angle to avoid loss and multiple reflections of light on the screen. Finally, the interior of the cinema auditorium should not have reflective surfaces or detract from the moviewatching experience.
