Your Community News REMEMBERING LOVED ONES IN MEMORY MEADOW

L

ocal Hospice Care charity Phyllis Tuckwell has -created a Memory Meadow within Guildford’s Stoke Park, a stunning floral tribute to those who are no longer with us, but are never forgotten. The Meadow is situated at the Nightingale Road entrance to the Park, in an area given to the charity by Guildford Borough Council. Its colourful mix of beautiful flowers will bloom every spring, and it is open to anyone wishing to spend some quiet time remembering their loved one. A special remembrance event will be held at Memory Meadow on Saturday 16th April, from 10am to 12pm, which will feature inspiring readings and songs from a local choir, as well as giving those attending the opportunity to walk around the Meadow, taking in the beautiful surroundings. As part of the event, Phyllis Tuckwell is inviting dedications to be featured in a Book

of Remembrance, copies of which will be given to all who attend. To make a dedication in memory of a loved one, please visit pth.org.uk/memorymeadow or call 01252 729446 by Friday 1st April. Phyllis Tuckwell provides outstanding Hospice Care to those facing a terminal illness, such as cancer, across West Surrey and North East Hampshire. Working from the Beacon Centre in Guildford, the Hospice in Farnham and in patients’ own homes, it provides medical and nursing care, therapies, counselling, social work support and practical advice to over 250 patients, relatives and carers every day, free of charge. However, as NHS/ Government funding only covers 20% of its costs, it needs to raise over £20,000 every day. If you would like to make a donation to help fund their care, please call 01252 729446 or visit pth.org.uk

ARTISTS WANTED TO DECORATE GUILDFORD’S VERY OWN CHARITY COW!

L

ocal artists are being encouraged to come up with a design for the Mayor of Guildford’s official CowParade entry to transform it into a work of art. The life-sized cow is part of the CowParade, the world’s biggest public art event raising money for good causes, coming to Surrey from May to September. The Mayor of Guildford, Cllr Nikki NelsonSmith and the Mayor Elect, Cllr Gordon Jackson, are asking for expressions of interest from local artists to decorate the cow, ready for May when the incoming Mayor takes over. The Mayor explains, “As part of my mayoral theme ‘Inspiring Guildford’s Future Innovators’, we have developed the Innovate Guildford banner under which a number of forthcoming events

will be promoted in the borough. We are looking for a design that is unique and eye-catching, that the borough can be proud of, which will reflect the continuity of the innovation theme through our two mayoral years.” Guildford’s very own Civic cow is just one of the many cows sponsored by different organisations and businesses throughout Surrey. They will be displayed around the county before being herded to the inaugural Surrey Hills Food, Drink and Music Festival, where they will all be exhibited together and judged. The cows will later go to auction; those judged to be the pick of the bunch will be auctioned at a gala event in London later this year. The net proceeds from the auctions will be split between various charities (chosen by the sponsors) and The Surrey Hills Trust Fund which was set up to support

local community projects to benefit and enhance the Surrey Hills landscape. Cllr Jackson adds: “This is a really exciting project, which will be used to reinforce my mayoral theme. The theme will be announced when I take office in May, but I intend to continue celebrating innovation in Guildford with a particular emphasis on the importance of place and the role of the countryside.” Interested artists should email ArtsDevelopment@guildford.gov.uk. Please put ‘Civic Cow’ in the subject line of the email. The closing date for submissions is Monday 14 March 2016.

THROW IT AWAY? NO WAY! FIX IT UP AT THE REPAIR CAFÉ

KANE FM YOUTH PROJECTS GAIN FUNDING

K

ane FM, Guildford’s very own community radio station, have been offering an “Introduction to radio and DJ skills course resulting in an Arts Award” for young people for 3 years now and for the duration the sessions have been run on expenses only and voluntary hours.

T

he Repair Café is an international movement that encourages people to think about reusing and repairing items rather than throwing them away and the good news is Guildford’s repair café is growing in popularity as they now regularly hold a monthly session at various venues throughout Guildford borough. Everyone is welcome to bring along their clean, broken items from home including clothes, toys, bikes, crockery, chairs, etc. and repair it. Various experts will be available to give practical advice and help you make all possible repairs, free of charge. Hurrah! An increase in popularity will help reduce waste, save money and resources and cut CO2 emissions.

repairers, fixers and up-cyclists are flourishing. From charitable organisations to borough councils and from individuals to businesses, it’s easier than you might imagine to repair what you already have rather than replace it at an extra expense. In addition to the Repair Café, the Surrey Reuse Network is a great source of inspiration for those wanting to learn new skills and to maintain what you already have in your possession. For more information on the Repair Café in Guildford visit guildford.gov.uk/repaircafe and to find out more about the Surrey Reuse Network and the work they do throughout Surrey visit surreyreusenetwork.org.uk

etails have been announced by Surrey Fire and Rescue staff that they will be attempting to break the world Record for CPR Relay.

The plan is the brainchild of Fire service personnel from Guildford Fire Station. On 25th June this year over 1050 people will be trained in CPR at the station and then each spend 1 minute performing CPR in front of independent adjudicators. This event has 3 aims for the day, to increase the number of people trained in CPR and thus save lives, to raise money for The Fire Fighters Charity and Mind Charity and to break a world record.

The current record of 986 was achieved by Queensland Ambulance Service on 22nd Nov 2015. The event at Guildford Fire Station in June will start at 4:30 am and finish at around midnight on the same day. Training on CPR will last about 15mins and is free though a voluntary donation of £2.00 (we’re sure you can manage a little more though) per person would go a long way to reaching their target of raising £20,000 for charity. More details about the event will be published over the coming weeks. For more information on how to sign up and donate visit charitycpr.co.uk

During the course, young people will learn the various skills and knowledge that make up the foundation of working within the studio environment, such as the running of a community radio station, the broadcaster’s code of conduct, the planning of a radio show and using radio broadcast equipment.

Currently Kane works with 8 young people from Youth Support Service and schools alternative curriculum on a weekly basis and is looking to recruit at least 2 a month more to join the programme. The programme is flexible and designed to suit the individual. Your Community News FOR THE RECORD

R

ecent cataloguing work by the house team at Polesden Lacey has revealed that over the course of two decades, donations of gramophone records from visitors and volunteers have accumulated to form an outstanding historic collection of early 20th century music. For over 20 years, gramophone records have become a familiar part of a visit to Polesden Lacey. However, when the house was left to the National Trust upon Mrs Greville’s death in 1942, there were no gramophones or records within the inherited collection. The decision was made to buy two gramophone players in order to enhance the visitor experience for those touring the house. “The grainy melodies of a bygone era evoke the atmosphere of what it was like when Margaret Greville entertained royals, politicians and poets here from 1908 – 1942,” said Helen Taylor, Polesden Lacey’s Assistant House Steward. “We started collecting records to play in the house and suddenly we began receiving stacks of records from generous volunteers and even visitors. Some of them are really rare.” The donated record collection stretches back as far as 1914. The ma jority of the collection is made up of the back catalogue of Joe Loss and Victor Silvester, both of whom were highly popular in the British dance band era during the 1930s. However, there are also some rarely heard recordings by famous names. One recording of ‘Waltz of my heart’ and ‘I can give you the starlight’ sung by Mary Ellis, features the great Ivor Novello on piano and is signed by both stars. Another record boasts the earliest published recording of Gracie fields singing ‘My blue heaven’ and ‘Because I love you’ back in 1928.

VOLUNTEERING OPPORTUNITIES AT THE SURREY HALF MARATHON

T

he 2XU Surrey Half Marathon is recruiting volunteers for their 2016 event on Sunday 13 March 2016. As Surreys largest closed road half marathon, the event simply wouldnt be possible without the hard work of more than 250 volunteers who carry out a range of roles on the day.

Perhaps the star discovery is a recording of George Gershin’s ‘Rhapsody in blue’ with Gershwin at the piano playing alongside the Paul Whiteman orchestra, who commissioned the work in 1924. Conservators at Polesden Lacey have worked long hours to catalogue the collection of over 580 records and visitors can now browse the titles on the National Trust Collections website. Furthermore, visitors are encouraged to discuss records of interest with room guides while on tour. For more information about conservation at Polesden Lacey visit www.nationaltrust.org.uk/polesdenlacey or call 01372 452048.

Now in its third year, the Surrey Half has raised significant sums of money for a range of local charities including Woking & Sam Beare Hospices, and its national charity partner, Macmillan Cancer Support. The event is also proud to support a number of local businesses, and is supported by Mercer. With over 5,000 runners expected to take part, a variety of volunteer roles are available including welcoming charity and elite runners across the finish line. Other opportunities include course marshalling, water station management and event village management.

If you choose to volunteer your time to this fantastic event, you will receive: •

SURREY HILLS

COW PARADE

MARCH 2016

As you know, we at The Guide 2 Surrey love a local charity, and especially a local charity with an original idea. The kind of idea comes around that you just think: “Yes. That” (or similar). And this is one of those times. Cow Parade is the world’s largest public art event – and it’s coming to the Surrey Hills. From May this year, this enormous display of marvellous moos will aim to round up the support of celebrities and community groups, as well as raise money for local community projects and enterprise schemes that benefit and enhance the Surrey Hills landscape.

What is a Cow Parade?

First up, a bit of background about Cow Parade in general is perhaps in order. Originating in Switzerland in 1998, Cow Parade is the world’s largest public art exhibition and is staged in over 80 cities and towns worldwide. In 1999 Chicago hosted the first event with 300 life-sized model cows - there have now been 3000 cows created by more than 5,000 artists. So the idea comes to the Surrey Hills for 2016! The cows are ‘grazed’ in public accessible locations throughout the entire county of Surrey; locations such as roadside fields, high streets, school entrances, businesses, hill tops, vineyards, sporting venues – all over the place! Keep your eyes peeled for these brilliant bovines across our green and pleasant lands…

How to get involved: Whether you want to get involved as a sponsor, you’re an artist who wants to design some cows or you’re a school or charity that wants to get involved, visit cowparadesurreyhills.com

COMMUNITY

TheGuide2Surrey.com/Community

When is it? The public art exhibition will last between May and August, with the auction at the inaugural Surrey Hills Local Food, Drink and Music Festival on 3rd September. October/November 2016 will see the Gala Auction of Championship Cows.

How does it work? Like this: Specific corporates, retailers, hotels, individuals, schools, charities, communities and other organisations across the area will buy a cow for £3500 (mini moos, exclusive to primary schools, will cost £950), which will be designed either by themselves or a chosen artist. Surrey Hills Charity will receive £1000 of this money, meaning continued maintenance of the wooded area we all know and adore. Cows will be transported by the official Cow Parade Moover (hehe) and placed on a concrete plinth for security. Then, the cow is then auctioned off, which will take place at the Surrey Hills Local Food, Drink and Music Festival. Additional funds from the auction will go to the charity of the cow owner’s choosing.

Why do it? The event is for art, for charity and for fun – the three things that The Guide 2 Surrey holds dearly to our hearts. Naturally, the good people who get to see the cows in all their glory will benefit too! The goal is for Cow Parade will attract large numbers of visitors to The Surrey Hills - locally, regionally, nationally and from overseas. This will hopefully have a huge economic impact as evidenced in other Cow Parades across the world.

KEEPING IT LIGHT WITH SEAN LOCK

ENTERTAINMENT

TheGuide2Surrey.com/Entertainment

Known for his laid back attitude towards the ma jority of things life throws at him, Sean Lock is again roaming the country on his aptly entitled tour: Keep It Light.

L

ock will be keeping it light by tackling subjects that don’t tend to get a mention in other stand-up shows. “I’m going to talk about jewellery heists and I just got into ballet recently so I’ll talk about that,” he confesses, “I watched a ballet on BBC Four and after five minutes I really got into it. I’m not into contemporary dance, though: you can shove that back where it belongs, in small marginal arts venues on the fringes of town.” Lock, now living in the heart of the capital, was born in Chertsey and attended the St John the Baptist School in Woking. Despite not living in Surrey since before the turn of the century, the comedian still refers to Surrey as home. “I was born in Surrey and will always be a “Surreytonian”, if that’s what you call us? I don’t know. I grew up there, had the best years of my life there. We used to run around Woking town centre on the weekends causing havoc. Those were the days. The Halcyon days.” Causing havoc, though, isn’t what Lock is about on tour. He likes to keep things light-hearted, but still quite close to the edge. “I’ll be talking about my bucket list and about some of my behaviour on the internet which I’m not especially proud of. But it’s not what you might think, don’t worry. And then I’ll have material about how I’ve got to an age where everything I do is considered to be a midlife crisis; so any activity and anything I buy or wear. If I get a pair of glasses, they’re considered to be a desperate attempt at disguising my age. It’s not my fault that all glasses are trendy these days; you can’t buy boring glasses any more, they’ve all got clear bits and a bit of lime around one of the eyes: I didn’t want to wear these, but that’s what they’re selling.” Taking a deep breath, he plunges into yet more areas of concern for the tour. “I also talk about James Bond: I find the very notion of him so ridiculous. This thought that one man can save the world is so childish; an inebriated nine-year-old would struggle to maintain

plausibility in that idea. I’ll talk about immigration which is always fun because it’s an easy topic to get wrong. But I keep it light. I talk about isolation of the elderly in our society and how they can live out forgotten and anguished lives with barely even the flicker of recognition from their neighbours. But I’ll be keeping that light.” “I like the ambiguity of ‘keep it light’,” he tells me when I question to name of his tour, “I like it as just a throwaway comment you can make to somebody when they’re talking about a terrible mishap that has befallen someone. It’s a pinprick to any kind of heaviness, and ultimately I see that as my job. So I can go down a particular path but I can keep it light by doing some silly stuff.” Keeping it light is one thing but actually getting the show written is another matter entirely. It’s something that Sean Lock continually struggles with each time he sits down to create a new stand-up set. “I have this weird feeling that other comics have a much more effective and swifter, more skilled working policy where they’d say to me ‘no you don’t have to do it like that, you don’t have to take a year saying the wrong thing. You do it like this’.” The 52-year-old believes his perceived flaw in his methods are down to not going to university. “It’s my ma jor regret in life, though not for the qualification I would have gained. People I know who went to university have a working method where they sit down and get something done; they know how to start and get on with things. I will do anything to avoid getting on with stuff. I have one method and that’s blind panic so I’ll sit down in my kitchen and suddenly get on with it. Maybe I just imagine it’s greener for other people.” Whatever Sean Lock’s working methods, they have proved mightily successful across a comedy career that has lasted just over 20 years. He’s had a number of highly successful tours, written the critically adored sitcom 15 Storeys High and notched up a weighty TV CV which

features the likes of 8 Out Of 10 Cats, QI and Argumental. He even has his own office now as a means of injecting a degree of discipline into his working regime in order to get some writing done. “I spend a lot of time achieving nothing; days go by sometimes. I do rent an office and go there, though not every day: that would be a lie. I have my huge word-game commitments: Countdown it’s called. But I have to be at my office just in case something comes along. It’s like fishing. If you don’t sit at the river bank with a fishing rod, a line, a hook and a worm on it, you’re never going to catch any fish so if I do this for a whole day, then something will slot into place. People perhaps assume that you just walk into a room and make this stuff up, but jokes are very hard to come by.” He might claim that jokes are hard to come by but Sean Lock is one of the best in the business at creating gags that live long in the memory. But once they’re all in the bag and ready to be offloaded onto the public, other problems might arise: such as dealing with the rigours of large-scale touring and handling the post-show come-down. “I lay off the sauce and don’t do too many dates in a row. Doing the show is enjoyable, the hard bit is being normal afterwards and trying not to be this twitching demented clown. Last year I thought I might knock stand-up on the head and take a longer break from it. After a few months, I realised I didn’t really like that idea because all the things that make me good at the job don’t switch off and so if you have nowhere to go with it, you just turn it on yourself. So, I’d give myself a hard time, mocking myself and then patronising myself to try and make me feel better. When it comes down to it, comedy is rehearsed moaning.”

TALKING TO....

fickle friends Fickle Friends are a self-described Indie Pop group that hail from the iconic beaches of Brighton. We caught up with the lead singer of the five-piece, Natti, to discuss the band’s experiences so far, their (maybe) upcoming album and their current on-tour shenanigans…

By Tayler Willson

Natti – firstly, for those who haven’t heard of Fickle Friends, could you tell us a little about yourselves? Well, we’re a five-piece group that met at Brighton University a few years ago. We were all doing music there but were all in the mind-set of ‘let’s go to university so we can get a loan and do music full-time’ - I think a lot of people do that nowadays anyway. But that’s how we met. None of us really wanted to go to, it was just a way of getting money and being able to do what we loved. After that we won a few competitions as a band in 2013 and it’s grown since then. We’ve done a few festivals and a few big venues.

You mention that you’ve done some ma jor gigs, what’s been your highlight so far? We played this festival in Holland last year called Best Kept Secret and it was absolutely mental. It was really overwhelming, too. We couldn’t believe that people in other countries were listening to our music. We went on a safari after that too. The whole thing was such a weird but wonderful experience.

You’ve played Guildford’s Boiler Rooms recently too? We actually played Guildford on the first night of our tour and it was amazing to be honest. We’ve played at Boiler Rooms before but we’ve never had our own show there. There were some crazy fans there so were a little shaky. But Guildford’s always a good crowd. Pre-show we were in our dressing room and they now have a little tattoo parlour up there too, so me and our keyboard player managed some time for some pre-gig tattoos something our tour manager admittedly wasn’t too happy about. We’re just so Rock n roll.

What type of music do Fickle Friends play? Who influenced you? We describe ourselves as indie pop, but with an eighties twinge. We listen to so much stuff from back then. Loads of people are doing that whole throwback thing so much now that we draw a lot of influence from our contemporaries too, like the 1975, Bombay (Bicycle Club), Mystery Jets etc. I actually did a tour playlist for this tour that has stuff like Clean Cut Kid, Jack Garrett, The 1975 and then older stuff like FRANK Music and Justice. We are influenced by all sorts

Fickle Friends are midway through their UK tour and will be at Aldershot’s Art Centre on Friday March 16.

really. People like to liken you to something, but it’s not always doable.

And rumour has it the album will be out later this year? Ideally yes, but we haven’t actually recorded anything yet. We’d love to put it out this year, but it could be early next year. It completely depends on the traction this year and what happens with our single next month.

For other bands it tends to go from playlist to playlist after that one, so it’s pretty exciting. Hopefully now we have our foot in the door things will only improve.

And, finally, is there an end goal for Fickle Friends?

What can we expect from the album?

Being able to sell out a Shepherd’s Bush gig just before our album comes out would be an amazing point to be at. We were just saying too that we want to go to America, we want to play Coachella and tour the states, and we want to play Glastonbury. It’s kind of the sky’s the limit and I could talk for hours.

It’ll be a continuation of what we’ve been doing, but it’ll be more like our recent stuff. What we’ve been writing recently has been a lot more intelligent. A bit more stylised. Plus I think we’ve got a bit better too.

But really, especially over the next few years, selling out somewhere like Shepherd’s Bush would be amazing! We’ve a long way to go, but hopefully we can get there!

Your song ‘Say no more’ made it onto the BBC Introducing playlist recently, how good does that feel? It felt great. Like, really great. It’s something we’ve been aiming towards for ages. So when it finally happened it was great, finally a nod from Radio One.

TALKING TO: JAY RAYNER By Rich Lee

24

Renowned restaurant critic, MasterChef judge and sometime jazz pianist Jay Rayner is embarking on two UK-wide tours in 2016, and he’s bringing both to Camberley Theatre on April 16th for a special Night of Food and Agony and My Dining Hell, which combine Jay Rayner’s flair for storytelling and acerbic wit with a hitherto hidden talent as a musician.

Tell us about the first part of your show, My Dining Hell. It’s a live show I do around crappy restaurant experiences. Although bad restaurant reviews are only about a fifth of the reviews that I publish every year, they are the thing that people remember the most acutely. I’m certain if I did a show called ‘My Dining Heaven’ no one would watch it. So I take you through the things that drive me the most nuts, be it through menu language or service - six or so restaurants that truly pissed me off.

Why do people enjoy the bad reviews so much? I think the narrative of bad things is just more compelling. If someone tells you about their lovely summer holiday when nothing went wrong, you’re going to get

very bored very quickly. But if they talk in detail about the hotel not being built or the plane almost crashing, now you want to know; you can immediately imagine what you’d do and how you’d feel about it. There is also an element of disbelief that people who are trying to sell something to you - be it a holiday or restaurant experience - would get it so wrong. It just baffles me.

So you’re still surprised after 15 years of reviewing restaurants? Yes it’s amazing isn’t it? You’d think I would look upon the world and all its stupidities and go, ah well. But I always hope to have a nice dinner because I’m a very hopeful chap. And then it all goes horribly wrong!

How do you set up your restaurant reviews? The mechanics are really very slight. I get a lot of requests from aspiring writers asking to come with me on a review to see what it’s like and I have to reply, “What, have you never seen somebody eat three courses?” Because that’s all it is. But essentially, I book under a pseudonym, they don’t know I’m coming, I turn up and sit there and have three or more courses and possibly make a few notes.

Before the food even arrives at your table, what are the most grievous sins a restaurant can inflict upon you? The one that drives me absolutely nuts is when they say, “May I describe the concept of our menu?” If a menu needs

ENTERTAINMENT

TheGuide2Surrey.com/Entertainment

a concept all is lost! Offer me a drink and shove a menu in my hands quickly and everything will be fine.

Where is the best place you’ve eaten in Surrey? I’ve attempted to review in Surrey but not done very well over the years. I wrote about a place called Stovells. I haven’t been there recently. Drake’s was nice. It was a while ago too to be fair. Stovell’s did a very good job. They’re a hell of a lot more rugged than they pretend to be.

The Night of Food and Agony part of your show sees you perform piano with your jazz quartet. When did you decide to out yourself as a musician? I suppose I started about four years ago. I played for about 30 years, just not very

well. And then four years ago a very far-sighted festival organiser gave me a whole year to put together an hour long set. And I kind of like a challenge. So I brought together a quartet - a brilliant bassist, saxophonist and singer - and it’s all about the music and the patter, songs from the food and drink repertoire, with stories from my life growing up with my agony aunt mother [the late Clare Rayner]. We do put on a good show and so I’m hoping the people of Surrey will be ready for us.

NON EGG Y

EASTER IDEAS

T

he holidays come and in the preceding weeks it’s usual for us Parentals to feel a mixture of emotions. On the one hand we lean forward towards the holidays, heads filled with ideas of family days out, smooth and uneventful play with no sibling rivalry as well happy mornings and easy bedtimes. On the other hand we realise through experience learned in the field that this can only be achieved with forward planning, precision execution and plenty of gin for the evenings. So we give you a little taster guide of things to go crazy with but without the usual eggsaggeration on all things Easter.

1: Get out of the House !

S

Before the Lego is manufactured into weapons grade projectiles get everyone into the car and head to Hobbledown in Epsom. Essentially a huge fifty acre play park of awesomeness, Hobbledown has over 100 animals (Think meerkats with no Russian accents, otters, wallabies and even birds of prey as well as the usual farm animals) adventure play equipment galore, mazes, tunnels and even a low ropes course as well as (safe!) aerial walkways and loads more interactive areas. They even cater for the larger Imp demographics with an Aerial Adventure Course. Weather in March can be a little mercurial but Hobbledown also has a huge indoor play barn for the kids complete with seating for you and Wi-Fi so you can surf social media and see how the Child free Blessington-Smyths are enjoying Barbados. Check out www.hobbledown.com

2: Camping in the Garden

p

Everyone loves a bit of camping. A night under the stars, an open fire and good old fresh air. You may have been wondering for a while whether the kids would like camping and by making your first outing in the garden you can iron out all the things that can go wrong, show the kids in a safe environment the fun of al fresco sleeping and ultimately if it all goes the way of the pear, you’re two feet from a warm bed, toilets and Sky Plus. Check out our online guide to garden glamping at www.theguide2surrey.com/Family

3: Let your Teenagers Drive a souped up sports car. No seriously

Yes, you read that right. Often “kids things to do guides” will wax lyrical about what you can do with children but give little suggestion on what to do with Master and Miss Attitude. Unplug their PlayStations, Xboxes (and if you’re parenting right, N64s) take them to Mercedes Benz World for an awesome driving experience. They won’t just be handed the keys, but will be taken around by someone far more qualified than even you with your 12 hours on the M4 experience from Brentford to Doddington Ash. They can go on the track or off road and you can spend the return journey home with them critiquing your skills at the wheel. Check out Mercedes Benz World at www.mercedes-benzworld.co.uk

4: Bike Ride through Alice Holt

l

As a seasoned and salty veteran of parenthood, you’ll probably know Alice Holt well and what a great outdoors day out it is. Aside from the great playground and beautiful walks you can also hire bikes for you and the family to get a bit of time together doing some healthy and fun. At Alice Holt you’ll find the Cycle Centre where you can hire a wide variety of bikes as well as trailers for really small ones that aren’t quite cycle ready yet. The guys and girls can kit you out with all you need and point you in the direction of lots of trails including the family cycle trail which is about three mile trail through the woodland with lots of picnic opportunities along the way. Check out www.forestry.gov.uk/aliceholt for more information.

5: Teddy Bear Disco It’s always good to remember that being a parent does mean that sometimes you’ve got to let your hair down, join in and have some good old fashion fun. Denbies will be hosting a fantastic Teddy Bear’s Disco this holiday so take the wee ones down to boogey. It’s a fancy dress disco with tickets starting at £7.50 per child but you go free! Call Denbies on 01306 876 616 for more information.

Make your own

Easter Eggs!

To make a big’un and some little’uns you will need… •

Easter Egg Moulds from Lakeland – Large mould 9x14cm and 36 mini egg moulds

700g of milk, dark or white chocolate – the better the quality, the better the egg

A pan, glass bowl and a hob

Your hands, your little people’s hands and anyone else’s you’d like to enlist

A fridge

A pastry brush

A teaspoon

The Method: 1.

Set a bowl over a simmering pan of water ensuring that the bottom of the bowl does not touch the water (this is called a Bain Marie). Break the chocolate up into small pieces and add to the bowl. Stir occasionally with a wooden spoon until completely melted. Be careful if you’re using white chocolate - if it heats too quickly it could separate and won’t work. Trust us, we did it!

2.

Leave the chocolate to cool for about ten minutes until it starts to thicken again. Using the pastry brush, coat the inside of the two large mould halves with a thin layer of chocolate and put in the fridge to set.

3.

Whilst the first layer hardens spoon the remaining chocolate into the smaller moulds, ensuring you fill each mould to the top. Put the mini moulds in the fridge and leave to set.

4.

Once the chocolate in the large mould has hardened - roughly ten minutes should do it, take it out of the fridge and apply another layer. Repeat the layering and setting process until you’ve got a nice thick layer on your moulds, leaving a little chocolate in the bowl to stick the eggs together with later.

5.

Leave all your chocolate filled moulds in the fridge for roughly an hour before you try and take your eggs out. Carefully remove the mini eggs and stick the halves together with some of the leftover melted chocolate. Remove (with care) the large egg halves, put the mini eggs inside and seal it all together with melted chocolate. You could wrap the mini eggs in different coloured foil before putting them in the large egg if you want the receiver to get a shiny, colourful surprise!

C’est voila! Your very own Easter egg to give to who you wish - or eat yourself of course, you’ve worked hard after all! Now all you need to do is decorate it with sprinkles, icing, ribbon, whatever you like. Enjoy!

C

ranmore School enjoys a remarkable reputation as one of Surrey’s leading prep schools. It recently announced that it is extending its co-ed provision and will become fully co-educational, welcoming girls and boys from aged 2½ to 13. Cranmore was awarded the top grade in every category for its most recent ISI inspection. Headmaster, Michael Connolly, commented “We are implementing this change from a position of strength. GODALMING COLLEGE AT TOP OF THE LEAGUE TABLES

I

n January, the Department for Education published its performance tables for 16-18 education in England. These confirm that Godalming College is one of the best performing sixth form providers in the country at A level. In relation to A level grade performance the tables show that Godalming College was in the top 10% of non-selective schools and colleges in the country in 2015. For value-added at A level student outcomes are significantly above national predictions placing Godalming in the top 5% of all non-selective schools and colleges. And on the basis of both of these measures it is the best performing college in Surrey and Hampshire at A level. In addition Godalming is in the top ten of all schools and colleges in Surrey for value-added performance at A level placing it well above well-known independent schools such as Charterhouse and Cranleigh.

A*-B grade rate of 61.8%, 33.6% of these being at A* or A grade. Godalming College has a growing number of BTEC options which also show excellent results; 100% pass rate and 60.3% at Distinction* or Distinction grade. In 2015, 523 students (67%) went on to study at university, 11% went directly into paid employment and the remainder found places at specialist art colleges, drama schools or conservatoires or into sponsored degrees or apprenticeships. 24% of those who went to university are now studying at Russell Group Universities including eight students who went to Oxford or Cambridge and one student who went on to study at Harvard in the USA.

Principal David Adelman says:- “Godalming has a proven track record of outstanding achievement over many many years and the recently published performance tables confirm that 2015 was a record year for exam performance.”

Looking to the future Godalming College will be opening its new English and Modern Foreign Languages block at Easter. The sports facilities have been improved by the opening of new netball courts in September 2015 and a new 11 acre site containing Rugby and Football pitches will be available for use after Easter. Further refurbishment will provide additional social spaces to the College environment plus a green room and sound recording studio to the media suite, which will open in September 2016.

The A level results for 2015 showed a pass rate of 99.7% and an

I

remember the sensation of trying polvoron biscuits so vividly. The crisp texture disintegrating as soon as my teeth touched the outer crust giving way to a mix of decadent fat and sugar was one of those lasting food memories. Whether it is a love passed on by my mum, (who gets almost giddy with excitement when in the possession of these biscuits), or just a kid’s love of sweet treats is hard to differentiate. Though the latter is probably true for the old girl too who’s family originate in Gibraltar off the coast of Southern Spain where polvoron orignate.

Date & Walnut Chilli Chocolate Polvoron By Stu Henshall PREP 15 minutes COOK 20 minutes YIELDS 15 Biscuits

They are so simple I have no idea why they aren’t more popular. It wouldn’t be The Alternative Kitchen if I didn’t twist it up so I have made a few changes. For one, I used butter instead of pig fat or lard. Not-so-fun fact but officials of the Spanish Inquisition way back when decreed that bakers used pork fat as a means of detecting secret Jews and Muslims at Christmas time when they were commonly made. It’s as strange a world now as it ever has been but I have no interest in keeping these balls of awesome from anyone. So butter it is. Saying that I may have slipped a tablespoon or two of rum in which non drinkers can just leave out. Whoops! The other thing is they are not usually filled with anything but the structure just about holds some extras so I added coarsely chopped walnuts, dates, and bitter dark chocolate and a generous amount of spice. Why not? You may have come across them in Cuba or the Philippines as a result of being former Spanish colonies. They definitely won’t be anything like this though. Give my recipe for Date and Walnut Chilli Chocolate Polvoron a go. You won’t regret it.

Ingredients 225 g Slightly salted butter 110 g Caster sugar 225 g Plain flour 50 g Ground almond 1 tbsp Spiced rum 1 tsp Vanilla extract 1 tsp Nutmeg 1 tsp Ground ginger 1 tsp Cinnamon 1 tsp Allspice 1/2 tsp Chilli powder 50 g Chopped walnuts 50 g Dark chocolate (cut into large chips) 50 g Dried pitted dates (quartered) 1 tbsp Cocoa powder for dusting 1 tbsp Icing sugar for dusting

Directions 1

Preheat oven to 160°C and toast flour and almond for 5 minutes

2

Cream butter and sugar in a large bowl for 5 minutes

3

Add the flour and ground almonds along with the spices, rum, and vanilla extract and mix thorougly

4

Divide into 50g balls, roll between your hands, and place 2cm apart on a baking sheet lined with greaseproof paper

5

Chill for half an hour

6

Bake for 20 minutes or until the top is starting to harden and crack

7

Dust with cocoa and icing sugar and get the coffee on

WHERE TO EAT: SWA

By Joe Payne A four star, two rosette boutique inn located in one of Surrey’s prettiest villages, The Swan Inn has built quite the reputation for its serious take on food in an informal setting.

O

n a brisk Tuesday afternoon in February, it bodes well for our esteemed photographer Fiona and I that The Swan Inn is bustling with people, an enthusiastic chatter during the typically un-busy time of the week. With a menu bursting with options, chosen based on the very best local produce, we were very excited… But first up, the location. Chiddingfold is achingly pretty – anyone who has been to the village will be able to attest to this. Located in the heart of the High Street, The Swan Inn is very much a jewel in Chiddingfold’s crown. The décor is modern and woody yet warm and cosy, and not at all clinical despite the fresh uncluttered interior. Light streams in through original windows, some of which are stained glass, adding to bright airy feel. This was complimented by the ambience;

busy, informal, cosy and jolly. You could come in for a casual lunch, dinner with the family or a romantic meal and the vibe would suit. Anyway, with a warm greeting from Manager Sinead, we got down to the nitty gritty… For the starter, I chose the Lamb Kofta with yoghurt green bean and mint raita. Looking resplendent on a glass plate, the lamb was suitably exceptional; crispy on the outside and tender in the middle, the medley of flavours was abundant yet not overpowering or overly spicy and complimented by the freshness of the raita. The beans were crunchy, sweet and vibrant – if they didn’t come straight from the ground, they sure tasted like they did. Having nabbed some of my colleague’s Chicken and Ham Hock Terrine with

pickled vegetables and walnut croutes, I was equally impressed; the beautiful marriage of soft, savoury flavours cut through by the tangy veg really was a treat. Moving on to the Main Course, I chose the Pan-Seared Cod, thyme leaks, truffled crush potato, mussels and crispy ox tongue. Needless to say the cod was flaky and soft, the leaks buttery and firm, the mussels plump; but the absolute showstopper was the ox tongue, explosively tasty little breaded morsels that cut through all the flavours without overwhelming them. Light and yet substantial, the buttery seafood and meat combo was not at all swamped and the plate was shamefully clean (bar a few forlorn mussel shells). Fiona was presented with a plate with a gorgeous array of colours: the Pork Tenderloin, tomato, chorizo and

AN INN CHIDDINGFOLD butter bean cassoulet, fennel fritter and spring greens. This perfectly spring-like yet hearty dish was equally delicious, the cassoulet in particular bringing muffled grunts of knowing contentment. Anyway, the little I was allowed to sample of this dish of greens, oranges and purples was exceptional. Finally, we went for the dessert. Now, I never normally suffer from food envy. Indeed my Date Sponge Pudding with a caramel tuile and gorgeously thick vanilla ice cream was absolutely fantastic, homely and comforting while boasting a light texture. But when your compadre orders a Dark Chocolate Marquise with honeycomb and salted caramel ice cream on a black slate, you absolutely insist upon sampling it. For research. The Marquise was rich without being overpoweringly sweet and offering a hint of black cherry, the honeycomb was easily the best I’ve ever tasted and anything salted caramel gets me hot under the proverbial. The balance was perfect, and I can safely say this sweet-toothed caloriechaser honestly thought it one of the best desserts ever sampled. So The Swan Inn looks like a high-end pub and serves food of the calibre of an exceptional restaurant, is located in a gorgeous village, offers friendly service and, dare we say it, is really rather reasonably priced all told. Our opinion? The Swan Inn needs more stars and rosettes…

T

he Mill’s story dates back to 1647, when the original building burned down. That same year, the Mill had been occupied by Oliver Cromwell’s roundheads. A new mill was built in 1648 and is believed to have functioned as a corn mill until the late 18th Century. Later, in the 19th Century, it was acquired by the Appleton family - and used for making braid for military uniforms. The 1851 census shows that 100 people worked here, which perhaps explains why the Cupola on the roof was installed around that time - the bell was used to call people to work! In the 1940’s the Mill was used as a hospital during World War 2, and if you visit the mezzanine level you can see the graffiti scribblings, which were left by the soldiers whilst recovering. Our very talented chef ’s now cook fantastically freshly sourced produce from local suppliers, which is supported by our Award winning beer and freshly kept ales, which has been awarded the coveted Master Cellarman status. Put all these together and you will see why we are the perfect wedding venue, we are licensed to hold ceremonies in two very different rooms, and if you want that unique intimate dining experience our Cromwell room is available and can cater for upto 25 people.

TEST DUMMY: BREATHE studios From the outside Breathe looked like any other alternative private gym: mood lights, simple-yet-effective signage, motivational quotes like “You can do it” and “Pump it Louder” on the window. But on the inside it’s something much more unique.

We began with some floor work. Face down, leg up, kick to the ceiling, you know the moves. No weights, just the weight of your body. Squats, lunges, single-leg lunges, planks with your hands in awkward but weirdly comfortable positions. “Smooth fluid movements” were the instructions given as we did stuff that I can only describe as a bad dad break-dancing and a press-up hybrid. The bad dad was an extra addition by a totally unbalanced me. “Army crawls were followed by faster army crawls. I attempted to gauge the feeling of an insect. I tried to be at one. It didn’t work”

Designed by someone truly obsessed with Scandinavian minimalism, Breathe Studio’s modern and simple look is quite astounding. I, though as much as I could sit and admire the interior, was there for MOVE Primal, a class I knew only 30 seconds of a YouTube video about.

We then split off into pairs. I, having no friends and being teacher’s pet, went with John. While I hanged from a metal pole attached to the ceiling, John commenced with some kind of unorthodox burpees. We’d do this for as long as I could hang (which wasn’t very long), before swapping.

I arrive with time to spare, hastily change into my exercise gear and assume position on the studio floor. “Hi I’m Tayler,” I contemplated shouting to our instructor, as well as Breathe Studios owner, John Cann, but decided against it because I’m still heavily panting from getting changed so fast. Mr Benn makes it look so easy.

Laps of the studio then followed and this was when the obvious primal moves came into the equation. Running, like normal, was followed by monkey lunges, like not normal. Army crawls were followed by faster army crawls. I attempted to gauge the feeling of an insect. I tried to be at one. It didn’t work. I was rubbish.

A background in elite sport, and an insatiable appetite for new challenges form John’s unique approach. Expect intensity, expect results.

But this was strength training at its rawest. This was the glitz and glamour others add nowadays thrown in the bin. This was what’s needed and nothing else.

TheGuide2Surrey.com/Sport

SPORT

Strength training does not mean bloated, bulky physiques. It doesn’t have to mean strain and weight-gain. Using your own body as resistance and functional strength classes sculpt lean, strong, useful muscles. This class progresses movements towards control and complexity. Using compound, organic movements; these classes will set fire to your metabolism and continue to burn calories long after you have completed your class. You will reshape and rebalance the natural beauty of your body. Train your body as it has evolved to be. Movement practice is an essential part of enjoying your body to the full. Bullet proof your joints, realign your posture and relax your body and mind. The class opens the door to the full capacity of human movement. You will stretch, strengthen, mobilise and even invert yourself through combinations of Yoga, Pilates and Primal Movement. At Breathe Studios, they make sure you’re aware that what you do post-workout is just as important as the workout itself. The studio also houses their very own kitchen called Nourish. Nourish sells seasonal salads, nutrient dense snacks and superfood smoothies. Every recipe

is created and made in their kitchen - every salad dressing, drink and snack. So if you’re looking for a no mess about full-body workout that’s both enjoyable and challenging, you should probably pay Farnham’s Breathe Studios a visit. Farnham’s nice by the way.

SURREY Storm

With the new Super League season well underway, Tayler Willson caught up with Surrey Storm’s Georgia Lees to discuss her breakthrough season, the new-look and reshaped squad, and on just how far Storm can go this season… After a disappointing Super Saturday opening defeat to Bath University, people in the world of social media began to question whether the ma jor summer changes in the squad had scuppered Surrey Storm’s hopes of regaining the Superleague title. Now, one month on - and with four straight and convincing league wins under their belt – Storm have quickly silenced any early-season critics. Currently into her fourth season with Storm, Georgia Lees admitted that she doesn’t think last season’s success has put any additional pressure onto the team’s shoulders, despite fans’ expectations. “We had a few people leave in the summer, but also a few came in,” Lees tells us, “It’s always nice to change things up, it keeps it healthy. But with change comes a need to gel again, a need to settle down as a team, so we’ll only get better this year.

no different to if we didn’t win last year. These things take time and I’m sure the fans understand that.” Despite influential departures like Tamsin Greenway and Bongiwe Msomi, Lees remains confident that they still have what it takes to go all the way: “This season’s about learning for us, and for me, personally, it’s about game time and making the most of my first season of regular starts. It’s my fourth year at Storm but really the first time I’ve been given a regular starting chance and I need to take it. The 22-year-old did heap praise for Greenway still who, despite retiring from all forms of Netball in the summer, remains at Storm in a coaching capacity, a role that Lees believes is key if the side is going to be successful this year. “Losing someone like Tamsin is always going to be hard, she’s irreplaceable and she’s taught us a lot. But still having her here for advice, for pointers and tips is going to be ma jor this season. All the girls look up to her. “She and I have one-to-one sessions outside of our normal training hours and she is still really helping me develop my game. I’m progressing as a player and the more I play the more I’ll progress. Hopefully we’ll progress as a team, too, and as the ending of the season nears we’ll be at our very best!”

“But in that, I don’t think there’s more pressure on us. If anything, we know we will improve with time, so the pressure on us now is

JUNIOR HOLIDAY CAMPS All of the Storm Junior Camps are over seen by Coach Tamsin Greenway, and are tailored to each age group to get the best out of their experience. All camps are led by a Storm player or coach, with help from the Community Coaching Team to ensure all participants are looked after! JUNIOR STORM NETBALL CAMPS At this age it’s all about practising the basics and learning the game, encouraging the girls to explore new positions and learn all aspects of playing the sport, as well as educating them about Surrey Storm. Over the 2 days they will play fun warm up games, practise their ball skills and the essential movements all netball players need. They will be coached attacking and defensive skills as well as shooting and team building exercises. Both days end with a Surrey Stormthemed Tournament, which is split into age and ability. STORM MASTERCLASS CAMPS These camps are suitable for those both in clubs or school teams. At these camps it’s important the basics are still reinforced and taken to new levels, they also begin to introduce the tactical side and awareness of the game. Over the 2 days they will practise thinking games and challenges, ball skills and movements as well as core and stability work. There will be more specific attack and defensive themes, as well as tactical set ups on court. Both days end with a tournament where the players get to practise their newly learnt skills. They also encourage Surrey Storm education as it’s important players at this age get to witness elite level netball. STORM EXPERIENCE CAMP Led by the one of Storm’s elite coaching staff, these camps are aimed at the more serious netball player and will focus on an individual position to help players really define their match play. They are looking for players involved in satellite, county or regional academy squads. The summer camp will be a pre-season camp, modelled on the Surrey Storm pre-season training. It will focus on fitness, skill development, SAQ and strength and conditioning needed for players to prepare for the season. Included in the sessions will be specific coaching as well as video analysis sessions.

SURREY SCORCHERS Henry Wilkins has completed a transfer to Spanish outfit Globalca ja Quintanar following his short stint at Surrey Scorchers. The Guildford-born shooting guard signed during the pre-season period and made a total of 14 appearances for Scorchers, scoring a 5.42ppg average. Wilkins will now head to Liga EBA outfit Globalca ja Quintanar, returning to Spanish basketball having played for C.B. Villarrrobledo last season. Upon making the transfer, Wilkins said: “I want to say a huge thanks to Coach Creon and the whole Scorchers organisation for giving me the opportunity to represent Surrey. They stuck with me through some tough times early in the season with my health and I’m very grateful for their help during that period. “I also want to thank them for their cooperation and understanding throughout this process. We are a young club going through some growing pains but I’m confident that Coach Creon and the boys will turn the season around in these remaining months! I’m super excited to return to Spain and join the league in their race to the playoffs!”

SURREY SMASHERS A demoralising 4-1 defeat to Nottingham University last month has left last year’s finalists Surrey Smashers on the brink of failing to reach the National Badminton League finals in May. Smashers were left stunned by a convincing performance from the home side in front of their home fans at the Jubilee Campus Sports Centre and the Sky Sports cameras. Starting the night second bottom on 6 points, Smashers knew that a match-night win was needed to close the gap on Team Derby in fourth position. However, Smashers, who finished in first place in the league before losing in the finals last season, now find themselves rock bottom of the table with only one game remaining. Four of the six teams go through to the finals in Crawley and Smashers will have to beat Birmingham Lions on March 21 to have any chance of progressing.

BUSINESS News VINES GROUP WIN TWO BMW RAISE THE ROOF AWARDS Vines MINI and BMW continue to enhance their credentials as they picked up two separate awards at the BMW Group Raise the Roof event. The group – which operate authorised MINI and BMW Centres in Gatwick, Guildford and Redhill – have gathered a fantastic reputation for their depth of knowledge and high quality service. The annual awards ceremony recognises BMW and MINI retailers, with the Vines Group winning the 2015 MINI Marketeer of the Year and, perhaps more impressively, the Guildford centre winning BMW i Retailer of the Year. The BMW i range consists of two plug-in electric vehicles: the i3 all-electric car and the i8 plug-in hybrid, the former of which is a more day to day vehicle with the latter an incredibly powerful yet fuel-efficient sports car. Both have received considerable praise in the motoring industry. What makes the BMW i Retailer of the Year award particularly impressive is that, due to various government subsidies and their uniquely ‘green’ specs, the BMW i range demands a much broader breadth of knowledge from its retailers. VINES GROUP ANNOUNCED AS SURREY HILLS COWPARADE SPONSOR

Vines Group BMW and MINI is sponsoring the Surrey Hills CowParade by providing organisers with an especially branded BMW X5 vehicle to promote the initiative. CowParade is the world’s largest public art event which comes to Surrey this year with hundreds of brightly-coloured cows set to decorate the hills, farms, towns, schools and popular landmarks across the county. Organisers want individuals, companies, schools and other organisations to sponsor a life-sized cow and either decorate it themselves or bring in an artist to do it. The cows will then be displayed around the county before being herded to the inaugural Surrey Hills Food, Drink and Music Festival on September 3 where they will be auctioned off. Those judged the pick of the herd will go to auction at a gala ceremony in London later in the year. Proceeds will be shared equally between Surrey Hills Trust Fund, a charity established to conserve and protect the Surrey Hills Area of Outstanding Natural Beauty which supports local community projects and enterprise schemes, and the individual charities selected by the cow sponsors. The CowParade will not only help to raise awareness of this special landscape but also safeguard its future through donations to the Surrey Hills Trust Fund. Visit the Community Pages of this magazine and theguide2surrey.com for more Surrey Hills Cow Parade info. For more information on how to take part call the Surrey Hills CowParade team on 01483 661150 or visit surreyhillscowparade.com.

ask the experts PRIVATE LIMITED COMPANIES - SELLING YOUR INTEREST Should you sell the assets of your business / company, or sell your shares in the company itself? It’s not always a simple decision… So let’s look at the basics: Asset Sale The seller here will be the company itself. Assets and/or liabilities belonging to the company are selected for sale. The buyer and the seller will need to consider their liability regarding employees, who may transfer across to the buyer under TUPE regulations.

concern’, and the purchase of ‘real property’ may attract Stamp Duty Land Tax (“SDLT”). Alternatively, VAT will not apply to a purchase of shares and Stamp Duty (rather than SDLT) may be payable.

The seller(s) here will be the shareholders of a company, whether individuals or corporates. The buyer purchases shares from the seller(s), but the assets and liabilities of the company remain (including employees). The company will generally remain in a position where it can continue to trade, albeit with new shareholders.

Shareholders of a company selling its assets may wish to consider the effect of ‘double taxation’, where the selling company may be liable to pay corporation tax on any chargeable gains, with a further possible tax charge to the shareholders on their personal income through dividends. With a share sale, the sellers will look to extinguish their liability for the company’s historical tax liabilities, though often, the buyer will request detailed tax warranties and indemnities in the sale contract to limit this. Sellers should consider seeking advice in connection with any available reliefs on a share sale, for example Substantial Shareholding Exemption or Entrepreneur’s Relief.

Things to consider

2. Bargaining Power

Post-sale, the selling company may continue to trade if it retains sufficient assets, or it may be decided that the company should be wound up.

Share sale -

1. Tax It is highly recommended that you seek your accountant’s advice before committing either way. By selecting specific assets and liabilities in an asset sale, the buyer will look to avoid taking on historical tax liabilities of the selling company, though tax payable on the purchase will depend on a number of variables, including the identity of the buyer, the type of asset(s) it is purchasing and any reliefs which may be available in the circumstances. For example VAT may be payable by the buyer where the asset purchase does not amount to a ‘transfer of a going

A buyer or seller may hold out for one method of sale over the other and quite simply, the other party may have to either agree, or walk away. A party’s reputation in a certain industry may have influence here or the seller may have a business or assets which are in high demand and therefore have greater say in the method of sale; the tax benefits to a party may influence negotiations and in turn, affect the purchase price offered. Further, one party may attach sufficient urgency to a sale or purchase, which may allow the other party to use this to their advantage to sway terms in their favour, including the method of sale.

3. The Assets / liabilities The business of the seller or the buyer may not suit a particular method of sale. For example, a company may only wish to sell assets in relation to one aspect of its business, and carry on trading with another. Therefore, a share sale may not be appropriate. There should also be consideration as to whether there may be restrictions on the transfer of contracts or leases from a company to a buyer, in which case a share sale may be preferable, where (subject to requirements for third party consents) the company generally remains in a position in which it can carry on trading. 4. Company reorganisation A company may decide, through a company group structure, to transfer of out of the target company assets and liabilities which it either wishes to retain in the group, or which it feels may be unattractive to a buyer, before the target company’s shareholders sell their shares by way of a share sale.
