General policy principles
Rights & Brand’s purpose as a company is to share our brands and stories to a global audience, so that we contribute with beneficial values to the global society as well as to all stakeholders. We do this in carrying out the values we represent in our everyday work. Rights & Brands was founded out of the conviction that Scandinavian values are of global importance and make a positive difference globally. The values of nature, democracy, courage and playfulness represented in the brands and stories, inspire individuals to find their way towards a good life in harmony with nature and society. We let our values form our culture, guide our decisions and actions. We share the belief that stories make a positive difference in the world.
This Code of Conduct (referred as “Code”) demonstrates Rights & Brands’ commitment to conducting its business in line with our values in an ethical, sustainable and responsible manner. It helps to translate Rights & Brands’ values into action, so that our way of doing business is aligned with our values and responsibilities.
This Code applies to everyone within Rights & Brands, including employees, directors, officers, board members, consultants and other personnel working under Rights & Brands direction (referred to in this Code as our “Team Members“) and covers all Rights & Brands companies worldwide.
Our Team Members take responsibility in observing not only the letter, but also the spirit of the Code. Our Team Members are aware of and conduct their activities in accordance with this Code and all supporting policies, also when the Code requires a higher standard of behavior than is required by national law and local regulation.
Rights & Brands also expects that all its business partners should be governed by the same or similar principles stipulated in this Code. Rights & Brands expects all business partners to ensure that those principles are communicated to their employees and sub-contractors.
This Code of Conduct is drafted and valid in the English language. Where there are different language versions of this document these shall be considered translations of convenience only and the English version will prevail in any case of discrepancy
This Code of Conduct provides an introduction to Rights & Brands way of doing business and the responsibilities of Rights & Brands employees.
Knowing the Code of Conduct helps our team to choose the right thing to do. Everyone is encouraged to ask before acting and to report deviations without delay.

Conducting our business responsibly
Rights & Brands is proud of its founding principles, mission and core values and believes that its excellent reputation contributes to its business success. Rights & Brands supports a culture of fairness, transparency, responsibility and integrity in all its business activities. Rights & Brands strives to minimize the impact from our own operation on the environment, leads by example and continues to spread the value of nature through the stories we represent. This is reflected in our business decision, projects and actions. We give back to society through projects that are in line with the above.
To help our Team Members understand their responsibilities, this Code outlines the following key ethical principles:
Compliance with laws and regulations
Rights & Brands is committed to full compliance with all applicable laws and regulations of relevant countries.
Each Team Member will make sure to be accustomed with the laws and regulations that governs each individual task and to follow them.
Understanding the spirit of the code is essential
Rights & Brands Team Members commit to applying situational awareness, the understanding how to act in a particular situation, in line with this Code, also when there are no given instructions available.
The following questions give guidance:
What was your first impression and are you comfortable with the issue or decision?
Is it legal and sustainable?
Is it consistent with our Values, Code, Policies and Instructions?
How would others see and assess your actions and their consequences?
If you are still unsure, ask for senior advice.

Valuing our Team Members
Our Team Members are Rights & Brands’ most valuable asset. It is Rights & Brands’ responsibility to ensure that it provides a safe and sustainable working environment with fair terms of employment for all employees and the possibility to learn more. Respect for people and protection of human rights is paramount. In particular, Rights & Brands is committed to:
Providing an inspiring working environment, where our Team Members are encouraged to help each other, share knowledge and engage in their own and others personal and professional development and growth, whilst with professional excellency contributing to fulfilling our mission.
Not allowing working conditions or treatment that contravene basic human rights and violate our zero tolerance for child labor, or are in conflict with laws and practices of relevant countries where these require a higher standard.
Supporting and respecting the protection of internationally proclaimed human rights as defined in the United Nations’ Universal Declaration of Human Rights, including freedom of thought, opinion, expression, religion and to peaceful assembly, protecting our Team Members; threats, intimidation and violence in the workplace will not be tolerated.

Fair treatment is not just a matter for managers and leaders
All Rights & Brands employees should treat each other with respect, support each other, make best efforts to help out when needed and talk well about each other. There is no room for degrading behavior and talk. Rights & Brands is committed to ensuring that every partner, client and stakeholder can expect, whether online or in real life (IRL), the highest quality of service and care and to be treated in a professional, courteous and friendly manner.
Clear and precise communication
It is a fundamental principle for Rights & Brands that communication adheres to relevant legislation, regulations and standards and be undertaken in a friendly, correct, open and objective manner. Rights & Brands is committed to ensuring that only true and correct information is communicated, and that non-public information is not disclosed. Responsible and appropriate communication, made at the appropriate time, is essential to protect Rights & Brands’ reputation and its business.
Corruption causes business decisions based on dishonest and unfair criteria. As a company we always promote open and fair competition. Our team takes full responsibility to avoid and steer free of any situation which can be seen as, or associated with corruption.
The success of our IPs, partners and customers is the key to our success
We aim to create long-term customer and partner relationships and exercise fairness in all relationships. We act swiftly, with efficiency and proficiency to exceed our partners and customers’ expectations. By doing this we become a preferred long-term partner.

Maintaining our good name Protection of privacy
Fair dealing
All our Team Members are expected to deal fairly with others without taking unfair advantage of another through manipulation, concealment, abuse of privileged information, misrepresentation of material facts or any other unfair dealing practice.
Free and open competition
Rights & Brands embraces free and open competition. Competition law aims to protect free competition in the market, by regulating the relationships with business partners and competitors. Although there is no one uniform set of competition laws that apply in all countries, certain basic principles apply everywhere to prohibit collusive or unfair business behavior that restricts free competition.
Anti-bribery and corruption
Corruption is the abuse of entrusted power for private gain. It is considered to be one of the biggest threats to market and social development and is in direct conflict with our core values.
Corruption disrupts competitive markets, misallocates resources, and can lead to violation of human rights. It undermines the rule of law and trust in business and its leaders.
It is therefore Rights & Brands’ responsibility as a company and our Team Members’ responsibility as individuals who represent the company, to prevent corruption in all its forms, including bribery, facilitation payments and inappropriate gifts, hospitality, and favors.
Conflict of interest
Our Team Members always carry the best interests of Rights & Brands. Behavior that is not tolerated includes situations where an employee’s judgment is likely or appears to be influenced by the possibility of personal financial gain or where an external engagement adversely impacts the individual’s ability to fulfill his or her duties to Rights & Brands.
Export control
Rights & Brands complies with any applicable export controls and regulations, which restrict trade or export activities with certain countries, entities, or individuals. These controls have the aim and purpose of pressuring the targets from violating international law or human rights. The controls are also targeted to prevent the proliferation of weapons of mass destruction and/or limit flows of weapons or goods that could be used for military purposes.
Rights & Brands respects, and is committed to, safeguarding the privacy of our customers as well as the privacy of Team Members. It is Rights & Brands’ policy to follow applicable laws and regulations governing privacy and data protection in all countries where Rights & Brands operates.
Rights & Brands takes privacy protection issues seriously and employees’ right to privacy is protected.
Laws and regulations regarding privacy protection may vary from country to country.

Maintaining competitive advantage
Intangible assets and information security
Intellectual property refers to creations of the human mind that are protected by various national laws and international treaties, including copyrights, patents, trademarks, trade secrets, designs, logos, know-how and other intangible industrial or commercial property.
Rights & Brands’ clients are creators, originators and/or rights holders of intellectual property. This intellectual property is their most valuable asset and the very foundation of our business. Rights & Brands is committed to safeguarding trade secrets and intellectual property and defends any challenge, misuse or misappropriation of them vigorously.
In the same way that Rights & Brands expects others to observe Rights & Brands rights, Rights & Brands is committed to avoiding unlicensed or unauthorized use or misappropriation of intellectual property that validly belongs to others.
It is important to safeguard Rights & Brands’ confidential or business-critical information as any unauthorized use may seriously harm Rights & Brands’ business.
Rights & Brands respects the trade secrets and intellectual property that originators/ creators and copyright holders as well as customers or other partners have entrusted to Rights & Brands for business purposes. It is the responsibility of our Team Members to protect and maintain the confidentiality of such information, and practice caution in all communication, for instance in social media and to other stakeholders.
Tangible assets
Rights & Brands is committed to managing and safeguarding its assets no matter where they are located, stored, used or shown. All our Team Members must protect company assets, such as equipment, inventory, supplies, cash and information, by treating company assets with the same care you would if they were your own. Company assets and resources may only be used to conduct company business. Our Team Members never use company assets other than for legitimate business or other authorized purposes.
Act in the best interest of the company!
Do not compete with Rights & Brands in any form
Do not resell products you have acquired using Rights & Brands employee benefits (unless an old, used product)
Do not allow your personal, financial, or political activities to influence or be perceived to influence the way you do your job at Rights & Brands
Do not conduct personal business deals with your friends or family on behalf of Rights & Brands
Keep your business social media communication neutral, in line with this Code of Conduct and separated from your private social media communication.

Conducting our business responsibly
Ethics, sustainability and compliance questions
If an ethics or sustainability question or a concern arises about whether something meets our Code of Conduct, policies or legal requirements, please speak up. Consider who has the responsibility or control over the issue, who would have the information needed to answer questions. Contact a supervisor, colleague, human resource’s function, or legal function.
Whistle blowing practices
Violations against our Code erode the confidence we have built within our organisation and with our shareholders, customers and other stakeholders. A failure to follow the Code can also put colleagues and our business at risk. Therefore, it is an obligation to report any suspected violations of Code to a manager, HR, or Head of Legal without delay. A report can also be made anonymously via this following link.
There will be no adverse work-related consequences for any persons reporting suspected violations in good faith. Rights & Brands prohibits retaliation, in any form, against anyone who, in good faith, reports violations or suspected violations of Code of Conduct, policies or applicable law, or who assists in the investigation of a reported violation.
Training and communication
Code of Conduct training is mandatory for all new employees and it must be part of their introduction program. The Code of Conduct will be an item in the yearly individual review sessions.
